Believing in the DD and posting misleading info are two different things.
There are 60 million EMPM shares in the float, which has nothing to do with korean shareholders or saean management.
Post facts; misleading messages like yours will harm more than they help.

They will issue to koreans either from their 129M or new Saean inc shares after the merger
I already told in my previous posts. Only two options either they will issue themselves more shares, or buy from public float.
to Issue around 80M to PIPE investors or Institutional investors such as hedge funds should do it.
The new investors and the private company's percentage should add to that number as far as I know. They will have to issue shares to the big money no matter what. (restricted as well)

Valuation has been completed @ $1B and word got out about Saean with all the subsidiaries,plans and technology. And this company only has 60M public float(our shares) because all the other shares will be restricted..

Market valuation at open market is completely different.BYND IPO valuation was $25 and it opened at $46 and went up to $239 in 3 months.

New entity will be formed. Private A(saean) will own 90% and Shell (EMPM) will own 10%.
EMPM shares will be worth 10% of the value of the new entity which is equal to $100M.
What you are saying is similar to the second scenario in which Saean will use their own EMPM shares to reach to 85-90%. With 200M they can't do that, either they will issue themselves more shares or will have to buy more at open market from our 60M shares.
My WORST case scenario:
Based on this scenario I will use 3 assumptions:
1) Saean Group or Saean Inc will be valued at $1Billion.
2) The O/S of EMPM will remain as 200M level
3) When merger gets executed Saean Inc will own 90% of the NEW ENTITY and EMPM shareholders will own 10%
If the whole entity is worth $1B and we own 10% of it which means we own $100M.
Based on 200M O/S; $100M /200M OS = $.50
Is it coincidence that $.50 is matching to the magical $.50 Chen mentioned before? Maybe; maybe not.
And this is the absolute worst case scenario for me.
Best case scenario is Saean Inc might use their EMPM shares to reach the 85-90% and our 60Million shares will represent the remaining 10-15%.
In this case, our shares should be worth between $1.5-$2 based on $1B valuation.
Change the assumptions and play with the numbers, and come up with your own outcome based on how risk averse you are.

Maybe they will get the SAEAN INC stock instead of EMPM, with that I mean maybe they got shares from the Private company.

that's just one sub of Saean Group.
The plan is that Saean Group will eventually merge into EMPM.
You are just focusing on today's PR and missing the big picture IMO
while I agree it could have been written better, the "car with no engines" part is explained in the PR.

I know your intentions were good in order to lower expectations about the name change. Most of us here really don't care when it happens. Filings and updates will continue to flow from now on.
IMO we gotta be much more selective and careful what we post here especially while we are on the breakout board and too many new potential investors are looking at this stock over the weekend.

Saean basically issued itself 10million shares. $300K bought @ .03cents..
and another 20million shares with the second part.
total of 30million shares restricted will be added to 132million they already have.
Amazing move to bring the ownership up to the necessary levels to close the deal without hurting current EMPM shareholders.

Couple of points:
1) this stock is very hard to flip, they will get you most of the time. Do some DD and you will see that this is a good one to hold with huge upside.
2) Don't get fooled by CFGN. She is not a dilutor, no notes, no debts. Pretty clean shell merging with SAEAN. IMO she represents big money in order to control the PPS . So does AEXG.
3) A/S is 400M, the number on Otcmarkets is wrong. 10q and NVSOS proves that.
4) try to read as many posts as possible of
Chenteddybear and theenightowl in order to see the potential and for correct DD.

1.Public Shell creates a wholly-owned subsidiary
2.Stockholders of Private Company A negotiate with the controlling shareholders of the Public Shell in order to merge with the subsidiary
3.Private Company A merges into the subsidiary, with the Private Company surviving and shares of Public Shell issued to shareholders of Private Company A •Simultaneously with this transaction, the Public Shell can also conduct a PIPE (private placement) •A financing occurring simultaneously with (or immediately subsequent to) a reverse merger is referred to as an Alternative Public Offering
4.Private Company A becomes a wholly-owned subsidiary of the Public Shell with the controlling stockholders of Private Company A (and the PIPE investors collectively) usually owning 90% or more of the Public Shell and the shareholders of the Public Shell owning the remainder •Private Company A’s management team becomes the directors and officers of the public company
It might be a formality move. Lee might come from the private company and become an officer of the new public company again after the merger..

We are talking about nasdaq and possible competition to tesla. You need to change your typical pink trader mentality with this stock.

The most important factor or question here is what percentage of the new company the EMPM shareholders will get.
That will determine whether some of us will be able to make 7 figures or not.
Everything is possible. We will find out about their plans when the filings hit.
On the other hand, the stock looks illiquid now, It will be even more illiquid if they do any any R/S.
They need us and liquidity in order to uplist to higher exchange.

Really trying to figure out who might sell here?
1) it's either the financers. If that's the case
a)If it's the big boyzz the only good explanation is that they are trying to bring this down in order to get a better financing deal.
b)or to kill the momentum in order to steal the shares from the flippers, momo traders or the impatient ones
2) it's retail. If that's the case
it's either the retail who entered way below .02-.03 and selling for multiple bagger without caring about the fundamentals or DD , it might be somebody who bought this years ago below .01.
I still think the downward move is very organized. As soon as ask is getting hit, they put big or decent sizes at the ask to prevent slapping and to kill any momentum.
