According to Matt K they had just a few due diligence items section M left which I listed we don’t know which of those due diligence items remain but I did list them from the SEC filing close to closing for sure they are done with section L financial audits
Matt Kappers had said that they just had a few Due Diligence items remaining ( section M ) which is the last section of a merger before close
Section L has obviously been completed on financial audits since Matt said they just have a few open due diligence items open .
Matt , " At this point, we have a few open due diligence items, and once those are completed, we'll move
towards closing. In addition to due diligence, we are working on transition items so the
integration between the two companies will be seamless "
So just a few probably means 3 or 4 of these listed below . We have to be getting close to the closing... I separated them to more easily view :
(m) Due Diligence. The completion of due diligence satisfactory to Parent, including, but not limited to
The examination of all books and records of the Company and the Operating Subsidiary
Any vendor agreements
Any marketing agreements
Any financial projections, business or marketing plans
Any letters of intent, memoranda of understanding, or potential agreement with marketing or other partners
Any licensing agreements, grant applications, grant notifications
Any intellectual property, current and proposed inventions, all work papers
Any trade secrets or any other material as reasonably necessary to conclude the transactions contemplated by this Agreement.
Matt from the call , " Further, we have nothing but praise for the Coreoptics
management team. They have and continue to be put to react to our due diligence requests, and
they consistently deliver more than we ask for.
Last thing they will do ..Section N
(n) Approvals. The approval of this Agreement and the transactions contemplated herein by the Member, and its Board of Directors or
similar management of the Member and the Company ; and the Board of Directors of the Parent in accordance with whatever consents and approvals are
required by applicable law.
All other sections are after close
The phone number on the Core Optics web site 571 area code is a Virginia phone number for inquiries ... Is it a company number they will have for their office in Virginia after the merger closes ?? Where will the CCM side headquarters be ?? Will it be at the Michigan innovation headquarters where the battery program is or will the CCM side of the company be located somewhere else in Michigan or Virginia ?? CRTG is a Oklahoma corp but is in Michigan .Core Optics is a Virginia Limited Liability so will they establish the US base in Virginia or with the current office in Michigan or close to it in Michigan . Good questions any thoughts ..
I believe any decision on a reverse split would come later after they see how the new company stock price reacts . I think they would give it a while. Lets say we trade up to 75 cents , of coarse we want multiple of dollars , but lets say 75 cents and it settled in around there as an example . An 8/1 RS puts it at 6 Bucs 2.00 above the 4 dollar mark they would need to trade at as one of the things they have to do to qualify for Nasdaq . Lower level Nasdaq I think is 3 Bucs. If we settled in higher the split would be less . Keeping in mind the company is talking about building a battery giga plant which might involve some dilution in some way lets say they acquire a company they need we may see more dilution before a RS. I say they will wait sometime to develop the new company and and also see how it trades with news and developments within the next year. Remembering they are locked up for a year they can't trade themselves on the market for a year I see this next 6 months as a time to develop the company and grow to the point they feel they are ready for the bigger exchanges . Maybe then they have the data they need from the company financially and they have good developments from the silicon anode battery and established new partnerships etc etc then they can better make a decision on a RS .
2010 article on ismedia
https://www.koreaherald.com/view.php?ud=20111013000695
This is a good article from 2019 which i previously posted with others , but it says a lot about ismedias partners and customers and then business operations which as we know have changed as to the focus to be more on the auto industry https://www.thelec.net/news/articleView.html?idxno=295
ISMEDIA produces single and dual camera module inspection equipment and car camera module inspection equipment. The company also developed Active Alignment equipment, which handles the entire process of assembling and inspection of camera modules at once, by entering part of the front-end process market.
Founded in 2002, ISMEDIA is headquartered in Anyang, Gyeonggi Province. It was listed on the KOSDAQ in 2017. Its Chinese subsidiary was established in 2015 and its US corporation was established last year. ISMEDIA's sales grew 48.3% YoY to 79.0 billion won while operating profit rose 71.0% YoY to 4.1 billion won.
I just googled isMedia Korean news and these news releases came up i will look for more
from the 2019 news release https://www.thelec.net/news/articleView.html?idxno=295 Q Tech has 1.3 trillion won in sales not isMedia
34 billion won is 25 million US
In the sales of ISMEDIA, exportation occupies a large share. The exports to China account for two-thirds of the company's total sales. Q-Tech is the biggest client of last year with sales of 1.30 trillion won. Last year, the company delivered 34 billion won worth of inspection equipment to Q-Tech. In the same year, the company exported 18 billion won worth of equipment to O-Film. Sales from both companies are 43.2% and 22.8%, respectively, of the total sales of the company, which add up to 66.0%.
Old isMedia news releases about deals with major tech companies Sharp and OFilm now Wingtech. It stated they had 78.2 billion in revenue or 57 million US dollars in 2018 but it dropped but in 2019 but as we know from old records that moved back up in 2021 considerably to 33 million and 2022 37 million . I think they might be doing better now with new management .
https://www.thelec.net/news/articleView.html?idxno=295 from 2019 but this deal didnt go through as was a 5.3 million dollar deal but this other article explains in was lowered considerably
https://www.thelec.net/news/articleView.html?idxno=2712 form 2021 this deal was with O Film for work with Apple but was lowered
https://www.thelec.net/news/articleView.html?idxno=3080. from 2021 talks about their work with Facebook through Haesung Optics

Pegs , A lot of these big trades going through look to be at a set price on a pre arranged deal to buy large amounts of stock in one trade . There was a trade a while back that seemed to be like a 3 million share trade go through and the price never changed . If we start having really good news coming out of the new company I think the regular trading community will be buying a lot of stock as the demand goes up for CRTG stock as we will be a company with a new line of products and revenue . Traders will be buying in big news situations possibly more at the ask . Armistice can according to their trading , distribution of their shares agreement can make pre arranged sales of stock at a set price and I think a lot of the trading volume has been from those kinds of trades. We don't see big million share orders at the ask they just go through behind the scenes so to speak . There doest seem to be much demand for the stock YET from the regular type traders as we come close to the close of this merger so the stock hasn't had that big demand for the stock yet like it needs to possibly move higher. I time after the close of the merger we might see the stock move higher as the company starts sharing their financials and in depth company operations and puts out news releases . If the company even has 5 to 10 million in revenue each quarter with good profit margins lots of cash etc CRTG you would think is worth much more than 2 cents.
Core Optics move to the US to include the United States in their business and to now move their focus from smartphones to the auto industry ( now 78 % of business from the auto industry ) is obviously a move to increase the growth of this business of this line of CCM products they purchased from isMedia . They are involved now in China and South Korea and a few other countries they mentioned . I see the potential for a lot of growth in this move . Cant wait to hear more from the new leadership on their plans as soon as this merger closes . Heres a chart that shows the USAs standing in the auto industry which CRTG can now tap into with their new line of CCM products

If anyone wants to go over the Private Placement details again with Armistice that was closed by HC Wainwright March 5 2021 : to save you some time look at pages 1,2,3 ,17,25, and 39 thru 43 to avoid having to scroll through the entire document . Page 43 lists all the ways the stock can be sold . HC Wainwright members recieved a lot of shares as well . I would like to know if there is any possibility the new company can redo this deal for 82 million warrants exercisable at 8 cents. I remember when 3Dicon reworked a deal with one of their toxic investors and paid them off with about 300 thousand cash but they still got some shares just befores the merger with Coretec to clean up thier financial situation .
https://investors.thecoretecgroup.com/node/6996/html
Dr Kim said he was looking to start a big battery plant for one so those Series C peferred shares might come into play in that area . Not sure but its good to see that these shares are for companies as your article stated are for ;
" Strictly speaking, companies that aim to obtain series C funding are no longer startups. They are usually established, successful companies in their late stages of development, with solid revenues and profits. Their core products or services generate strong demand in the marketplace, attracting a substantial customer base."
We do know the company has plans to expand and grow WE are no longer a start up !!
Info on SK Hynix image sensor as Core Optics has been working with them in this area . Is this what Dr Kim was talking about in the call ...any thoughts
Because we -- for example, we are working with the SK Hynix. They are making sensors, but
they do not have any technology for that. So, we are working with them. We did that for more
than two years. And we finalized a module validation lab. Our module validation lab do the role
for them for large granular [cooperation].

Great to see Coretec through the merger with Core Optics at close will officially be partnered to some degree with all three companies listed here
"Samsung is the world’s second-largest maker of image sensors. However, its market share of 29 percent is paltry in front of the industry leader Sony, which captured 54 percent of the market last year. The Korean firm is rushing to bring AI to its solutions ahead of its arch-rival so it could close that gap. SK Hynix likely has similar ambitions. It barely made it into the top five last year, accounting for five percent of the global image sensor market."
https://www.androidheadlines.com/2023/12/samsung-sk-hynix-drive-camera-on-sensor-ai.html
SK Hynix article mentions the image sensor business as did Dr Kim in the call ...
Dr Kim again says Because we -- for example, we are working with the SK Hynix. They are making sensors, but
they do not have any technology for that. So, we are working with them. We did that for more
than two years. And we finalized a module validation lab. Our module validation lab do the role

From this article ....While there is no report about Samsung publicly announcing its work on AI cameras, the same report confirms that the Korean behemoth is incorporating AI deeper into its image sensor business
https://www.androidheadlines.com/2023/12/samsung-sk-hynix-drive-camera-on-sensor-ai.html
Again from the call with shareholder Dr Kim talks about CRTGs relstionship with SK Hynix. So take a look a this more recent article they are talking , "AI on -,sensors tech for cameras " Any thought s on this as i assume the work Core Optics did with them involves other camera sensors will have to look at SK Hynix website and articles for more info on this finalized module validation lab for SK Hynix for large granular . Question what is , Large Granular , mentioned here by Dr Kim ..anyone understand this area of tech
Because we -- for example, we are working with the SK Hynix. They are making sensors, but
they do not have any technology for that. So, we are working with them. We did that for more

The future of CIS: Information Sensor that supports advanced functions
In the future, CIS is expected to evolve into an information sensor that supports advanced additional functions, without being limited to image quality improvement.19 SK hynix’s stack sensor is already capable of embedding a simple AI hardware engine inside the ISP on the lower substrate, based on the advanced semiconductor process. Based on this, SK hynix is currently developing new machine learning-based technologies such as super resolution, color restoration, face recognition, and object recognition.
Since it is possible to extract and classify various features from input images when using machine learning-based ISP technology, CIS will become a key component of information sensors that collect various information such as image information, location information, distance information, and biometric information.
In particular, to utilize CIS as an information sensor, it is necessary to take a new approach from a different perspective. This is because the quality goal of CIS is now “achieving the image quality optimized for machine algorithms”, while the goal was previously “achieving the image quality optimized for human eyes” so far.

WE do have some head winds from Armistice now but that will go away in time then Armistice after 8 cents with those 82 million shares . I need to look that agreement up to see all the exact restrictions on those warrants , but eventualy those will be gone . But now CRTG does have some big name partners but we will learn soon as to the extent of those and new partner agreements Core Optics has and what revenue from those . Those big name partner agreements and growing relationships will all be positives. We will also learn soon what new revenue projections will be and we will learn about everything they couldnt tell us until close that may have a big impact on CRTG. Also some socks just become popular to buy because of the sectors they are in and make big moves up in stock price . We are in next generation technologies with products on the market so that is a positive for the new company.
I always am thinking along the lines of an exit strategy in different situations that may come up . We've gone from 3dicon to Coretec to The Coretec Group to now the new company under the same name with the roadmap and focus constantly changing and again that's happened with the merger to this company . So once again I lay out different possibilities in my mind . My brothers friend sold his stock on the move up to 50 cents a while back and is back in at 3 cents or so . He acted quickly and it paid off. Penny stocks can be like that . That probably won't happen again as we had nothing going on then no revenue it looked liked someone pumped it and dumped quickly. So in rolling through all this new stuff in my mind I came across the thoughts of what if this or that . I just wondered if a penny stock that might have huge volume on just one given day you could use a market order if you say wanted to sell some stock that was up but just below a dollar... would the ordered be allowed to go through on a market order just because it was less a dollar . As we hear from the new company personal we will all get a new perspective going forward about what we own simply because this is indeed a new company that quickly overtook us. Now its time to really wrap our heads around just who we are. I had a broker years ago with UBS who said it was always easy for investors to decide when to enter a stock but choosing when to exit was hard for many people . Fear of the what ifs keep people from taking any action on the buy or sell side . Understanding what the company potentially can do and what it may not be able to do what range can this companies stock potentially trade at... what will it give , what is it worth. I have lots of new questions now but negative I'm not , I like suddenly being part on a company with revenue and products on the market . Now its time to really learn who the company is and after close of the merger we should get a better feel of who the new team is and what they are capable of doing.
Can you sell a stock under a dollar using a market order or do you have to use a limit order ? ...over a dollar it seems a market order is OK ..Its been a while since i sold a penny stock and if we traded up much much higher i may or may not sell but just curious about this the answer to this question
Big dump as you stated more than likely Arimstice . So far just one big dump . Those 14 million pre funded shares they picked up in February might be close to being sold but do they have more pre funded warrants ?? They are probably trying o get rid of those and as the stock price moves up they can start getting those 82 million warrants at .08 cents .With the new company taking over new products new CEO and a Revenue generating company we will see if the stock value moves up as im sure they will be putting out a lot of info on the new company . Hoping we close this week or early next week and get this show on the road so they can start putting out press releases and info on the new company
Today I will be watching to see if someone dumps tons of shares close to the close of trading today like it usually does . It it docent happen it still could happen tomorrow or later on this week hopefully that comes to an end soon .
Theres 400,000 on the ask now at 0.0265. We need huge demand for CRTG now and that will resolve that issue of them getting rid of those pre funded warrants at 8 cents they have only 82 million shares left . Im keeping it in perspective remember the days when toxic investors who loaned 3Dicon money got hundreds of millions of shares . Much better situation with The Coretec group having products and revenue to their name shortly as the merger will close soon ...
i think they can only get 4.99 % of the companies outstanding share count at a time so with the new outstanding share count at close of the merger that would be like 45 to 50 million shares ??
Dr Yunle Wei presentation on C-Space is out on the SPIE digital library but you have to have an account and i think pay for it . Not sure if they put it out on the University of Adelaide web site . Coretec said they would post it but with the merger not sure exactly what it going on with Coretec and U of Adelaide
It sounded like Core Optics had re-focused the company to be more profitable lfor instance Dr Kim said they shifted to the auto industry from smartphones because there is more revenue there. He added they had a , " our Next money maker " statement in there not sure which tech it was but i think they will grow the company CCM product line from where it was with isMedia .
I try to look at it as if Core Optics was going public for the first time and they showed their first quarterly revenue was going to 10 to 15 million dollars as a publically trsded compnay and their profit margins as Matt Kappers said are , " good profit margins " then where should the stock be trsding ?? One company where Matt Kappers sits on the board called Amplitech made 20 million in 2022 for the whole year and they trade at 1.90 last i looked .Though it is on the Nasdaq So if CRTG will now make 10 plus million in one quarter we should be much much higher than 2 cents.
Im not seeing a R/S anytime earlier on . Lets take a practicle look at this . The Coretec Group as a result of this merger could has revenue now of 10 to 15 million dollars a quarter or 40 to 60 million anually with this new product line and merger . The isMedia company , a public company ,from whom this product line was purchased made something like 40 to 58 million anually ( excluding the pandemic year which was lower ) with the same product line which from what i here from the new company members might be better revenue now or at the least better profit margins now . So i see the potential of the stock trading at more fair levels with that kind of revenue . isMedia trade from 5 bucs at the 2017 IPO to over 30 bucs but mainly from 2 to 18 dollars over a 5 year period until it was taken off the Korean exchange . The Coretec Group is trading as we know on the OTC market and not a big exchange here in the US or as isMedia was on the Korean exchange but even with a limited amount of exposure to a broader investment community as is the case when trading on the OTC as investors tend to stay way from penny OTC stocks , but even though we trade on the OTC market i believe the revenue numbers and partnerships and perhaps new purchase orders and newer partnership announcements could push this stock price much much higher than 2 cents . So i believe the company will wait to see how well we trade on the OTC market and see where we go stock price wise which i think in time could be much higher as history has showed us i can do and should do now . After the close of the merger the company should be doing a lot of awareness marketing and announcements and letting the investment community know about the new company and just what they have in every area of business
From Dr Kim From the call and presentation
Step. 3 / Sensing Module Validation LAB
Based on the experience accumulated in the industry Core Optics aims to establish itself as a reputable Test Lab for sensing modules. https://www.skhynix.com
Because we -- for example, we are working with the SK Hynix. They are making sensors, but they do not have any technology for that. So, we are working with them. We did that for more than two years. And we finalized a module validation lab. Our module validation lab do the role for them for large granular [cooperation].
this is step 4 below ...he stated : After that ( After step 3) Coreoptics will continue its effort to build trust with customers and try to become a total solution provider. That is our goal and we are going forward to that field. Thank you for our brief -- for interest of our business.
Step. 4 / Sensing Module Integration House Core Optics will continue its efforts to build trust with
customers and strive to become a total solution provider.
Steps 1 and 2 on their road map accomplishments
Step. 1 / CCM Test Solution Provider Core Optics has been at the forefront of introducing and supplying camera test solutions to the industry for over 20 years.
Step. 2 / CCM Test& Calibration House Core Optics has been nominated by Sony to be their
authorized Calibration House
From the call Presentation posted at Coretecs web siteWho is this key player ?? WE do know Meta has products it this sector and they are listed as someone Core optics works with
COMPETITIVE TECHNOLOGY
In-House Technologies for
VR/AR Camera
NiST traceable measurement system for Eye-tracking module validated by key AR/VR player
From the shareholder call Matt Kappers stated just a few due diligence items open . Sounds like it will be done soon !! I would anticipate a combined company web site . All new site or just add Core Optics business and products to Coretecs site ?? Not sure the best way ..any thoughts
From the slide presentation good news I missed that just saw it this morning any day now !!
• Due diligence
• Closing shortly after due diligence is completed.
• Announcements will be issued after closing
This what he said in the call
At this point, we have a few open due diligence items, and once those are completed, we'll move towards closing. In addition to due diligence, we are working on transition items so the integration between the two companies will be seamless. When the transaction is closed, we will make the necessary SEC filings as well as public announcements.
As motivated as the 2 companies are I think they are working quickly through this process and it won't be to long to close . Matt Rappers referred to needing to just do some due diligence not sure how he worded it but I get the feeling they are close . Since one company The Coretec group will really benefit from the revenue and probably extra cash I would say they are going as fast as they can to get to close. Like to see it by end of month .
https://morganandwestfield.com/knowledge/due-diligence/due-diligence-checklist/#:~:text=Due%20diligence%20can%20take%20any,is%2030%20to%2060%20days.
Matt Kappers said they had some Due diligence left to do shouldnt be to long. Heres the due diligence list
(m) Due Diligence. The completion of due diligence satisfactory to Parent, including, but not limited to, the examination of all books and records of the Company and the Operating Subsidiary, any vendor agreements, any marketing agreements, any financial projections, business or marketing plans, any letters of intent, memoranda of understanding, or potential agreement with marketing or other partners, any licensing agreements, grant applications, grant notifications, any intellectual property, current and proposed inventions, all work papers, any trade secrets, or any other material as reasonably necessary to conclude the transactions contemplated by this Agreement.
isMedia has public financials out there to look at if you want to see what kind of revenue they generated since 2017 when they went public with this product line .its public info because they were a publically trade company in Korea ..You can search out XBRL filings on this public web site . It should'nt be to long as you pointed out we will see the new consolidated companies business dealing and filings and business updates
As you know this product line Core Optics purchased was isMedia since 2002. They sold 8600 machines since then and those machines generated isMedias revenue ... as they were on assembly lines testing , inspecting and evaluating CCMs for other companies through agreements !! The Best is yet to come !!
https://englishdart.fss.or.kr/dsbd002/main.do
Looks like Armistice here but we have had some big volumn trading days since then so they should be a good potion of those shares . Not sure how many pre funded warrants they would have left im thinking they should have some remaining .
On February 12, 2024 an investor provided notice of cashless exercise for pre-funded warrants with a price per share of $0.0001. The warrant exercise results in an issuance of 14,861,316 common shares.
As of December 31, 2023, we had cash of $523,988 and a positive net working capital of $9,299.
There is Contract manufacturing as well Apple uses it for assembly and testing of their phones . So Core Optics has machines and software that others use to manufacture their products . This may be the way Core Optics makes continual revenue. There now way that they would let their machines and software be used to test and assemble CCMs for Auto , ToF cameras or smartphones and do the work on each CCM that goes into their product for one lifetime fee any more than someone who assembles a pizza for a companies customers ( i did it highschool ) but i got paid daily for assembling their product .could be the route they go to But im sure the new company will generate revenue each quarter for testing and assembling other companies products with their machines and software . Whatever they call the type of agreement it would be long term revenue from my understanding as long as they use The Coretec Group to test and assemble their CCM products for them every day year around . The company wont go to work everyday for free when our machines are doing the work for them . They then sell each end product with those CCMs in them like autos or phones etc and CRTG would get paid for doing their part of the production process for their products that they helped get into the consumers hands
