Virtually no CEO goes on social media (FB/TW) unless:
1). he's either trying to sell new shares (which we know isn't happening), or
2). he's sincere.
No amount of pessimism, skepticism, and/or criticism changes that/those facts.
KMAG is a waiting game for the lotto pay-off.

EDGAR is quite transparent.
BTW- it's KMAG management that is responsible for submitting a Form 10. The SEC does not submit a Form 10 to itself.
They (the SEC) would be responsible for making an exception and that is what my original post was about.

Well, unfortunately a Form 10 does mean transparency. The only managerial choice is to either file the Form 10, or not to. Become a SEC filer, or don't become a filer. Thus far, Reid has chosen NOT.

Providing an electronic means easy for all companies to file, instead of relying on registered mail is irresponsible?
Let's face it, the electronic process is by far the simplest way to file for both the business and the SEC, but not always the most prudent. Irresponsible in the sense that there may be more involved than just the Form 10 and the SEC may want to review a package. Some cases may REQUIRE this option.
Providing easy public access or market transparency to the latest filings is irresponsible? Strange.
If one has never worked in management they would find all of this strange. But it just may be necessary.
There is no such thing as a confidential SEC review of a Form 10. It must be uploaded to EDGAR in order to be reviewed by the SEC. The SEC would be interested in such claims by a tweet.

But,doesn't the SEC have the ability to manually review a Form 10? It almost sounds like the SEC is incapable of reviewing a Form 10 unless it is posted to EDGAR. IMO, that would be irresponsible on the part of the SEC.
The SEC will always have an exception process and believing, based only on links and hearsay that they never make exceptions to policy is not at all perceptive.
One must understand how management works. One of the responsibilities of management is to interpret policy and adjust it when necessary.

Exceptions are always made by management and the

They go to great lengths to add disclaimers on their website.
Why do they do that? Because the process can be adjusted for each case. Just read this disclaimer that can be found on MANY of the pages within the SEC's site.

If one is very slow they should read the disclaimer that leaves the door open for any and all exceptions before they use the link to make a hard and fast statement.

Guess you missed it. The form 10 has been submitted per Mr. Reid and the SEC has posted these disclaimers all over their site regarding policy. This is all taken from a link regarding the jobs act and shows how EVERYTHING is just guidance which includes the acceptance of a Form 10. Which for those who are a little slow means the SEC can make changes or EXCEPTIONS whenever they feel the need! Got it?

Anyone who believes that a Form 10 can bypass electronic filing through EDGAR, be manually submitted directly to the SEC and accepted for a "private review" can verify if that is even possible by contacting the SEC Office of Investor Education and Advocacy:
It is not necessary to state the name of the company, just ask the question generically. The SEC should be willing to provide a definitive answer, which would hopefully put an end to the debate.
The SEC would never divulge this information. That would be like opening the door to the hen house. Many companies would ask for this alternative and it would inhibit the SEC's progress towards an automated system.
This is definitely a "one-off" situation that was more complex and required a review. IMO, the SEC would never share that as an option. They will always tell you that the only way to file a Form 10 is through EDGAR. That said, do they make exceptions to the rule? Why of course they do! And that is what we have here, an EXCEPTION, but only for a company that has been working closely with the SEC for many months.

Jeff Reid has not stated that a filing has been submitted to the SEC and has not stated that the company is waiting for acceptance or rejection. He made an intentionally ambiguous statement hoping that people would reach the conclusion in your post.

The SEC posts their process (the standard) that anyone can cut and paste and then they make a management decision to do something different.
It is called an exception. Anyone who works, or has worked in management knows this. It happens every day. Exceptions to policy do exist.
