Anyone who believes that a Form 10 can bypass electronic filing through EDGAR, be manually submitted directly to the SEC and accepted for a "private review" can verify if that is even possible by contacting the SEC Office of Investor Education and Advocacy:

It is not necessary to state the name of the company, just ask the question generically. The SEC should be willing to provide a definitive answer, which would hopefully put an end to the debate.


The SEC would never divulge this information. That would be like opening the door to the hen house. Many companies would ask for this alternative and it would inhibit the SEC's progress towards an automated system.

This is definitely a "one-off" situation that was more complex and required a review. IMO, the SEC would never share that as an option. They will always tell you that the only way to file a Form 10 is through EDGAR. That said, do they make exceptions to the rule? Why of course they do! And that is what we have here, an EXCEPTION, but only for a company that has been working closely with the SEC for many months.
