A couple of you have asked me to explain how a Form D offering works for the benefit of the rest of the board. As much as I would like to, there are so many "external" variables involved in individual Form D offerings that any explanation given could easily be taken out of context (including in a situation of an exempt offering). PhillyMike was kind enough to post a link to the SEC.gov web site yesterday and the official document should be able to give you some direction about how Form D offerings work. As John and I have both said on several occasions and many of the shareholders suspect that post on this board, we SUSPECT possible shorting. Until we analyze the reports that we are beginning to receive, we can't and won't make the kind of statement that you are asking for. It's unethical and could possibly violate SEC regs. I'm sure you already know that since you are an active, experienced trader.
You're right on the money, Don Quixote. We are beginning to receive reports on the shorting and possible manipulation. In order to stabilize things, we needed to put a TEMPORARY hold on releasing info until we can analyze the situation and execute a strategy that eliminates the intentional shorting. At this point, we haven't determined how long this hold will continue.
This action is necessary for all of us and it not protects the long term growth of the company but obviously protects your interests as stock holders.
I see all of your posts every single day and I know all of you are as frustrated about the continual shorting as we are. So please have patience with us as we go through this process. This is in the best interests of everyone ... except those who are continually attempting to toy with the price of the stock.

Absolutely, Mike. There is always a balance of social and financial responsibility for a Company to maintain its business ethics as well as the relationship with its investors. I hope that everyone on this discussion board realizes this with the open communications that we continue to develop with all of you.
Other than the authorization for the issuing of the new shares which were described in our previous press releases ... this is a fair assessment on your part. I will also add that the Company is managing those shares at a fair consideration so as to avoid the amount of dilution that you and all of the other shareholders do not want to see. As we also mentioned in the press releases, the Company needs to access funding occasionally simply in order to grow the business and this is a concept that everyone who has ever been in business should be able to comprehend. But in our case, this is more of an exception rather than the norm.

Like you, we are very disappointed in the price of the stock. We have not tried to develop any support from any outside group in months, and were quite pleased when we started to see some organic support that recently brought the stock up to around .0007. We were hoping that the tight grip in which the stock traded had been broken, but the downward pressure continues.
In our view, and in the opinion of others, the stock price is held in a close range by a couple of market makers that are willing to make small profits on a continual basis. We have tried reviewing the DTC sheets before, and it was amazing that we could not see any large position changes. We will again order DTC sheets and NOBO lists to try and get some resolution. We have several traders and attorneys that have offered their assistance in this matter. Obviously, these prices make acquisitions and funding any larger project difficult, because when the price is consistently going in the wrong direction, any financing that we do gets continually more expensive to accomplish.
We will continue to keep you informed and to implement the business plan as described.

Don't have much time today but I thought I'd weigh in on the issue of when news is released for the Company. Contrary to some people on here who speculate that we release news on specific days, that simply isn't true. We put out news just as soon as it's available for release, generally withing 24 hours of finalization. Ideally, we would prefer to issue the release prior to the market opening. Immediately after the release is issued, we post it to our web site per SEC regs. There are special occasions (as was the case recently) where we release information mid-day but this is the exception rather than the norm.

And you did not get my point! This was/is a PERSONAL and PRIVATE matter that has NOTHING to do with the company's business or communications being conducted on this site or any other board. Your kind of post should never be released without due diligence and first hand insight into the case or the circumstances involved with the case (neither of which you have access to or privileged to). You are invading an individual's privacy when you do this sort of thing. In the future, please remember that what you see in public records is only "black and white" and it NEVER tells the entire story!
Okay Danny, enough is enough! This has been posted on the board once before (and I KNOW that you were on the board at that time!) and I explained then that this instance had nothing to do with any business dealings that I have been involved in. It stemmed from a very nasty divorce several years ago and is being resolved in the courts.
At that time, I requested that no one with class or dignity should stick their nose in someone's personal business. I am certain that there quite a few people on this board that can relate to how messy a divorce can get and how the "residual" effects can drag out for several years.
So, before you start digging up stuff that has NOTHING to do with business, make sure that you have ALL the info. Otherwise, you defame someone who doesn't deserve it in a professional environment. Seriously, how would you feel if someone dragged something very personal about you into a public forum?

To your point, I have signed shareholder consent forms that show at least 4 holders of more than 5 million shares. Some much higher amounts.
Be very careful about accusing others of BS on this board, because we will continue to be as transparent and forthright as possible within the confines of SEC disclosure guidelines, and we are represented by competent counsel.

Response to an inquiry regarding shares. The public float was not because of anything done at our end. There was an increase of about 12 million shares that was the result of several investors that had held either restricted shares or debt that they converted. Some blocks had been held for years. We are sure that this was not part of any of our efforts. In fact, during our recent request for shareholder approval, we were amazed at the number of shareholders who held share amounts of more than 5 to 10 million shares and who were still buying for their own accounts. They are obviously long on the company.

Hello phillymike. In answer to your private message, ours is active with the State of Florida as a Foreign Corporation. There is an old inactive company that used the same name in Florida that we were allowed to reuse, it was closed in 1995. Hope that takes care of the confusion.
We take pride in establishing relationships and trying to update and inform our shareholders as much as we can without compromising business ethics and SEC regs. When it comes right down to it, our Company is all about relationships ... especially with the people whose lives we help change on a daily basis.

Yes, I noticed that the whackers are back trying to do their thing. As most of you know, those who hang in there for the long haul are always better off in so many different ways. Any business is about the vision, the mission and the journey can sometimes be a real adventure. If you believe in what you're doing, the results are usually very gratifying.

Whoa, you all know I can't tell you to "load the boat." I am simply relating the fact that newsworthy PR takes time and develops at the pace of business. Sometimes it happens very quickly, other times it takes much longer than anticipated. Anyone who watches for PRs should always take that into consideration.
