What happens if the SEC suspends the stock? - The stock can be suspended for six to twelve months. You still own the shares they can just not be traded. When they return to the market, you could expect the shares to drop in price as people rush to get rid of shares or.... If ESMT continues down the current path and they are able to seal more contracts and etc ect, then, the price would go up when the stock was rereleased as there would be very few shares available for a company that would be profitable.
I am a firm believer that the SEC issue will be resolved in the favor of ESMT. ESMT is requesting to meet with them, to introduce themselves properly and share the information on there products so when they begin to move large amounts of cards, the SEC does not step in and say, "Who the hell are these guys."
Website updates - If you follow this stock closely and the website, you will find that Mary usually places her previous month update around the 10th to 15th of the month for the previous month. So should see September update soon. Do not expect earth shattering news as they are still working to seal a multi-million dollar finacing package.
Quarterly Reports - Now this is just me and the research I have performed. Why ESMT? They are a pink sheet. How many pinks out there never file reports, press releases, accounting, I can name over 15 that I trade right now that all I get are fluff PR's, no SEC filings. That is the beauty of a Pink to companies. They can lie and lie and lie, reverse, go forward, change structure, spill out bulls#!t until there lips are brown and never get in trouble CTKH, IDGN, so why pick on ESMT. ESMT is a pink. Pinks are not required to file, why is ESMT required to file.
Okay, so now they do. And we recieve monthly updates via the web, they share information about contracts, they are now currently reporting quarterly to the SEC, hmmmm... sounds like AMEX treatment.
I am not upset, let's just look at the facts. ESMT was targeted, read the news story, and it is my opinion they are being punished for offering China a superior product, I could be wrong, but sure feels like it.
Drizen - Yes the legal problems with Drizen concern me greatly, but, it does not seem to be affecting his ability to seal contracts, and he is a hell of a negotiator.
Follow up - This is ESMT biggest hurdle to cross, and the majority stock holders that I have gotten to know, have the same issue. This will have to be cleaned up in the near future to move up to the big boy markets.

They have a very strong board of directors, please look at past press releases for that information. Look at the pasts of each of those board members, they are not just people off the street, they have a wide variety of backgrounds and knowledge in business and capital raising.

No need to worry, those two messages were posted by someone who got booted, so, it automatically removes those messages, they had nothing to do with E-Smart.
I again was unable to make my scheduled conference call time due to work, this time of the year is a busy one for us, so I apologize. I have the opportunity to talk again today and will do so as we have no prescheduled appointments today.
Inquiring, I think it would be a grave mistake for ESMT to announce anything about the SEC until it is absolutely closed. They must make sure at this point to not rock any boats.

Due to a conference call I was involved in yesterday afternoon, I was unable to take the call regarding ESMT. We are reconnecting today at 4:00 pm. What I did learn, very briefly, is that the SEC is not closed, but, no move has been made by the SEC lawyers to proceed. ESMT lawyer feeling that as long as they comply, this will be dropped as no further action has been taken.
I will check again about OTIV... I am being told that there is no relationship, but, Todds research is just too damn convincing, so, I will push this issue tonight and let you know. There my be reasons I am not being told, I will find out what I can.
China deal. Although no one will confirm any type of signed agreements, I know they are working closely with the Information Minister in China and currently office in the same building. China, in my opinion, is still a very strong client opportunity for ESMT. The rest of the overlap information, I will need to request that information Worthy, see what i can drum up.

In stocks there is no sure thing, and you really never know who is who on these bulletin boards. I have invested a lot into this company, but it is only because I have researched it thouroughly and am looking over past discretions they have made. I am as close to this company as I can get without being an insider and feel strongly that this is a good company that is on the verge of being a great company. Making moves just like TASR did.
Could I be getting false information, yes. But, that is why I am real cautious and have avoided posting rumors, just my conclusions from what i have read and seen. My personal opinion, grab a taste at .90. Not a lot, just a taste, if it shoots up, you win.
Financial institutions, yes they are pursuing them, in Asia.

Here are the answers I received:
1. IVI Smart owns the smart card technology. (Correct)
2. E-Smart has a 20 year license to market the technology in Asia and the U.S. (Correct, but, E-Smart stock holders only benefit from Asia based contracts and contracts that E-Smart specifically states as such, so, a US based contract is not worth much to E-Smart stock holders, other than strengthing IVI. Unless, E-Smart announces it, then it becomes profitable for us.)
3. E-Smart formed a wholly owned subsidiary called E-Smart Systems, Inc. to implement the China deal with another company, On Track Inovations (OTIV), and the Chinese Government. According to its website, OTIV recently sold its interest in the China deal to E-Smart Systems, Inc. OTIV, however, still expects to derive revenue from the deal because it has developed the same or a similar technology, which it now plans to market directly to users in China. (There is some fuzziness here. Could OTIV be the source of the technology owned by IVI Smart?) (E-Smart has and never has had a relationship with OTIV, this is a different E-Smart.)
4. E-Smart contracted with an affiliate, Homeland Defense, Inc., to market the technology to governmental entities in the U.S. (Correct)
5. IVI Smart has formed at least one other company, BioSensor, to market the technology in particular areas, but the overlap between E-Smart and this company is unclear. (Correct, although, nothing has yet been done with this company. They liked the name so grabbed it, could be used for something later.)

I see your frustration and skepticism. Believe me, I have had them as well. I have to ask one question, and maybe I do not understand the pinks well enough, but, most companies on the pinks do not report quarterly, nor are they expected to show financials, have audited numbers, etc. An article I posted here talks about the hell that E-Smart went through with jail time and false statements.
They will have no choice but to stay in compliance now with the current negotiations for financial assistance they are seeking. There are also rumors of NASDQ, they will have to comply.
Second, I, like you, do have doubts on the current managment team. I do believe that once the company begins to show revenue that a new managment team will begin to be put in place.
The next three months will tell a story, Korea will not wait forever, so, if they can not show their merit by end of December, my take will not be as heady as it is now.
Three biggest hurdles this company has and from what I have heard the main reasons we have not seen a run yet:
1. SEC: This has got to be resolved soon, and all the news I have heard says that we should hear by end of this month, first of next month what the decision will be. Everything appears to point in our favour, but you can never tell with the SEC. Worst case, we are off the market for six months and come out swinging when reinstated.
2. Financing: Another big step. In order to manufacturer the cards for Korea, they need money. Now, I know they are receiving private financing right now to keep everything alive, but, what they need is a good infusion of around 25 to 30 million dollars to get the assembly lines rolling. That would get them through the first stages of manufacturing. From there they can borrow a larger sum from a financial institution that is backed by the contracts. ESMT and their board of directors are currently working on both of these issues.
3. Who are they: I do not know if many people even understand the significance of what is taking place within this company. When they announce:
SEC is resolved
Financing is tied up
Revenue projections
This stock is going to rocket because there is not enough of the stock on the open market.
Final 3,000 of 8,000 shares went through today. Grand total of 34,000 shares now owned. ESMT, time to do ya'll thing!

Okay, these companies are not owned subsideries of ESMT. IVI Smart owns the two. One, IVI is the manufacturing and research end, two, ESMT is the licensing end and three the admin is some deal they had to do with Drizen's father for a reason that they were unwilling to discuss.
I asked about what would stop them from closing down ESMT and bringing it all back into IVI and I was told that all employees and officers hold ESMT stock, not IVI, so, it would burn there relationships with employees and more importantly, the creator of the smart card. IVI will stay private and this allows employees and owners stock to profit from on the open market.
I was told that it does offer protection as most of the deals currently are foreign. It is to protect the assets of IVI so that if ESMT was in trouble, they could not take the technology.
That, I hope, answers some questions.
Just sitting back and watching the market, not buying at this time, researching.

OTIV: Hmmmm, that is a new one, I will have to check into that. Interesting.
Port of Beaumont: disagreement in terms of payment and initial time for testing. What I have heard is that their was a government snafu, but that is what E-Smart says, so, have to take that with a small grain of salt, the ol' he said she said.
Look at my last post at bottom for predictions, that gives some idea of the big news I am expecting.
China Deal: This is an opinion only as E-Smart is very tight lipped about this. E-smart has an operating office in China, they are working directly with the Office of Information in China, I think that there is a very strong possibility that a new China deal will develop. They are just too strong in the Asian countries for this deal to not redevelop. I was told that their relationship with China is still very strong, but that is all that they would say.
Other contracts: I do know that their are other contracts in the works, at least four, and I have heard speculations as to who they are, but I do not like reporting rumors, only facts. I am in the process of trying to get more information and will share as soon as I hear anything.
Lack of explaination: Good point. One, I think there are more people trying to buy than we know, it just is very hard to get shares, I have waited sometimes for three weeks to acquire additional shares. Also, 173 million shares is not that much when you look at the contracts and the potential money from them.
The SEC problem is a dark cloud that shadows the possibilites of the stock, but, worse case scenerio, the stock is unlisted for six months and then brought back to the market.
I think many people that do not know the company look at the 10Q's and two year ago problems and are basing their ideas on where this company is going off of that, causing lack of interest.
Lack of money is a huge problem. Either they secure the funding for manufacturing or there is no company, period. Can they do it, I believe that they most certainly can, just off of contracts that are signed and the three very strong partnerships that they have formed with Samsung, Daewoo and Kobile.
I was as suprised as many were that the stock did not propel above two dollars a share when the Korea student deal was announced. Main reason, how the hell are they going to pull that off? How to fund it? Who is paying? No details were giving in the press release.
Okay, here are my predictions for the next four months ending December 31, 2004. These are only opinions and I am trying to get information that would verify my ideas:
E-Smart will announce substantial funding package backed by currently signed contracts.
E-Smart will announce the manufacturers for the smart card
E-Smart will announce three new contracts
E-Smart shares will be hanging between $10 - $15 a share, hopeful thinking, lol.
Good questions and I will try and answer them as best as I can.
Staff: E-Smart is only the licensing end of the company, basically the sales staff, so, they do not need a large staff. IVI Smart has a larger research and development staff that is headed by Tamio Saito. They will work with Kobile and Samsung to implement the smart card technology in Korea. I do not know how many employees IVI has but I will find out and post here. E-Smarts biggest hurdle towards ramping up contracts is its current financial state. They have not wanted to bring in investment companies, at least that is what I think, so they have been utilizing friends, families and investors that have gotten wind of the company. I know for a fact that right now they are currently seeking a large outside source for a loan against the contracts they have signed, they are receiving assistance in this endeavor from the board. I believe they will be successful.
The SEC issue is a giant weight on the shoulders of this company. I have been told that the end to this should occur at the end of this month middle of next, in favor of E-Smart. This has most definately weighted down the price of this stock. Trades on this company are low due to the low float available to the public, currently under 40 million. Most of the stock holders are friends, family and private investors that are close to E-smart. They know what is going on behind the scenes, so, they are holding on to their shares. The shares that are currently trading, this is my opinion only, are people who bought shares in the .15 to .30 range and are selling them off a little here and there. Also, some people who bought this stock long ago are no longer in the loop of what is taking place, so they are doling out shares. It is difficult to buy shares, as I have waited for two weeks sometimes for a transaction to close.
