Rich McBride, SeaView Founder, Falls to Heart Attack
ST. PETERSBURG, Fla.--(BUSINESS WIRE)--Oct. 8, 2001--SeaView Video Technology, Inc. (OTCBB:SEVU - news) is today mourning the death of Rich McBride, the man who launched the company from the back of a fishing boat in 1997. According to George S. Bernardich III, SeaView CEO, McBride walked into a St. Petersburg area emergency unit early Sunday morning, following a night of discomfort. He then succumbed to cardiac arrest, and fought through several subsequent attacks. He died at approximately 11 am on October 7.
A former advertising executive and marketer, McBride was an early pioneer in direct-response television advertising. He worked as a special consultant to the William B. Tanner Co., the former Memphis, TN-based media and advertising giant, prior to opening his own firm in Ohio.
After growing and selling the advertising company, McBride ``retired'' to Florida to pursue his passion for fishing. It was there, on the fishing deck of his 60-foot sport boat ``Rendezvous,'' that he designed and built the underwater video camera that would become SeaView.
The camera's word-of-mouth popularity convinced McBride he had a hit on his hands. From a small retail store, the company quickly grew to occupy a major portion of the office space at a Tierra Verde, FL, resort. An investor group proposed a reverse merger in 1999, and the Company, with McBride as CEO, began trading as SEVU on the OTC Bulletin Board.
Following the introduction last year of the SecureView ``camera in a light bulb,'' McBride named Bernardich as Chief Operating Officer. Bernardich succeeded McBride as President-CEO in February of this year. McBride was engaged as an R & D consultant and had awarded SeaView a 14-year license on his camera patents. ``The entire SeaView family was shocked and stricken by the loss of a dear friend and business associate,'' Bernardich said. ``Now, this company is his legacy; and we intend to continue making him proud of its accomplishments.'' Bernardich indicated that the Company website would relay further details regarding funeral arrangements.

As a businessman, you know that production does not always happen the way it is planned out. Can you please tell me how long you been developing your boat? Have you made any changes from the first design? What was your biggest challenge in finding a boat builder that was willing to partner with you?
May I ask what you did before age 31 that allowed you to retire for a time and sail the world? How long did you sail around for?
I understand that some are pissed regarding the latest PP. Some have even suggested that laws have been broken. Can anyone direct me to the securities law that explains which law has supposedly been broken by the BOD?

I have no problem with you showing the negative of Seaview. As an investor I need to be aware of all issues surrounding my investment so that I can buy more, sell or hold my position. For the last six weeks you have done nothing but hammer home your displeasure of Seaview and McBride. I think by now the people that follow this board know how you feel about both.
Anyone looking at this board for the first time would find it hard to believe that you are long in this stock. Even when positive news comes out you blow it off as old news. “The last PR is just a pitiful rehash of mostly known events that adds nothing to SEVU's Credibility but clearly demonstrates that Management will stop at nothing to try and prop the stock...” http://www.investorshub.com/boards/read_msg.asp?message_id=184806 When posters talks about the future you talk about the past. By the way, I’m not a crony or cheerleader, I’m just an investor who has a different opinion then yours. I see the light at the end of the tunnel while at the moment the only thing you see is the dark.
If you have a case, and it’s valid, you’ll have your day in court and I hope you get what you want. Likewise if it ends up that your lawsuit is without merit, I hope both Seaview and McBride turn the tables on you to recoup the cost associated with defending the company and himself.

I have also requested these forms for the board memebers and McBride. I hope this will put an end to all of this. It will cost me $0.24 pre page but it will be worth it to me to have some closure on this subject.
I ask for them on Aug. 22nd so I hope to have an answer soon.
Back in August I sent this to the SEC regarding forms 3, 4 and 5. They said it would take 10-15 days for an answer and it looks like they came through, although it took a little longer.
I have additional information coming and will post it once I receive it.

I don’t believe that you have clearly established that Seaview, or anyone connected to Seaview, has definitively violated section 17b of the Securities Act of 1933. I read section 17b as though the person must receive a consideration (payment) for promoting the stock before they have broken section 17b. Can you provide this board with proof that anyone at Seaview, or connected with Seaview, has been paid directly or indirectly, for posting on this or any other message board for the purpose of enticing people to buy stock in this company? Please don’t tell me they are on the Seaview payroll therefore they are being compensated.

But until you supply proof, from the SEC, that the forms have not been submitted, then your information can not be looked at as fact and should always care the disclaimer that it is only you opinion.
FG, I’m guessing from your post that you have not done all the DD on the filings, as you should. You have made a number of statements (although only your opinion) that Seaview and others have not filed the correct forms. You have made the assumption that paper filings finally make there way into the electronic format which looks to be untrue.
My question is….Have you or have you not made a written request for all form 3, 4, and 5 filed with the SEC over the course of the past 5 months for Rich and George? Have you requested any of the other forms that you insist have not been flied? You and others have presented your position as fact in some cases, what do you have to say about this. Please don’t tell me that they should make it easy for you. The SEC allows for paper filings
By the way, the person I talked in the SEC Public Reference Room informed me that the requested forms would not be stored in Washington DC. Even if you went there for the information it would still take 10-15 days.
I just talked to the SEC Public Reference Room in Washington DC, 202-942-8090. They told me that forms that are submitted on paper are not loaded into EDGAR. If you want copies of submitted forms then you must submit the request in writing (mail, fax, snail mail) with company name, address and other usefully information such as the CIK Code (Seaviews CIK Code is 0000894536). Inform them of the information that is being sought. Within 10 to 15 days they will reply to you request. They will inform you of the cost associated with your request, $0.24 to copy each page. You may pay with a VISA card.

In addition to a new-product review, the executives solidified plans to source the popular SeaLite and TrakView marine products offshore at a cost savings of 50 to 70 percent. Said Bernardich: ``This will allow us either to increase margins, or lower the wholesale pricing while holding margin and increasing market share.'' He indicated the initial deliveries would be timed for this year's holiday-season retailing.

Would the real armchair CEO please stand up?
In a little over a year these are the deals and/or sales that SeaView has released. Not only is Seaview trying to bring a new product/technology to market, they are also burdened by the fact they must build a distribution channel for their product. Up to this point they have been selling direct to the public and government, through a network of approximately 700 independent dealers and through an expanding retailers network. They have done all this with an extremely small staff and I’m sure they have all been work their butts off. You don’t just open up shop one day and get this types of client list by sitting back and waiting for people to come to you.
By the way…no I’m not happy about the PP and I would think they could have gone about it in a different way. The bottom line is that they (the board) could have given Rich, George, JR, suppliers, vendors and the rest (whoever they may be) a lot more free shares without requiring them to invest one single dime in Seaview and there wouldn’t be anything you guys could do to stop it.
How many of you would be pissed off if Rich had given up those 350,000 plus share and the stock was now trading at $2.00. If that were the case then everyone would be patting himself or herself on the back because we were invested in this company. When you use stock to run a company you never can be certain what the out come is going to be for the person or company that is taking the stock. George took 100,000 shares back in February worth about $80,000 at the time. Four months later it was worth about $25,000 noe its worth about $40,000. Should we go back and double that number because the stock has fallen?
One more thing, there is an asset worth about $800,000 sitting on Seaviews books. Thank you Rich for this gift. George can you unload the springs and use the money for production?

Mad, You ask what did you get for your money? Well I would guess that you got 9 million dollars of backlog that Seaview could not delivery on because of engineering and parts problems. Seaview got overly optimistic about their ability to produce large enough quantities of Secureview. Now some , he** maybe all of the backlog, have been lost because their inability to delivery in a timely manner. They now must re-capitalize the company to start up once again.
Frank, You can always go back over to RB.....Come to think of it didn't someone say you got the boot from RB?
The current management team has been moving this company steadily in the right direction. The deals are coming together and they no longer offer up huge forward looking statements. They took control just about six months ago and have had a tuff ride. Maybe the chooses they have made are not inline with what some of us would like but they are the ones running this company not you or me. The issuance of 17 million share in the PP looks to be a bit much but it’s difficult to say that without knowing what the current funding requirements are. For all we know they needed this much capital to get big production runs moving for the marine products or Secureview. If Seaview’s suppliers are requiring net 30 and the retail people are giving Seaview net 90, then they are going to need all of this money to fill up the retail pipeline when the orders start to flow in.
Just for the record it is refreshing to see management put their ba**s on the line for the company. Many CEOs roll in getting the board to agree to a huge salary with hefty stock options. We got a CEO who has put his money into the company right from the get go. Instead of demanding money, he has been giving us money to keep this company moving forward. I know some off you will tell me that they are robbing me blind with this PP. Maybe they are…maybe not. I don’t have all the facts at this point to know why they have done what they did. If nothing else I’ll turn off the light when its all over with.
All my opinion
Frank, I suggest that you get up in the morning, file your 144 and sell you shares. Then go straight to your mother (code word for lawyer) and tell him/her that another big bad company took all your money and that you want to take them to court. Please make sure that you tell the judge that George runs the company and not Rich. I wouldn’t want you to be giving out false information like the class action suit is doing.

FG, where would you have raised the money if this was your company? Take into consideration that you have a pending lawsuit against the company that could force it into bankruptcy and very little sales history to show a track record. I’m not saying what Rich did was right but the PP came from George not Rich.

What was you strike price on your restricted shares? I know someone who paid $2.00 when the price was over $6.00 back in late Feb 2000/early March 2000. I didn’t think it was fair at the time but on the other hand he was locked in for the year. He took the chance for a big pay day. Currently it doesn’t look like he will see it any time soon but he is still holding. If the average over the time frame that you mentioned is indeed 30 cents then 10 cents may be in line with what people received early last year.
