Now the interesting part is why Holmes has been buying on the open market.
They did raise the threshold. I've posted that previously as well.
In other words they raised the threshold for ownership before they are forced to issue more shares, giving Holmes or whoever else more room to buy more shares before poison pill kicks in. Thanks for clearing that up.

I wonder why Midsummer would be so interested in acquiring so many shares if they would be in fact so worthless? It seems they're putting an awful lot of hard work -- day in and day out on these boards -- to attempt to scare people off the stock. A lot of trouble.
But still, regarding the 30% figure, well, management did in fact lower the threshold....
Many are waiting for the filing date. I heard he hinted at something but curious if anyone here heard anything substantial.

It doesn't appear Pharmachem is waiting. Holmes made the big buy and it appears NXXI is facilitating more acquisition.

...is interesting to me because of the synergies one can easily see between Pharmachem Labs and Nutrition 21. Add this to Pharmachem's history of buying out companies and his share buy probably has less to do with a bet on NXXI (though he may have a sense of the emerging nutra market and NXXI's undervaluation) and much more to indicate a potential merger.

I understand your point, but I'm not so sure your version of events will come to pass. Revenues are up, costs are down, and in FY2010 financing costs (dividend payments) were reduced by 500K. I don't think that was foreseen by anyone here, nor was Midsummer or David Holmes investments.
It's possible they will pay the next dividends in cash. Since the year's was minimal (41K vs. 270K) and with a strengthened cash position and operating revenue, it's conceivable. They've stopped the worst of the bleeding, enough to make them attractive to institutional investors.

Nutrition 21 is obviously on Pharmachem's radar since CEO just bought 15 million shares. Any idea on a timeframe or price if it happens? I mean, the Chromax brand is everywhere, and with the recent zinc studies, Zinmax is going to grow,too. AND now with the clinical studies at Harvard and others, it seems they're not angling to be acquired--like they're gunning for the old AMBI days. On the other hand they raised the threshold to make it easier to be acquired. DOES ANYBODY KNOW what's going on and why competitors are buying the float while incentive bonuses are granted to management?

--Feel free to provide context and a link. If they said that--I doubt it highly, quite a stretch--2009 was pretty brutal to the EBITDA of most companies on any exchange.

Regarding Lovaza
You misunderstand the connection with Lovaza here. Management has stated --it is also on the website -- that they intend to capture the niche market that exists between supplements and pharmaceuticals. Lovaza is a new example of just such a product, and it's marketed by Glaxo. Nutrition 21 has long been positioning itself for this approach, AS EVIDENCED BY THE STUDY at UNIVERSITY OF CINCINATTI, the results of which are published in NUTRITIONAL NEUROSCIENCE.
Regarding the study:
It is proven that NXXI's chromium formulation addresses one of the main causes of Alzheimer's.
Regarding uplisting:
Management clearly believes it is in a better position structurally and perhaps financially to file with the SEC, one of the MAIN REQUIREMENTS OF BEING LISTED ON OTCBB instead of the pinks. This is common knowledge.
The company is turning around, obviously in "do-over" mode, and the fact that stock trades at 2 cents is proof of that. The last two years have been a transitionary period, and there have been management changes and a new business model, neither of which can happen overnight.
Fortunately for longs, the changes couldn't have been reflected in last year's financials, which makes it CHEAP now, and this one is worth keeping on the watchlist:
1) the recent global distribution deal with Ingredia and approval in the EU and Canada
2) the positive results of the recent University of Cincinatti study that shows chromium may have indications for Alzheimer's patients, published in Nutritional Neuroscience
3) the recent confidence of management shown in the willingness to file company events and financials with the SEC (which got them uplisted)
4) the recent successful marketing of GSK's LOVAZA, which is essentially a nutritional fish oil supplement approved for specific indications, which is precisely how management has stated it wants to market and seek FDA approval for its chromium formulations (as AEN is doing with zinc).

Supplements of chromium picolinate may boost memory function in the elderly, says a new placebo-controlled, double-blind study.
Writing on the findings published in Nutritional Neuroscience, scientists from the University of Cincinnati College of Medicine report that daily supplements of the compound improved learning, recall and recognition memory tasks.
Researchers stated: "Insulin resistance is implicated in the pathophysiological changes associated with Alzheimer's disease and pharmaceutical treatments that overcome insulin resistance improve memory function in subjects with mild cognitive impairment (MCI) and early Alzheimer's disease.
Chromium supplementation improves glucose disposal in patients with insulin resistance and diabetes." Chromium is an essential trace mineral that occurs naturally in small amounts in some foods, including brewer's yeast, lean meat, cheese, pork kidney and whole grain breads and cereals. It is poorly absorbed by the human body but is known to play an important role in the metabolism of carbohydrates, fats and proteins.
Twenty-six older adults were recruited to participate in the study and they were randomly assigned to 1,000 micrograms of chromium picolinate per day (Chromax®, Nutrition 21) or placebo capsules for 12 weeks. The new study was supported by Nutrition 21.
Researchers concluded: "Memory and depression were assessed prior to treatment initiation and during the final week of treatment. We also performed functional magnetic resonance imaging (fMRI) scans on a subset of subjects. Although learning rate and retention were not enhanced by chromium picolinate (CrPic) supplementation, we observed reduced semantic interference on learning, recall and recognition memory tasks. In addition fMRI indicated comparatively increased activation for the CrPic subjects in right thalamic, right temporal, right posterior parietal and biofrontal regions. These findings suggest that supplementation with CrPic can enhance cognitive inhibitory control and cerebral function in older adults at risk for neurodegeneration."

Actually, they didn't study cancer cells and chemo. They deduced it would have the same effect. Meanwhile PFE and countless other companies have found similar finidings: that glucose metabolism is a key to treating Alzheimer's. Lo and behold, Chromax has a unique and positive effect on glucose metabolism.

It appears that the study made findings that are clearly applicable to Alzheimer's findings, which have been duplicated by other trials and studies. Glucose metabolism is linked definitively to Alzheimer's.
To put a point to this, chemotherapy was not originally a cancer therapy, but a therapy for WWI soldiers who suffered from mustard gas exposure. From its effects on patients, a few rather bright people figured out that one could kill cancer cells with chemo, too.
If there were messageboards back then, no doubt some wise guy would stand up and say, WELL THAT WASN'T A CANCER STUDY! And he, like you, would have been wrong. Some of the greatest breakthroughs in medical science have come about just like this.
So, it may not have been intended to study Alzheimer's, but the study very thoroughly shows that chromium pico can be quite effective against one of the main causes of Alzheimer's.
