I got stuck making sure 3,500 privates got homefor xmas at the airport.....jack and coke ;). Here is an excert that might explain the restricted shares.
Restricted Shares – Restricted shares refer to company stock used for employee incentive and compensation plans. Restricted stockowners need permission of the SEC to sell.
There is a waiting period after a company first goes public where insiders’ restricted stock is frozen. When insiders want to sell their stock, they must file a form with the SEC declaring their intention. Even insiders of established companies must file with the SEC before selling their restricted stock.
Maybe they belong to the new company, they are 3% of the O/S, nice round number.
Wow, I go away for three days for training, and this stock continues to surprise me. Goes down on PR's, has dilution show up as buys and maintains price, I almost want them to announce a R/S so the price will jump up and I can sell, then have them announce dividends so the price will drop and I can buy back in. *sigh*

Too anyone who really considers themselves a long, here is some information to comfort you. I do most of my own DD, I use this board as tipper information on where to look, as well as a place to expert opinions when I cannot figure something out myself(thanks to redsox, abby, and Dr. Graham as these are the people who helped me the most in the past/and lowtrade indirectly from reading his board). Follow the big money, thats what everyone tells you. Big money in this company has come primarily from three sources, YA, Sis and bro, and Anaflor Graham. We all know what YA's goal is, nothing to speculate on that. I have a hard time believing that the sister and brother would take out 2.7 million in shares for a 15% profit, so lets assume (hopefully not making an ass out of youe and me) that their investment was just that an investment. Lastly and most importantly in my opinion you have Anaflor Graham. Who is she? She's a venture capitalist who is part of a LLC called UBS MANAGED FUTURES LLC. Imagine this company as a holding company for individual VC's. Each person buys receives their stake in the company in a form 3, then shortly down the road they convert through a form 4 into an LLC for roughly 1 million dollars at least. They then invest in various companies using this LLC for tax shelter purposes. The bottom line is it is only a select few individuals, and this company has only been around for a little over a year, in that year they are now worth over 19 million in assets, and that is after a 1.2 million loss last quarter. Here is an excert from their annual 10K:
The core objectives of the Program are to:
(i) produce strong medium-term capital appreciation ("medium-term" generally
referring to a three- to five-year time period);
This implies that their primary objective is interest in investing companies with a 3-5 year timeframe. Everyone here who is interested in flipping and getting rich overnight, this whole messagedoesn't really apply to you. But if you are truly holding your shares (like me after already recouping my investment, which you should of done, if not thats your own fault) you should be fine in the long run. These guys didn't make 19 million in a year off of shady CEO's and bad shell investments, they made off of investing in companies they thought have potential for a 3-5 year run. I only wish I could see their portfolio.
Thanks for the compliment man, another question for you. If she has this LLC set up for tax benefits in which appears to be like you said a VC hosting company(for lack of better words) why would she invest her own personal money instead of filing through kalkaspa. Or could she have filed the loan through kalkaspa and they chose to put her name down in the SWVC filings instead her LLC. Things to ponder, I enjoy it more than trying to figure out some of the more focused topic discussions that take the mainstream of posts.
cool, thanks man, did I read that right that they have 19+ million in assets? It seems that every form 3 is followed up by a form 4 at some point with a LLC represnting the previous individual that filed the original form 3. Why would they do that?

Here is some interesting info, some of you more veteran people might be able to get more from it, and it separate from all of the GS talk. Just trying to widen the forum.
Anaflor Graham and Paul Graham are not related to the Paul Graham that is involved with all of the tech companies, in fact I can't find anything on the hubbie, but Anaflor Graham is a 10%+ holder in Kalkaska Partners Fund LLC and a 5-10% holder in UBS MANAGED FUTURES LLC both of which are investing companies who focus on companies with a positive 3-5 year run. I went through some of the latters 10Q's and honestly couldn't understand them. The former only has two filings, a form 3 and form 4, it appears that she may own quite a bit of former.
I just figure if we template what her normal type of investments are involved in, might let us know where this is going, follow the big money right LT?

You jest, but Paul Graham has traditionally only invested in tech companies. I have done a lot of DD trying to find where he has invested in anything but tech, and nothing. If anyone else wants to give it a shot, his investment company is "Y Combinator."
It's actually pretty smart, YA gets a huge tax break for the money lost in GSHF (they already forgave one 2 million dollar loan)and they don't contest dumping the debt into GSHF because they get to loan money to the new debt free companies. A win win for us and them.
I cant remember the article, but they were the new LLC formed for the deal with permo if I remember correctly.

If you do a lot of DD on Paul Graham, you will notice he has ONLY invested in web startups. I wonder if Grahams investment has anything to do with Hacketts coming online. He was the developer of Yahoo stores (the program that turned into Yahoo stores after the 50 million dollar buyout at least). Just throwing thoughts around.
This is a great article to read about Paul Graham. It lets you know how extraordinary it is for him to lend as much money as he did. You could interpret that as a lot of confidence in TS.

I'd have to read the fine print, but I think the cashless warrants for the purpose of that formula only happen in default. You can't really get more than 60 million for them no matter how you look at it, otherwise they wouldn't be warrants.

Opinion
The recent chart patterns reflected the 2 recent funding deals.
.024 was the friends $500k debenture, with a double bottom calling for .042.
.01 was the takedown for this 60 mill warrant funding round, with an ascending triangle calling for .021.
Now if you believe the insider (TOM S.) had a plan to get these investors, at least a double each. You should believe something coming soon, will take the PPs above .042.
At any rate That's what I guess the big guys are planning to do. And I guess they plan on doing it with the new takeover news, and some PR timed run manipulation, for a change.
