yup, only thing that could stop this deal is nmgl themselves completly agree
I cannot fix these insecurities you have.
"I guess that's as good as any excuse or reason anyone could come up with for NMGL failing to file "
Alan Ive been of the opinion this deal may require special circumstance and how could this be achieved; therefore, I believe you may have hit on a way for this to happen. Im not saying i know this is the way but definetly begs further examination.

great info FFGO related for sure, one thing though about velocity , how do you reconcile fed paying more than they charge for private banks funds held by them. I always felt this risk free profit killed velocity. I think its great FFGO can attract investors of your class.
These same advocates a few years ago argued golds not money and deflation. I think they may have actualy believed this because why else short a possible 10million oz gold claim. I mean I think they actually thought this stuff was true and that gold was a relic, at leaST IT EXPLAINS ALOT.
very well thought out
interesting no limit , sure possible but $5 is more likely here dont ya think? even $4.50uq beats the $1000pq, ok , point taken. Furthermore once commons are in the money the risk advantage of pref. evaporates, since we are in bk now and comeing out ,kinda of counterintuitive but if Im not mistaken the safety aspect is spent at this point ,commons in money now. Also voteing rights how about those for the new board, do pq have that power?ya know this is big topic im ending it here i just came up with more questions. good luck.

GENERAL JOHN D. McINTYRE
A Biographical Sketch of General John D. McIntyre from Representative Citizens of Seattle and King County, Washington, pub. 1903
There is no man in King County whose life, if it were written in full here, would make so thrilling a romance as that of Brigadier General J.D. McIntyre, of Seattle. He is fifty-one years old [in 1903], by profession a mining engineer, and until 1890 had lived almost continuously on the outskirts of civilization. His life has been part of the history of many of our western mining camps. He is a crack shot, and has had more sanguinary encounters with men and wild beasts than could be recounted in a volume. It may be said of him that he does not know the sense of fear. For the past eleven years [as of 1903] he has settled down to a quiet home life, has acquired a large fortune and lives in his own beautiful home overlooking Lake Union, in Seattle. A visit to his home on Lake Union is well worth anyone’s while. The originality of the architecture of the house and grounds is a reflex of the character of the man.
Gen. McIntyre was born at Point Fortune, Canada, on December 4, 1851, of Scotch parents. His great-great-grandmother was a daughter of a brother of the Duke of Argyle, and his great-great-grandfather was a rear admiral in the British navy. His great-grandfather was a lieutenant in the British army, and distinguished himself at the battle of Quebec, and was with Gen Wolff when he fell. The family, consisting of father, mother and three children, of which the General was the oldest, emigrated to the United States in 1858, and in 1859 the General’s father went to Pikes Peak, afterwards Denver, Colorado, but then a part of Kansas. He engaged in mining and took out a great deal of gold in Georgia Gulch. He built the first toll road in Colorado.
The family followed in 1860, taking four months to make the journey by team. It was on this trip that first began the series of exciting adventures that has followed this boy’s career ever since. There were Native Americans along the whole route. Their travels were often impeded by great herds of buffalo. Flocks of graceful antelope glided by them continually. This boy, naturally of a martial spirit, here got his first lessons in fighting and hunting. The train consisted of one hundred wagons, and young McIntyre was rated as good a shot as any man on the train. When the train reached Loup’s Fork, of the Platte River, it ran into five thousand Crow (Native Americans) on the war path, but were unharmed. In crossing Loup’s Fork a great cloudburst occurred, breaking the cable on which the ferry boat crossed the river. Some forty on board, including the boy McIntyre, were carried down the mighty flood at a violent speed, but, strange as it may seem, all were saved from this danger also.
Denver, at this time, contained only seventy-five houses and was surrounded by apparently a great desert. For about seven years young McIntyre never knew what it was to be free from the danger of an attack owing to hostilities with Native Americans. Gen. McIntyre said his growth was stunted by the strain on his nervous system.
In 1870 young McIntyre, then nineteen years old, was elected enrolling clerk of the eighth session of the Colorado legislature. During the session a concurrent resolution was passed almost unanimously through both Senate and House, asking the delegates in Congress to give young McIntyre the first vacancy at West Point. Following attendance there he went back to Denver and studied for several years with civil and mining engineers.
In 1877 he went to the Black Hills, locating at Deadwood. This was a year or more before law and order had been established in the Black Hills and young McIntyre soon became a leader in the vigilance (vigilante) committee which ruled during these wild times. Deadwood was crowded with desperate men and the vigilance committee dealt summary justice to all offenders. It was the rule of the committee to hang the offender and try him afterward, and McIntyre said no mistake was ever made in hanging the right man.
He bought the Minnesota mine, near the Great Homestead, at Lead City. While away on a surveying expedition three desperadoes, led by Jim Levy, jumped his mine. When he returned, being informed of the situation, he immediately started for the mine alone, with nothing but his trusty revolver. He walked into the tunnel where the three desperadoes were at work, picked up all their guns and ammunition, threw them over his shoulder and drawing his own revolver ordered them to come out. They were completely cowed by the boldness of this move, and as he had the “dead sure drop” on them, and knowing that he was a dead shot and a bad man to fool with, they came meekly out. He ordered them to “hit the trail” for Lead City, which they did. The whole town got wind of the trouble, turned out to see the sight and young McIntyre became the hero of the camp.
In many of the early mining camps he was known as Lucky Jack, because of his wonderful luck in mining ventures. He was for many years the leading mining engineer in the Black Hills. He was chief engineer of the Great Homestead mines, before he was twenty-seven years old. He examined mines in company with the greatest mining engineers of the nation at that time. There is no doubt that the knowledge acquired in such times was one of the sources of his success in mining ventures in Washington, Alaska and British Columbia. He was the owner or part owner of several gold mines that had been wrecked by bad management, and has with those associated with him made them pay well.
In 1882 he went from the Black Hills to Montana, and within eight years he had organized five different irrigation companies, raised the money and built over four hundred miles of irrigating canals. He built the great Gallatin Canal, the big Muddy Storage reservoirs, the Chestnut Valley canal and the Sun River canal, the Florence canal and others. He came to Washington at the request of the Northern Pacific railroad officials and organized the Sunnyside Canal Company at North Yakima, and sold out to the Northern Pacific.
In 1890, together with some Tacoma gentlemen, he formed the Montezuma Mining Company which owned the coking coal mines at Montezuma, now [in 1903] paying dividends. He, with Henry Hewitt, Henry H. Sweeney and Col. C.W. Thompson, of Tacoma, formed the Pacific Coast Steel Company, which was a consolidation of the Tacoma Steel Company and the Pacific Steel Company. He, with E.M. Shelton, of Seattle, and Charles Richardson, of Tacoma, formed the Bessie Gold Company, with gold mines near Juneau, Alaska, which company is now [in 1903] paying dividends. He formed the La Rica Consolidated and bought the Peshastin Gold Mine at Blewett, Washington, a rich property. He has raised more money from eastern investors than any man in the northwest. There are over six thousand stockholders in his enterprises [again, in 1903].
General McIntyre was appointed brigadier-general commanding the National Guards of Washington, in 1896. The state force consisted of the first and second Washington regiments, two troops of cavalry and one battery of artillery. He served all during the Spanish war. The splendid record made by the first regiment in the Philippines was largely due to his training.
General McIntyre married Lizzie Hull of Iowa, who was the great-granddaughter of Commodore Isaac Hull, commander of the frigate “Constitution” in her famous battle with the British ship “Guerriere” during the War of 1812.

The Bouse Project involves an important new type of Arizona gold deposit, called a
"detachment fault" deposit. Detachment fault deposits were first recognized as a
separate form of gold deposit in the 1980's. Enclosed within this pack is an article by
noted Arizona geologist Joe Wilkins Sr., which describes the leading theory about how they
formed. The best example of an Arizona detachment gold deposit is Copperstone, which is
about 20 miles from Bouse. It was the biggest gold discovery in Arizona in at least 50
years. Cyprus Gold profitably mined the 500,000 oz open pit resource during the 1980's.
American Bonanza is presently doing underground drilling. It looks like the underground
high grade resource is even larger. Enclosed are some materials on the Copperstone for
your general information on its history and American Bonanza's present activities there,
which are the major news in Arizona gold exploration at this time. Unlike Copperstone,
Bouse is an historic gold producer. 5,000 ounces were produced from high grade ore early
in the 20th century. It was also worked as an underground copper mine. Most of this
production was from the Little Butte Mine, which is the centrepiece of our land position.
Starting in the 1980's there has been a lot of exploration work at Bouse. Per Arizona
Department of Mines and Mineral Resources records, prior to 1983 a 16 hole drill program
blocked out 5,000,000 tons of material ranging from .05 to .30 ounces gold per ton. These
drill-holes were in the immediate vicinity of the Little Butte underground mine and the
Little Butte open pit. The drill hole locations are indicated as drill holes of an
"Unknown" exploration company on the enclosed Homestake Mining map.
Next, Fischer Watt exploration, a well regarded company based in Butte, Montana, leased
the Little Butte mine. They estimated the resource more conservatively, at 2,000,000 tons
of .07 ounce per ton rock. They drilled exactly one 290 foot hole near the Little Butte
underground mine and encountered 7 gold bearing intervals.
Tenneco then took over the project. They drilled 17 holes and found gold bearing intervals
in 10 of them. Not only did Tenneco find gold at the Little Butte underground mine and
open pit, but they also found gold at the Arrastre Mine, the Blue Slate Mine and the Flat
Fault Mine, all of which are included in our project.
During 1984 U.S. Borax drilled 18 holes in the pediment to the west of the historic mining
district along the inferred course of the Plomosa detachment fault. Three of these holes
met with success. We have a lot of material from this project, and it is included for your
review. These are the packets and maps from Corn & Ahearn and PCMI. While we have not
viewed this area as a high priority, some of it has been included in our present land
position.
Starting in 1987, Homestake Mining leased the central part of the district (called the
Brindle claims -- these are the core of our present land position) and acquired an option
to purchase the smaller patented group to the west called the Paradise Mine, which is not
included in our project. Homestake drilled over 50 holes over a 4 year period. They found
significant gold mineralization everywhere that Tenneco did at the Little Butte mine and
open pit, the Blue Slate Mine and the Flat Fault Mine. They also put down seven drill
holes in the vicinity of the detachment fault. Enclosed is a pack which we obtained from
Barrick which includes all of Homestake's drill logs and assay results. The map at the
rear section entitled "Alteration, Mineralization and Drill Holes" includes all
of the drill information for the previous work by Fischer Watt, US Borax and Tenneco.
What does the future hold for this gold deposit? While a gold deposit this big will take a
substantial amount of work to turn into a large proven reserve, this should be a simple
and straight forward effort if the drill programs focus on the core deposit, rather than
concentrating on peripheral areas. The core deposit may be visualized as an inverted
"V" with the Little Butte underground mine near the apex, the Little Butte open
pit, Flat Fault mine and Blue Slate mine along the left leg, and the Airfield deposit at
the bottom of the right leg. If, as we believe, the entire area of the inverted
"V" turns out to be a mineable open pit resource this would be a far larger gold
deposit than the 1,000,000 +/- oz Copperstone, and may be closer to the 10,000,000 oz size
of the Mesquite mine, which is another detachment fault deposit in California.
Another high priority area is the granite block located within the confines of the
inverted "V." There is high grade gold mineralization at the Arrastre Mine,
which is near the southern end of the granite block about 4,000 feet south of the Little
Butte underground mine. Homestake did not even bother to map this area in detail, which is
surprising given the extensive surface shows of copper oxide and the abundant quartz.
Also included are the two major geological reports on the district. (1) The Jemmett
report, from 1966, is included because it gives some good descriptions of the individual
mines. While Jemmett is not very enthusiastic about the mineral possibilities of the
district, his report predates the discovery of the detachment fault model of gold
mineralization, which turned Western Arizona into a "hot" area for mineral
exploration. (2) The second report by Duncan was funded by Homestake. An important
conclusion (p.37) is that the high gold and copper values are in a NE/SW band
corresponding to the left leg of the inverted "V" referred to above.
Included with the projects is the Burnt Well property, also located in La Paz County. We
have acquired about 640 acres along the Bullard detachment fault in the vicinity of the
Silver Lining Mine, and plan to add at least another 480 acres. While Cominco drilled the
Bullard deposit to the east along this fault, Burnt Well escaped the attention of the
majors during the 1980's gold exploration boom. A limited amount of material is included
from the Arizona Geological Survey and the Arizona Department of Mines and Mineral
Resources. Preliminary surface sampling shows similar grade (approximately .1 oz gold per
ton) as the open pit resource at Copperstone. There is no recorded production for this
district. However, from the size of the dumps, it is obvious that there must have been
substantial production in the past.

THERE'S GOLD OUT THERE
Bouse - West Africa Gold is continuing to re-evaluate their mining properties in western Arizona. They recently announced the revaluation of the Mockingbird project in Mohave County. On Tuesday, they released their findings at the Bouse property in La Paz County. Geologist Dr. Wayne Colliston identified a “detachment fault” at the Bouse property similar to the one found recently on the Mockingbird project. The “detachment fault” style of deposit is best seen at Copperstone, the biggest gold discovery in Arizona in the past 50 years. A value estimate for the gold deposit is in the range of up to $600 million, and that does not include any silver or copper also found on the Bouse property.

A value estimate for the gold deposit is in the range of up to $600 million, and that does not include any silver or copper also found on the Bouse property.

im flattered wow
remember this lol ...
A little recap for those who may have missed the madness.. lol
think of the preferds as an easment surounding the bouse and south copperstone and one cannot enter or exit without passing through this easment~texan77
I'd rather not, because that isn't what they are.~janice shell
explain how they could be circumvented?~texan77
Go back to my original post. It has nothing to do with "circumvention".~janice shell
i looked and heres your flaw the interest is in bouse and south copperstone gold not in nmgl commons see the commons are only of interest in the calculation of the prefereds good faith the prefereds do hold the bouse and south copperstone in a partition supported by nmgl as a ongoing concern, your not going to conceed this point i can tell but that the dealio~texan77
I suggest you do a little reading about non-convertible preferred.~janice shell
i dont want the commons ,see i was right ,your ignoreing the gold~ texan77
Some preferred do trade; FFGO has announced that NMGL in fact plans to apply to get theirs trading.~janice shell
Just to clarify but I think we ALL realize this the prefereds A & B get payed first on any profits originating from the Bouse or south Copperstone properties. Undisputable~ texan77
they wont because we get payed first lol nice try
That's in the event of bankruptcy.~janice shell
cute true statement but we all know that includes regular business too; I think Im finaly getting some insight into your minds eye janice so i say this is not a model but a real world deal and The Bouse and South Copperstone gold are real thats the truth the gold is there and is surrounded with many facts yes I havnt seen assays from the previouse FFGO claims now Nmgl claimsd held byu prefereds A and B but I have seen the Dr Coliston comment that if its a V detachment fault then it has a 10million ounce probaBILITY Sources swell then this caes is building yes Im speculating see all in and the gold is oozing out in the prefiery see it numbers from the surounding properties are spilling out yup ;did you know freeport still has reclimation liability of the wet lands at copperston yup they still have operations right next door to us hmmm i guess they wouldnt notice the most active NEW gold MINE in AZ and the holes within visible distance from the little butte MINE, Im saying its there what you saying it aint and the gold is not under the prefereds but It is right there . Keep your eye on the gold thats the money and I must say the only way to get that gold now is to buy FFGO yes nmgl will benifit but only after the prefereds get paid wich you can only get now by buying FFGO LOL swing batter bater .chew on that for awhile~texan77
cute true statement but we all know that includes regular business too...
Only in the sense that your preferred will pay a 3% annual dividend. IF the company makes a profit.~janice shell
true AND the Bouse cannot or the South COPPERSTONE cannot be sold without the prefereds being payed off for CASH please that BK is just like cheese to a rat bk bk bk so what it dont scare me baNK RUPTSY BABK RUPTSY ! lol so what we all know thats not the direction of this deal whats the other one yaul like dilution scam rediculouse bunk you can say bk all ya want the prefereds have a cash preferance whats that its a shock wave thats what that is going to crush it yup not even a rat will survive.~texan77
AND the Bouse cannot or the South COPPERSTONE cannot be sold without the prefereds being payed off for CASH
Wrong. NMGL MAY decide to redeem the preferred for cash, in an amount that THEY will decide.~janice shell
oops I think you made a boo bo Im not touching that LOL
"Wrong. NMGL MAY decide to redeem the bonds for cash, in an amount that THEY will decide."~texan77
lol, thanks, fixed it. ~janice shell (Wrong. NMGL MAY decide to redeem the preferred for cash, in an amount that THEY will decide.~janice shell)

from another board ;Some more good commentary - I had to edit it a little to keep it from getting deleted.
"For you geology buffs, here is the mine plan for American Bonanza's Copperstone underground mine. It's pretty impressive. The internal rate of return (IRR) is gigantic based on today's POG. This property borders FFGO's S. Copperstone property. Meanwhile, to the west of FFGO's Bouse property Tuffnell hit some giant grades a couple of weeks ago and their share price has nearly doubled since then. The people running FFGO are very senior mining people and they obviously know that they could run a fairly inexpensive geophysical test to get a "signature" of the two recent drill successes by TUFF and AB and see if it extrapolates over the border to the FFGO properties. You need a benchmark signature in order to access this critical information to make the comparison.
For instance, TUFF's successful LB 1010 hole might show as a red area with blue polka dots on a certain geophysical test and then all you have to do is see if a similar showing occurs at the nearby Bouse property. The signature of the LB 1010 hole would be the "detachment fault" that is being hunted down so aggressively. Something underneath FFGO's Little Butte Mine gave rise to the epithermals and brecciated replacement deposit that constituted the mine. The obvious choice would be the detachment fault that TUFF found.
FFGO management has the drill results of somewhere in between 102 and 109 holes drilled at the Bouse property over time by Homestake, Tenneco, U.S. Borax, etc. I assume that Tuffnell's recent blockbuster drill hole discovery provided a puzzle piece to help further along the geological modeling efforts. The same holds true for the successful feasibility study done by AB at their Copperstone Mine. I'm not sure if the FFGO guys are just lucky or they're that good but somewhere along the line they managed to tie down the properties next door to Arizona's two hottest projects at the same time that gold is breaking out. This is extremely fortunate because the option of doing their own drilling funded by the sale of shares after the share price was driven from over 50-cents to $0.0001 would be too dilutional.
In one of the 166 SEC filings that FFGO has made they mentioned that the external auditors auditing the Bouse and SC properties were deliberating over the accounting treatment for thes two properties plus several other. It appears that some mystery buyer is having these property owners do the grunt work to coalesce a group of properties into a "package" for them to scoop up. We'll see. It's a shame that FFGO doesn't have a good due dili site to compare notes with others without skeptics trying to interfere with meaningful due dili. The most recent geological information here was provided by a skeptic claiming that the 6 firms that drilled the 102+ holes at the Bouse property all forgot to run assays on their drill cores because if they did they would be on the BLM website.
Once again, this is not a recommendation to buy any securities as this is clearly not an investment for the widows and orphans."

Exactly when were they, ffgo, not complicit/behind and then when was the CE; thats the obviouse short seller complicit act HELLO! We know , the timing the timing is way to convenient for the 100s of billions of counterfit share maker crooks.
FFGO shareholders are in so far as what belongs to the whole is due to the part, and in a quantity that is proportionate to the importance of the position of that part in respect of the whole. Consequently in distributive justice a person receives all the more of the common goods, according as he holds a more prominent position in the community. This prominence in an aristocratic community is gauged according to virtue, in an oligarchy according to wealth, in a democracy according to liberty, and in various ways according to various forms of community. Hence in distributive justice the mean is observed, not according to equality between thing and thing, but according to proportion between things and persons: in such a way that even as one person surpasses another, so that which is given to one person surpasses that which is allotted to another.
FFGO to meet with destiny; "And the rest shall hear and be daunted, and they shall no longer commit anything like this wicked deed in your midst"
I agree therefore maximum response is completly justified by the company and its owners. Whats that term quid pro quo is that right ; anyway gloves are off and all is fair play. The cenario I imagine will require this atmosphere. I look forward to your posts OLDBEN
im not going to help ya with that one but i will say i think it has a few steps your missing; im geting the urge to bar b q......
