I used some pocket money to round up my position. Ameritrade took them righ away, but at a smaller price. Still have my larger order @0.0009 (just in case). If the VoIP, Inc. deal went through, and the SEC forms are filled, this company should have a good chance. If not, oh well...
Agree with you. Complying with SEC filling requirements takes quite a bit of a small's company money. The SEC should simplify the forms, and allow a regular certified accountant to do the job. This will greatly reduce the cost. My account is only charging me around 4K/year (on average) to do all the paperwork (including the taxes) for my private R@D start-up company. She told me it's very hard to get certified for doing the paperwork of a public company (although she is a CPA, and in practice for more than 20 years). The rip-off (and the delays in filling the forms) comes from the larger accounting firms that are doing the job.

Truth is that these crooks can easily fool anyone. It took me 3 days to realize this was a scam (and this only after your wake up call).
Our consolation (as a way of speaking, of course) is that most other people that invest in fake pennies can even more easily get trapped in these scams. For your amusament, about 2 weeks ago AMRE (a total crap, with no revenue history) was brought up somehow from 0.01 to over 0.25 in a matter of days. And this after they filled the so called 10-Q SEC report below:

I usually don't get involved, but after I read the filling I posted my pertinent comments about the 10-Q on iHub, and those people removed my post right away. I really feel for those folks that bought that crap in the 0.2's. The price is now 0.05 and with the tendency to go down.

Hope I'll get the rest of my Buy order @ 0.0009 filled. This, along with BTOO (down 31% today) are my two long-term dogs. Both failed to fill the 10-K, and 10-Q, and thrown to the pinkies as a result. Hope at least one of them will come up with some news, and hopefully do their SEC filings, and getting back to OTC:BB. Kind of strange not having a Level II to see what the pulse is.

During a recent radio talk show interwiev, the CEO was wondering himself why the price is so low, and has expressed confidence the price will go up once more people find out about the company and it's story (and it happens I agree with him). The company just started to pursue some promotional effort, and this along with expected explosive 10-Q results shall catapult the price significantly.

I agree with you on this one, and I openly expressed my disatisfaction here with their selling those shares to pay for their salaries. But then I realized that although they are very good in negociating and geting new contracts, they are still poor managers of the stock. Luckily with Trevor (that seem to be the one that should be, and probably behind the scenes is, in charge).

Well, let's not be fooled with Jay buying several thousand shares each time. As a former Wall Street guy, he knows very well how his "buying" affects the investor phychic. Big difference indeed between Jay, and the brothers. Jay is a well seasoned finacier, with some knowhow of the Telecom sector (w/o being a proffesional, of course), while the Hawatmeh brothers appear to be good professionals in their field, but with rather poor business knowhow. But, it looks like they are willing to learn.

Yes dilution was what was keeping this down. I bet however, by now the brothers already learned this is not good, and my hope is that with increase net revenue (which the chance is very good it will come due especially to the Asia division) they won't need to dilute us any further.
6. Look forward to your input...
The main reason I'm still buying is because the line of business CIRT is in is not a high tech(*), hence the chance that the big guys will canibalize their business (my main concern with MOBL). The brothers" (if you noticed one of the initial 4 is out) start listening more to Trevor (as they seem to as of late). Plus, one can expect them (the brothers) to hire some additional business knowleageable guys. See for instance the new announced 4 sales offices which are planned to be in place through next year. Because of this and other reasons (see my previous posts here) I'm quite optimistic this is going to be a success. So much so that I continue buying small amounts in the deeps. After I bought over 500K @0.035, I bought today 100K @ 0.034 (see below), and have (just in case) a larger order @0.033.

If you look at the 3 months graph, previous to this one we already had 3 distinct bottoms, in this order: at 0.028, 0.03, and 0.032 respectively. Today's new bottom @ 0.034 (if it is indeed as I believe a bottom), aligns well with that trend.
I don't think it would go any lower as its hard for me to believe that after all the latest great news anyone would be that stupid to sell at these prices. In fact, the decrease in volume, tells me that there are no more morons left, and the MM's formulas tell them it's time for a new cycle. MM's are clearly shorting the stock (the perfectly shaped peak and valleys trend is the best proof). MM's are ever adapting. After the naked short selling became illegal, (some Hedge funds are still practicing it using oversea exchanges from what I read), the MM's found this new formula. Accumulate near the bottoms, and sell near the tops, and not the other way around as they used to do when naked short selling was still legal. The more frequent the cycles, the better for them. They all know very well about the power of compounded interests (gains).
In fact, I care less. People that: (i) care to read the PR's and SEC releases, (ii) are able to understand basic 101 financing, and (iii) know about basic charting rules, right now are accumulating. The others, oh well...

In @ 0.0129 and out @ 0.015 yesterday. Wanted to read more about it.

I don't see what's the big problem. If you read again the Agreement, you'll see why I didn't really like it to start with. Plenty of other merger candidates (smaller ones preffered) out there. MOBL for instance was in a much worse situation in Dec. 03 (when I bought most shares there, and still have it) than UVCL is today. They started acquiring smaller companies, and only then they aquired larger ones. The company has first to show it can grow organically, that it has a good business plan, or at least a good vision for future growth before being able to acquire under good terms other companies.
One thing for sure: I wouldn't rush selling my shares if I was in your shoes. I don't care as I don't have much to loose, but I believe after people think about it a bit harder, this will come back. Probably not above 0.03 short-term, but with some good news (which most probably will come), I see 0.02 as a very good possibility. After a rush sale, the price recovers shortly thereafter. Mark this post.
For you to see that there's really no big deal about this termination, from the 8-K:
"Effect of Termination. If this Agreement is terminated pursuant to Sections 14(a)(i) or 14(a)(ii), this Agreement shall be terminated and there shall be no liability on the part of any of the Parties except as specified in Sections 8(d). Notwithstanding the foregoing, nothing herein shall relieve any Party from liability for the Party’s breach of this Agreement."

On stocks like The only way you can compete with the MM's it's to play their game. Got out yesterday, and bought today 50% more, which I'll keep until it goes back to over 0.02.
Got to admit that although I knew about this company for some 2 years, I never did a good DD on it (or at least not the way I do it with my long-term stocks, i.e.: MOBL, GDVI, VFIN, CIRT). Does anyone know of any reason for the recent drop? I've been reding the latest PR's, and SEC fillings and found nothing that will justify a drop from 0.03 to below 0.01. So, the only good explanation I can think about is shorting by either the MM's, or some organized "tribe" (many of them out there, especially the Yahoo groups).
PS: Anyone following CIRT? That's a super Buy right now, IMO. Just read (at least) the June 8 PR, and I bet you'll like what you see.
PPS: I see the merger has been terminated. If this was why the price dropped, I believe it will go up again, as I didn't like the terms of the proposed merger agreement, and these thinks happen quite frequently anyway.

Note: it doesn't say next year, or two years from now. They are talking about: "by mid-summer."
To see the dinamics here, one can check out the finances over the last two years, and for the 4 Q's, and hopefully (just hopefully) will figure out what $6MM/month (or $18MM/Q)in "CirtAsia division alone" is going to do to the PPS. Enough said!

Let's see:
1. With $6MM/month, in one Q, the company will realize more than twice than for the whole 2004 (record) year. And, according to the PR, this is the "CirtAsia division alone." With the recent ISO certification, in their 40K sq.ft. space, one would expect increased business here in the US as well. No wonder they need 4 more sales offices in the near future.
2. Even using your conservative approach "if they don't hit their number and only book 4 million per month," the company will realize in 2 months (again "CirtAsia Division alone") as much revenue as for the whole 2004 record year.

Just got in for a short feast, alonside SCHB, and a bit later (amasingly!) NITE. This is the new (legal!) shorting scheme a bounch of MM's are practicing these days. Selling at high, walking it down (by selling small # of shares at lower and lower prices), loading at the bottom, and selling the shares again at high.
What many people do not seem to realize is that a minus 35% drop (it's where I got in), in fact represents a +70% gain when the price is brought back to the original value. Nice play!

* The recent buy of VoIP, Inc. (an already money making company) gives credibility to IVGA's business plan. VoIP is here to stay, and due to explode.
* Invicta has begun marketing this VoIP capability to travel agents and travel suppliers as a means of augmenting their travel services. ISIP technology allows for crystal clear long distance telephone service via the Internet.
* In February 2004 Invicta acquired Airplan,

to do a reverse split of IVGA stock." Since, thus far IVGA did not have any R/S history, and based on the above, this to me is a credible info.
*MANAGEMENT quality: looks good to me:
Bill Forhan, President & CEO, has
worked for over 37 years in the travel and
entertainment industries, and has served as
CEO for several public and private
corporations. He founded and was chief
executive for both Integrated Marketing
Professionals, Inc. and Aviation
Industries, before selling both companies
in 1999.

2. CONS:
Neither 10-K, nor 10-Q filled, and no news of any kind after the stock became a pinkie.
3. Opinion:
Based on #1, especially: (i) the NO R/S promise - and the low volume doesn't show the company is dumping any shares, and (ii) the acquisition of a money making company (VoIP, Inc.) in a hot sector, this should turn around as soon as some news hit.
However, it's rather peculiar that the company would not come up with any news as of late. Hard to say what happens behind the scenes with this Nevada Company.
I might add more to my initial position. While a speculative stock, and therefor very risky, at this PPS, the reward/risk ratio looks very good to me. If some trigerring event will finally move this (up, that is) the move should be rather substantial. Even a 1/10th of the "FAIR VALUE ESTIMATE: $ .10" will mean some 10 MOMO gain. If a miracle happens (as now and then they do), and the facts sheets are true, that will mean a 100 MOMO. This is, of course, JIMHO. Do your own DD.
