If mp took all apparel royalty money and put it back into company to pay bills would they still have to declare the income on filings before using it to pay bills? ??? Or could they just state as they have done "no royalties have been gained to date".

Deep or anybody, (with their cash flow issues) is it possible that they have simply been using this 10% to revolve cash for the supplements side of the biz?
When deal was made mp was in desperate need of cash (IMO maybe even more desperate than present).
If you had a brand with limited exposure (when deal was made; a deal for $250k plus 10% royalty isn't "that" bad.....especially when you don't have to take on any further risks or time.
((for all we know they did something stupid like I did with my biz once when times got real bad- I had an asset that I was asking $20k cash and had offers of $15 to 17k and I ejected the offer.....then the ohhh sh!t happened and I ended up selling asset for $8k....problem was in experience and I did not understand the true value of what I had and was to busy focusing on capitalizing rathan factoring risk as well. So I turned down an offer 20% less than I wanted and in turn within 6 months lost an additional 50% for a total loss of 65%)) things change and young business men make major mistakes when they don't have or listen to guidance.
Just saying this deal could have happened with very similar situation. A decent deal was offered and they turned it down....then sh!$ hits the fan and that was the only deal left with few

Now if this were the case I could see them saying no royalties to date as the put all money back into company...how else could they keep up with cash flow at the small margins they have while at the same time having growth and demand of 400%? It could NoT have been pure dilution because at those low pps days they would have had to dilute another 1 billion shares.
At the end of the day that 10% would still be better than 25% if you compare money wasted on the toxic debt which was in excess of 75%(my guesstimates calculations) interest they were paying via toxic debt...
To conclude this thought, once they are cash flow positive (which is close if they aren't already) this deal looks absolutely pathetic....but remember this is hindsight.
I think that at the end we will only have more $ coming in than anyone imagined....especially if they go for the pps push to .05 to .10 or more....it would end up being one of the reasons I would continue to hold some shares even longer as their is even more money to be made within existing assets than we have been told.

All companies are trying to compete for today and the future (inlcuding the big boys), dipping into other industries, but mostly with M&A (mergers/aquisitions) as they can grow while consolidating on a proven successful product.
Even if MP can finish this race to get their "act" together quickly, they will still have an extremely low valuation because of their history and the current economic global situation...thus making a very cheap buy. Just like for us investors.
Gatorade is the most used sports drink in the world. They already have/do major amounts of biz globally and have the connections and infrastucture (produce, advertise, distribution, etc) in place.
They have been successful with their marketing campaigns and are even releaseing more energy producing products. This COULD be a major new market for them to enter. Banned Substance Free Supps. They already have the largest sports drink market in the world (from revenue to advertising)....but they still aren't as successful as Coke, and are always looking to improve and grow their business....This COULD be an easy addition to a market they have already penetrated in every aspect of the game; all the while maitaining their current image because they only sell "banned free supps".

I initiated the topic of Jeremy getting dumped, by simply saying he was no longer on bloomberg as a officer/executive.
I was pointing out that MP is doing more than meets the eye of cleaning up their public image. They aren't just redoing filings, the website, etc...
This is very important for a future institutional investor or merger/buyout.....and to go along with my Gatorade Post....would anybody want to merge with the possbile negative publicity Deluca may have assoiciated with his name?
Instead it got twisted and turned into him getting dumped, fired, etc.....

It's been changed on Bloomberg as "executives", he was on it before.
Maybe it's been changed so that when investors look in Musclepharm they don't see the negative publicity he brings along with his name to MP.

to ad to that....that's why I have never been concerned with many issues that make people's eyes pop out.
When the NSF / IC stuff came up...I remember when I started I thougt I need every damn cert, license, credential available....and you know what only 1 of 20 gave me an ROI.
Maybe I learned a little quicker than these kids....because it was my own money, not the blank check that lets you try every idea that comes to mind. It's in our nature to want, want, and want some more....just like everybody on this board as well as me...I too wonder if I am getting greedy by wanting more of a return on my investment, but certain aspects of their growth (in all areas: rev, PR's, SEC conversation) make me feel very safe and optomistic about the future of MP and my investment.
Now a debatable topic was the Jet issue to Mex. My first thought was they are taking a vacation in advance of the biggest working grind of their careers. Or you could say they were celebrating success (if so, it would have been nice if they shared that success with us so we don't speculate). Or you could say pompus bastards still pulling the same old tricks.
But to me eveything is timing. PPS was already headed south for the end of Q2 and it needed to be for the sake of Profit in relation to warrants on books. It's easier to take vacations in advance of heavy work loads, becuase you aren't sure when you will have a break again....and right now they need to work their A$$ off to get this PPS up to where they can increase there CASH just by dipping in the Treasury at 1000% better rate.
Thats also why it would be great to know how contracts are arranged on both ends....Net 30, 60, 90?? more?? which end??
HamHam, In regard to both post...I think we agree more so than thought.
I was saying that if they new #'s & business, they never would have gone public (if they could predict the future...I'm was agreeing with Deep Space saying that things change....especially when you are a niave professional athlete trying to become an executive....and at a very young age I might ad) Trust me on this....my business does NOT have one thing in common in with what it did 5 years ago (except for the name). Operations, advertising, corp structure, employee contracts, vendor/affiliate contracts, licenses, have all changed and it's also finally profitable. From the outside looking in it all looks, smells, and tastes the same,,,,but from the inside looking out you would think its 2 seperate industries.
I'm NOT saying because I pulled it off that they will for sure as well....just saying I relate and can understand how things change...and as I've said before I only work with 6 digits, not 7,8,9 digits...that's a whole new league.
In regards to the shipping....I was just giving "SOME"credit to the guess somebody made about UPS/FEDEX bills going unpaid. It's an educated guess based on the PR they made about back orders....It's also and just as likely didn't pay the producer for product to be made because they were still waiting for checks from the buyers that may be Net 30, net 60 , net 90??who knows??
What we do know is they have been CASH POOR (in every sense of the word). And they openly talked about it. They said we have back orders. They said we are getting rid of toxic debt. They can't fix evevrything overnight.
...and on the other side of the scope I do find it interesting as well that they are short shippinig fees if everyhing is drop shipped. My thought has been maybe they have been moving away from the drop-shipping to in-house, but I didn't want to go there untill there is more evidence to support this. I don't like being ridiculed for being an optomistic realist.
Finally, they have been following through with all PR's since Jan '12 and hope they continue to do so....and if they pull it off, that in itself is amazing,,,,thats a lot of CASH to revolve.
Have you done the math on $1million with a 10% margin when sales year over year increase by 400%. Thats huge and NOT an easy task...they've gotten this far and I like what they are saying in PR's and via the SEC...its as open of a conversation as possible.
Agreed 100% Deep Space....If they new the future and every leg of the journey they wouldnt' have gone public in the first place...and they would have easily secured investors at much better rates.
Hence our opportunity to make money.

To be direct. Inbesting in Mp equals $$profit....when u need yur profit depends on you as an individual and is the only thing that can limit your gains.

And the answer is; because mp did a pr regarding it. In mp Q1 prelims PR they stated the did 19milliion and they had 4.3 million backlog shipped in beginning of Q2......and after restating Qs they still sold the 20million that they tweeted....16 million + 4 million???

Now we all know they are growing so fast and cash flow is a major issue, it could be any numerous things that created a problem....or as birdie said "no money for mailman" ....he could be right and he could be wrong, but is a great guess as to why they had a back order in Q1! (it's like when I predicted news after the bell and instead it came before the next bell....it was a hunch on legal time frame for release of information.)......it's a guess and a great one,,,,but it's historical.....as in Q1....and it would make sense for back orders....it's really irrelevant though....who cares of it was the producer or the accountant or the shipping that didn't get paid and therefore results in back order??? Fact is good/badz back order...sold product...yet NOT sold. It's not rocket science...they need cash cause they sell so much product they don't have cash to keep up, but they must be close! Do the math yourselves and see at a 10% margin how much cash you would be short if you were to sustain 400% growth??? Especially when we all know that if you have the product and ability to pay for product in advance then your margins can easily double in tis industry! How do you think they pulled it off so far? ( before somebody points out dilution...do the math and diltutiin could have never achieved what they did with the current pps!)
3. The pps MUST go up dramatically to maintain in house finances.
4. Pps will go up with institutional investor.
5. Pps must go up or institutional investor will not arrive
6. I think filings will be released early....(watch out)
7. News coming from brazil between aug24th and sept9th

The only thing I think is indicative is a correlation between the "current" PPS and the some posters on this board.
Other than that the PPS is NOT whatsoever correlated to the value of MSLP.

It is what it is. I don't care if it's because they are humanitarian or not. I would actually prefer they do it for legal reasons.

At the same time I will not deny they have some major (millions) in capital raising issues....and the only way that issue has even the slighest chance of happening is one of two things.
1. Institutional Investor steps up to the plate (personally I think unlikely as these guys want as much for themselves as possible).
2. PPS has to be .045 or more to raise capital with further dilution when it becomes a need to maintain growth.
