The value of Sulja Brothers Buildings Materials Ltd. stock took a dip this week after a U.S. Securities and Exchange Commission (SEC) investigation was confirmed in a company new release.
The company also announced that on the advice of “outside counsel” it was now reviewing the accuracy of all its previous press releases that had touted numerous deals worth hundreds of millions of dollars in the Middle East and elsewhere over the past year.
“Given the early stage of this review, the company is unable to provide any further information regarding these matters, but cautions investors not to rely upon the press releases and other public statements previously issued by or on behalf of the company,” Wednesday’s press release said.
The stock closed just above a half-cent per share Friday. It has traded as high as 21 cents per share in the past year.
Many are wondering on Internet investment forums whether a complete halt to trading of the company’s stock in the U.S. by the SEC would be the next blow, but some experts doubt it.
“All the SEC can do is suspend trading for 10 days,” said Janice Shell, an art historian from Bryn Mawr, Penn., who has been featured in Fortune magazine for her investigations into numerous penny stock companies after being burned by one a decade ago. A civil suit by the SEC could be the eventual outcome of its investigation, she said.
The OSC allegations of securities violations are against the Nevada-incorporated company named Sulja and its former CEO Petar Vucicevich; the Harrow-based lumber yard of the same name; another company of Vucicevich's called Kore International Management Inc.; and a San Antonio, Tex. native, Andrew Devries, described as an associate of Vucicevich who also directed a Kore company in the U.S.
Vucicevich earlier this year launched a $20-million land assembly and commercial development in Colchester Village under the Kore name.

The Ontario Securities Commission (OSC) announced a series of securities charges Friday against Sulja Bros. Building Supplies Ltd., a Harrowbased company, as well as a Nevada-incorporated company of the same name and its former CEO Petar Vucicevich.
The trading of the company's stock in Ontario was also temporarily halted by the OSC, pending a Jan. 8 hearing in Toronto which will deal with allegations of improper trading and false or misleading statements made in company news releases over the past four months.
Also named in the OSC allegations is a San Antonio, Tex. native, Andrew DeVries, who was described as an associate of Vucicevich in both Sulja Bros. and a separate company, Kore International Management Inc., which launched a $20-million land assembly and commercial development a few months ago in Colchester Village.
Vucicevich couldn’t be reached Friday. Steve Sulja, CEO of Sulja Bros., didn’t return a call for comment.
The OSC charges didn’t halt the trading of Sulja in the U.S. over-thecounter penny stock market Friday, although the price did drop about 16 per cent to a little over a cent a share. About 36 million shares were traded Friday, almost double the average daily trading volume for the stock.
Sulja Bros. has been a hot stock in the penny markets over much of the past year, trading as much as 171 million shares in one day and with the share price peaking at about 21 cents.
According to the notice of hearing from OSC secretary John Stevenson that was made public on the commission’s website Friday it is alleged that: • Vucicevich set up trading accounts at two Canadian discount brokers using employees of Kore or members of the Sulja family; • Between August and November, Vucicevich and DeVries directed the sale of Sulja Bros. stock through the trading accounts with instructions of when to trade and at what prices; • The proceeds of the trading in Sulja Bros. stock through those accounts raised about $7.8 million; • The trading directed by Vucicevich and Devries “created a misleading appearance of trading activity and an artificial price” for the shares of the Sulja stock; • Large numbers of Sulja Bros. shares were sold without a preliminary prospectus or prospectus as required by Ontario securities laws; • The false or misleading news releases issued by Sulja Bros. included claims of a cement deal in the United Arab Emirates with Ramada General Contracting being closed on Sept. 5 that would bring in annual revenues of $3.5 million; • Another false company claim, according to the OSC statement of allegations, was that KPMG or PriceWaterhouseCoopers were being hired to audit some of the company’s transactions or do its financial statements.
Jim Bishop of Vancouver, a veteran of the penny stock markets who has been posting warnings about the risks of the companies for more than a year in various internet investment forums, wasn’t surprised by the OSC actions.
The series of eye-opening press releases in recent months that talked of US$350-million cement deals or a US $645-million hotel project from a company whose main asset appeared to be a lumberyard in Harrow should have raised questions, he said.
The UAE brokerage company mentioned in the OSC allegations said in an interview with The Star that it never closed a $350-million cement deal in September with Harrow-based Sulja Bros.
“We never had a contract,” said Hazem Hamaidi, general partner of Ramada General Contracting, reached by telephone in Abu Dhabi, UAE.
Hamaidi and his partner Saleh Khateeb said they were completely unaware that Sulja Bros. issued a news release Sept. 5 claiming to have closed a major contract with Ramada.
Hamaidi, who speaks English, and his partner Khateeb, were interviewed through Windsor Arabic translator Nazer Marar. The partners said various deals were discussed in some telephone calls and email correspondence, in July and August, but nothing came of it.
Vucicevich was questioned in midNovember by RCMP working for an intelligence unit in cooperation with the OSC about Sulja’s stock and claimed then he had nothing to hide.

IMF Approves First Funding For Lebanon At $77 Million
“The International Monetary Fund (IMF) said on Monday it had approved the first IMF finance for Lebanon, backing a $77 million emergency loan to help rebuild the country after last year's conflict with Israel.
Mohsin Khan, director of the IMF's Middle East and Central Asia Department, told a news conference that the loan, issued as emergency post-conflict assistance (EPCA), would be available to Lebanon within the next few days. ‘The EPCA is part of a concerted international effort to provide assistance to Lebanon,’ Khan said, referring to $7.6 billion in aid and loan pledges won by the country at a January Paris donors conference after the 34-day war last July. None of the money pledged in Paris has yet been paid to Lebanon and some of the donors, including the European Commission and World Bank, actually require the involvement of the IMF before they can hand over any funds. NEW YORK: Craig Barrett, chairman of the global leader in microprocessors Intel, has already made a pretty serious contribution to changing the way much of the world operates in the fields of business, technology, entertainment and communications. Now, he says, he and his colleagues in the high-tech communications and computer business want to promote change and expand opportunity for every child in the world, through partnerships with governments and private sectors in scores of countries.
He will bring that endeavor to Lebanon on Tuesday when he arrives to announce a series of new initiatives that aim to help the reconstruction of Lebanon in a manner that goes beyond traditional assistance for short-term infrastructure repair or construction.
"Intel and several other private companies in the information and communications technology (ICT) sector are partnering with the private sector, universities, the government and professional associations in Lebanon to promote long-term well-being through four main channels: economic development, education, healthcare and connecting Lebanese communities to the world," he told The Daily Star in an exclusive interview in New York earlier this week.
Intel and other large ICT firms have already worked around the world through the UN-sponsored alliance for development through private-public sector partnerships. The Lebanon initiative is part of a growing new approach that sees Intel and other private sector companies working with non-governmental partners to bring the power and possibilities of information and communication technologies to vast new beneficiaries in the developing world.
"We have already launched programs to train teachers and equip schools in countries like Brazil, Turkey, China and Egypt. In Lebanon we want to respond to the unfortunate post-war circumstances by developing opportunities for private sector partnerships that focus on creating job opportunities, training workers, enhancing the education sector, promoting entrepreneurship and generally connecting communities to the world through ICT," he explained.
Intel will announce a series of initiatives in these fields, along with healthcare diagnostics that connect hospitals in Lebanon with leading facilities around the world. One aspect of this program, already under way, will offer some 500 young Lebanese internships in Lebanon and abroad.
Barrett did not sense any constraints or obstacles to this effort due to the turbulent political situation in Lebanon and the region. He explains this by noting that the work focuses on fundamental human and national development needs that serve all Lebanese and transcend political disagreements, such as education, job creation and better healthcare.
The advances in technology also give Lebanon an opportunity to leapfrog over some developmental stages, by adopting wireless broadband technology in communities that had been held back due to lack of advanced wired communications networks, he said. Remote communities, in particular, can make a leap forward in education, healthcare, commerce and other fields when they connect to the global Internet.
"We've seen this happen in several countries already where we worked with local partners to set up wireless broadband connections in rural and remote areas. Teachers and kids were the first to make use of the technology, and in most cases it instantly transformed their lives and conditions in their communities," he said.
Working with millions of teachers in over 35 countries, the Intel Teach program has been driving systemic change in teaching and learning since 1999. Teachers learn from other teachers how, when and where to incorporate technology into their lesson plans, with a focus on developing students' higher-order thinking skills. They experience new approaches to create assessment tools and align lessons with educational learning goals and state and national standards.

Intel's World Ahead Program has worked throughout the globe to expand the use and impact of advanced technology and communications in four primary areas: greater accessibility to computers and networks; expanding connectivity in remote areas through wireless systems; working with local authorities and non-governmental groups to enrich the content of computer and communications systems; and using ICT in schools to improve education.
Barrett became chairman of the board of Intel Corporation in May 2005, having previously served as president, chief executive officer, member of the board and chief operating officer. He was an associate professor at Stanford University in the Department of Materials Science and Engineering before joining the company.
Nearly 5 million teachers around the world are being trained in new communication technologies, and a key priority now is to rigorously evaluate the long-term, real impact of connecting communities to the global ICT network. One means of doing this is to work closely with local partners, especially in non-governmental sectors, so that newly introduced systems are well integrated and lasting. Intel's chairman said that he and his colleagues are very aware of the shortcomings that some other foreign aid and development efforts suffered by bringing assistance to a community and then seeing the progress stop suddenly when the foreign donor departed.
One way to ensure this is to foster dynamism in the private sector, especially in entrepreneurship and job creation. The new initiatives in Lebanon aim to do this by promoting incubation of new businesses, seed funding for start-up firms, and basic entrepreneurial skills. "It's important for the government to ensure basic needs like clean water and health, and for the state and society to work together to promote quality education. You then need a robust business community to create the new jobs that will absorb the talented young people coming out of high school and college. Ireland showed the world a few years ago how a country that exported its youth because of insufficient opportunities at home transformed itself into a magnet for young talent that reversed its former brain drain and now sees a net repatriation of its talented and experienced workers and entrepreneurs," Barrett explained.
Two key elements for this to happen in Lebanon or other countries that export its educated youth, he suggested, are expanding the local ITC infrastructure and encouraging much more local content, whether in commerce, education, entertainment, media or other sectors. Barrett added that an expanding ICT sector that prods foreign and local investments also promotes sound legal foundations for business, such as investment rules, guarantees, exit strategies and general commercial codes and statutes.
"Business codes that attract investment go hand-in-hand with expanding entrepreneurial opportunities and creating jobs, he concluded, pointing to India and China's rapid and sustained recent economic performances that were partly facilitated by clear foreign investment rules.
All governments he had dealt with, Barrett noted, shared the common goal of driving economic development that comprised new investments, creating quality and high-paying jobs, raising the standards of the work force, improving education systems, and expands citizens' opportunities in general.

BEIRUT: The German government has donated $135 million to civilian reconstruction projects in Lebanon since the 2006 war with Israel, a joint Lebanese-German delegation announced during a conference on Friday. Held at the Movenpick Hotel in Beirut, the meeting was aimed at providing an overview of the distribution of German funds donated to Lebanon and was attended by German Ambassador Dr. Marius Haas and President of the Council for Reconstruction Nabil Jisr, among others.
The German projects are "not prestigious, large-scale plans for a short-term effect, but rather a great number of small, well-defined measures on the ground where they are most needed which are sustainable in the long run," said Haas.
One of the most critical projects that Germany has financed is the reconstruction of vocational and technical schools.
In 2006 Germany donated 5 million euros ($6.76 million) to rebuild and rehabilitate 33 vocational schools around the country that serve around 10,000 students.
Among these were two of the most extensively damaged schools: Sir Al-Gharbiyeh and Hermel Pilot School.
The German government has also spent 7.8 million euros establishing vocational training programs throughout Lebanon.
One controversial project being pursued by Germany is a project to secure the borders in Lebanon - something that has earned heavy criticism from Damascus and threats of closing the Lebanon-Syria border.
According to project director General Detlef Karioth of the Police and Customs Mission, the key is to train and equip the Lebanese so that they can secure their own borders rather than rely on external forces to do it for them.
Karioth described the German role as "non-executive and strictly advisory."
The mission works with the Lebanese at Rafik Hariri International Airport, the Syrian border in the east, and ports all along the coast to train them in monitoring incoming goods.

The German government has already donated scanning machines for trucks coming into Lebanon from Syria and other machines for airport security.
"It is important for us - and I would like to stress this - that the mission's task is clearly limited to providing consultancy, training and equipment as requested by their Lebanese counterparts," said Haas.
Another major part of the reconstruction program for Lebanon is the rehabilitation of the water and wastewater systems in the country, and the accomplishments on this front are numerous. Between 2006 and 2007, the German government will have donated 27 million euros to these and other water-related causes. It has already rehabilitated five water reservoirs and established chlorine dosing systems in 30 water stations, among other projects.
Nabil Jisr, The president of the Council for Development and Reconstruction, represented the Lebanese as strong allies and grateful recipients of German aid. Jisr said the donations being discussed at the meetings did not include the German contribution to UNIFIL, "which might reach hundreds of millions of euros."
Jisr also praised the close relationship between the two countries. "The leading role of the Federal Republic of Germany both at the European level and within the international community ... has initiated close and sustainable relations at all levels between our countries," Jisr said.
Haas concluded the meeting by striking on its theme - Lebanese ownership of German donations. "All projects will be handed over to the Lebanese once our contribution is completed. ... Reconstruction and development will only work if the Lebanese people consider them not as the task of foreign government or some institution or group, but as their own task," he added.

A Florida woman has been awarded $11.3 million in a defamation lawsuit against a Louisiana woman who posted messages on the Internet accusing her of being a "crook," a "con artist" and a "fraud."
Legal analysts say the Sept. 19 award by a jury in Broward County, Fla. — first reported Friday by the Daily Business Review — represents the largest such judgment over postings on an Internet blog or message board. Lyrissa Lidsky, a University of Florida law professor who specializes in free-speech issues, calls the award "astonishing."
BEWARE OF BLOGS: Courts are asked to crack down on bloggers, websites
Lidsky says the case could represent a coming trend in court fights over online messages because the woman who won the damage award, Sue Scheff of Weston, Fla., pursued the case even though she knew the defendant, Carey Bock of Mandeville, La., has no hope of paying such an award. Bock, who had to leave her home for several months because of Hurricane Katrina, couldn't afford an attorney and didn't show up for the trial.
"What's interesting about this case is that (Scheff) was so vested in being vindicated, she was willing to pay court costs," Lidsky says. "They knew before trial that the defendant couldn't pay, so what's the point in going to the jury?"
Scheff says she wanted to make a point to those who unfairly criticize others on the Internet. "I'm sure (Bock) doesn't have $1 million, let alone $11 million, but the message is strong and clear," Scheff says. "People are using the Internet to destroy people they don't like, and you can't do that."
The dispute between the two women arose after Bock asked Scheff for help in withdrawing Bock's twin sons from a boarding school in Costa Rica. Bock had disagreed with her ex-husband over how to deal with the boys' behavior problems. Against Bock's wishes, he had sent the boys to the boarding school.
Scheff, who operates a referral service called Parents Universal Resource Experts, says she referred Bock to a consultant who helped Bock retrieve her sons. Afterward, Bock became critical of Scheff and posted negative messages about her on the Internet site Fornits.com, where parents with children in boarding schools for troubled teens confer with one another.
In 2003, Scheff sued Bock for defamation. Bock hired a lawyer, but he left the case when she no longer could afford to pay him.
When Katrina hit in August 2005, Bock's house was flooded and she moved temporarily to Texas before returning to Louisiana last June. Court papers that Scheff and her attorney David H. Pollack mailed to Bock were returned to Pollack's office in Miami.
After Bock didn't offer a defense, a Broward Circuit Court judge found in favor of Scheff. A jury then heard Scheff's arguments about damages. Pollack did not seek a specific amount for the harm he says Scheff's business suffered.
"Even with no opposing counsel and no defendant there, $11 million is a huge amount," says Pollack, adding that Scheff is considering whether to try to collect any money from Bock. "The jury determined this was a significant enough issue. It's not just somebody's feelings are hurt; it's somebody's reputation is ruined."
Bock says that when she moved back to her repaired house over the summer, she knew the trial was approaching but did not know the date. She says she doesn't have the money to pay the judgment or hire a lawyer to appeal it. She adds that if the goal of Scheff's lawsuit was to stifle what Bock says online, it worked.

"A woman in Florida has been awarded $11.3 million dollars in a defamation case. Apparently the defendant was unhappy with the plaintiff's referral service and posted complaints all over the internet. In a chilling slap at free speech, the jury decided that not only was this illegal, but that it was worth over $11 million. The defendant can't pay the judgement — she can't even pay for an attorney. The plaintiff says she doesn't care, but sued for the principle of the thing."
