MLXO - Michelex Signs LOI to Acquire Ag Pro, Ltd and Enters the Bio-Diesel Market

MASSENA, N.Y., Nov. 20, 2006 (PRIMEZONE) -- Michelex Corp. (Other OTC:MLXO.PK - News) ``Michelex' (or the ``Company') a plastic manufacturing company and an audio record production group announced today that it has signed a Letter of Intent to acquire Ag Pro, Ltd, http://www.agprosoy.com. Ag Pro, Ltd. owns and operates a soybean and oilseed crushing plant in Massena, New York. The plant processes soybeans into soy meal and crude soy oil. Its current crushing capacity is 150 tons of soybeans per day, which will be increased to 250 tons. The refinery has a capacity of 50 tons of oil per day. Ag Pro's state-of-the-art oil refinery is a physical refinery, rather than a chemical refinery like most others. It produces soy oil with zero trans-fats. Soy oil is also used to produce bio-diesel. Michelex plans to utilize the majority of the soy oil production for making bio-diesel. What is unique about Ag Pro, Ltd. is that its oil can be used as a high quality edible oil, or as a feed stock for bio-diesel depending upon market conditions. St. Lawrence County is well suited for the production of soy beans with its ample farm land. In full production, the crushing plant would need 100,000 acres in soy.
The estimated replacement cost of all Ag Pro, Ltd. assets is upwards of 12 million dollars. It is the intention of Michelex to construct a bio-diesel etherification plant next to Ag Pro, Ltd. in the Massena Industrial Park. The capacity will be a minimum of 10 million gallons per year. The newly proposed facility will process bio-diesel from a variety of oil feed stock. This versatility will not limit the production only to the crushing plant's soy oil output. The bio-diesel plant will be financed by the sale of Industrial Development Bonds. The St. Lawrence County IDA has written a letter of support for this project.
The acquisition is based on cash and stock considerations.
Thomas Gramuglia, President and CEO of Michelex stated that he ``is very excited about the proposed acquisition of Ag Pro, Ltd. as my family has been in the crushing and refining business for edible oil in Italy since 1919. Michelex would also like to update its shareholders that the 10Qs for March, June and September 2006 are expect to be filed before the Thanksgiving holiday.

RSI at bottom - Moneyflow is negative - volume last months has been huge compared to last year - macd is moving sideways
High volume last Friday in combination with Thursdays drop, last weeks sell out and PPS going up slightly shows inbalance between sellers and buyers. Buyers are stepping back in.
Short term : this stock has taken a serious beating - we can go back to 0.1 (I don't see this one dropping any further)
Best scenario : we get some nice PRs and financials - first hurdle would be 0.08-0.12 (avg 21 and upper bollinger band - not seen in this chart) range, after that ... the way is free till 0.41. I don't see it going over $1 (if you look back and draw a line at $1 you'll note that only once this resistance line was broken).
Worst scenario : delay or poor result. No way telling where it would go. Bolinger indicates below 0.04.
One thing : look at the jump in May. There was a similar scenario as now.
My strategy :
* sell half of my position if this stock goes above 0.1
* ride the free shares up till 0.25
* if news would come out that is huge - keep the stock for 2-3 days and start flipping it from then onwards
* if the stock goes below 0.047 - liquidate
* if bad news would come, kill position as well
Need to know : I was wrong before - I stepped in some weeks ago at 0.11 and got burned - sold with 25 % loss (was happy I did this - stepped back in some days ago with the same amount of money - which ment that I was able to buy more shares then I had before)

I follow you. Still from a pure technical point of view the free tradable float seems to be 47.
If you look at the volume, you'll see that most of us are holding our shares.
I sold everything. Day 1 of the increase I sold half of my position and I was riding free shares. Sold the rest at 0.036. Little bit disappointed with the way they communicate. I'll watch it go to around 0.015-0.02 and step in again.

I don't follow you on your theory. If there're 47 free trading shares, then the float is 47 million as well. Doesn't matter if they come from family or are going to be held.
To me that is still fair. I don't like dilution, but sometimes it's better then to spend your cash.
