Correct.
From what I have been able to find out, is that Alex ditched Midland a few months after they went public
I don't think it means he's a criminal - at least i haven't been able to find anything
Although, I'm sure you won't find him teaching Sunday school class ;>()
At least you can google him and find his picture - Can't say that for Nathan Rogers, Jason Wong, or John Sparrow - hehe
It's what they do, and they seem to have a cookie cutter formula that they keep using: reverse merger with a shell, register in Delaware, insert their own IR person, use SAT at TA, 1-1000 reverse split right after listing, etc

what does the bolded section below mean (is it referring to SIAM)?
This NR was before the name SIAM was released
Friday February 2, 8:00 am ET
Alcar Chemicals Group received a competing offer from a consortium of private investors, technology fund and venture capital, further to a recent due diligence process. The group has tabled a combined licensing and financing offer which represents a far better offer for our shareholders with terms and conditions which were presented to USSE and which they declined. The agreements with the Asia fund are being pursued and the next milestone is expected by mid-February.

the 7.2 million is already in escrow.
if SIAM pulls out, alex gets his 68 million shares back plus Siam's 7.2 million
It's pretty much standard business practice to put in a clause that if Siam defaults or backs out, they lose the money they put up
MONTREAL, Feb 26, 2007 (MARKET WIRE via COMTEX News Network) --
Alcar Chemical Group Inc. (PINKSHEETS: ACMG) announces that it has received confirmation of the initial investment from Siam Renewable Energy Group Ltd being placed in Escrow.
It'd be nice if they released the results of these lab tests
MBL
Doesn't this imply that ACMG has already demonstrated their technology to BHL and SIAM?
... working with several corporations who have been courting us for licensing of our technology. Our lab set-up to optimise our technology for use of by-products and wastes from the sugar manufacturing process as feedstock, undertaken as a development project with Bajaj Hindusthan Ltd., has sparked the interest of the SEA consortium. Our future partner has committed to participate in this optimization process by contributing half of the costs involved and has undertaken the necessary steps to transfer the funds this same week in order to accelerate the process.

I don't know Art (I was hoping he would read this post and comment)
Alex is in Thailand and not answering shareholder emails
I'll start digging into Midland Baring - their web site has been Under construction for quote some time
as i stated in an earlier post on this board, Art2Gecko was one of the first people to buy ACMG stock, he started the ACMG board here on IHub, and he was directly communicating with Alex Cavasin on a regular basis.
Art probably knows as much or more about the shell merger and Alex than any other member on IHub.
MBL
same as AURC and a hundred other companies you are working on.
Midland Baring was the Venture Capitalist that set this all up.
Same package deal as all the other companies - Same TA, IR, Web hosting company, etc
MBL
I agree with your statement about Select.
If it is true that ACMG owes money to Select, I wondered why they wouldn't pay it ASAP so they can get the shareholder list, etc and move on with the ARTL process.
It just dawned on me tonight, that ACMG is probably pissed at Select, and no way they want to give them any money. They will wait until Fairross takes over.
Sad thing is, I think Fairross is, or will be, just as crooked as SAT.
I think it might have been PennyP that noticed Fairross' sole owner, Jackie Rossel, is quite the shady character himself.
I also thought it strange that before the SIAM deal is even finalized, that they announce dividing ACMG into to company's, creating ARTL and giving Divy's to shareholders.
IMO (everything I am writing is my opinion - hehe), that this was\is a plan they came up with to get away from the Hackerproof shell.
Create ARTL, move anything of value (patents, technology, etc) into ARTL and then shutdown ACMG.
MBL
i don't think Alex fully realized the serious issues related to the shell until the recent buyout offer by SIAM was excepted.
A group that is willing to invest 282 million into a company is going to go thru it with a fine tooth comb.
Sin ce that time, ACMG has not been heard from in any way, shape, or form.
My guess is that they are trying to figure out how to resolve these shell issues.
Although secrecy surrounds this 55% buyout, we have been able to determine from the headers of emails that alex has recently sent, that he is still in Thailand, where the consordium group that want to buy the company is from.
ACMG web site changes have been taken place recently (changes to white papers, business plan, etc)
Alex is appearently still in communication with SAT
If this was a scam on Alex's part, I doubt he would head to Thailand, and I doubt he would be doing the things mentioned above with the web site and SAT.
MBL
Yeah, but I'm pretty convinced Alex was totally unaware.
If you look thru ACMG NR's, their web site FAQ's etc, he was tryin to get financials released since Aug 2006.
You may also want to read thru my IHub posts - I don't post alot, and 90% of them are informative
There is little doubt that Alex knew then that something wasn't right with the shell.
He is a brilliant scientist but knew nothing about being a publicly listed company and all that it entails.
He has made a few public comments related to this, such as this one:
reply to acmg ihub moderator (Sentinel):
These should be ready shortly…unfortunately we have been running into some major hurdles as the so called “clean shell” we acquired had some inconsistencies, however, I have been reassured that these should be resolved shortly.
In a NR he also stated that if he had a chance to list publically all over again, he would never do a reverse merger with a shell.
MBL
correct.
according to pinksheets, Birman Health Care (BMAN) was an entity until October, 2005 even though they filed for bankruptcy in December, 2000. --> is this legally possible, I don't know.
In Oct 2005 Hackerproof, Ltd (HKPF) appeared out of nowhere, as the "new" Birman healthcare.
Reverse merger with Alcard Chemical Group (ACG) to become ACMG
There seems to be issues with the company name:
1) Hackerproof, Inc --> where did this name come from?
Hackerproof never filed any legal docs (SEC, etc) or filed any financials, so basically they never existed
2) Alcar\Alcard - company is now Alcar but it seems alot of legal docs have them listed as Alcard --> I don't know whether or not this means anything
Because of the way that Bhub and others have been scammed, the naming is a red flag

Hey Slim.
this is a post by Jenthico from Yahoo board:
My TA (and other stuff) on ACMG... (Not rated) 18-May-07 08:32 am
The market action is finally starting to behave like what the TA is telling. That says something; it used to do the opposite. The Accum/Dist is still showing accumulation. Stochs, RSI are oversold, but the MACD is slowly creeping up. The 10 & 20 SMA are huddled together as are the 50 & 200 (50 just starting to cross under.) The BB's are starting to really tighten up. With accumulation holding steady, this can only mean one thing...
Last night, I talked with someone who talked to SAT/FST and they said Alex has been in touch through emails. I have had several conversations with another someone who is still in touch with AST&T. Both of them have said that ACMG owes SAT money and will NOT release shareholder info until paid. The only thing I can't find out is if these 2 someones know or talk to each other - that would suck.
I ain't stupid. I have a lot of time invested in this; more than I have money, IMO. I am all, but 100% convinced it is NOT a scam as it only has the illusion of a scam and most are convinced that it is. Therein lies the psychology.
What I have been doing over the past week is digging up a history of the companies that scammed Alex. He has complained about it privately, publicly, on his website and in emails. When I read what he actually says in the FAQs and put it alongside the DD I've gathered this week, I can form an educated GUESS as to what he is up to. I also have that email that Steven Sung so adamantly professed that this is what it is; remember, I had my ass handed to me.
"Paranoia, The Annoyah...." LOL!
BHL issued a PR on ACMG's behalf. BHL has audited financials and has a lot to lose by backing up a scam. IMO, this is why ACMG is doing R&D for BHL for free until the mess at SAT/FST is cleaned up and ACMG becomes the clean shell that Alex thought he merged into. Furthermore, SREG has the money to back him and ACMG up aiding in it's "scrubulization." Ask yourself why Alex backed out of the USSE deal. They had no money and were a part of the same group that sold Alex his shell. Do the DD!!!
The low pps - although so complained about - is the key to getting this cleaned up as well. It is less likely that with a low pps, shorting will continue. It is conversely more likely that as the smart investors start seeing the recent, non-violent price activity and stabilization through low volume, they will start buying. The 03's have been rock solid support; just look at the chart and all of the lagging indicators.
IMO, when SAT/FST is forthcoming with shareholder info and allows SREG and ACMG to finalize the deal, the chart will tell the whole story and it will be time.
This is the calm before the storm...
ML8(f)...Great analyses don't move pps; I could be (f'd)

The following is a list of major biofuel-producing countries or regions:
BRAZIL
Brazil is the world's largest producer of sugar-based ethanol, producing about 16 billion litres (3.52 billion gallons) a year and using 14.5 billion litres at home, where cars run on a 25 percent ethanol gasoline blend.
It accounts for around half of the world's total output.
State oil giant Petrobras plans to boost ethanol exports to 9.4 billion litres in 2010 from 2 billion in 2005.
THE UNITED STATES
The United States, the world's biggest oil user, is the second-largest biofuel producer after Brazil.
The Senate Energy Committee voted in April to require US output of ethanol, distilled from corn and woody biomass materials, to reach at least 8 billion gallons a year by 2012, doubling the current output of the gasoline additive.
About 12 percent of the US corn crop is projected to be used for ethanol in the coming year.
The Senate Energy Committee's bill would set production milestones for ethanol as follows: 4 billion gallons in 2006, 4.7 billion in 2007, 5.4 billion in 2008, 6.1 billion in 2009, 6.8 billion in 2010, 7.4 billion in 2011, and 8 billion in 2012.
THE EUROPEAN UNION
The European Union, in an attempt to reduce greenhouses gases in line with its Kyoto Protocol obligations, set a non-binding target last year that fuels should contain 2 percent of biofuels in 2005 and 5.75 percent in 2010.
EU's biodiesel production capacity may exceed 4 million tonnes by mid-2006, up from an estimated output of 1.85 million tonnes in 2004 for the EU's 15 members before enlargement.
Some 80 percent of EU's biodiesel came from rapeseed oil, with soybean oil and a marginal quantity of palm oil making up the rest.
Asian palm oil exporters such as Malaysia and Indonesia could supply up to 20 percent of the EU's biodiesel needs by 2010.
By 2006, Germany would have an annual biodiesel production capacity of 1.9-2.1 million tonnes, France 600,000-800,000 tonnes, Italy 500,000-550,000, U.K. 250,000 tonnes, Austria 150,000 tonnes and Poland 100,000-120,000 tonnes.
JAPAN
Japan may need up to 1.8 billion litres of fuel ethanol a year if it made an optional 3 percent ethanol content in national fuel supplies mandatory. A blending ratio of 10 percent would boost demand to around 6 billion litres per year.
Japan, the world's second-largest consumer of gasoline, imported 149 million litres from Brazil in 2004.
The world's biggest sugar-ethanol cooperative, Brazil's Copersucar, has signed a deal to sell 15 million litres of ethanol to Japan's independent fuel distributor, Kotobuky Nenryo Co.
CANADA
Canada's annual ethanol production is about 300 million litres per year, an IEA report published in 2004 showed. The North American country hopes to see an increase in ethanol production by 750 million litres a year.
A number of major initiatives are underway to boost production significantly, possibly blending 35 percent of all gasoline supplies with 10 percent ethanol by 2010.
THAILAND
Thailand, the world's second-biggest sugar exporter after Brazil, plans to replace regular gasoline with a mix that includes 10 percent ethanol in 2007.
The Industry Ministry said in September that Thailand's ethanol production capacity would rise 33 times to 1.5 billion litres a year in 2006 when all 24 ethanol plants are running. But other officials have said they were targetting output of just 1 billion litres a year by 2010.
INDIA
India, the world's biggest sugar consumer and a major importer, produces about 1.5 billion litres of ethanol, although only around a quarter of that is suitable for use as fuel. The rest is used for beverages or export.
In January 2003, New Delhi directed oil companies in some parts of India to sell petrol made up of 5 percent ethanol. It planned to make this mandatory throughout the country later, but back-pedalled on the plan due to poor output and high costs.
Oil companies had needed 363 million litres of ethanol in the 2003/04 year to satisfy the mandate, but only 196 million litres had been available due to declining sugarcane output.
A leading industry official said earlier this year that ethanol production should soon rise as sugar crops increase.
CHINA
China, the world's second-largest energy consumer, is also the third-largest ethanol producer in the world, with annual production of around 3 billion litres. Most of that is not for fuel use, the IEA said in a report in 2004.
The government subsidises production at four plants with a combined annual capacity of 1.02 million tonnes and sells small amounts of ethanol-blended gasoline in its Northeast corn belt and in wheat-rich Henan province.
China has selected several provinces to use trial blends of 10 percent ethanol to meet growing demand for gasoline.
MALAYSIA
Malaysia, the world's top producer and exporter of palm oil, is pushing to create a mandatory blending of a certain amount of the oil with retail diesel. A cabinet meeting is due to consider the proposal next week.
INDONESIA
Indonesia, the world's second-biggest palm oil producer, is exploring the biodiesel market as world palm oil demand stagnates. It plans to double the palm oil area to 10 million hectares (25 million acres) over the next 30 years.
THE PHILIPPINES
The country decided last July to use a 1 percent blend of methyl ester made from coconuts in diesel for public transport.
The government has pressed bagasse, or sugar cane pulp, into service to relieve the oil-poor archipelago's chronic power shortage. About 267,000 tonnes of raw sugar are slated to fire power plants by 2007. Pending legislation would require ethanol use from 2007.
