Interesting development in N CA. Cellco/VPLM case dismissed with each party to bear their own attorney fees. Order signed by Koh on 5/26.

Even if it were true, that’s not a bad thing. If you play craps using the right strategy and stay away from the risky, high house edge prop bets, craps has the lowest house edge of all casino games. I asked a question about float not being updated for 2 years. If DTC was the number, why do companies report float. I’m trying to understand WHY the company hasn’t updated the float numbers. IF the 70,000,000 shares of “toxic debt” was in fact cleared, the float should have been updated, no?

That doesn’t tell the full story. Float is an important metric that can reveal info on restricted & closely held stock. It shouldn’t be difficult to update this number…unless the company doesn’t want their shareholders to know how much stock is actually available for trading & the big blocks are just passed around by the insiders. Not saying that’s what’s happening here but it really shouldn’t be that difficult to update a metric to provide clarity for current & potential shareholders.
Right? We’ve been hearing it’s coming for months and months now. Still waiting and now another lawsuit to defend in N CA…lawsuits cost money, which in my opinion is possibly what drove Emil to cancel the anti-dilution clause & forego his owed compensation. The company will need an injection of cash at some point. If VPLM is lucky, they’ll catch a break and not have to pay the Big’s legal fees in N CA.
Again, I hope I’m wrong in my assessment but absent any news on some fabulous deal directly from the company real soon, all the hype is just the more speculation to keep people interested longer.

Doubt he’ll do that anytime soon since Twitter filed a new Declaratory Judgement suit on the ‘872 patent in N CA on 4/16. Twitter is asking the court to declare the 4 patents asserted (005, 815, 606, & 872) are related. If successful, this would more than likely cause the 3 defendants in Waco to request an venue transfer to N CA since Koh would have jurisdiction over all 4 patents. The RBR patents would be on life support at that point.
Based on legal filings, it doesn’t appear the VPLM is getting out of N CA any time soon. Hope I’m wrong…

In reality, like almost every other person who ever exercised an option or warrant, Emil will wait until the PPS is comfortably above the $ 0.021 strike price to execute then immediately sell some or all shares to cover the cost & pocket the difference. Voi’la, no cash out of pocket & lots of profit in the bank. It would make little sense to exercise & sit on the shares in his trust account. No?

Unfortunately everyone’s interpretation is open to different perspectives based on understanding but that doesn’t change the actual math.

The percentage listed represents a number delta or change not an absolute percentage. There are times when number “deltas” or change in numbers can be listed over or under 100% BUT the context of the comparison is important to understand.

Lol...math is hard. When buying shares are ADDED to your holdings, not subtracted. A closer look at the actual form would show Emil’s reported change in share count AFTER this transaction was down by 145%.
When “purchasing” shares the change in share count goes up not down by 145% as the form reported.
If this was a literal purchase as professed, please explain the negative change in share count. The reality is, the transaction reported the exchange of shares for warrants.

I would think so but not totally sure. If he still controls/owns 51% of the stock he’s still the majority but may also depend on “voting rights” of the shares he controls. You can control a shit ton of shares in a company but if they’re restricted in some way and don’t have voting rights, that entity will have little say when it comes to voting decisions.
Actually, his returned shares reduced the OS count UNTIL the time Emil decides to exercise the warrants. There is zero affect on the AS count. Regardless of how the accounting or money flow works, he has 10 years to decide when he wants to exercise his warrants. The bigger point is the anti-dilution clause is gone. Nobody has yet to explain why Emil “didn’t have a choice” but to eliminate it.
Why is this an issue? Warrants & stock options are granted in corps all the time. I’ve executed stock awards as part of my compensation in the past...BFD!

Can you tell us where it says Emil “didn’t have a choice” to enter into the agreement with the company to give back his shares & owed salary in exchange for stock warrants and $1? I had trouble finding that in the filing. But I did notice the part about not being able to sell any shares without them being registered with the SEC. There goes the cheap, illegal shares I was hoping to buy.
