Secured Digital Retires Debt and Preferred Stock to Improve Net Earnings to Shareholders

NEW YORK--(BUSINESS WIRE)--Aug. 3, 2005--Secured Digital Applications, Inc. (OTCBB:SDGL - News) today announced that it had retired $6.34 million in convertible debt and preferred stock reducing the company's annual debt service costs and dividend payments by approximately $550,000.
The company reported that it had reached an agreement with an institutional investor in which the investor agreed to convert an existing note and preferred stock into 9.756 million shares of common stock and $238,000 in cash. In an agreement reached with Laurus Master Fund, Ltd., the holder of the notes and preferred stock, the company agreed to waive a contractual limit on the size of the equity stake that Laurus was permitted to hold.
Laurus' acquisition of its approximately 8.8 percent equity stake was reported in a filing made with the SEC on Tuesday, August 2.
"Management had identified the reduction of our interest and dividend payments as a strategic priority earlier in the year and we are very pleased to have successfully concluded these negotiations with this institutional investor," reported Patrick. "Despite very strong growth, interest and dividend payments have had a negative impact on net income to shareholders. We believe our efforts to eliminate these costs will improve net earnings over the next six to 12 months."
Lim reported that the company used funds raised in a private placement to fund the retirement of the note and preferred stock. As a result of the agreement to issue common stock instead of a cash payment, the company estimated that approximately $500,000 of funds intended for its debt reduction program will be available for other uses.
In addition to the retirement of the note and preferred stock held by Laurus, Lim today exercised his right to convert 100,000 shares of preferred stock of which he is the only holder, into 8 million shares of common stock eliminating $220,000 in annual dividend payments.

I with you on the Aerospace...per the Fin Times British Airways is looking to add to their fleet and would not be surprised if Boeing gets a decent share of new orders. Looking up and down the BA supply chain... my issue is that I want to find the next generation composite plays vs the sheet metal micro caps that we like ie LMIA, ERS. I am concerned that they are not moving with the technological changes in the composition of next generation aerospace... maybe not an issue near term but would like to find the composite manufacturers that are benefitting from the changes to the 787 Dreamliner etc.....

Annual mtg was on the 14th in NJ. From what I got off of the RB board P.Lim confirmed stronger Q2, indicated that they may try to extricate themselves from a bad Laurus financing deal. Not much new news. Biometric transactional based revenue in Q4 '05.

Not yet. They haven't closed the deal to buy the remaining interst in Kashtan. An older director recently retired, they announced the share buyback and addtl drilling detail...Am interested in their 10Q which indicates they are looking at other Ukrainian partnerships....but that is standard stuff in any 10Q.... Can't imagine that potential news is anything but positive for BobWs.. little guy in the Ukraine.

Man4apenny posts here as well and he is very knowlegeable regarding SDGL. The main issue is their Laurus financing and conversion to preferred shares. That with P. Lim's (CEO/Founder) preferred dividend-basically his salary is eating the mariginally profitable business that they currently have. My assumption is that their strong revenue growth will overcome this and be able eventually grow their earnings for Common. They are absorbing a few acquisitions and working on lots of other stuff in good space so I am hopeful but very cautious. The good news is I am able to accumulate quite a bit of shares. The bad news is I have accumulated quite a bit of shares...lol I have had such terrific gains this year in some in ERS, WIRX/XWG, JVA, TGA, and hopefully UGNE that I can afford to wait for a stock to come off the cupboard shelf as it were....

Not worried about the lack of PR...that is actually a good sign in my opinion as 'hopefully' they build value through drilling and increased production.....looking for the no pump mgt style similar to TGLEF/TGA which I had at around $.80 and sold a large chunk too early. I found TGLEF while looking at IVAN a few yrs ago...and obviously the difference in the two companies and mgt style.....

Appreciate your analysis...they are not new though, they were private and have been around for a while...I did not recognize most of the supermarkets that they sell private labeled coffee to as most are in the South.... Sometimes I think you overanalyze the companies ;) but you are very thorough....
An O&G play I like is KRSYF....Kroes Energy. Bobwins identified this a while ago and I like it....they are in the Ukraine and have had some problems with their JV partner. If they clear that up and close on the remaining JV majority stake they can really improve the Bopd production. Perfect stock for me..cheap, get in on the ground floor when things are ugly and have patience baby!

Just finished reading the annual report....looks good... my main or concern or question really is.... the aerospace industry appears to be moving to composite materials in aircraft construction...aka the new Boeing 787... since they are an aircraft grade aluminum sheet metal manufacturer do you think they will get caught in a tech shift to composites or able to adapt?....
