DUE DILIGENCE: Today's SHAREHOLDER UPDATE should answer a few questions. - it did for me. I feel one hell of a lot better knowing there is a game plan and a serious approach to growth !
Let's commence the in-depth review !!
DUE DILIGENCE: The DTC and the SEC REQUIRE a clean slate and a full audit NOW UNDERWAY in order for the DTC to remove the "CHILL" ( remember the "CHILL" ? ) so BI can become "SEC Fully Reporting" accredited, which remains a goal of the new BoD at BI.
This is my brain on KRYRON:
1. BI has little $$$ and it takes money to make money. CAPITAL is the missing link to "white paper" testing, R & D, sales & marketing, production equipment, personnel etc. A CEO like Sean Floyd, with the shareholders best interest in mind, understands CAPITAL is a priority, IMO.
2. BI and the CEO are addressing #1 because they have to = FACT
3. It takes time, forensic audits, research and due diligence, the painstaking exercise of legal responsibility to gather evidence and build a case[s] (if necessary) for malfeasance - the BOD is doing their job and Mr. Floyd is doing his. The alphabets and "American Registrar & Transfer" are a BIG part of the picture IMO. Read "john11" post re: the FBI and do the math.
4. The new BoD members are PROACTIVE. The BoD is AWARE. The BoD is EXPERIENCED. Read the DUE DILIGENCE resumes I posted on IHUB about the entrepreneurs, the capital raising executive recruiter with nanotech and advanced alloys experience with Allied Signal, the multi-billion dollar company head and Westpoint grad who worked on Star Wars and drones in our Pentagon, the Wharton Business School grad and NY licensed attorney w/ investment capital raising background, the White House Fellow and 20+ Army yrs. retired Col. w/ Dept. of State and Homeland Security experience, the BIW, LLC co-founder w/ 20+ Army yrs., now retired Col. who authored papers on strategic missile defense (sound familiar in light of N. Korea ?)- and has an office in our Pentagon. It goes on and on....
These are quiet, accomplished men who don't speak out of turn and practice Due Diligence. They are not swayed by emotional displays but by facts. FACT.
Are these the type of men to risk their lifetime reputations if KRYRON was a fraud ? What do they KNOW that so many keep forgetting ?
Does anyone seriously think these men are oblivious neophytes ? C'mon.....

JB's out of power, his shares are locked up from voting (escrow - but for a small percent) and he's behind bars...let the sales re-boot and fiscal misdeeds inquisition begin.
Metaphorically, I'm sitting in my favorite recliner with a 32 oz. Diet Pepsi and a XL size buttered popcorn in hand 'cuz the show is about to start...on all fronts.

Hmmmm.....judging from the high quality questions listed below mine I'm skeptical the 8 Ball was paying close attention....
Many believe that this .03 - .06 PPS level is another once in a lifetime buying opportunity or averaging lower opportunity like December '12 was for me.
The "JBT LED" deal is in limbo and after looking deeply into my KRYRON plasma coated crystal ball I can report the future is VERY cloudy...but I'm optimistic that ONE DAY the OUTSTANDING new BOD members and CEO will prove their value.
ONE DAY. How long from now is the question....
IMO:
1. BORK stock is going lower without new investors with new $$ coming in to buy shares.
2. BORK stock is going lower without new sales coming in to justify buying shares.

The Company for 18 mos. was struggling to co-develop non-defense related markets - we all know staffing and DoD contacts were minimal. You know "Ultra Armoring" was their only major testing / proven inroad and that fell thru in the final contract / deal- making process.
The new CEO at BI realized they needed sales help and in the last month Sean Floyd recruited and assigned Col. Mathis US Army (ret) to form Bourque Industries West (BIW).
We SHAREHOLDERS believe that is a move in the right direction.

The really good news from your standpoint: BIW will be handling ARMOR sales in the future so it would be logical to deal with them directly. DTC Chill update: We have received a questionairre back from the DTC. An SEC attorney is in receipt of this and is filing our answers. Bourque Industries also believes as we announced last year that going "Fully Reporting" will help with accountability as well. We are still in process with this and when complete will help elevate our position in the market.

I'm glad the BORK BOD has members of great business stature who are aware of the challenges BI and Sean faced and joined up anyway.
IMO - The new Board of Directors membership speaks VOLUMES about their faith in KRYRON's future. We should be gratified and optimistic about a new and improved Bourque Industries !!

JB is not known for self-control. I'm not going to bet but if I were I'd bet on more than three years - he's a serious bad behavior risk.
He'll need a lot of counseling to control his impulses to get out "early" for good behavior.

So far so good. Where is the specific "5 million common shares" of BORK noted for services to Mr. Schissler as the third party agent for the transaction ?
I can't find it.
I located a reference in the Aug. 31, '12 interim financial report about a 10% fee to "Ironridge" but no reference to "Pryenees".
"...Ironridge is entitled to receive 250,000 Bourque shares, plus that additional number of shares which have an aggregate “agreed” value equal to the debt amount, plus third party agent fees in the amount of ten percent, plus reasonable attorney fees,...
There are no indications in the interim report about the Bourque BOD seat award.
***Until today I was not aware that Mr. Schissler was the go-between for BI and Ironridge.
Then there is the fact Mr. Schissler is not listed as one of the recipients of shares in the Jan. 31, '13 report contradicts the 5 million shares "charge". Why is that missing if he received shares for services ?

Anyway you cut it I have some new concerns - confusing - some new questions - one more to add to the list.

You know I was never "happy" with the selling to "Fairhills" (nobody was) that got us in his DTC pickle, but it seemed like a "necesssary evil" at the time - and as long as the funds are accounted for as being used for operations for the most part...then the azzes running it turned out to be "evil" - period.
Those "Fairhills" shares are in the float now, too. Perfect.
But the "Ironridge" deal REALLY torqued my jaw. I can not see a good way out of that one unless someone buys back the note as a stipulated option.
A BOD seat for being the broker ? Undisclosed ?

The "Ironridge" deal is concurrently dated the same date of the SEC indictment of "Fairhills" - Aug. 22, '12 (interestingly) so it certainly did not help. BTW - Thanks for pointing out the link between Mr. Schissler and his other "Ironridge" clients - good work there.
It explains how he came to work with / for BI this week. The deal he brokered for JB / BORK is definitely the reason he is even on the board. The new members unanimously elected him Chairman of the Board at Bourque at their first meeting.
***As documented below, Mr. Schissler negotiated A SEAT ON THE BOD for $1M as part of the deal and that fact was not disclosed to the BORK SHAREHOLDERS.
The 13G Filing indicates only $778K was remitted to BI.

The evidence is too strong that the SEC did not wait for the "Ironridge " deal before they indicted and included Bourque on their list of companies that "Fairhills" wronged...that would make BORK too important to their filing.

Guilt by association is the common factor.
"Ironridge" is not charged by the SEC with any wrongdoing and therefore IMO - are not a factor in the DTC Chill of BORK. The folks at "Ironridge" seem to have their act together but I am not a fan of the deal JB arranged- as a SHAREHOLDER - 35M shares possible is too many = 5% of our company.

Some of those companies serviced by "Fairhills" have been given a death sentence of the DTC "Global Lock".
Let's hope BORK is investing the funds and legal manpower to fix the "CHILL" problem corectly and quickly.
Bourque Industries, our company, is now associated with "Fairhills Capital" unfortunately.
It's a shame but the self-inflicted damage of needing to raise capital due to poor sales is directly responsible for the necessity of dealing with shady companies like "Fairhills". Here is the reason for the DTC Chill on BI:
Improper and Unregistered sales of Restricted shares by "Fairhills Capital" after Mr. Bourque sold to them to raise money for operations. Several million shares were reconfigured illegally by "Fairhills" (removed Restricted legend did not register with company Registrar e.g. "America Reigistrar and Transfer" for BORK) and dumped the shares into the open market.
"As a result the SEC recently charged a "Fairhills Capital" and its owner with conducting a penny stock scheme in which they bought billions of stock shares from small companies and illegally resold those shares in the public market.
The SEC alleges that Edward Bronson and E-Lionheart Associates LLC (also DBA "Fairhills Capital")reaped more than $10 million in unlawful profits from selling shares they bought at deep discounts from approximately 100 penny stock companies.
On average, Bronson and E-Lionheart were able to generate sales proceeds that were approximately double the price at which they had acquired the shares. No registration statement was filed or in effect for any of the securities that Bronson and E-Lionheart resold to the investing public, and no valid exemption from the registration requirements of the federal securities laws was available."
"Fairhills" did this to about 100 clients, many on the IHUB board list below. They and BORK are now also "Chilled" by the DTC because of their affiliation with "Fairhills".

I LIKE BORK right now. The new BOD has an incredible resume of accomplishment that can only enhance BI's reputation. These are bright people that make things happen, are comfortable with success. They came onto the Bourque Industries BOD of their own free will a few days ago.
So did "BIW, LLC" just over a week ago....
If the NEW BOD members become "proactive" we could see an exponential incease in "power-player" client contacts.
The "BIW, LLC" team that Sean set up will be very busy...
I have to ask myself:
1. What is that possibility worth today ? .08 cents a share...hmmm...
2. If KRYRON is what I believe it is - and "JBT Elec." believes it is - and "Ultra Armor" likes what they tested and the auto industry like say a "Racing" company find value in KRYRON...
3. A new sales team "BIW", Sean at the CEO position, NEW BOD, no more JB in the mix...what are the chances of success ?
3. What are the possibilities worth "tomorrow" ? 100% return on investment (ROI) or .16 cents a share...more ? 100% return sounds pretty good to me...
After DUE DILIGENCE I'm making an "educated bet" that a few more shares of BI will be more valuable to me this time next year than the same amount of ...Oh, I don't know...say "Blackberry" shares.

DTC Chill update: We have received a questionairre back from the DTC. An SEC attorney is in receipt of this and is filing our answers. Bourque Industries also believes as we announced last year that going Fully Reporting will help with accountability as well. We are still in process with this and when complete will help elevate our position in the market.
This process takes a good 4-6 months and is a bear to get thru. It extends from the "Fairhills" and "Ironridge" deals JB originated last year. "Google" the DTC Chill removal process and you'll get a feel for the complexity.
JB is no longer around but Sean is doing his best to clear up some of the messes he left behind and regenerate client prospects JB turned off -

If "JBT Electronics" deal for a $252,000 Purchase Order with JB / BI is undergoing review for ITAR Compliance it is no doubt partly due to Mr. Humphrey, who he has also participated in “fact-finding” inquiries for the U.S. Department of State (ITAR falls under Dept. of State) and was a serving member of its Accountability Review Board (ARB).
Mr. Humphrey also was the committee chairperson of the U.S. Department of State’s Overseas Security Advisory Council (OSAC); and member of the (U.S.) President’s Export Council Subcommittee on Encryption.

DUE DILIGENCE: Bourque has their ITAR Export license. Since 1989, China is not approved for defense technology transfer. Like: Cuba, Iran, Somalia, North Korea, Syria, Venezuela etc.
BI attorneys are looking into whether BI will be violating ITAR by shipping KRYRON alloy products or powder to China...they are reviewing all legal avenues relative to Dept. of State oversight of ITAR and avoiding violations.

For about the fourth time in the last two weeks, here is what happened: JB worked w/ "JBT Electronics" in China. "JBT" liked the small samples they tested and signed a LOI and P.O. for $250K. So far so good.
JB goes to trial and is convicted, and appoints Sean Floyd CEO.
DUE DILIGENCE on the part of Sean Floyd, as a disciplined curator of our trust, leads him to review the terms of JB's - "JBT" deal and potential implications for SHAREHOLDERS.
He questioned if KRYRON alloy heat sink material falls under the responsibility of BORK to "to identify and account for ITAR controlled items/technical data the company handles" and might be a "high-risk transaction" or an "illegal export / retransfer" of technology.
If BORK is in danger of non-compliance, let's "fix" it. If not, Bourque Industries would face severe sanctions against the Corporation and responsible individuals....like Sean Floyd, CJ Condon, Sandy Berry, BOD members and JB of course.
SHAREHOLDERS would be VERY unhappy and our company would be in deep do-do if delivering pre-made ingots or rods of KRYRON (ostensibly for CNC milling heat sinks) results in the ability of China to melt them and forge a close semblance of our world-class, revolutionary "Terminator" ballistic armor.
I expect a PR after the attorneys reach a consensus either way. I won't be happy if the deal can't be finished to add revenues to BI, but I'd be depressed as hell if our soldiers ever faced China forces protected with KRYRON armor.
The U.S. gov't. / Dept. of State and our attorneys are not working on my timeline for decisions.
Personally, I'm pleased Sean and the attornys are doing their best to "COA" = "Cover Our Azz"

The body armor is W-a-a-a-y better, now. So many outdated and mistaken assumptions...KRYRON body armor plates no longer use titanium. They are weldable (see "Ultra Armoring" PR)as flat plates for vehicles and still stop AP rounds tightly spaced. The body armor uses FAR less Dyneemas than ever. They are that better than they were by far when they did the first NIJ06. Read KZMike's review of his attendance and meeting in Tucson with BORK for more updates.

My prelim DD on COl. Mathis background indicates he's never come up short at anything he's set his mind to accomplish. The proof: though retired he's still a trusted, valuable asset to the U.S. military or he would not still be at the U.S. PENTAGON.

Second, let’s see how Bourque's attorney’s suss out the JBT LED terms JB negotiated. I too am glad Sean’s team is looking out for we SHAREHOLDERS.
Third, BIW, LLC will require in-house support, sales lit and material support. All indications are BI needs funding for travel, demos, shows, R & D, testing etc.
Fourth, most posters here are invested in the FUTURE of Bourque. That’s where the sales revenues and profits for SHAREHOLDERS lie. Which is why I like “flatcats” FORWARD looking post re: $$$.
If Sean can bring financing by new angel investors to our table or renew interest of others that left in the last year he could be the savior of our company. Sean knows the players.

Correct me if I'm wrong, someone who admits to not owning stock recomends that our CEO preemptively admit wrong doing to the U.S. Dept. of State for publishing "Heat Sink" test results (that may or may not have been performed) by a company (they don't think REALLY exists) and remove all "embarrassing" links to relevant PR's from our company I-BOX (about companies they don't think exist) before our company changes the status publicly ?

As far as ITAR being a hold up....I'm leaving it to BI legal.
I don't know enough about the FACTS to theorize if the issues lie with Bourque or with JBT LED ITAR certification clearance... I do seem to recall that BI had been awarded ITAR cert.
Personally, I would never have been in favor of sending tons of powder (instead of pre-made ingots) and teaching them to forge large size batches of Kryron "Heat Sink" aluminum alloy in-house.
There is no control of the size and finished dimensions or how that material would be used.
As has been pointed out already: is it possible that "Heat Sink" Kryron alloy is pretty much IED and bullet proof too ?
