The outstanding OS count will be closer to 450-500M when all is said and done. That includes yorkville. And then reduce that number by whatever the RS ends up being. Very respectable, even dare say attractive.
I dont think of it as dilution at all. I think of it as a highly successful Public Offering, that raised $300m @ or near market value. Which also becomes our vehicle to the NASDAQ.
The price we are getting is current with market value. And the company walks away with a boat load of cash. And finally moves into building a mine.
I think it was smart to take this deal. The whole world will take NioCorp more seriously with $300M cash, on the Nasdaq, proven reserves, and now, coming to a theater near you, an NI 43-101 with REEs processing.

You are mixing up the SPAC merger, which brings ~$300M cash… with the RS to uplist, post merger, directly onto the NASDAQ.
They are not the same.
And its also fair to state the the Share count exchange with GXII is at 11 because the Spac is trading with only a 30M share count at north of $10, with market value north of $300M. So 11:1 is basically a match between cash value and shares given. Think of it as GXII buying the shares for a flat rate, and they are buying them direct from the company, and they are spending $300m on those shares.
I think for the Cash recieved, the value discrepancy between purchase price and current price is more then reasonable.
It is a complex deal, not everyone is meant to understand just how equal the value of cash in exchange for NioCorp stock. Id bust out the math, but its Sunday, funday.
And just to reiterate. The 11 to one merger with the GXII is not to be confused with the potential 1:10 RS to uplist.
This news release just gets my juices flowing. Not many times, in my 20+ years of investing, has a PR done it for me like this. Some really exciting stuff.

Results Support Feasibility of Separating Magnetic Rare Earth Oxides, Which are Vital to Electric Vehicles and Critical U.S. Defense Systems
CENTENNIAL, Colo., Feb. 6, 2023 /PRNewswire/ -- NioCorp Developments Ltd. ("NioCorp" or the "Company") (TSX:NB) (OTCQX:NIOBF) today announced that its demonstration-scale processing plant (the "demonstration plant") at L3 Process Development in Quebec, Canada has succeeded in producing a high-purity mixed rare earth concentrate from NioCorp's integrated demonstration plant. These encouraging results lend support to the technical feasibility of separating high-purity oxides of several key magnetic rare earths, on which the U.S. is presently 100% dependent, primarily from China, from ore comprising the Elk Creek Critical Minerals Project ("Project").
NioCorp's patent-pending demonstration scale rare earth extraction and purification solvent extraction process operation is ongoing in Trois-Rivieres, Quebec, using solutions generated by the upstream operations of the demonstration plant. The rare earths were then precipitated out of solution, producing a solid that contains 6% praseodymium ("Pr") oxide, 25% neodymium ("Nd") oxide, 0.35% terbium oxide ("Tb"), and 1.6% dysprosium ("Dy") oxide, with the balance of the solids consisting primarily of rare earths with minor base metal impurities.
Based on these results, and subject to additional demonstration testing over the coming weeks, L3's process engineering team have determined that overall recoveries for these four magnetic rare earths are likely to be greater than 92% and meet commercial purity specifications for magnetic rare earth oxides. These results are in line with bench- and pilot-scale testing of L3's rare earth recovery system, as well as hydrometallurgical performance models that have been run on the rare earth recovery process upon which the demonstration plant is based. They are in line with the Company's previous published success at demonstration-scale in producing high-purity Scandium oxide at an overall recovery rate of approximately 92%. Scandium behaves very similarly to rare earths in solution while it is being separated and recovered into a high-purity oxide product.
L3 is currently completing the assembly and commissioning of additional solvent extraction steps that will be run in concert with the rest of the demonstration plant to confirm these recovery numbers.
NioCorp is currently focused on demonstrating its ability to recover three high-purity rare earth products: (1) neodymium-praseodymium oxide, which is the principal component of neodymium-iron-boron ("NdFeB") permanent rare earth magnets; (2) dysprosium oxide, and; (3) terbium oxide. Both Dy and Tb oxide are critical to the type of powerful NdFeB magnets used in the traction motors of electric vehicles. However, very little of these high-purity separated rare earth products are made outside of Asia.

As no economic analysis has been completed on the rare earth mineral resource comprising a portion of the Elk Creek Project, further studies are required before determining whether extraction of rare earth elements can be reasonably justified and economically viable after taking into account all relevant factors.

I believe the shear Value growth, thru milestones, and market awareness, institutional investors, and eventual processing of REEs… will more then compensate for a few sellers along the way.

Dont mind the daily fluctuations. Some indicators max out on these types of runs, and certain “traders” cant help but capitalize. In the long run they will try to “capitalize” and be left paying much more for less shares.

Edited. So lets do some math on that.
Lets say the principal and 10% discount repayment ends up at $100M with the interest and yadas.
Lets say the worst case, they convert all $100M at NASDAQ minimum $5.
That is a total OS growth of 20M shares. An Overal Increase to the current OS of ~7%
At $10 average(easy by converting date) the total OS growth is 10M shares. And overall current OS increase of ~3.5%
Perspective on the “doom and gloom” words. Of course: This math is reaching Nasdaq with current SS. Which i do believe is likely. Otherwise the number changes to $50(@1:10 split)at conversation date. Which again, depending on split ratio, is extremely possible shortly after up listing.
Those are my numbers and im sticking to them.

I fully expect it to fall between the market average of 3%-5%(up to 8%) of the generated cash flow. So with using the annual net income minus net change in retained earnings = dividends paid formula… with an already projected Ebitda of up to $800M… it could get spicey… and grow.
Especially since the number in OS count will be no where near that. I figure a bit more then half that. I also suspect at one point, our annual dividend will be worth every penny we are spending per share now. Or at least near it. Weee. When you think about what the FS says the life of mine length is, from memory: 30+ years, Just gets exciting. And it is a certainty that number will also grow.
But that will take vision and patience.

Let me try to be even more clear. I think NioCorp, just with its own assets, today, should be worth $4-5 currently. After GXII merger and Nasdaq uplist, remaining financing secured, i believe fair market value would fall between $8-10. Even higher with DoD contract/funding(or the like). And as the mine gets built and put into production, a steady climb to a stable $50. Lets not forget the size of the reserve is still unknown at its depths or widths, so the numbers will only grow. Proprietary processing can have leasing value. Also Intangibles can send this much higher. Next Tesla? Lol. Who knows. The market always decides. Its certainly a very secure investment at this ridiculous market cap.
All calculations are based on current Share Structure.
Let me be clearer, please. $5 is not my goal in 3-5 years. With current SS, $50 is my goal in that timeframe. And really, my true goal is dividends. Just as I stated in the post replied to?
I think $5 should be now. Just with the value of our proven(and growing) reserve, permits, patents, ect.

I personally think its very smart to wait for the NASDAQ world to see the updated FS, that hopefully inculdes the REEs and updated mineral prices. If I had the long term interest of the company and shareholders at the forefront, id do the exact same thing.
