That’s right, and if the company even considered an RS then all of those restricted shares will be wiped out. Plus those recent dilution restrictions placed on Alpine Securities has put an end to BMIC’s toxic selling on NOUV, although his dilutive presence still existed on other stocks. The rumors have been holding true so far.
Lately I’ve been seeing rumors floating around that this past Friday was the last day for any and all toxic selling by BMIC throughout the OTC. If it all holds true, then this week we may start to see some interesting movement imo.
If the noteholders can’t sell at bottom price then how can they make money? There should only be one direction from here imo.

New Clearing Rules Could Mean Short Cover Rally In Some Microcap Stocks
(NEW YORK)–New clearing rules imposed by Alpine Securities last week could spell the end of the “toxic note” scourge, and possibly mean a short-term short cover rally in the most beating down issues.
Alpine Securities, which is one of the last clearing firms to clear shares in small micro-cap issues, imposed new rules Friday on clearing shares to market that some have labeled the “Friday the 13th of Notes Massacre“.
Alpine joined the likes of COR Clearing to impose new rules that all but kills the toxic note industry. In short the new rules as we see them is no note conversion deposits will be accepted for issues that trade below $0.01 per share, and may not exceed 20% of the previous 20-day volume average in the stock in question.
This new rule will be a big move in killing the toxic note industry that has destroyed so many micro cap issues over the past few years. But short-term some micro cap plays could see their stocks rise in what they call short covering rallies.
Some note holder shorted the issues they were funding knowing they could always use the conversions of the notes they hold to cover any short positions on the way down. Now this may only be a small % of funders who did this execution, but if notes are no longer able to be cleared like before these shorters, or market makers, will be required to cover said positions with their own cash now, or risk major losses.
Short-term this is a very positive move for micro cap issues as this may remove extreme selling pressure in some of these issues. For shareholders this is even a bigger win as this will now control the level of sharp dilution growth in any one issue over a set period of time.
Longer-term though this could be a real death nail for some smaller micro cap issues as this will all but dry up emergency funding sources for this sector, and could mean a total revamp of how these small stocks fund themselves.

And yes, there was dilution due to note holder conversions from past debt. Please update your DD to account for these new dilution rules. Otherwise, this information adds to the fluff that you are talking about.
That sounds like a great trade off to me. Volume will definitely be more genuine now, and honest companies will stand out better. Toxic dilution may have finally hit the floor here in the OTC pinks.

That’s right TP, this has needed to happen for a while now. I like what I’m hearing about these new rules. If this recent information is all true, then there is only one direction for stocks like NOUV imo. The downward pressure from toxic dilution can’t hold stocks down anymore.
This’ll give real companies a chance to succeed instead of being held back by old debt from a stock’s past and previous owners.

Yes, it wouldn’t surprise me if management wanted to wait until the new dilution rules were put into effect before releasing a PR. That way, they can raise the PPS easily without the toxic debt holders pushing it back down.
If what other posters say about a PR being ready to be released is true, then it makes sense to wait until now.

The SEC worked pretty hard to take Alpine down. Because of this case, I bet the SEC will be keeping a very close eye on similar money laundering tactics from this point forward.

Interesting read, thanks for posting. The good thing is that it will take time for companies to seek other forms of toxic lending like this one you mentioned. And at that point hopefully the SEC will take notice.
In the meantime, we should start to see a little more honesty from company releases and preservation of pps. Since the focus will no longer be on toxic noteholders selling floorless debt.
Exactly. In order for NOUV to RS, they must first become current. In order to become current, they will release filings. Logic tells me that once NOUV starts to release filings, the pps will start to move. With these new restrictions on dilution, the pps will move upward without constant dumping from the noteholders.
NOUV will not have any reason to RS at that point imo.

Your opinion has been noted and made. I’m not here to deceive anyone, nor am I here to influence anyone to buy or sell. I just wanted the truth in this case. Dilution is a topic than can be interpreted either positively or negatively, I understand that. But when you come out and state that the “company is dumping shares” then that is simply not the truth in this case. I agree with you that it’s the company’s fault for having toxic debt in the first place, and that’s nothing new here in an OTC land full of 99% scams.
I am focused on the entity that’s diluting. Because I want to understand how it’s happening while the company is not current with filings. If you claim to be doing your own DD then I’d rather be seeing more facts.

I understand that, but that’s the way toxic debt works. There’s a written agreement for those shares to convert once they reach the conversion date and beyond. The company doesn’t “hand” these shares to the noteholders, but rather the noteholders acquire the shares from the company. The loan agreement dictates what happens.
To say that the company themselves is diluting is still a false statement. Directly or indirectly diluting? If the company is somehow making money off of this dilution then it defeats the purpose of taking out a loan (with interest) in the first place.
When loans with toxic notes are already past due, what other options are there? So you’re blaming them for settling debt? Don’t stray from the main point. You’ve been saying the company is dumping shares and diluting, when in fact the noteholders have been diluting. So that’s been a false assessment. Due to Rule 144, the company cannot even indirectly dilute here!
Directly or indirectly? That means you’re assuming every little bit of dilution is always the company selling. Why would the company take out a toxic loan for money, only to turn around and dilute their stock? Doesn’t make sense. That wouldn’t be worth it considering how high the interest can be.
To each their own, but I think the noteholders have been holding this stock down. When you gotta pay noteholder bills, NOUV had no choice but to raise the AS.
I'm talking about Rule 144, regarding selling securities. You're saying that the company is dumping shares, yet Rule 144 (in a nutshell) says that the company or anyone affiliated with the company CANNOT sell shares unless they are current with their filings.
Logic tells me that it must be a non-affiliated entity that is selling, not the company. Toxic noteholders are non-affiliated. Toxic noteholders are not the company. Also, there have been no t-trades today, and BMIC was nowhere to be found.
The dilution seems to have halted on a day that new dilution restrictions were placed on Alpine Securities. Alpine is a top OTC toxic noteholder. Alpine also uses MMs like BMIC in order to dilute. Do you not agree that this dilution could possibly be coming from toxic notes and not the company?

BMIC is not gone, BUT his aggressive dilution is gone. That's the important difference. That's why we don't see him on NOUV, because he was solely being used here by toxic noteholders to dilute imo.
BMIC is still an MM, and he can still be used like any other MM. But with the dilution restrictions put on Alpine, we shouldn't see him anywhere near as often anymore imo.
