A new Wave of trusted computing for Intel motherboards?

Following an agreement between Intel and Wave Systems, security software and services could in future be bundled with an Intel desktop motherboard. Specifically, Wave's Embassy Trust Suite will be deployed.

as I understand this (and I still need some clarity)
INTC is bundling the Wave SERVICES with their motherboard.
NSM is paying licensing fees for the IP in their Safekeeper TPM.
On a venn diagram they are separate (but adjacent) sets.
NSM will bay the 'less-than-a-buck-and-more-than-20-cents' licensing fees.
INTC will pay Wave a royalty to load the software (then wave gets the revenues --$30/year?-- from those that activate).
ohiosooner, I hate to nit-pick, but that was only 9 splits, and 100 shares would end up being 10,125 shares.

longride, impossible. I've spent a few hours over the past few days trying to sort this out, but there are too many unknowns. Monday I will try to find out from Wave if they can/will share what the revenue model is.
c2, my point is that the part of wave that they are paying a royalty charge for is, as I understand the PR, the Embassy Trusted Suite. It is far cheaper for INTC to pay the royalties than it would for them to buy the company.
Buying the supplier of the IP does not usually not make economic sense, unless the value of the company is tied entirely to that particular IP.
guys/gals, let's not jump the gun.
Intel is not putting EMBASSY on their motherboard, at least not with this PR.
Intel is ensuring that all TPM services on their motherboards are standardized to Wave's EMBASSY Trusted Services Whether it be an NSM, Infineon, IBM, etc. TPM, Intel will bundle the Wave Services that will make those TPM useful with their Motherboard.
Been reading some of the insect boards, and there are common arguments against Wave there.
1) The "This ain't no big deal for Intel", also seen as the "Intel makes deals like this every day", point.
Well, I will freely admit that the deal has far more significance to Wave (and it's shareholders) that it does to Intel. But I wouldn't diminish the gain Intel gets from this. I tried to email Nancy Summerall (Manager of the Trusted Computing Initiative at Intel) a couple of weeks ago, but I couldn't get her email correct (the format is usually firstnam.lastname@intel.com). My contact in Portland is/was on vacation and couldn't verify it for me, and the emails returned to me. Essentially, my question was if Intel had any plans to make the TPM process mandatory. A trusted network is useless if some elements can't be trusted. ALL links in the chain need to be secure. The deal Intel has made with Wave answers this question (and when my contact comes back from his trip, you can be sure I'm going to grill him.) Intel is ENSURING that all of their trusted computer motherboards are standardized with Wave. Sweet.
2. The "Just another PR, like all the other PR's, lots of sound and fury, signifying nothing" point.
Easiest to counter. Just READ the PR.
Under the agreement, Santa Clara, California-based Intel (NasdaqNM:INTC - News) will embed Wave's software in a future Intel motherboard -- the internal chassis that holds the chips and other circuitry used to run personal computers.
Financial terms were not disclosed.
Intel will introduce the new motherboard, designed for use in desktop business PCs, in the fourth quarter, said Intel spokeswoman Laura Anderson.
Wave will receive royalties on each motherboard sold, company spokesman John Callahan said.
3 The "Intel would buy Wave outright if it was a real company" argument.
It's true that Intel acquires companies that fit their portfolio and growth plans (Trillium comes to mind). However, I don't think, for Intel, that is is any more than a service to implement. If they can get the service that they want, for a licensing fee, and that service is a subset of the entire company, why spend the money to buy the whole enchilada?
There is also the "Swiss" neutrality argument, but that doesn't hold as much weight with me here.
4. The "What a joke, they only had 16k in revenues last quarter" argument.
No counter to this than the fact that everybody has to start somewhere. And what better place to start than Intel. Actually, the next Q numbers (to be released within the next two weeks MIGHT put an end to this one.

The Series H Warrants have a five (5) year term and an initial exercise price equal to $1.13 per share. Commencing eighteen (18) months after April 30, 2003, Wave may call up to 100% of the Series H Warrants if the market value of its Class A common stock exceeds 250% of $1.13 [edit, that.s $2.835] (subject to adjustment pursuant to the terms of the Series H Warrants) for a minimum of fifteen (15) business days during any twenty (20) consecutive business day period.
And then...
Dividends on the Series H Stock accrue on the initial liquidation preference amount of each share ($10,000) at an annual rate of 10%, increasing to 12% on April 30, 2004. Subject to certain conditions, each share of Series H Stock carries a mandatory conversion provision whereby if the closing bid on Wave's Class A common stock exceeds $1.90 for 15 of 20 consecutive trading days, the Series H Stock shall automatically convert into Class A common stock at the conversion price then in effect.
Need some help here...
If Series H convert to A because of the '1.90 for 15 days' clause, what happens to the Warants???

I will grant you that the doors are now more open. INTC has absolutely validated Wave. But they can't sit back on their 'laurels' now...
