I wasn't being dismissive and condescending, as you put it. I just thought it was funny that you asked for opinions, not once, but twice, and then when someone did respond, you called it crap. Thought is was ironic, that's all. And as far as addressing that other poster...he was making negative speculation without facts. When asked for facts/link to confirm, he continued to be dismissive and condescending, just as you called Big Dogs.
Done with this. Let's just say that I'm optimistic with my Paivis investment and your negative about your Paivis investment. And I won't address your posts and you don't address mine. DEAL??

Esprit Financial Group Inc. (Esprit) (EFGO.PK) Completes Acquisition of Check 21 ChinaMonday July 2, 9:00 am ETLAS VEGAS, NV, July 2 /PRNewswire-FirstCall/ -
Esprit Financial Group (ESPRIT) (EFGO.PK) www.espritfinancialgroup.com, announced today after the markets closed that it has finalized the acquisition of Check 21 China.Garr Winters,

When you add Jack Chang to the mix, we have an outstanding and accomplished team working in an industry that is just hitting the momentum growth phase in China and other developing markets".Winters added, "If the heavens are aligned right, and Global Vision completes their acquisition of IEXPay (Jiangxi), Esprit will end up with a significant position in IEXPay's development as well.
One only has to look at the recent stock price of Global Vision (GVHL:PK) to see the value being placed on this outstanding business opportunity".Robert Xu added, "We are also very pleased to have consummated this deal.
Esprit brings very valuable business experience to our Company. We think this gives us the bench strength we have needed to manage the rapid growth anticipated. This will allow us to concentrate on business development to take advantage of the huge market opportunity that awaits us in China".

I understand that some of the EFGO staff are going to stay in China for well over a month. I wonder what could be going down that they would have to stay for so long. I guess that the following PR will explain it all. I'm guessing also that it will be the BIGGEST PR that the EFGO world has ever seen. Michael described it as "To the Moon"?
This is total speculation, but the possibilities are either a
(1) A BUYOUT
(2) A R/M, which is the acquisition of a public company by a private company, so the private company can bypass the lengthy process of going public.
(3) Perhaps a monster contract of some kind.
I am leaning towards #1
And if I had to guess, it would be at least a 10 bagger. : )

AP:Panama Ratifies Free Trade Deal With US

Panama's Legislature Ratifies Free Trade Agreement With US Amid Protests by Leftists, Famers
PANAMA CITY, Panama (AP) -- Panama's legislature ratified a free trade agreement with the United States on Wednesday amid protests by hundreds of leftists and farmers opposed to the deal.
The National Assembly's approval of the pact by an overwhelming 58-3 margin, with one abstention, comes two weeks after it was signed by both governments in Washington. The agreement must still be ratified by the Democrat-controlled U.S. Congress.
"The treaty is a positive step for Panama to become an important exporter," said lawmaker Pedro Miguel Gonzales of the ruling Democratic Revolution Party.
In Washington, U.S. Trade Representative Susan Schwab applauded the agreement's approval.
"This swift action taken by Panama means that they have fully accepted the provisions of the May 10th Bipartisan Trade Agreement," Schwab said in a news release.
On May 10, U.S. lawmakers forged new trade policy guidelines that require free trade agreement countries be committed to adopting and enforcing laws that abide by basic international labor standards.
Opponents of the free trade treaty, including farmers and unions, say Panamanian producers cannot compete with their U.S. counterparts.
"This accord is a disaster for products and it benefits the oligarchy," said Enrique Athanasiadis, leader of the National Agricultural Organization.
About 400 protesters gathered outside Panama's legislature but left without incident after a couple of hours.
A majority of U.S. Democrats have opposed most bilateral free trade agreements in recent years, contending the deals negotiated by the Bush administration are weak in requiring trading partners to address such issues as child labor, workplace discrimination and environmental degradation.
President Martin Torrijos has said Panama will not have any problems meeting the new guidelines.
Bilateral trade between the United States and Panama totaled $2.1 billion in 2003, including $1.8 billion in U.S. exports. Almost half Panama's imports come from the United States, and U.S. foreign investment in Panama totals roughly $25 billion.
IMO the CEO and IR
Are top notch. Just read the PR's in the I-Box and look at the financials. The CEO has a plan and is implementing this plan to make PNMS a World Wide Name.
The PDR Exchange is dealing in regions that have huge growth potential. Everyone gets excited when they here about China and the potential there. Well you have the same potential here in PNMS.
Yet posters will try to tell you otherwise for their own selfish greedy reasons.

Paivis Corp. Shareholder Update July 9, 2007
via COMTEX
July 9, 2007
ATLANTA, GA, Jul 09, 2007 (MARKET WIRE via COMTEX News Network) --
Paivis Corp. ("PAIVIS" or the "Company") (OTCBB: PAVC) confirms that many of our shareholders have advised us that certain online brokerage firms are not allowing shareholders to buy the Company's common shares ("Shares") in the open market. Particularly, we have been made aware of a letter from TD Ameritrade stating this to some of our shareholders. The Company has contacted several online brokerage firms, including TD Ameritrade, and we have still not yet received a reasonable explanation as to why these online brokerage firms are denying their customers the opportunity to place purchase orders for the Company's shares. We understand that this policy by certain online brokerage firms is not interfering with our shareholders' rights to place sell orders for our Shares. We will continue to monitor this situation and take whatever reasonable steps we can to encourage firms with this policy to permit buying as well as selling of our Shares.
Recommendations/Requests: In light of the above, and for the best interests of our shareholders, as well as maintaining an orderly market in our Shares, we recommend that our shareholders consider the following actions if you are affected by any online brokerage firms' policies with respect to our Shares.
-- There are many other brokerage firms that will execute your purchase orders and we suggest that you open new accounts with the firm of your choice. -- Order out your Shares in certificate form by making such a request to your broker.
Greg Bauer, CEO Paivis Corp., comments: "We appreciate the comments received from our shareholders and we are continuing our efforts to ensure that your Shares are traded in an orderly fashion. In fact, ordering out your Shares in certificate form may also prevent your Shares from being borrowed for the purposes of short selling, which is another serious issue the Company is being vigilant about due to our feelings that there may be imbalances in our share structure which is possibly a result of the abnormal trading history in our Shares since over a year ago."
About Paivis Corporation

Paivis generates its revenues through the sale of prepaid calling cards and wireless services, and international wholesale termination. Here is my Opinion
These are US Banks going to do business with EFGO a Pink Sheet Company. Now why is that?
It may be because EFGO is a sound company with a business plan.
IMO EFGO gets bought out.
Esprit Financial Group Inc. Announces Three US-Based Banks' Interest In Check 21 Service Options for Chinese Market
LAS VEGAS, June 27 /PRNewswire-FirstCall/ - Esprit Financial Group Inc. (ESPRIT) (EFGO.PK) www.espritfinancialgroup.com is pleased to announce that Wachovia Bank, with $706 billion in assets, has expressed interest in providing Check 21 processing services for Esprit's AEFM division both domestically and internationally.
Wachovia joins Herring Bank and Regions Bank in committing to processing Check 21 transactions on behalf of Esprit's client base.
Esprit's AEFM division head Jack Chang commented: 'All three US-based banks have now committed to doing business with us. While details are not finalized with Wachovia yet, they bring the added benefit of having branches in Shanghai, Taipei and Hong Kong, with representatives in Beijing and Guangzhou. We will wait to see how the figures work out. Having a front line presence in the Asian market is an important, if intangible, benefit.'
As previously disclosed, initial analyses suggest the revenue potential from Esprit's Check 21 service could reach USD $12-$15 million from the Chinese market alone.
Mr.Chang added: 'With plans to return to Beijing on July 15th to initiate the first pilot program, our banking partners are seeing the tremendous opportunity resulting from the recent acquisition of Check 21 China.'
Esprit CEO Garr Winters added: 'Business developments on this front are progressing extremely well. Of course, we must bear in mind that business protocols in China differ significantly from our North American expectations. We are fortunate to have both Jack Chang and Robert Xu in a position to navigate the cultural differences on Esprit's behalf, and ensure that we meet all of the expectations of our clients within the Chinese market.'

To be honest, i don't think this board or any other board causing any sell off, I do believe investors can cause a sell off,,,lol,,
Listen up....the problem is very simple ....if a ton of shares were given out to keep the company afloat before the change of command with MR.Garr..then that explains the stock price, and the company im sure projected this......
Now, at the levels of .0002 and .0003 there were many who bought millions, 50 to 100 million, many of us did that,,
Now, there many reasons a person sells, time, cashloss, or the next hot stock, if you know efgo is in limbo for a week or two, maybe you sell 30 or 50 mill, and try to catch a mover, and get back into the game later in the week......
The bottom line folks,,, This company is really trying to increase shareholder value, and with all the great news, many of you focus on IR or pinksheets,,, as far as the stock being .0009 .....that was a computer glitch, many times, i have held a pink where for 5 or 10 minutes Im a millionaire, untell the correct it....so thats from experience....there was no sell off, just people shaken some shares.....
As far as IR ...please, if the company is letting her go, or moving her to another position, thats none of are business, maybe the company not happy with her or there having issues, who knows, but i say its pretty safe, that no one caused her job to be in question.....
As far as sell offs and so forth....people, there way to many shareholders who own millions and millions of shares, and millions....
So until contracts are signed
Until the os and float are tightened
until ALL rev streams are up....
we maybe range bound,,,,,
and thats fine with me........i will wait a year to be a millionaire, i will wait two years, but
Remember ...STOP SECOND GUESSING THIS COMPANY......there a right way to do it and a childish, bitter way to do it.......

Shankman impressive post
IMO this region is underestimated. IMO this is the beginning in a huge growth area the same as China IMO. The difference it is in our USA backyard.

First a SEC Complaint should be filed. If enough of you do this the SEC will take note on why some brokerages have complied but others are not. At least you will have your case documented.
I would call the NASD http://www.nasd.com/index.htm
tell them you situation maybe they can direct you in the right direction.
The SEC also has a number for irregular trading in a stock http://www.sec.gov/
try these and let us know what you find out.
I also believe that when the culprits are caught they will be forced to buy back the shares from the company.
What happens from there I am not sure I would think a class action lawsuit against the brokerage is in order.
Accumulate all your documents and e-mails in case needed.
*****************************************************
To anyone who can answer this:
Now what happens say if PAVC goes to $20/share and the people with Etrade are not able to sell there shares cause Etrade does not have shares to give them? Do the shareholders have a ground to stand on and demand anything from Etrade or are they just out of luck? Any and all inputs welcome.
causeimdaddydamnit the shareholders have had plenty
Of time to do what was instructed by the Company for the guarantee.
For those of you that have not done this already it was done on your own discretion for what ever reason.
So if you lose out on something the Company has offered it is on you and no one else.
Read the press releases and the I-Box above it is all there.
Don't IMO listen to know it all posters who offer nothing but Bull. You can pick these posters out quite easily.
***********************************************************
Obviously it WAS information overload for you, because they are not going to stop accepting certs next week, nor declare the remaining "phantom" shares. The only real date in question right now is how much longer will they offer the guarantee?

Latin America's real estate Panamania
Tuesday, July 03 2007 @ 01:32 PM EST
Contributed by: Don Winner
Views: 230
By Eliza Barclay for Fortune Magazine -- Off in the distance, where Panama Bay becomes the Pacific, container ships loaded with merchandise bound for the U.S. bob in the haze. Closer in, a flock of construction cranes hovers over densely clustered high-rises. Fourteen stories below, on Balboa Avenue, cars inch along, their windows sealed tight against the sweltering heat. The view belongs to Jim and Imogene Buckley, a retired couple from Greensboro, Ga., who purchased their one-bedroom condo a few years ago, before it was built, for $140,000. The apartment, which they'll use every other winter month, alternating with another couple from Wyoming, gives them a ringside seat overlooking one of the world's hottest real estate markets. "Panama looked like a good investment and a place to have a good time," says Jim Buckley, 76, a former U.S. Air Guard pilot, while admiring the view. "You don't need a lot of sense to see that it will increase in property value." (more)
Panama City is in the midst of an unprecedented real estate boom that is transforming the skyline of this once-sleepy Latin American capital. More than 30,000 units worth about $5.7 billion have come on the market since last July, according to Paul McBride, CEO of Prima Panama, a real estate marketing company.
That's a lot of condos in a country where the total economy measured $16.2 billion last year. And the boom shows no sign of abating: Among the showiest of the new projects is the Ice Tower, a 106-story luxury apartment building and Hilton Hotel complex that will be the tallest building in Latin America when it is completed in 2011. Even Donald Trump has a project on the boards.
Part of what's driving growth in Panama City, where the median apartment price recently surpassed the median home price in the U.S., is a wave of retirees from North America, like the Buckleys, looking for a place in the sun. So far, few Americans have moved permanently, but many are buying second homes or just plain speculating. Europeans are here too, and there's plenty of new wealth in Latin America, in places like Venezuela and Colombia, looking for a safe haven.
Call it Panamania. Is it a bubble in the making, or the rise of a new Miami? Despite the abundance of cranes around Panama City, only about 10 percent of the projects being sold are under construction, says McBride. "We're not even seeing the construction boom in Panama yet," he says. "This place will look like Manhattan if all these projects come to fruition."
Certainly the decision to spend $5.2 billion to double the width of the Panama Canal, the country's biggest source of revenue, is a sign of Panama's prosperity. The addition of a new lane and a new set of locks will allow post-Panamax container ships, the world's largest, to pass through the canal. "The expansion of the canal has woken up the curiosity of a lot of people," says Saul Faskha, the local developer of the Ice Tower and one of Panama's biggest boosters.
Panama's economy has been growing at breakneck speed - 8.1 percent last year, compared with 6.4 percent in 2005 - and the government finished the year with a surplus of $576 million. Exports from Panama's free-trade zone, the second largest in the world after Hong Kong's, have helped fuel the growth. The U.S. Congress is expected to sign a free-trade agreement with Panama sometime this year, which should boost exports even further. And several multinational corporations have moved or are moving their Latin American headquarters to Panama City, including Caterpillar, Sanofi-Aventis and Samsung.
Consumer spending has also swelled, the banking sector is strong, and 40,000 new jobs were created last year. All that is good news for the government of Martín Torrijos, son of former strongman Omar Torrijos, who ruled Panama from 1968 to 1981.
Unlike his father, the younger Torrijos came to power in a fair election in 2004. And unlike his father, Torrijos doesn't have to deal with a U.S.-occupied Canal Zone: Panama took control of the canal in 1999 and has proved adept at running it. Gone, too, are the U.S. troops that toppled another dictator, Manuel Noriega, a corrupt former general who is nearing the end of a 17-year U.S. prison term for cocaine trafficking.
Rumors that Noriega might want to return to Panama have cast a cloud over an otherwise bright mood. But the country, 36 percent of whose population lives in poverty, has other problems to deal with. For one thing, says Torrijos, during a recent trip to a small mountain town, "there is a huge demand now for a skilled workforce."
Indeed, a labor shortage has already helped slow construction activity in Panama City, and developers are concerned that other factors may hinder the completion of projects. Materials and equipment are in high demand, from rebar to cement to earthmovers. The construction frenzy has also put a strain on the city's infrastructure, and the government is struggling to build enough roads, water-treatment facilities and other projects.
One big problem: All of Panama City's sewage is dumped into the bay, and a treatment plant won't be completed until 2009. "Panama has grown very, very fast - we didn't anticipate this," says Ubaldino Real, Minister of the Presidency. "The government has had to take out more money to be able to act much faster to build roads."
But that hasn't dampened the enthusiasm of people like José Manuel Bern, director of sales and projects for Empresas Bern, one of Panama City's oldest and largest developers. The company's Bayfront Tower, completed in April, is among the first buildings designed for foreigners - distinct from those built for locals because they have balconies but no maid's rooms. Bern says that he sold nearly all the apartments in the tower four years ago, and that units that originally went for $130,000 now sell for $330,000. "We used to be very focused on the local market," he says, "but now I sell to a foreigner every other day."
Prima Panama's McBride and others are worried that the building boom is ultimately going to exceed demand. "I do not think there will be sufficient buyers to absorb capacity, if in fact capacity is delivered," McBride says. "When you see prices going up, driven by speculative investors, that points to a bubble."
Try telling that to Adolfo Olloqui, a Spanish developer whose company, Grupo Olloqui, is building what will be one of the tallest luxury towers in downtown Panama City, the 77-story Palacio de la Bahia. "Panama is the Miami of the future," he says. "With the visa problems in the U.S., South Americans, Central Americans and North Americans will want to come here to do business and to live."
Or try telling it to the Buckleys, who at least have a splendid view from their new Panama perch.

PAVC actually is somewhat undervalued at these levels - the sector average is a price/sales of 2.61. So PAVC's market cap is a bit low...should be around $17.5 million IF they are achieving "industry average" performance. That would put the PPS around $0.57.

Opinions wanted on Rule 144's
I have some thoughts On posting the 144's information here on the message board.
I am against putting the names of the party involved who have submitted their 144 shares for sale.
To post the name of an average shareholder suggests a privacy issue and IMO can lead to an harasement issue or worst.
The internet is a different world today, you can get information on the internet using a persons name, this is dangerous IMO.
For these reasons I do not think it is wise in posting one's legal name on a message board.
How do others here feel about this important issue.

An update of sorts -
But first, let me say this:
I know that quite a few of you have questions of the company. Further, I realize that there is quite a bit of anxiety as to things not yet revealed to us. That being said, Theresa in IR has recieved e-mails from SOME investors that are abusive, belligerent, and even profane. There is no justification for this type of conduct from anyone. She asked me to convey to the board that those sending in those types of e-mails will not recieve a reply to their queries now or ever. Period. They will simply be met with the "Delete" button.
OK, on to the update. MT met with DeSimplex this morning to iron out the problems with account activation in the PDR Exchange. Prior to today, your account could not be activated until it was funded. That is changing. Once you create your account, you will be able to log in and "look around", even though you obviously can't buy or sell anything.
Some have raised the question as to whether the "buys" in place during the first part of the weekend on the exchange were generated or funded by the company. They were not. Those were legitimate buy orders that were in place at the time the exchange opened.
This leads to the next question on many of your minds, "Why does it appear that activity on the exchange has gone stagnant since the weekend?" The exchange is a 6 day "young" baby. Following the opening of the Exchange last week, numerous foreign individuals and corporations have committed to participating. It takes time for those accounts to be set up and fully funded. Once this happens, liquidity will not be an issue. Quite simply, "the game can't really start until enough players are on the field." The "players" are "suiting up in the locker room."
Wire transfers...." I's are being dotted and T's crossed" to make this procedure flawless. The time line has not changed for the initial transfers..."within 2 weeks". For those who sent them, we should recieve e-mail confirmation of receipt of our wire tranfer instructions very soon.
Bottom line...we're going to have to sit back and wait for some of these issues to work themselves out over the next 1-2 weeks. There are things that have to be in place for certain things to happen, and no amount of bitching is going to change that. Those that sent certs in took a huge step of faith, and nothing has changed. Our investment is secure and it WILL pay off.
'meffoos common sense logic, i agree
Hey you guys ,I have reading all your post and each of you have good points to be made. What I see is mind games being played by the brokerages and MMs.Remember the GRAND FATHER CLAUSE was canceled by the SEC on june 15.They go on the books by AUG.15.That gives the shorters 31 trading days to cover,so the clock is ticking.I can not tell you what to do, but my guess is they will stall to frustrate us to sell early.I do know there was a short in JPHC before they got bought out. Then the screw up with the brokerages and restricted shares and made the short worse than it was already. There has been 2 attemps to cover, one large and one small. So I figure there is still resonable good short in this stock.I ma not going to say any how high it will go,but remember there has been a 200/1 split so we are talking $s.

'A Friend I hope you get them
It appears to me that some shareholders may not get their restricted certs due to the brokerages greed and corruption.
this is IMO and some others here. I would keep pressure on these brokeages and do a SEC Complaint now. To much time has passed. it is up to you the shareholder to take steps in your own behalf.
No one else can do it, you have to. it is a shame you are owed something and the brokerages keep stalling telling you different stories to keep you hanging on.
IMO the numbers are not matching up that the T/a has and there is a lot of shares that do not exist.
Phantom shares the brokers created and will have to buy back from the company.

herbalife13 ... I agree that there is something fishy going on with some of the brokers. Due to E-Trade's stall tactics, I still haven't received my PAVC cert. I'll be interested how long it takes E-Trade to process the PAVC certs, if they actually get them from the TA next week. I was told 7-10 days, which seems excessive to me. Anyway, something doesn't seem right IMO.
P.S. - E-Trade SCUKS!!!
A friend you prove my point

Here is something to ponder
What happens when there are no more restricted certs to mail out to the shareholders.
For instance why is e-trade and TDA not already sending out their Restricted Certs to their clients.
Why do you think PAVC management has taken the direction they are, look at the PR below.
.
Now what happens when the brokeage firm or firms are caught in their illegal transactions that they did with PAVC.
I will tell you, the brokerage firm or firms being unable to send out the restricted certs due to the numbers not matching up with the T/A numbers will have to buy all those shares back from the Company PAVC.
Now what do you think this will do to the SP.
Ponder on that because IMO this is exactly what is going to happen. .Some of these brokerages are going to have to pay up.
Maybe this is why the T/A is being closed lipped.

Paivis Corp. Updates Shareholders
In closing, Mr. Greg Bauer, Paivis Corp. CEO, commented: "The Company has had an abnormal trading history since over a year ago, and we have been trying to understand the causes and prevent future abnormalities. We will continue to take action to protect our shareholders from any irregularities in our trading market and potential illegal naked shorting of its security. As more information comes available we will update our shareholders and prospective investors.

If someone sells some stock or plans on selling
And is connected with the company dosen't a 8-K have to be filed or would it show up in a Quarterly filing with an explanation?
Lets see what the next Quarterly shows before jumping to conclusions. Could posters look at the I-Box and see the positives PAVC recently came out with.
Dilution is the only reason I've ever seen for TAs being gagged. OR sneaky games with insider stock. Don't forget Stahl's 20 million shares that were filed for sale in October.
Are they still restricted? Were they sold or transferred? Who knows.
'tax_man call the company man
we all gave you our opinions now use them and call the company and give us the answers that the company gives you on your questions.
REPOST: How is Paivis doing with their implementation plan? If you look at their annual report from four months ago it states their implementation plan. In this post I highlighted points of concern that I have with the plan, questions, and opinions. I'm looking for input here, so please post a reply.
Judging by the company's plan, they should be through Phase 3 of the 4 phases of their plan.
Unless I'm missing something (namely two acquisitions), they appear to be significantly behind schedule. If they have closed two acquisitions since last September, those would have to have been disclosed, correct?
Am I missing something? Did they acquire two companies since last September? The plan also clearly indicates their need to raise about $10.5 million by the end of this September and that dilution will likely be (in this case, probably already has been since September is almost here) a major source of that funding. I don't care if they dilute, per se, but wouldn't they have to have sold many millions of shares to raise $10.5 million since last September? Couldn't the shares we're assuming have been MM manipulation been partly the company selling shares?
My remarks are in bold. Please, anyone with a perspective on this, please respond. Thanks in advance. I'm looking for insight.

Form 10KSB for PAIVIS, CORP ./NV/
23-Feb-2007
Annual Report
----------------------------
PAIVIS IMPLEMENTATION PLAN
PAIVIS requires approximately $10,500,000 in operational capital for the 12 month period following September 30, 2006. The PAIVIS implementation is planned over a period of four phases totaling 12 months. Each phase is three months. The implementation plan during each phase describes the activity of PAIVIS across various departments such as Operations, Finance, Mergers and Acquisitions, Development, and Sales/Marketing/Business Development.
-17-
Our immediate aim is to finalize grow our current distribution, establish new distribution channels, grow our lines of business, close certain acquisitions and prepare for the launch of new product lines such as prepaid cellular.
PAIVIS's 2007 implementation plan regarding its business units is as follows:
- Phase One (October - December 2006): Planning for growing existing business for 2007. Begin review of current distribution and growth opportunities. Continue discussions with current acquisitions candidates; secure first acquisition; execute debt reduction plan via voluntary creditor write offs and possible stock based settlements; headhunt and secure key consultants and possible staff members to execute development of new business plan; commence additional staff hiring.
STATUS: Unknown. Have they hired the 10-15 staff members they indicated they would need for the implementation plan? Not sure, but I do know they haven't been good about keeping the website up to date. Nor do they return phone calls or regularly answer the phone. Website still shows Loyala for investor relations, and most current news is from 8/3/2006.
- Phase Two (January - March 2007): Continue planning for growth of existing business; Secure agreement for first stage of capital; Close first acquisition secured from Phase One of implementation plan; Continue seeking acquisitions; finalize operations and marketing plans of growth initiative; continue debt reduction plan via voluntary creditor write offs and stock based settlements;
STATUS: Did they close first acquisition by end of March? What company did they acquire?
- Phase Three (April - June 2007): Secure agreement for second stage of capital; Secure next acquisition(s); Close on next acquisition; Continue seeking acquisitions; Launch new operational and marketing plans as per growth initiative; Begin development of new product lines; continue debt reduction plan via voluntary creditor write offs and stock based settlements;
STATUS: It's end of June already. Have they closed on the second acquisition? If so, wouldn't they have to announce materially significant events in a PR or filing? Which two companies have they acquired since last October?
- Phase Four (July - September 2007): Close second stage of capital; Close on next acquisitions; Continue seeking acquisitions; Launch new product lines; continue debt reduction plan via voluntary creditor write offs and stock based settlements;
STATUS: Unknown
FINANCING STRATEGIES
In order to finance our growth acquisitions, and our phases of implementation we plan to raise investment capital through the execution of the following finance strategy:
In order to finance its internal growth and acquisitions the Company may use its preferred or common stock to finance the internal growth or acquisition or to raise the necessary capital for acquisition or internal growth.
CAPITAL REQUIREMENTS
We believe that the our first acquisition will require approximately a minimum of $400,000 for the acquisition, plus approximately $100,000 in legal, accounting and administrative expenses. In addition, our the internal growth will require a minimum of another $1,000,000 plus approximately $100,000 in legal, accounting and administrative expenses. This is a minimum total of approximately $1,600,000 that will be required in the first two quarters during. In the following 6 months, we plan to execute one or two additional acquisitions. We believe that the cost of a second and third acquisition or development of new business lines will be approximately a minimum of $5,000,000. The Company feels it will require 1,900,000 to continue growing its internal plans for the balance of the fiscal year. Thus, we anticipate needing a minimum of $10,500,000 of investment capital during the fiscal year.
KEY ITEMS: Their implementation plan indicates their needing $10.5 million by end of September, 2007 in order to move forward with the aforementioned plan. How much of that money came from dilution? How many millions of shares would have to have been sold at the average PPS of the past 10 months to raise $10.5 million?
CAPITAL ACQUIRING PLANS
Management plans on initiating a series of securities offerings to raise the investment capital needed to meet our acquisition and growth plans. Although we will make efforts to minimize dilution to current shareholders, we may not be able to avoid dilution due to many factors, including but not limited to, the closing of financing at lower than the desired market price of the Company's common stock.
-18-
PAIVIS hopes to secure the financing to satisfy the capital needs for each phase of its implementation plan through the execution of various funding methods, primarily financing through private placement equity investments or debt financing. PAIVIS hopes to achieve this by securing relationships with accredited individual investors, investment bankers, venture capitalists, and/or finance investment advisors that have the experience and relationships to aid PAIVIS with its capital raising efforts. The source of the capital may be comprised of a mix of principal shareholders, private investors, private equity funds, hedge funds and venture capital companies.
If needed capital investment for our acquisitions or developments is not available, in whole or in part, we intend to delay the implementation plan regarding our acquisitions or growth plans until sufficient investment capital becomes available. We cannot give any assurances that we will raise sufficient investment capital to meet the business plan. In addition to delays to the implementation plan regarding our acquisition or growth plans due to insufficiency of investment capital, we may suffer other consequences, including but not limited to the following: We may have to significantly alter the scope of our business plan and subsequent capital requirements; We may have to suspend or discontinue operations of one or more of our business lines or; we may have to suspend or discontinue operations of the Company if we become insolvent as a result.
Until planned acquisitions (current and future) and new business growth begin to produce significant revenues and subsequent positive cash flow, we may be reliant on capital received from private placements, loans, and the exercise of options and warrants. Due to the depressed market for our securities, we may not be able avoid dilution to current shareholders. In addition, we may have to retain certain management, staff and consultants, such as legal counsel, and may need to compensate these individuals through the issuance of our common stock as compensation. These stock based compensations may result in dilution to current shareholders due to the depressed market for our securities. We may also reduce or prevent collection of outstanding vendor debts and accounts with creditors, such as suppliers and consultants, which could result in litigation against the Company. There can be no guarantee that all of these negotiations will be successful and the outcome of these negotiations may include settlements in cash and/or issuance of common stock. These stock based settlements may result in dilution to current shareholders due to the depressed market for our securities. We may plan on meeting certain of our expenses through the issuance of our shares of common stock, which may cause additional and dilution to existing shareholders due to the depressed market for our securities.
