BTW, look at the employee stock option section. All options way under water. Weighted average exercise price was $0.37 per share. This means they are worthless to ex-CEO.

$300,000? Multiply that out at $0.003 per share. Nope. Not enough shares with current structure.
So what to do if there are not enough shares for reverse merger?
Simple. Reverse stock split first. Then approve a share structure increase. No problem since newco will hold a majority stake. Little bagholders are left out of the loop.
After reverse split, after new structure, then reverse merge.
Need an example of how this gets done? Look at OPHI. They just completed it exactly this way.
Why would STOA sell more shares? CASH.
If I were them, would sell as much as possible for maximum cash out of this shell. Doesn't matter at what price, because STOA will stop being their personal ATM anymore after the merger.
My guess is that newco will reverse split the stock to whatever level they want as majority shareholder post merger leaving badgholders out in the cold. Of course, this is just my guess without any insight. Watch and see.

I don't know, but my guess is that STOA is going to get as much cash out of it as possible (meaning using the PIPE as an ATM). When it's all done and dried up, the reverse takeover will wipe out most shareholders with newco doing a reverse split.
Who knows. Maybe Mr. CEO will......Nah.

In most cases, debt holders will only offer relieve in exchange for equity stake. If STOA owes you money, would you let them walk away while shareholders get all the gains? Common sense.

Don't get me wrong, P&D's are great for fake companies. Made my share of profitable round trips. If you have a company with a real product and real potential, don't screw it up for the wrong reasons.

You mean the company should pay CASH for a P&D? That is illegal.
Any P&D is a bad idea. It only generates short term profits for traders who timed it right. LVVV gains nothing in return.
Got extra cash? You should loan it to the company where they can hire a few more sales people. This is much better for the company.

Most pennies that hire pump spamsters kill the stock and they are full of smoke. Don't get burn.
News is solid, and not the fluff kind. Problem is whoever wanted to buy into the promises of a brighter tomorrow already own the stock.
Just like having the Chews made available in 7-11's and MGM marketplaces, you have to get your stock onto many different venues. Otherwise, your stock will only be bought at selected places.
More buyers equal higher prices.
More places your stock can be seen and bought, the higher the number of potential buyers.
