So, stock is issued to Note holder, they sell the stock and the note obligation is reduced by an agreed on amount.

One issue with Oklahoma is the heat, you cant grow a great bud because its so hot. During flower the plants need cooler temperatures like they have in northern California, my flower rooms are set as low as 67 degrees the last few weeks of flower. Remember the outdoor plants are in pots, so imagine the cost for 300 per acre plus the soil and seeds, lots of labor to make these things grow. I spent $5k per cycle for my nutrients in a 3k sq ft grow, imagine the cost for 20 acres!!
How does a company with no money start a grow?? When do you think they plan the outdoor crop?? It's April or May so they can harvest before winter. There will be no crop this year.
Plus $500 to the State Police Narcotics Board. Only 15% of the growers actual sell to legal dispensaries, most fail. It isn't as easy as one might think to grow a good product.

Anyone even know the cost of crop insurance for cannabis?? I tried to get it for my grow and it was outrageous, even the insurance to cover my building and equipment was 4 times the average rate with a very high deductible. How can a broke company buy that? Oh I'm in Oklahoma and most outdoor will not pass the new state tests and will be sold at any rate to processors.
