The Pixel Mags financials are not published for a reason - I think it all has to do with a Super 8K - In my opinion, I think Oreva and all of the Vert Capital investments are involved - One big media corporation with lots of room for growth - listed on the Nasdaq.
In my opinion, the April press release was more than just a cute 4-20 reference; perhaps it was a clue leading to High Times Magazine "Solaris Continues Plan to Roll-Up Undervalued Accretive Media Assets"; buying and then selling High Times magazine is what gives Oreva all of the money it needs to bring the media companies of Vert Capital under one umbrella!
After purchasing High Times, Oreva immediately sold this investment to Origo. That seems odd, there was a buyer just waiting around. Couldn't that buyer have picked up High Times a month earlier for a lot less money? Or, perhaps High Times was just a vehicle used to get the cash - it really is all about the money! (I think I understand where the deep pockets are coming from in order to fund this move to Nasdaq.)
Origo got the money to buy High Times from bank investments or private equity; after all, it's not their money, they have no assets! In my opinion, when the check clears from Origo, Oreva will have all the money to put on the show. I think what we are really waiting on over a year is from this money for the sale of High Times.
Also, In my opinion, there is a connection between Here Publishing and Pixel. After Oreva purchased Here Publishing, then, out of the blue, Pixel Mags sent out a retweet from Gay Times Magazine. Why financial gain would they retweet this? All year long, they have only been tweeting about they are the largest digital newsstand and what they can offer the consumer - it just didn't seem to fit the pattern.

Santa Monica’s Oreva Capital Corp. has funded a management buyout of Here Publishing Inc., owner of media brands catering to the LGBT community, including The Advocate and Out publications.
The buyout represents another move for Oreva into the world of niche publications. In July, Oreva paid $70 million to acquire marijuana lifestyle magazine High Times. Oreva declined to disclose a purchase price for Here Publishing, but said it would hold a majority stake in the company with members of the management team as minority shareholders.
Oreva will rebrand Here Publishing as Pride Media Inc. and plans to build out the company’s Pride event series as part of its growth strategy, according to Oreva founder and Managing Partner Adam Levin.

I suspect that after the Migme fiasco, Neil, I mean Adam, doesn’t want anymore delays to “roll” his baby on the NASDAQ quickly.

As far as the other Vert plays, I think some of them could potentially be added in 2018 - who knows? I don’t think the master puppeteer - whomever he may be - wants to wait around any longer. I think we are very close to seeing who’s behind the curtain - in my opinion, the show is about to begin.

Solaris Continues Plan to Roll-Up Undervalued Accretive Media Assets
Neil only has control of SPCL until:
Ownership of the Purchased Shares gives Kleinman effective voting control on matters submitted to a shareholder vote up to and until the Purchased Shares no longer give him more than 50% of the voting power of the Company. (Taken from the 8-K on 6-29-17)
...say, if an agreement was made with Origo....
SPCL bought Pixel Mags last year in 2016. Now this last summer, back in June of 2017, Neil got controlling interest in the voting shares for SPCL. Shareholder approval is what he needed If he were to tie SPCL to Origo, which bought Oreva Capital, which bought High Times. Then, High Times & Pixel Mags can all go to the big board in one big Super 8K.
I think it just makes sense to combine them. I can’t imagine the pain of doubling the paperwork in order to bring two separate companies to the big board. You may ask yourself - Could other Vert plays come along for the ride?
The above is all my opinion, but I believe that my wishful thinking just may turn out to be true.

Let’s see, a NYSE company with a market cap of 50 Billion dollars has an agreement to offer the product of an OTC company to all of their employees. I think i’ll wait and see how this one plays out - taking advice from anyone discouraging an entry here, seems just a bit silly. LOL

The Company will focus on its SEC filings and once again becoming a fully current and compliant filer with the SEC.

If people were “running for the hills” to save what is left of their investment, the volume would be substantially larger than it has been all year. We don’t see that do we! Smart money must be holding their tickets to cash in at a later date. Does anyone who understands volume beg to differ?

Without data, we have no way of knowing. Science tells us to use reliable data as our guide to make predictions. As I stated, I am thinking that with over 10,000 magazines available, iPhone and iPad apps, a soon to be released Android app, the stock price will take care of itself - no worries here.
Look at the volume in the last year! The real story of any stock is always found in the volume. Commentary is just cheap talk.

Look at the volume! In the last year, a lot of people holding SPCL tickets. This tells me, Smart Buyers are picking up shares and going long!
We don’t see days of 30%-60% of the float being traded like we do on a lot of others on the OTC.
Smart money is staying quiet and accumulating.
I am thinking that Smart Buyers are loading up at these prices. I think it was a group that came along and manipulated the price from 0.001 to 0.0035, nothing more. The share price isn’t going anywhere without seeing the financials and leading on a clear path of being current with the SEC. If the price goes to 0.0005, well then, I can buy more too. Put your shares up for sale if you can’t wait - I’ve been adding each month since last October. I’ll buy those shares November 1st. I only invest what I can afford to lose - I think this is something worth waiting for. If you don’t, move on! - I don’t really care.
