Just responding to JWez post 35313, no need to get defensive.
Bingo!

It has always amazed me that SP did not anticipate the effect of the financing used. Yes, I know that he needed something but most understand that floorless financing leads to s/p death spiral. SP is a seasoned Pinkie CEO, it simply comes across as intentional or self serving. So if he had all those offers, why was the discussion always about not having options?
Not trying to stir the nest again, just asking questions.
Hopefully, debt financing will buy them the time needed to guarantee cash flow necessary to service debt.
D
I tend to agree, non event impact to short term s/p.
Unless, SP can turn this event into additional contracts, which is what many are looking for. Multi year, multi million dollar contracts with numerous Host properties, is the desired goal.
SP only has two shoulders to rub with, how many sponsor placements and shoulders will the competitors bring?
How quick was the turnaround to contracts from the Vegas and Texas shows? If that is any indication, despite the rosy projections, then we may have to wait a bit.
Lastly, many here feel this is a positive validator of the Tivus system and anticipated Host Contract with Philly Marriott.
All IMHO
D
Although we have been hit by numerous P&D efforts, including a few P&D promos initiated by Tivus. I hope SP has a better grip now on the impact of those wayward efforts.
D
Basically, the right to network amongst Host GM's seems to be the greatest benefit. NP.
D
Maybe, maybe not. What are you thinking? LOL
D
They actually get more than advertising placements. They get the right to mingle and rub shoulders with attendees (GM's)

D
CC's are a momentum killer around here. Who will introduce SP?
D
I prefer the West Coast.
LOL, or when Tivus will pop!
D
Questions, just for jsteel29:
1) Where is the Marriott contract? What are the terms?
2) What are the terms of the supposed new financing?
3) When will the TA get paid?
4) What happened to remote resorts? Vegas? Texas? Haag? Phil and Doug?
5) See #1-3 and repeat.
GLTA
D
Never left, been here a long time.
Triple Wow!
Understood, but the point is just because the SS is not being diluted, any finaning package will have an impact on the valuation of Tivus. Debt financing will be better only if revenues flow. Convertible noteholders will not give away their notes, there is a price and we are dealing with the Canouses.
D
Any financing will have a dilutive effect. Either to SS or Balance Sheet.
Key is if they get financing to defer cost of money till revenue stream/cash flow can support the cost of financing.
IMHO
D
Wonder what the new terms of the restructured convertible notes will be. If they are not to be convertible notes, what premium will the noteholders recieve?
Debt is debt, it is still a liability that needs to be addressed while allowing development and growth of Tivus. To simply defer or transfer does not erase the obligation.
IMHO
D
If they can't afford to keep the TA current, how will they pay for PR? They do cost money.
QS is now listed on OTC, Tivus, company information as an IR firm with Small Caps.
Don't know.
jwez and waggett? Last I heard he couldn't make your Philly meeting.
D
N, you've been gone too long. LOL. SH was not a reason to invest here.
D
Forgot one:
7) The Marriott cousins.
D
There are several reasons why many here have invested in Tivus, myself included:
1) The story was good.
2) The SS was good.
3) The Double Tree contract.
4) The Host MOU.
5) The supposed Host contract.
6) The TA was ungagged.
What do we have left? It is critical for Pinks to maintain access to TA and current SS. Stumbling block or intentional, I don't know but definitely adds to the diminishing investor confidence in TIVU.
IMHO
D
Just called TA, no information, account on hold.
Stated reason, no payment.
Hmmm.
D
No need to take it personally, it is a broader statement of what has been suggested here, to no avail. At least yet.
It all starts and ends with Tivus and SP, not m/b posters. They control the business and their actions or inactions will govern investor sentiment.
IMHO.
D
He's probably stuck like many here. The commitment, the time, effort and promises make it hard to let go.
This is why one should never fall in love with a stock.
IMHO
D
Unfortunately, that is all they will get. Brown nose passifying responses.
Heck, what are they going to say 'we screwed up'? We blew our opportunity with Host and pissed off the Marriotts? We can't afford to pay the guarantee to DoubleTree so we are stalling on the install?
Meager sales reported by the consumate salesman? This is about as honest an answer as I think we will get.
IMHO
D
That is correct. I last checked on 1/30/12.
D
It's like a breath of fresh air here in CVSL land!
Thanks, dancingblonde
D
No worries, we'll see how it all unfolds.
BTW, notes are convertible at the holders discretion, not the company. This was noted in previous Q financials.
What's on the table for this week? What pot gets stirred next?
Have a great week all!
D
LOL, I like Willis.
D
Thanks Tut, looking forward to prosperous times ahead for CVSL.
D
I agree, big things in the making for CVSL, except SS, love that float.
D
Picked up an entry position a few weeks back, just watching and grabbing any cheepies I can get.
GLTA.
D
Got some of them .12's, want more.
Go CVSL
D
Both may very well happen, what do you mean if done properly?
Damage from round one capital markets financing (Max WiFi RS) already in effect and has definitely hurt shareholders.
Round two starts with Tivus RS.
Meager revenue, MOU follow up w/ proposed contract and rollout plan, tight lipped progress of Omaha contract, and undisclosed 3rd contract is not proper follow through (IMHO) to acquire debt based collatoralized financing.
How much of a hole will we be digging when we have to start payout of the guarantee to Omaha DoubleTree? Is someone selling ads there? The renovation is supposedly complete, with Tivus branded flat screens? Has anyone confirmed this?
Proper to me is confirmation of the agreements with the three supposed contracts, the first of which was announced a year and a half ago. I don't need all the details.
Just, SHOW ME THE DAMN CONTRACT!
