An issuer does not legally need a securities attorney for a 10-12g, just a CPA auditor and competent manage to present the financials of the issuer to the auditor.
Now an S-1, you need an attorney to provide an opinion letter to register the selling shareholders.
That is an old trick going on for decades, print shares only to cancel shares and then put out a press release. Don't need some BS lecture by this stupid cfo defacto ceo. Yes all not capitalized, the idjet doesn't deserve it.
If one has never NSS and had net capital requirements, one should keep to what knows about.
I agree, and as you know I don't give out accounting help any further, butt randall is no longer a CPA as erix alludes to, but these financials are all over the map. Randall prollly didn't compete his CPE like Don Freddy didn't do his CLE. Don't know where erix finds these guys.
I mean, you can do online courses for a few hundred $$ or go to local conferences and pay a few $ hundred for your yearly dues, but come on, these guys pent $100,000's in college to be idjets and throw it all away.
It is pretty sad, but my college student daughter has more in her cash account and in her trust than this sick @#$%, he needs to find a tent and a beach and sell the laptop. I was assigned Cifra, what an ARSE, never saw his name. in all my trading years, I have had Andrews, Bettys, Dannys, Jeffs, among 100 others, but never had an Patty.
First he was a broker, now that he was trader, Cybil situation? I was assigned CIFRA's, firms don't assign multiple traders to a stock for a reason, confusion. This clown saw a post I made some time ago that I was a trader on CIFRA, which was the Wallyword of Mexico and bot out by Wally.
Two traders at the same firm cannot make a market in the same stock unless, the MM goes on vacation. This guy is insane. MM and Agency traders don't like handing off their trading accounts to other traders, cause it reflects on your monthly reports.
When I was trading, I had laptop and cell phone, and had 13 trading accounts and worked remotely, I didn't trust anyone.
Where is Stephane's siggy? And I traded Cifra's every day and you know the drill, exchange names first before the order, and I don't remember your name. After all these years, I remember and still in touch will all my contra, I don't remember you. And to this day I still visit colleagues at 1 Bryant St. as well as FIDI...I don't recall taking orders from you.
LOL, I don't live in Manalapan, or anywhere near there but I love Brioso for lunch and dinner and the Marlboro Diner for breakfy when I am in there. Wegmans is my grocer when there. Been to that USPS.
With my health and this all rolls over I have a DC, NJ, NY, BOS and NH, ME trip scheduled. So I might stop by Manalapan on my way north, just for kicks, well I have a friend that lives there and called this morning..."did you have anything to do with this?" lol.
Correct me if I am wrong, but I don't think John Fiero of Fiero Bros. the NSS fame of the 90's saw a cell and I don't think he paid his fine after all these years. And I traded opposite from him from time to time. I also ran across him after the close on Broadway, he was so arrogant that he wore his kevlar bullet proof vest OUTSIDE his suit.
On anther recidivist Barry Minkow comes to mind of the ZZZZ Best fame from the 80s, he couldn't help himself and had to do it again, I don't think he paid the fine
I did awhile ago. He was a wolf in sheep's clothing the whole time.
Welp, he got complacent. Now instead of slaps on the wrist, the NY Court revoked bond, and he is gonna be inside for quite awhile.
That is interesting that they set up multiple corporations and moved money around in a ponzi. Usually ponzi uses just one. How they took the money out by moving around was clever, but he was already on the radar it appears. I am sure Wallyworld is hiring door greeters, when he gets out that is the only job he will get.
BTW, taxes are due on different days than audits.
Dear Spouse completed 15 audits this year, and is late on taxes, but the treasury caused an extended period. erix is a pile of chit.
My net worth is $1 Trillion cause I said so, lol.
That was long, butt I don't disagree.
I just wanted to see through the eyes and walk through the shoes of others. Unfortunately, I went home, they can't. I have family from Hawaii to NH, I am retired many years ago, I can go anywhere, but these people cannot.
Patty needs to find family and embrace, not rip off shareholders, let someone capable take this over.
trying to save a life.
erix = ZZZZZZZZZZZZZZZZ
In finance, it is called Opportunity Cost Lost. Which is not a good fiscal policy.
Welp, with the self admitted in court by the CFO having the sole company bank account in overdraft and the ceo, erix having his plastic capital one card revoked, how are they paying for this? Maybe one of these 32 insiders paying on their plastic card and creating an alter-ego, thus piercing the corporate veil?
Or this just crumbles and falls?
I've already engaged in a "televisit" with one of my doctors, and have anther "Televisit" with another of my doctors in may. Doctors' offices can set this up quickly, and erix whom is a mychit streaming company cannot even do a streaming AGM, he is the biggest joke of a ceo ever.
Do you see the spread, you can drive a truck through it
he already is retired, but since he did not save for his retirement and lost quite a bit of $$$ in his trading career, now he is creating scemes.
He can file an amendment and replace with him with Obama or Bush and they would not even know. I can go online to Nevada SOS right now and include the Queen of England right nor on my Board.
What is funny to add to that story, i left home and dear spouse had no clue where I was going, I left my cell phone, all my credit cards, and took a $20 bill...I still wanted to eat. I took a bus to nowhere and I have not taken a bus since the 1980s, a few times the bus drivers let me ride for free. But it is the strange people you meet on a bus at 3 am.
It was my life experiment, and I have done this three times since 1990, welp, once was in a Cadillac, that was cheating. Funny thing is, Wall Street in :A is part of skid row
Addicts can do quite a lot to destroy themselves. I personally have left my cushy home and subsequent condo and slept with them on the streets, just to understand them. I even found a meth addict on the way to church last year, and paid him $3,000 to work on my Audi...he destroyed it and I had to have it towed to a REAL mechanic.
Addicts destroy themselves and everyone around them.
recidivism
For a Co that is not audited, nearly $600,000 in legal fees? Seriously?
$200,000 for consultants? If you are a small biz why do you need a $200,000 consultant? Seriously?
$1 million in SG&A, I don't think I paid an office manager, bought laptops, ink and paper in my entire life, let alone just one year. Seriously? Dear spouse has a $1 million Amex Card from Co. and sometimes asks me to run errands with it, and I say NO, Ill just put it on mine and send in an expense report. So someone is swiping the plastic. Prolly fancy dinners, etc.
Their gross margins are good but this is killing them...
Welp, at a quick glance with out reading the notes, it does not appear to be a "scam".
Butt it does have a serious working capital deficit, which means it cannot pay it's bills. They are operating at a serious loss compared to shareholder equity.
As previous mentioned, I don't think they are a scam, just not financially healthy. I have not researched the officers or directors, butt I am sure nodummy or janice can do that
Yes it does. Scammers have more mean available today, and it stings many people who are trying to do the right thing.
I am blogging it, I am worth $6.4 Trillion and going to buy APPL and Alphabet...
...erix is insane.
Cant waif to audit the merger...soon
Understood. And some years back we almost pulled the trigger on a db7 AM from a dealer in CT, but dear spouse said no at the end.
Janice, you will have to excuse my spelling, I have had my contacts out for some 10 days now. And my glasses are an old script and don't work as well.
I can say, MADF traders were the worst. I can say they must not have ever looked at the inside market, but I did large block trades with them, and I clipped them pretty good. I don't know where he found his traders. Patty obviously with losses, was not a very good trader either. I never had a losing month in my professional career.
From the most expensive restaurant in Los Angeles L'Orangerie and Eliz Taylor's favo Chassens in LA, All gone now. Then Bobby Flays restaurant, the Rainbow Room 30 Rock and my good friend Marisa May who used San Domenico on Central Park South in Manhattan, NTC, rents went up, Marisa Moved back to Capri, not Caaaaapri, but CApri.
The restaurant biz is a very tough biz, especially for an unfunded penny scheme
They have to be puppets
Back in the 1700s and 1800s there were many fake nobles infiltrating high society ripping people off. I don't recall the name buttt some 5ish years ago that pot scam tried to throw a party, almost in Malibu. And since I was on the BoD of a non profit, I still pretty much know everybody in Malibu, I warned quite a few people. I-Glow knows the company, and Glow and I got them suspended and revoked, people will go at any length to rip people off.
Some 20 years ago when I was trading, before there was social media, there was a college student that faxed a press release to biz wire and called from a phone booth as a fraud confirming it, bot puts on this particular famous biotech stock. I think he did this from San Diego or Orange County. He made some $200,000 ish in one day. But they picked him up the next day.
This stuff has been going on for centuries, just we have new methods today.
I don't disagree, but right now the SEC offices are closed. They are supposed to be working from home. But it is like a weekend every day. People are not working, they are jogging, taking the kids to the parks, playing with the kids in the backyard. For instance my uncle and aunt are literally moving today from Hawaii to Boston to NH. Before all this crap happened he retired from one airline with a pension and full benefits, now he flies jets for an east coast airline and is based in Boston, from sand to snow. This transition was already in process before this started, and as a pilot and just type rated he had to do this. But my condo looks over a jogging path and a dog park, and everyone out, its like a Saturday in June.
