Temporary truce in Quasar Aerospace fight
The two sides fighting for control of Quasar Aerospace Inc. called a temporary truce before a scheduled court hearing Tuesday, agreeing to let the most recently appointed CEO run the company until a full trial on the dispute.

Joseph Canouse, who was appointed CEO in April, will run Quasar while the two sides continue legal actions. Lindsey Brock, attorney for former CEO Jeff DiGenova, asked Duval Circuit Judge L. Haldane Taylor to set an expedited trial so the dispute can be finally resolved. No date was set.

Quasar is a Jacksonville-based publicly-traded company that operates a flight school and aircraft repair business at Herlong Airport. Company founder Dean Bradley made announcements in 2009 of pending acquisitions to grow the company, but the deals never materialized.

Bradley resigned as CEO in September 2010 and was replaced by DiGenova, with Bradley's shares of the company put into a voting trust. In January, those shares voted to oust DiGenova and put in a new board of directors. That board, which appointed Canouse in April, filed a lawsuit in March to prevent DiGenova from conducting further business. DiGenova contends Bradley's shares did not have voting rights to force him out.

Tuesday's hearing was scheduled to determine who should run the company on an interim basis until the lawsuit and a countersuit by DiGenova comes to a full trial, but the two sides agreed to let Canouse stay CEO for now. Both Canouse and DiGenova said after a session in Taylor's chambers that they are looking to preserve value for shareholders.

"We think there's a viable business plan," said Canouse. He said the company has $8 million in investments in businesses that should bring value.

"This isn't just a flight school and corporate air repair," he said.

DiGenova said his goal is to preserve the rights of shareholders other than Bradley.

"Quasar shareholders are rightful owners of the company," he said. "It's time for the shareholders to have a voice. That's all I'm fighting for."

There have been some inquiries as to the number of letters of support sent to Jeff DiGenova, and we can report that less than 10% of the members of The Shareholder Group sent in confirmation that they were able to send a letter. There have also been several questions regarding, if QASP stock was purchased today would the shares qualify for the swap/private placement. In our opinion, NO! The company merged with NHSH on May 13, 2011 and shares had to be cleared as of May 18, 2011 (T+3) to qualify for the swap/private placement.
