NEW YORK (Dow Jones)--Movie Gallery Inc. (MOVI) offered to buy rival movie-rental retailer Hollywood Entertainment Corp. (HLYW) for an undisclosed sum, jumping into an evolving bidding war for a company that is weighing bids from both a buyout firm and industry leader Blockbuster Inc. (BBI).

The bid by Movie Gallery comes a little more than a week after Blockbuster said it would pay about $700 million, plus the assumption of $350 million in debt, to acquire Hollywood, the No. 2 U.S. rental chain in revenue terms.

WASHINGTON (Dow Jones)--TranSwitch Corp. (TXCC) said Friday that it finalized its plans to "disengage" from its Easics N.V. research and development unit in Belgium.

In a regulatory filing with the Securities and Exchange Commission, the Shelton, Conn., company said it expects to dismiss 24 employees as a result of the disengagement.

TranSwitch said it expects to record restructuring charges of $2.5 million to $3 million in its fourth quarter ending Dec. 31, mainly for severance costs, asset disposal, lease termination and professional costs.

The company also said it expects to realize annual operating savings of $2.75 to $3 million due to the disengagement.

TranSwitch designs, develops and markets digital and mixed-signal semiconductor products.

NEW YORK (Dow Jones)--Shares in iVillage Inc. (IVIL) surged 17.3% earlier Thursday after Stifel Nicolaus & Co. debuted the stock with a market outperform rating, saying stock in the publisher of Internet women's content was "ridiculously cheap" given current growth.

In a research note Thursday, analyst Kit Spring said the company's price belied its position at the confluence of trends in Internet advertising and media mergers.

Spring noted that the company's shares closed Wednesday at $3.94, or about 10 times earnings before interest, taxes, depreciation and amortization, a range usually associated with a slow-growing print newspaper or magazine. The stock had been handicapped by news that Wal-Mart Stores Inc. (WMT) brought its baby-gift registry business in-house, cutting off about 6% of the company's annual revenue, Spring said.

IVillage swung to profitability in the third-quarter, earning $1.1 million, or 2 cents a share.
