Q: I am in the process of selecting a stock fund to enroll in. How do dividends work? Do I have to own the stock for the full three months to qualify for the quarterly dividend or is it prorated based on how long I have owned it? Or do I simply have to own it before the deadline to qualify for the dividend?
A (Richard): Whoever owns a taxable mutual fund on the date of record receives the dividend and/or capital gains distribution for the entire prior period, which may be monthly, quarterly, semi-annually or annually. Consider the example of ABC Fund announcing it intends to pay a dividend of 15 cent per share to holders of record on October 14. This results in a 15-cent dividend for the prior period being paid to whoever owns the share as of the close of business on October 14 (date of record).
The dividend, however, is usually not paid until several weeks after the date of record, which is called the distribution date. This allows the fund company an opportunity to update their records to be certain that dividends are paid to the proper parties. If an investor purchases the mutual fund within 3 days prior to the date of record, the transaction may not settle in time and the prior owner may be entitled to the dividend. For stocks, this prior period is always 3 days and is referred to as the ex-dividend date. Mutual funds, however, are not uniform in their settlement period and different fund families may settle in one, two, or three days. Depending on whether the fund has a one, two or three day settlement, the prior owner is entitled to the dividend on any purchase executed between the ex-dividend date and the distribution date.
It’s important to understand that the 15 cents in our example is already included in the price of the share once the dividend is announced and that no new wealth is created when the dividend is actually paid. If each share has a net asset value (NAV) of $10.00 immediately prior to the 15 cents being paid to the holder of record, the fund NAV will be reduced by the same amount to $9.85.
Once the dividend is paid to the holder of record, the 15 cents becomes a taxable distribution. That is why some individuals decide to sell a fund prior to the ex-dividend date (to avoid the taxable distribution) and why other investors may want to wait to purchase a fund until after the ex-dividend date (to avoid the taxable distribution).
Mutual funds frequently make large distributions in the fourth quarter. I would recommend you call any fund you intend to buy or sell in a taxable account to determine the anticipated dollar amount, and date of any distribution.

To all newbies, the shares probably will be restricted. But for good reason. To keep all the bashers and daytraders from selling the first day and driving the price down. If the company is legit and can forecast positive revenues and earnings. Then maybe shareholders will hold the dividend shares and everyone will retire. Just dreaming but sounds good.

I would won't a restricted divy if the company was making money. That way daytraders wouldn't sell it right away and drive the price to the ground. If the company is up and coming maybe investors will hold on.

I believe you start with a zero cost base average. When you sell depending on length of time you pay taxes on the total amount. For example, if you have 10,000 shares and sell it hopefully for $2.00 a share. When the restriction is lifted you'll pay taxes on $20,000.00 dollars. Best case senerio the restriction is long enough to get HLS up and running and making money. Then when the restriction is lifted the shares might not tank.
