I invested a very small amount of money [relative to most here] in this stock [Neom] hoping to make some money on it. I don't need to lose it all. That's entirely possible at this point. I'm in this long and not necessarily by choice at this time. I as you hope for a favorable outcome to all this especially for longs here who have invested so much time and money into it. out of time, Some good points, however I disagree somewhat with the premise that YA has more at risk than we do or at least as a whole we do. I think YA has recovered most if not all their money with their pump and sell scheme over the past years. We have our investments at stake as well as our stake in the future potential of this company. I don't believe that's changed. I for one ain't about to give that up to some YA freezeout scheme or any other scheme they may have in mind.LOS
cjzak, I believe some sort of offer will be made to minority shareholders and represented as a fair deal. Maybe we should be prepared to throw the same offer right back at them if they [YA] think it is fair. LOL LOS

clawmann, I read your post about the 8K could have used some standard forms with the cover and names inserted possibly how the Target language was left in but it still interests me surrounded by whats going on. The AS share count part of the 8K would also make available shares to make an acquisition using shares only for the purchase. Any thoughts? Thanks LOS

This is a word of caution to Neom management. If you plan to make recommendations with regards to the upcoming votes at the shareholders meeting, if the recommendations concern any offers, you need to come armed with plenty of third party objective and unbiased fairness reports. Remember the average cost for a director to defend a court case nowdays is 6 million dollars. Plaintiffs usually have the benefit of attornies working on contingency basis, defendents usually don't. LOS [fairness reports probably not required but good to have when defending actions in a court case] [driving the market price down before the meeting won't pass muster either.]

claw, or anyone with any knowledge of these matters, Tell me if this sounds crazy or has any merit at all, please. For 120 days YA will be the majority shareholder in Neom. As such would like to freezeout the minority shareholders. Create such a dismal appearing 8K that causes such concern that the minority shareholders jump at a firesale shareholder fairness offering rather than turn it down and accept the situation after the 8K. Is this possible or am I making any sense at all? Any input would be appreciated LOS [I'm reading where minority shareholder freezeouts are becoming more common in many merger and acquisition deals.] I'm about to convince myself an acquisition is in the mill because of the TARGET'S ASSETS language in the 8K.

LSL, The way I read the old agreements, Neom had every opportunity, maybe not the means but the opportunity to get out from YA's grip July 29th of 2010. Now with this 8K that's gone or at least extended for 2 more years. With this 8K as fertilizer, YA's money farm lives on.LOS

However, I have zero patience to see YA and whoever at Neom is assisting them take away all the gains [profits] from this. On the technology front Neom seems to be positioned very well. On the financial front, we [shareholders] seem to be being sold down the river. A belief in the one front and serious concerns about the other is not wrong right now, especially following that 8K. The technology front requires patience right now but I fear to much patience on the financial front is what YA feeds off of. [I, personally am yet to be convinced of this] If you are, you need to step up immediately with clarification of the intent of all these changes in the recent 8K. If you don't, I fear you will experience the ugliest shareholder meeting you have ever been a part of. You need to step up now or this thing could get very ugly very fast. BeConfident, When they wrote about not encumbering assets and used the term "the TARGET'S assets, with an apostrophy, goes a long way to enhancing your theory, but until Iain clarifies what's going on, I have to accept the 8K on it's face. Even if Neom is acquireing Mtag or someone, this doesn't correct the problem with YA. It only extends their chokehold on us. LOS

clawmann, As someone with very limited knowledge of all this, I ask you and anyone else on the board who understands these matters to read Exhibit 10.1; paragraphs 4.2; 4.3; 10.5 and 11.4. I read it as this must be voted on and approved by shareholders at the special meeting. This leads me to the question, Would YA have to recuse themselves since they're a principal in this matter and the one who seems to be gaining most? I don't know the law in this but YA would certainly have a conflict of interest in this vote. Paragraph 11.4 speaks of "shareholders rights offerring" what is this? I've been following the movement of 4 argo global partners and officers since the infamous 77 mil share transaction in Sept. All are now connected with tech investment funds connected to Canada. Maybe those shares were just moved ahead and not sold? LOS .002 has never made sense to me as a sell.
