Tommy, I think it would be a great thing in Chang accepted stock. Much better in my opinion than some other toxic financing or bank debt. Cnang is a long term partner. This has been proven by his willingness to lock in VSPC shares for many years. He owns over 200M shares and has agreed to sell no more than 35M a year. This is a 6 year commitment. This not typical OTCBB stuff.
I personally don't have any issue with the O/S ending up around 1B. At today's PPS that would put the total market cap at $30M. I believe based on my valuation model that VGE alone will have sales far in excess of that number in 2010. This does not factor in any of the other VSPC business units.
A contract with DO which I believe will be in excess of $100M will change the game here completely.

Take a quick read of the 8K portion I pasted below.
Basically, Chang got (or is going to get) the following for 100% of IPA:
1) 215M shares of VSPC
2) 3.5M shares of VGE (40.6%)
3) $4.8M cash + interest
1) The VSPC shares are restricted and can only be sold at a maximum of 8.8M per 90 day period.
2) VSPC must take VGE public to create liquidity for Chang should he chose to sell his VGE shares. VSPC will not get any cash from thsi transaction.
3) $4.8M cash + interest is due end of November or December, depending on VGE S1. Based on the last Q, VSPC is short about $3M with respect to these funds. We cannot be sure where this cash will come from. There is a chance that VSPC may have to issue more shares. At todays prices, looks like another 100M shares.
Securities Purchase Agreement
On October 21, 2008, VIASPACE Inc. (the "Registrant") and its wholly-owned subsidiary, VIASPACE Green Energy Inc., a British Virgin Islands international business company ("VGE"), entered into a Securities Purchase Agreement (the "Purchase Agreement") with Sung Hsien Chang, an individual ("Chang"), and China Gate Technology Co., Ltd., a Brunei Darussalam company ("Licensor"). Under the Purchase Agreement, VGE would acquire 100% of Inter-Pacific Arts Corp., a British Virgin Islands international business company ("IPA BVI"), and the entire equity interest of Guangzhou Inter-Pacific Arts Corp., a Chinese wholly owned foreign enterprise registered in Guangdong province ("IPA China") from Chang, the sole shareholder of IPA BVI and IPA China. In exchange, the Registrant agreed to pay $16 million in a combination of cash, and newly-issued shares of Registrant and VGE stock. In addition, the Registrant issued shares of its common stock to Licensor for Licensor’s license of certain fast growing grass technology to IPA China.
IPA BVI and IPA China specialize in the manufacturing of high quality, copyrighted, framed artwork sold in U.S. retail chain stores. IPA China also has a license to grow and sell a new fast-growing hybrid grass to be used for production of biofuels and as feed for livestock.
The acquisition of IPA BVI and IPA China ("Acquisition") will be completed through two closings. At the first closing which took place on October 21, 2008, VGE issued 3,500,000 newly-issued shares to Chang and his designees. The Registrant issued 215,384,615 shares of its common stock to Chang and 30,576,007 shares of common stock to Licensor. Chang delivered 70% of the outstanding common stock of IPA BVI. In addition, VGE executed employment agreements with certain persons, including Sung Chang; Carl Kukkonen, the Registrant’s Chief Executive Officer; Stephen Muzi, the Registrant’s Chief Financial Officer; and Maclean Wang, the sole shareholder of the Licensor (each an "Employment Agreement"). The Registrant also entered into a Chang Agreement with Chang regarding the rights as shareholders of VGE ("Shareholders Agreement").
The second closing will be held within 240 days after the first closing ("Second Closing"). At the Second Closing, the Registrant shall pay $4.8 million ("Cash Consideration") plus Interest (as determined below) since the First Closing, in cash to Chang. Interest on the Cash Consideration shall accrue at 6% for the first six months after the First Closing, and then 18% thereafter. The Registrant shall also issue 1.8% of its then outstanding shares of common stock to Licensor. Chang shall deliver the remaining 30% of the outstanding shares of IPA BVI to VGE. Chang will also cause IPA China to be a wholly-owned subsidiary of IPA BVI including obtaining all governmental approvals required for such transfer.
The float is about as dry as I have ever seen with an OTCBB stock with an OS at this level. The shares are in strong hands, and with the exception of some tiny sells and MM games, not many shares available. Really makes me wonder what is going to happen when a DP contract gets announced. Sounds like a match to me?

Other biomass like agricultural and forestry waste -- for example, cornstalks and wood chips -- are being used to produce energy, but supplies are variable in quality and insufficient for large-scale needs.
Kukkonen said that crops dedicated to the energy markets are needed. "Opportunities in multiple markets allow for diversified revenue sources and the efficiencies of scale in large energy farms."
"For example, VIASPACE recently signed a memorandum of understanding with DPCleanTech, which has built and is operating 19 power plants fueled entirely by biomass," Kukkonen remarked. "DPCleanTech has been using agricultural waste for fuel, but they tested Giant King Grass and found it suitable for their power plants. Just one of DPCleanTech's 30 megawatt (MW) power plants would need 175,000 metric tons of Giant King Grass per year; and the market for agricultural waste is currently around $36 per ton."
"Giant King Grass can also be processed into pellets that can potentially replace up to 20% of coal in existing electric-power plants and reduce carbon emissions by that same percentage," Kukkonen continued. "For a single 2,000-megawatt coal-fired power plant, replacing 20% of the coal with Giant King Grass pellets would require approximately 2.3 million tons of biomass pellets per year. Biomass energy pellets are currently selling for more than $100 per ton."
Other markets for Giant King Grass include natural gas (methane) production using anaerobic digestion and generating electricity by burning the natural gas in a small gas turbine; and liquid biofuels -- cellulosic ethanol, methanol, green gasoline -- that can replace gasoline for transportation. Conversion into paper, pressed-wood products, and biomass-based chemicals are other potential markets.
Kukkonen added: "Giant King Grass has the potential to be used in a number of large-scale applications and is not restricted to a single market like bio-diesel. This crop is extremely productive, and we believe it can be highly profitable. We are now growing crops in southern China, but we are looking for partners and opportunities worldwide."

Excellent discussion Tommy. Thanks for sharing. It is really exciting trying to put a valuation to VSPC at this time. We are past the development stage and into commercialization. This is where a story that takes years to develop, finally unfolds. It is also where all the money is made.
I have said this before, the only thing missing here is awareness. As word gets around, we will begin to move quickly. I guess those looking to invest must determine the probability of a huge deal with DP. I feel certain of this, and have placed a huge bet. The rest for me is gravy. I think that deal alone gets us over $0.25, and much higher depending in the size of it.
Reading every post my man.....We will keep this board fair and honest. We will discuss the upside, but allow plenty of opportunity to discuss the risks. This is the OTCBB, and risks are part of the game. This is why you can pull off thousands of percents of gains if you do your DD well.

I think at this point in time, the race is on for which contract will be announced first. It could be the animal feed or supply deal with DP, but the boys over on the Yahoo board keep insisting we are going to get DMFC news. With the Tishiba launch expected before year end, this could very well be the case.
I think they are all very exciting events. I am getting excited just thinking about them.
I still think the deal with DP is the most obvious and has already been spelled out for us, but they are certainly hinting hard towards the other 2 as well.

I think this will be a huge driver for us. Also, many expecting Toshiba to launch a DMFC product in the next few weeks.

I think they have a great service.
no problem jsloo.....those that have know me for a while, know that I do not play pennies. I find quality companies with good management and follow them VERY closely. I only ever get involved with one at a time. These pennies are so dangerous, that if your eyes aren't wide open, you will get screwed. I follow the fundamentals but have learned to understand and respect the technicals along the way. My experience in pennyland has yielded a few major 10 to 20 baggers. It was not easy and fast, but with patience and quality DD, it can be done.
We are building a good board here, and sharing good discussion. I have no doubt we are sitting on a major winner.
I think technically speaking, resistance at $0.03 has now become support. I believe we may test $0.03 again, but will move on from here. The fundamentals are strengthening daily, and support a much higher PPS. The technicals are looking good right now, and with the added volume here this week, should continue to improve. We will certainly breath, I don;t think this will happen just yet.
NITE moved bid to $0.0314 now.

We need the supply contract with DP.....Once we get our first supply contract (worth hundreds of millions), we will see a cap close to 2 and 3 times the size of that contract.
DP has been a partner for a while now. We know the MOI is signed with them, and that pending a final large scale test, supply contracts will follow.
I would not be surprised one bit if DP flat out offers to buy out VGE. It would make plenty of sense.
I think the first source of major revenue will be DP. As we were told in the Q&A earlier today, the short term vision is Asia. China (out of necessity) is leading the world with respect to biomass energy. The potential revenue with DP alone is well over $200M a year. The market for GKG alone in China is in the billions. They will have a hard time keeping up with demand in China to begin with. They are also currently working on land deals in other parts of Asia. The grass will be planted all over Asia and supply contracts will be signed in many countries. IMO, this will all happen before any expansion into the US and Europe. Certainly the opportunity is huge, but I believe VSPC will be a $500M revenue company before that strategy unfolds.
NITE is really working the trading hard today......they have been accumulating for weeks, but have really stepped it up this week. Moving closer to the announcement of a supply deal with DP as well as other major breakthroughs in Asia. MM's will position themselves for a major move the next 2 months. With Chang limited to under 3M shares a month, there will be no serious sell pressure.
