NEW YORK (MarketWatch) -- Motorola Inc. (MOT:Motorola, Inc
MOT 9.76, +0.07, +0.7%) on Wednesday said its board of directors OK'd a plan to break the conglomerate into two independent, publicly-traded companies. One company will focus on its mobil devices business, and the other will specialize in broadband and mobility solutions. Based on current plans, the creation of the two stand-alone businesses is expected to take the form of a tax-free distribution to Motorola's shareholders, subject to further financial, tax and legal analysis. "Our decision to separate our Mobile Devices and Broadband & Mobility Solutions businesses follows a review process undertaken by our management team and Board of Directors, together with independent advisors," said Greg Brown, Motorola's president and chief executive officer. "Creating two industry-leading companies will provide improved flexibility, more tailored capital structures, and increased management focus - as well as more targeted investment opportunities for our shareholders." This is probably a dumb question, but I'd appreciate an answer without alot of flack, as I'm too sensitive to deal with it.:)
I thought that Onev's tech was software, so the concept of
shipping equipment to MTNL or Telmex is confusing little old technically challenged me. I would have thought that the only equipment to be shipped would be hard drives loaded with ONEV
software, but as I read the PR, it sounds like there's more to it than that.

Google: Mobile web usage growing 20%

Long before it unveiled its Android operating platform, Google had its eye on the mobile market, an industry that reaches an estimated three billion people worldwide. The company’s main strategy? Pushing search, maps and e-mail onto cell phones in the hope of becoming the leading source of information — and ads — on the tiny screen.
Now Google (GOOG) says its efforts to make mobile services faster and easier to use are paying off. On Wednesday the company released new numbers showing mobile Internet activity on select devices recently surged, following its release of a software “shortcut” that reduces the time it takes to conduct a search on a cell phone.
“We’ve long known that fast is better than slow,” says Matt Waddell, project manager for Google’s mobile division. “But when it comes to mobile fast is much better than slow.”
Google says users of its recently released shortcut — a small piece of downloadable software that installs a search box directly on a cell phone’s home screen — conduct 20% more mobile Web searches than previous users. The shortcut allows people to type a keyword right on their phone’s home screen to initiate a query, rather than having to first find and open their mobile browser and type in the URL of their preferred search engine.
The shortcut was made available to BlackBerry (RIMM) and Symbian devices in recent months, but Google says it will also work on Windows Mobile phones like Motorola’s (MOT) Q and the Touch by HTC starting Wednesday. The company also credits “time-saving fixes” for a recent uptake in Gmail use on the Apple (AAPL) iPhone.
According to research firm M:Metrics, the iPhone, which offers several of Google’s mobile services, is the most popular device for accessing news and information on the go. Nearly 50% of iPhone users accessed a social networking site in January, about twelve times the market average. And about 31% watched online TV on their device.
“This data indicates that the iPhone’s widgets [small applications accessible from the phone’s home screen] are an effective means to drive mobile content consumption,” Mark Donovan, senior analyst at M:Metrics said in a statement. “Beyond a doubt, this device is compelling consumers to interact with the mobile Web, delivering off-the-charts usage from everything to text messaging to mobile video.”
But M:Metrics also found that iPhone users are more likely to earn more than $100,000 than the average mobile subscriber. That means that, despite Google and Apple’s efforts to make the mobile Web simpler and faster to use, it will likely take a long time for it to reach mass appeal with average consumers — those who earn far less than $100,000 a year. According to a recent Jupiter Research report, 25% of U.S. cell phone owners currently browse the Internet from their devices, while just 16% say they do so frequently.

A WiMax Breakthrough in India
Tata Communications unveils an ambitious plan to become global leader in wireless broadband by launching the world's largest commercial network

A new nationwide wireless broadband network will soon make online access faster for millions of Indians like Sujatha, a resident in the southern Indian city of Hyderabad who reguarly trades stocks on her laptop.
India is about to become the frontier for high-speed, mobile Internet connections. On Mar. 4, India's Tata Communications , an emerging broadband player, announced the countrywide rollout of a commercial WiMax network, the largest anywhere in the world of the high-speed, wireless broadband technology.
Already 10 Indian cities and 5,000 retail and business customers use the product, and by next year Tata will offer service in 115 cities nationwide. The folks at Tata can hardly contain their excitement. "WiMax is not experimental, it's oven-hot," says Tata's Prateek Pashine, in charge of the company's broadband and retail business.
Of course WiMax is not new. Most everyone in the industry has been talking about it for years. Intel (INTC) Chairman Craig Barrett has been propagating its virtues in pilot projects across the world, including India and Africa (BusinessWeek, 9/3/07).

Sprint (S) will be rolling out a WiMax network in Washington next month, and in other U.S. cities next year. Until now the most advanced use of WiMax has been in Japan and Korea, where Japanese carrier KDDI and Korea Telecom offer extensive WiMax networks. However the Japanese and Korean services are not available nationwide—KDDI will have its major rollout only in 2009—and most people use them as supplements to the wired services.
It's in emerging economies like India, where there is little connectivity and where mobile usage is soaring because of the difficulty in getting broadband wires to homes and offices, that WiMax is likely to see its full potential as a commercially viable technology. Intel, whose silicon chips power WiMax, has been pushing for this technology for some years and its executives are practically salivating at the thought of the successful rollout in India. "The more countries and telcos that get behind this technology the better," says R. Sivakumar, chief executive of Intel South Asia. Predicting that the new technology will make other types of Internet access obsolete, he boasts "Tata will set the cat among the pigeons."
Tata Communications has been working on setting this up for a couple of years, and successfully completed field trials last December. It has used the technology from Telsima, a Sunnyvale (Calif.) maker of WiMax base-stations and the leading WiMax tech provider in the world. For now, the technology will be restricted to fixed wireless, but Tata plans to make it mobile by midyear. The company has invested about $100 million in the project, which will increase to $500 million over the next four years as it begins to near its goal of having 50 million subscribers in India.
The World is Watching
Global tech analysts are will be watching carefully. Though WiMax is prevalent in Korea, the Korean service is a slightly different version, says Bertrand Bidaud, a communications analyst with Gartner (IT) in Singapore. It's a Korea-specific pre-WiMax technology called WiBRO.
But the Indian market is where the conditions for a WiMax deployment are the best, he says, because of limited fixed lines. That means Tata has fewer hurdles to overcome. And as WiMax scales up fast, it will give service providers greater flexibility and costs will drop equally rapidly. "If it doesn't succeed in India, it will be difficult [for it to succeed] anywhere else, and Bharti, Tata has been virtually asleep, with a limited subscriber base for its limited product. In fact, even with as many as seven broadband providers in the market, the total Indian subscriber base is just 3.2 million and there is no clear market leader. But with the WiMax rollout Tata can gain a leadership position and add "a few thousand subscribers a day," says Alok Sharma, chief executive of Telsima. Tata is, of course, going for the heavy-billing corporate customer—a target audience that is beginning to make big investments in technology.
Temple Service via WiMax
But also important is the ordinary Indian retail customer who can watch movies via WiMax and enjoy Tata's other unique offerings. For instance, users can take in an early morning worship service at the famous Balaji temple in South India. The temple permitted Tata to install cameras so that Hindu devotees from around the world could watch the proceedings in the temple around the clock. To get connected initially, users will simply have to go to a store, buy a router, install it, and then they become instantly connected. It will be as easy as buying apples, Tata executives promise.
The Tata rollout is a chance for India to become cutting-edge in mobile Internet services, say WiMax boosters. For India, which "always used last year's fashion to dress itself up," says Sharma, it is a chance to launch a brand new. fourth-generation technology that the world can follow. "India is becoming the knowledge center of the world; it should take the lead in this," he adds.

the eventual buyout happens, these folks will get most of the fruit from their labors.

If Co. management is strong on oil/gas production skills and light on managing a publicly traded company, the advice they are getting could well be to the benefit of themselves and the advisor(lawyer).

will not be expanded/extended as some here seem to expect..
However certain elements of the project may be further

USAF Air Mobility Command Confirms Initial Tactical Lighting Requirements for WatchDog and BrightEye Systems
RESEARCH TRIANGLE PARK, N.C., Feb. 19 /PRNewswire-FirstCall/ -- Cyberlux Corporation, (OTC Bulletin Board: CYBL - News), a leading provider of LED lighting solutions, announced today that the Company has received the first commitment for 80 BrightEye and 60 WatchDog Visible and Covert Portable Illumination Systems from the United States Air Force (USAF). This initial USAF order for Cyberlux tactical lighting equipment equates to $3,318,646 in revenue, including spares and maintenance supplies. The Company projects that operations will be cash flow positive with the fulfillment of these first USAF orders.
The 2008 Department of Defense Appropriations legislation contains $8.0 million for the equipping of the USAF with Cyberlux Portable Illumination Systems. As part of this $8.0 million budget, the USAF Air Mobility Command will first fulfill the requirements of the Operations, Installation and Mission Support commands for the BrightEye and WatchDog systems. The remaining $4.6 million appropriations will be allocated within the Air Mobility Command and other USAF commands during the remaining Fiscal Year 2008.

The BrightEye Portable Illumination System is designed as a portable visible and night-vision compatible illumination system for general mission tactical lighting, force protection, maintenance lighting, expeditionary base protection, disaster first responders, and other rapidly deployable high-intensity lighting applications. Using advanced optics, advanced solid-state lighting technology, and light-weight battery power, all contained in an easily transportable wheeled case, the BrightEye system is capable of eliminating the space-consuming bulk, noise and energy consumption of the current generator-powered incandescent lighting systems. Unique to the marketplace, the BrightEye system provides both white and night-vision compatible covert lighting, a capability not available in traditional lighting systems.
In September 2007, the USAF Expeditionary Center Air Mobility Battlelab (AMB), an organization that explores high-payoff concepts, technologies and tactics to advance the capabilities of Rapid Global Mobility and Agile Combat Support, announced the successful completion of the BrightEye Portable Illumination System's evaluation period (http://www.amc.af.mil/news/story.asp?id=123069485). The Air Mobility Command expeditionary subject-matter experts evaluated the BrightEye System's capabilities and determined that the BrightEye System weighs 94% less than their current diesel-powered incandescent lighting systems, saves an estimated 63% in daily operating costs and is 97% smaller in footprint. In addition, the AMB concluded that the BrightEye System provides versatile and economical tactical lighting capability as required by expeditionary forces across all U.S. armed services.
In 2006, the Air Mobility Battlelab selected Cyberlux Corporation to deliver the WatchDog System by adapting its commercially available portable lighting systems to meet USAF Air Mobility Command requirements. Cyberlux was one of 26 competing companies to submit proposals to develop a lightweight, portable lighting system for both visible lighting and infrared NVG-compatible lighting. Cyberlux was selected during the USAF competitive review process to develop the WatchDog Portable Covert Illumination System.
The resulting WatchDog Portable Covert Illumination System, which weighs less than 50 pounds including batteries, is a perimeter lighting solution for the protection of landed aircraft assets and attendant personnel. The WatchDog System provides security lighting for an exterior boundary of 600 feet x 600 feet with either visible light or covert night-vision goggle (NVG) compatible infrared light. The Watchdog System was designed to protect military assets on the ground, such as a C-130 transport aircraft, by creating a "lightless" zone around the asset while illuminating the surrounding protection boundary. In covert illumination mode, the system increases the visibility of NVGs by almost sixfold. The system can easily be carried to remote locations and deployed quickly, and with highly efficient LED technology, the system can provide lighting for several days with a single battery charge.
The BrightEye and WatchDog Systems are available through the General Services Administration (GSA) Federal Supply Schedule 56 for Specialty Lighting products under Cyberlux GSA Contract GS-07F-9409S.

Can someone help me with this MID thing?
It seems to me that Intel will be a big player in MIDs,
but does ONEV fit in at all except for the automobile business.
Don't get me wrong, I think the auto side(telematics) can be
huge, but there seems to be multiple players there.
If ONEV gets involved with all or most of the OEMs that use
INTC chipsets for MIDs there will be lots of ONEV millionaires,
maybe even the little players like me, but I just don't see it.

Motorola Takes 12.5 Pct. Clearwire Stake

Motorola Reports 12.5 Percent Passive Stake in Clearwire
NEW YORK (AP) -- Cell phone maker Motorola Inc. on Monday disclosed a 12.5 percent passive stake in wireless Internet provider Clearwire Corp. in a filing with the Securities and Exchange Commission.
Motorola beneficially owns about 16.7 million Clearwire shares, representing a 12.5 percent stake in the Kirkland, Wash.-based company.
Motorola reported the stake in a Schedule 13G filing, which indicates the investment is passive and that the shares were not acquired to change or influence control of the company.
Clearwire shares jumped 60 cents, or 3.9 percent, to close at $15.95. Motorola shares added 31 cents, or 2.8 percent, to $11.57.

Another thing about these demos.... it is true that nothing
may come from them, and some say that since (as far as we know)
nothing has come from them in the past, nothing ever will.
I say NEVER say NEVER...
I say these MIDs will be huge, Intel will be in them, and
I'm happy to see that ONEV is in the game with them.
No guarantees, but better in the game than out.

These things take time. Some outfits that saw the CES demo MAY
be interested in pursuing Intel/Onev on this. Lots of times there are meetings going on behind the scenes at these shows,
sometimes even signings. Gotta wait and see (and hope).
Meanwhile, one expects progress is being made in Mexico and India.
Can't wait to read the next few filings.

While I would agree that just demonstrating the tech at
these shows alone won't do the SP any immediate good, the
more exposure OneVoice gets, especially the relationships with
folks like Intel the better. Some of these demos will work their way into trade journals, PC magazine, etc. At some
point awareness of the totality of what this company is accomplishing, especially when accompanied by increasing revs, will be reflected in the market cap.
It's been said that this company has turned a corner. I agree with that, and I like the progress we're seeing. I believe that a nice payday awaits the longs, meanwhile I'm adding shares as I can.

Nokia Ready to Exploit Motorola's Weakness
posted on: February 04, 2008 | about stocks: MOT / NOK Print Email The news for Motorola's cell phone business has been pretty bad lately -- bad enough that Moto might even pin off the unit. But there's even more trouble ahead. Nokia, the biggest global cell phone player, sounds like it's finally going to get serious about the U.S. market. Moto is strongest in the U.S.; Nokia has barely made a dent here.
I had a conversation with Nokia's president, Mark Louison, in January, and he laid out Nokia's methodical plan to carve out U.S. market share a few percentage points at a time. "We want to be the market leader in North America," he says. "It will take a multi-year effort to get there."
Nokia's plan doesn't seem to rely much on magic -- just on brute force. It has the R&D budget to crank out more new handset models than anybody else, and the scale to make them more cheaply than jut about anyone else, he notes. Nokia has done almost no U.S. consumer marketing and has not done a great job courting U.S. carriers, but Louison suggests that both will change in 2008.
Nokia is also moving in some interesting new directions. It will be coming out with Wi-Max handheld devices to try to take advantage of roll-outs by Sprint Nextel and others. Nokia operates an iTunes-like online music store in Europe and will probably be bringing that to the U.S. as a way to feed songs to a growing line of Nokia music phones.
Talking to Louison, I got the feeling Nokia smells Motorola's weakness and is anxious to exploit it.

LAS VEGAS (AP) -- With just a few months to go before the launch of its next-generation wireless network, Sprint Nextel Corp. has a distinctly modest lineup of compatible devices.
At the International Consumer Electronics Show here this week, Sprint showed only two computer modems that will definitely be available in April, when its WiMax network becomes available outside current trials in Chicago, Baltimore and Washington.
One of the promises of WiMax, a service Sprint will be providing under the Xohm brand, is that receivers for it can be built into a variety of devices like cameras and Web tablets that usually don't have a built-in Internet connection or rely on Wi-Fi, a short-range technology.
"We fully expect an explosion of consumer devices," said Antone Porter, a product manager at Sprint.
The relative dearth of early WiMax gadgets isn't necessarily a sign of trouble for Sprint. Gemma Tedesco, an analyst at In-Stat, said the coverage area will be relatively small this year anyway, and Sprint's main task will be to build out the network.
"Unlike Wi-Fi, users' satisfaction will be dependent on the network coverage, and so Sprint really needs to have their metro areas well covered, to get users motivated; even this may take time, going into 2009 and beyond," she said.
Unlike Wi-Fi, WiMax signals reach for miles, and unlike cellular broadband, it's designed from the ground up for data. That could make WiMax cheaper than current cellular broadband, or 3G, which often costs around $60 a month for laptops.
Sprint hasn't disclosed pricing plans, but Atish Gude, senior vice president of mobile broadband operations at the company, said he suspects "it will be more affordable than 3G."
Dead aim at the cable industry
At launch, the two devices that will be able to connect to the network are a modem for homes or small-offices from ZyXEL Communications Corp. and a laptop modem from ZTE Corp. (ZTCOF)
The home modem resembles a huge coffee mug, with two antennas that look like handles. It's intended to make WiMax an alternative to wired broadband provided by phone and cable companies. In addition to providing Internet connectivity, it will have jacks for phone service to be provided over WiMax.
The first gadget to come with built-in WiMax capability may be a new model of the EeePC, a diminutive laptop from ASUSTek Computer (AKCIF). The Taiwanese company started selling a version of the cheap computer without WiMax in the fourth quarter of last year and has sold 350,000 globally, Chief Executive Jonney Shih said.
An Eee with built-in WiMax will be available in the second quarter, Shih said. A price has not been decided. The current Eee uses Linux, a free operating system, but it will be possible to use Microsoft Corp.'s (MSFT, Fortune 500) Windows XP on future models, Shih said.
ASUS is also planning to build WiMax into full-size laptops, to be available in the second half of the year, with prices starting at $999.
San Francisco-based OQO Inc. demonstrated at the show a WiMax-equipped prototype of its small handheld Windows computer with slide-out keyboard. But the company did not say when or even if it would be commercially available. OQO already has models compatible with competing cellular broadband networks.
Finland's Nokia Corp., (NOK) which is supplying Sprint (S, Fortune 500) with WiMax network equipment, has said it will build Intel Corp.'s (INTC, Fortune 500) WiMax chips into a Web tablet model in 2008 but hasn't said when.
The backing of Intel means several big-name laptop makers, like Toshiba Corp (TSHTF). and Lenovo (LNVG.Y), have committed to making WiMax-equipped models, but no details have emerged.
"A lot of times the first year of a technology's rollout is kind of experimental and bumpy - even with the various flavors of Wi-Fi this has happened, and WiMax is much more complicated," said Tedesco, the In-Stat analyst.
Tedesco said the fact that ZyXEL, a "high-volume, low-end networking equipment vendor," is entering the market will push other companies like D-Link, Belkin and Netgear to also make WiMax gear.

SEATTLE (AP) -- Wireless Internet provider Clearwire and cellular operator Sprint Nextel have reportedly restarted talks to combine their high-speed wireless WiMax networks.
Sprint and Clearwire are discussing a joint venture that would attract funding from Intel (INTC, Fortune 500), a major backer of WiMax technology, which promises faster wireless Web connection speeds for laptops and cell phones than mobile operators' third-generation networks.
The companies have also approached Google (GOOG, Fortune 500) and Best Buy (BBY, Fortune 500) about financing, according to a Wall Street Journal report.
Sprint has started rolling out its WiMax network in some markets and has said it wants to reach 100 million U.S. consumers by the end of this year.
Sprint CFO, other top executives ousted
Helen Chung, a Clearwire spokeswoman, declined to comment on the report. A Sprint spokesman did not immediately return a call and an e-mail for comment.
The companies' first attempt to forge a WiMax partnership ended in November, sending shares of the much smaller Clearwire down more than 40 percent in the ensuing weeks. Since then, the companies have discussed a plan to spin off Sprint's WiMax unit, called Xohm, and merge it with Clearwire, according to the report.
Clearwire operates pre-WiMax networks in 46 U.S. markets, including Seattle, Syracuse, N.Y., and Duluth, Minn. The Seattle-based company, founded by cellular pioneer Craig McCaw, is testing a full-fledged WiMax network in Portland, Ore.
Shares of Clearwire (CLWR) skyrocketed $2.43, or 19.5 percent, to $14.88 in afternoon trading, while Sprint's (S, Fortune 500) stock jumped 78 cents, or 7.8 percent, to $10.75.

Valley view: Welcome to the world wide voice

In the early days of telephony, exchanges consisted of banks of operators at switchboards. Subscribers would pick up their phones and a light would illuminate on the board of one of the operators. She (as it almost invariably was) would plug one end of a cord into the hole by the light, connect her headset and ask: "Number please?"
For a local number, she would plug the other end of the cord into the hole representing the destination number to make the connection. For long distance, the operator would plug into a trunk circuit connected to another bank of switchboards elsewhere.
Times have changed. A start-up that calls itself Silicon Valley's first phone company has come up with a technology that allows web developers to plug into the world of telephony with as little knowledge of the routing involved as an ordinary caller.
Ribbit, based in Mountain View, has a "SmartSwitch" that takes care of multiple networks, protocols and devices to allow the web to be connected to any device in any manner. A landline phone can call a web page, a web application can be transformed into a virtual mobile phone.
To make this happen, developers making desktop widgets using Adobe (NASDAQ:ADBE)'s popular Flash or AIR technologies need only add a couple of lines of code to hook up to Ribbit's telephonic back-end.
The company has been unveiling its first service this week at the Demo conference in California. "Amphibian" can give a physical phone a virtual-world equivalent, enabling consumers to use their phone plans in new web environments.
Ribbit says it is enabling voiceware, connecting traditional telephony with the web. It treats voice as an object that can be embedded into any application - such as adding voicemail to a Salesforce.com web-based customer relationship management system.
Other companies have developed similar applications, but Ribbit sees itself as empowering developers at large. It is creating a marketplace for the widgets they are developing in hooking into its technology.
The coolest application of Ribbit so far is the virtual iPhone, developed by the Knoware design studio. This life-size desktop widget looks just like an iPhone and has the same functionality. Its developer says he was making and receiving calls with it in minutes after inserting Ribbit's code.
Ribbit and the iPhone help explain why Silicon Valley is now also known as Smartphone Valley. As mobiles have become more like computers and gained internet connectivity, the Valley's expertise has come into play.
This is a significant shift. In the past, Europe and Asia have led with cellphone innovation. European Voice-over-IP companies such as Skype and Jajah are now part of the Valley, but Ebay admits it overpaid for the former.
Intel (NASDAQ:INTC), the world's biggest chipmaker, has failed to break into mobile phones with its processors, eventually selling its division to Marvell Technology. But Apple has changed perceptions and turned the Valley's fortunes round with its iPhone. Its distinctiveness is expressed in its software and user interface, areas where the Valley excels.
At Macworld this month, Steve Jobs announced a software update for the iPhone featuring improved maps and the ability to customise the home screen.
This is in readiness for a software developers' kit, expected in February, which will enable third-party developers to write applications for the iPhone.
Google (NASDAQ:GOOG) is also leading the way in opening cellphones to software developers. It announced the Open Handset Alliance in November, an initiative for open standards on mobile phones, featuring its Android operating system.
Android was the name of the Palo Alto mobile start-up Google acquired two years earlier, one of many in the Valley focusing on the future of telephony.
Google is also bidding for wireless spectrum and has bought Jaiku, a Finnish mobile messaging service similar to the Valley's Twitter.
Private equity's telecom interest in the valley has been piqued. Elevation Partners says it is betting on the possibilities for mobile broadband. It began by paying $325m for a 27 per cent stake in Sunnyvale's Palm in October. Intel is also planning a comeback through mobile broadband, introducing its WiMax chips this year.
European groups have taken note. Ericsson paid $1.9bn for Redback Networks (NASDAQ:RBAK) in 2006; Nokia has spent more than $1.5bn on 10 Valley companies over 10 years, including Intellisync (NASDAQ:SYNC) for $430m in 2005.
In early January, Bob Iannucci, head of Nokia's research centre in Palo Alto, became the company's chief technology officer. He is the first non-Finn to take up the role - a clear message from the world's biggest handset maker that it views Silicon Valley as a centre of innovation.

Modern Technology Corp to Acquire Encore Energy, Adding Profitable Revenues and Over $1,000,000 in Assets

OXFORD, Miss., Jan. 28 /PRNewswire-FirstCall/ -- Modern Technology Corp (Pink Sheets: MODC - News), a specialized holding company announced today it has entered into a Letter of Intent to acquire Encore Energy Systems (Pink Sheets: ENCS - News).
The Company has executed a Letter of Intent to acquire not less than 51% ownership in Encore. The acquisition terms include a tender offer to existing Encore shareholders of not less than $0.01 (One Cent) per share paid in a combination of MODC Common Stock or MODC issued Convertible Preferred Stock at the stockholders' option. Encore stockholders may elect to sell MODC some, all or none of their ENCS shares. The Tender Offer portion of the acquisition is intended to give ENCS stockholders the opportunity to participate in the growth of two companies.
The prospective acquisition of Encore will add over $750,000 of profitable revenues from operations, over $1,000,000 in assets in the form of Convertible Debentures and includes the patent for the use of grey-water in heat-exchanger systems.
MODC intends to further build Encore's operations, revenue, shareholder equity, and increase the distribution of its grey-water patent. MODC will subsequently 'spin off' Encore and retain a minority equity position.
Complete details on the terms and conditions of the acquisition of Encore will be released in the coming days. Instructions for stockholders of Encore wishing to sell some or all of their shares to MODC will be released at that time.

The acquisition terms include a tender offer to existing Encore shareholders of not less than $0.01 (One Cent) per share paid in a combination of MODC Common Stock or MODC issued Convertible Preferred Stock at the stockholders' option. Encore stockholders are not required to sell any or all of their shares and will not lose their ownership interest in Encore. Stockholders can own shares in both companies.
The prospective acquisition of Encore intends to facilitate investment for growth while reducing Encore's debt and to build shareholder equity in preparation for a subsequent spin-off. MODC will retain a minority equity position after the spin-off.
MODC intends to further build Encore's operations, revenue, shareholder equity, and increase the distribution of its grey-water patent. MODC will subsequently 'spin off' Encore and retain a minority equity position.
Complete details on the terms and conditions of the acquisition of Encore will be released in the coming days. Instructions for stockholders of Encore wishing to sell some or all of their shares to MODC will be released at that time.
