WARRANT AGREEMENT
This Agreement, dated as of February 16, 2007, is between Converted
Organics Inc., a Delaware corporation (the "Company") and Computershare
Shareholder Services, Inc. and its wholly-owned subsidiary Computershare Trust
Company, N.A., (collectively, the "Warrant Agent" or individually "CSS" and the
"Trust Company" respectively).
The Company, at or about the time that it is entering into this Agreement,
proposes to issue and sell to public investors up to 2,300,000 Units (together
with the additional units issuable as provided herein, the "Units"). Each Unit
consists of one share of common stock, $0.0001 par value, of the Company, one
Class A Warrant and one Class B Warrant. The Class A Warrants and the Class B
Warrants are herein collectively referred to as the "Warrants." Each Warrant is
exercisable to purchase one share of Common Stock upon the terms and conditions
and subject to adjustment in certain circumstances, all as set forth in this
Agreement.

From what I'm reading in the PR, it appears they can exercise
to receive not one, but 1.21551 shares of common (for the Class A)- but essentially you're assumption is correct.
I've actually opened the SB2 of Jan 20, 2007 (exh 4) in the other window to gather the information of the original offering- to find out more about the orignal units.

It will be on the heels of regular tax refund season, when
some folks settle up small debts or do shopping anyhow.
So.......I say June is ideal, as families take vacations and
can afford to "go the extra mile" (no pun intended)
since road trips are huge.
Many families I know skipped the regular vacations last
summer with their kids from fuel increases alone.
Maybe some will do nothing with it. That's fine too.
However, if it does nothing more than relieve fixed budgets
for some "luxury" spending- than it's at least helping
morale for a day. lol
Sales will be up for a couple days
at the stores, and it will trickle up
a tiny bit. I imagine TV's will be a huggggggge item
to buy for those who aren't prepared for the digital
revolution next spring when we kiss analog
signals goodbye. Time to upgrade!
We got it on the Presidents way in, and on the way out.
I'm not complaining. I have a few kids and will most likely
be doing something with them - or perhaps I'll indulge in
