I truly believe You are correct in your assessment. They used PR345 as a code name to cover up the fact that it is, in fact, GEM Management (GXXM) in order to keep the share price artificially low. This allows them to acquire the company from the shareholders at a lower price then would be the case if the actual name of the company had been disclosed.
Just keep your fingers crossed. News likely out this week!
The mining operations of MMMM mining company being renamed QuadM Solutions may have made a major discovery and are in need of some revenue producing entities to bring their discovery into production. PR345 (assumed to be GEM) and NUAXCESS are the funding sources needed to get money to get the finds into production. Very possible but simply speculation on my part. The PPS of MMMM has ticked up in the past week.
As much as this stock has been beat down, I would expect the next two weeks will be a “rocket ride” for those shareholders who have climbed on board. This will be fun to watch in the coming weeks!

I seriously doubt that more dilution of this stock will occur on Monday.
The monies have already been collected to pay the note in the dilution that occurred this past week. JMO.

Some, perhaps all, of the conversion to pay off the $250,000.00 which was due on May 6th may have occurred on Friday and except for the notes due in August we have nothing but blue sky ahead.

So they want to keep shareholders in the dark hoping to keep the share price as low as possible before announcing the terms of the merger. Dilution of the stock also works to depress the share price which occurred to pay the notes that came due on April 26.
If they plan to execute a merger, they will need 50% of the shareholders to agree to an acceptable share price for a buyback. I would think many investors would be demanding a very high share price and perhaps a dividend especially since the share price has fallen to these very low levels. To get the shareholder votes needed, I would expect the cash price offered would have to be high enough to cover the loss in value for those shareholders who owned the stock when the share price was much higher.
Just sharing my thoughts about what I believe needs to happen for a Management Buyout.

If a buyout were to occur, what is the value of the shares? What if the shareholders are not happy with the PPS? What if they choose to hold onto their shares? Will the shares still be publically traded? Will they still be classified as common stock or be exchanged for preferred shares? Lot’s of questions!
I put in an order for a Buy at .028 for 60000 shares. Got a partial fill and it immediately moved to .029. Changed order to get the order finished at .029. Then the dump of the 200K shares. That tells me that with some heavy volume on the buy side,this will move up quickly. I am holding for the big dollars I know will come!
Bought this stock at .028 and only half filled, bought at .029, expecting the threes, than someone dumped 200,000 shares, and price dropped to .025. don’t think this stock will fall below .024. Just Saying!
Gem Management was a property management company in Texas which is now defunct. I really meant GEX management in my previous posts. Sorry for the confusion.

Newly formed company is a startup whereas a newly organized company is one that has been in business for awhile. The document refers to PR345 as a newly organized company which means it has been in operation for a while. Can't find the company's stock symbol, so it may be GEM or may be a private company. Still is a mystery.
Trying to define the difference between a "newly organized company" and a "newly formed company." If PR345 is a newly organized company it could be GEM Management. If PR345 is a newly formed company it could be a separate entity. Just boils down to semantics.
I am not an expert in contract law so I am just throwing this out there.

I think PR345 is “SEC public record form PR345” which when disclosed will show that GXXM merged along with NUAXESS with MMMM. Just curious as to why they labeled GXXM as PR345.
Kinda like the CIA giving codes to their secret operations: like “Fast and Furious” to cover up the operation of the guns being sold to Mexican gun smugglers under the Obama Administration. Soon the relationship of PR345 and GXXM will be disclosed. Very Amusing!

When I originally observed the suite number of 825, I realized the building is eight stories and GXXM occupied that space. Then I wondered about PR345 and whether they were a newly formed company perhaps in the same building but not on the same floor. The fact that the address and suite number are identical, I would have to come to the conclusion that PR345 is GXXM. You have done an excellent job in your DD!
Has to be the same company unless two different staffing agencies occupy the same building with same person running both agencies. Just my opinion. Action today should be fun to watch!
If GXXM & PR 345 are the same, those who sold off yesterday may want to jump back in. They could increase their share count and make a nice profit, just saying not suggesting. This could be a financial roller coaster ride.

If GXXM is PR 345, why did they not file a name change. It does say PR345 was a newly formed company but the mystery as to whether this is GXXM or a separate entity remains an unknown. We need more transparency on this merger. Hopefully, the dust will settle soon.
I would think that dividend, if paid, would only apply to those who owned the stock at the time the agreement was signed. Would that be a correct assumption?
