So they want to keep shareholders in the dark hoping to keep the share price as low as possible before announcing the terms of the merger. Dilution of the stock also works to depress the share price which occurred to pay the notes that came due on April 26.

If they plan to execute a merger, they will need 50% of the shareholders to agree to an acceptable share price for a buyback. I would think many investors would be demanding a very high share price and perhaps a dividend especially since the share price has fallen to these very low levels. To get the shareholder votes needed, I would expect the cash price offered would have to be high enough to cover the loss in value for those shareholders who owned the stock when the share price was much higher.

Just sharing my thoughts about what I believe needs to happen for a Management Buyout.
