Actavis sells second-largest corporate offering ever
Actavis (NYSE:ACT) sold the second-biggest corporate-bond offering in history yesterday, with a $21B deal fueled by investors' desire for income-generating investments when yields on government debt remain low.
The giant sale comes as companies this year sell debt at the fastest pace on record, extending a multi-year boom that has financed a flurry of deal making and stock buybacks.
Actavis plans to use the money for its $66B acquisition of Botox maker Allergan (NYSE:AGN).

< AeroVironment rises after mixed FQ3 results, guidance reiteration
In spite of its FQ3 revenue miss, AeroVironment (NASDAQ:AVAV) is reiterating FY15 (ends April '15) revenue guidance of $250M-$270M; consensus is at $258.2M.
Funded backlog at the end of FQ3 was $89.3M, down from $125.2M at the end of FQ2 (seasonality) and $95.5M a year earlier.
Driving the EPS beat: Gross margin was 39%; up from FQ2's 34% and flat Y/Y; by contrast GM fell 300 bps Y/Y in FQ2. GAAP SG&A spend rose by $100K Y/Y to $13.3M; R&D rose by $3.4M to $8.6M.
UAV division revenue rose 1% Y/Y to $58M; EV charging division revenue fell 12% to $10.4M.

For those interested: Nanosphere to ask holders to approve reverse stock split
Nanosphere announced that it will conduct a special meeting of stockholders on Tuesday, April 7. At the special meeting, stockholders will be asked to approve amendments to Nanosphere's charter to increase the authorized shares of its common stock from 150M to 250M shares, and to effect a reverse stock split of its issued and outstanding common stock with a ratio in a range of between 15-to-1 and 25-to-1 for the purpose of regaining compliance with the $1 minimum bid price requirement of the NASDAQ Capital Market. The board of directors will determine the exact ratio of the reverse stock split within such range, assuming stockholders approve the reverse stock split at the special meeting. In connection with the special meeting of stockholders, Nanosphere has filed with the SEC a definitive proxy statement describing the charter amendments that will be mailed to stockholders on or about Friday, March 6 to solicit proxies in support of the charter amendments. Nanosphere has engaged MacKenzie Partners to serve as its proxy solicitor for the special meeting of stockholder.

Textron's (NYSE:TXT) Bell Helicopter announces deals that could lead to the sale of more than 200 aircraft, as Air Methods (NASDAQ:AIRM) agrees to buy 200 Bell 407GXP helicopters for its core medical transport business, and Waypoint Leasing signs a tentative deal to buy 20 new 525 Relentless helicopters.
AIRM, which operates a fleet of more than 400 helicopters, will take delivery of the new Bell 407GXP for 10 years beginning next year; financial terms were not disclosed.
Ireland-based Waypoint would be one of the first customers for the new 525 Relentless, Bell's prime offering for the oil and gas market; the helicopter also is aimed at the search-and-rescue and firefighting markets.

BOX has acquired Subspace, developer of a secure browser (based on the open-source Chromium project that Google Chrome relies on) for accessing corporate data and cloud apps. Terms are undisclosed.
Though Box praises Subspace's technology, the purchase has elements of an acqui-hire: Subspace will shut down its operations next month, and its employees will "help extend the security, compliance and control features of Box's content and collaboration platform to any device used to access data." Subspace CTO Ben Kus has been named Box's director of security product.
Among other things, Subspace's team will help make Box's Information Rights Management solution (supports preview-only content access and watermarking) applicable to any kind of content., including material accessed by partners and remote workers.

The total number of shares of VOYA being sold by ING Group is expected to be 45.6M. Part will be in an underwritten stock offering, and Voya will also purchase $600M worth (13.6M shares) directly from the bank.
Following the completion of the deals, ING will have fully exited its 19% stake in Voya, though will continue to hold warrants for 26M shares struck at $48.75.

Western Gas to acquire Anadarko's interest in Delaware Basin gathering system
Western Gas Partners (NYSE:WES) agrees to acquire Anadarko Petroleum's (NYSE:APC) 50% interest in the Delaware Basin JV gathering system.
WES paid no consideration at closing, but agreed to make a future payment in 2020 equal to 8x the average of the asset's 2018 and 2019 EBITDA, less capex incurred by WES from closing through Feb. 29, 2020; based on its current forecast of the asset's performance and capital needs, WES estimates a future payment of $283M.
WES also provides its 2015 outlook, including expectations for adjusted EBITDA of $725M-$775M and capex of $675M-$745M; sees WES distribution growth of no less than 15%, and distribution growth for Western Gas Equity Partners (NYSE:WGP) of no less than 30%.

Vascepa revenue of $16.5M represented a sequential increase of 17.0% versus Q3. Prescriptions were up 11% sequentially and 55% compared to a year ago.
Patient enrollment in the REDUCE-IT cardiovascular outcomes trial should be completed this year (8,000 subjects). The study will continue until the attainment of 100% of the 1,612 primary endpoint events which is estimated to happen in 2017 with results ready for publishing in 2018.
The company does not expect a favorable decision from the FDA regarding its ANCHOR supplemental New Drug Application (sNDA) which had a PDUFA date of December 20, 2013. In September 2014, the agency denied the company's appeal of its decision to rescind the ANCHOR trial Special Protocol Assessment (SPA) and management decided not to appeal further.
Shares are up 3% after hours on moderate volume.
