Fair enough explanation. Thanks.
How do these numbers effect the market cap ratio? Valuation?
With 12.5 MIL in revenue, adding the costs of wholesale, expenses, taxes, labor, misc bills etc... how much could the income actually be?
An only $141,000 for all Hackets stores? I don't understand.
I expected more. Unless I've missed something. Somebody please set me straight.
What am I missing?
From today's PR:
"WiseBuys and its partners generated store-wide sales and trading revenues of approximately $12.5 million in 2006, and WiseBuys alone generated "Comprehensive Income" in 2006 of just under $1,000,000...."
1 Million in income? Is that for all Wisebuys combined? Am I missing something or does that seem small?
"Hacketts' reviewed financial statements disclosed 2006 sales and earnings of $13.1 million and $141,000, respectively."
Hackets only earned $141,000? A total of $1,141,000 of income/earnings for 10 locations?
I apologize if I'm missing something, so please correct me if I'm wrong.
Please discuss.
Yes, the do have quiet exhaust systems.
The following was posted by REALTOR. Thanks again Realtor:

Re: Hazy language in Sept 17 PR.
I'm interested in what people think of the following statement in yesterday's PR:
"Current Franchise Capital Shareholders are not expected to be required to tender shares as part of the close of the transaction. Aero Exhaust shareholders will, as part of the close, tender their shares of Aero Exhaust..."
I'm "slightly" concerned. As far as Aero tendering shares they use the words
"WILL..tender their shares"
I would have liked the same kind of certainty as to FCCN shareholders. For example, it would have been better if the PR said the following:
"Current Franchise Capital Shareholders WILL NOT be required to tender shares"
Instead it says, "Current Franchise Capital Shareholders are NOT EXPECTED to be required to tender shares..."
There's a difference. And since they used terms of certainty as to Aero shareholders, I don't think it's off base to consider why they used an uncertain term as to FCCN shareholders.
Since this is the way FCCN chose to structure the PR, it tells me they haven't finalized these details yet.
Please discuss various possible scenarios. The PR was carefully worded and I believe its constructive to discuss all angles and not just see things as we want to see them.
Excellent stuff. Thanks for posting that link.
Yup, resonator is the shizzle.
I love the Aero website, been there a few times but Im not a big car guy. So the "resonator" was exactly what I was hoping to
find. Appreciate the response to my post.
Thanks.
Question about Aero products...
Potential new long here. Been doing the DD and honestly believe the Aero Turbine is a revolutionary product, lowers exhaust pollution and increases miles per gallon. It's politically correct and economically correct. Killer combination.
BUT, from what I understand, this muffler, with that racing sound, would not have the cross market mass appeal of a quiet muffler. If you're into that supersport vibe, the Aero Turbine is certainly a top choice, if not THE top choice.
But what does Aero have for your average driver that does not want to rev up the sound of their engine and just wants a quiet ride? Does Aero make muffler/exhaust components that reduce emissions and increase MPG but are quiet with no racing "sound".
Basically, do they make a quiet muffler?
Thanks.
Do you own DD. Dont trust anybody.
Thanks AP.
3rd party DD re:Hackets/Wisebuys
ALL Hackets AND Wisebuys will be taking one name or the other. The employees have not been told yet whether they will be working under the Hackets name or the Wisebuys name but they are certain only one of the two chain names will remain.
Also, all employees I spoke with at the stores said that Wisebuys was a good company to work for and they respected management.
9 Hackets? is that confirmed?
10 Wisebuys or 10 Hackets?
Which is it gonna be?
It's not a question of "knowing", it's a matter of making an educated guess and then acting on the theory. Of course only the company knows, but if one only ever waits for the company to speak, how will you ever make any sick money?
You really think we need 30Mil?
With a market cap of approximately 12Million, I would think we need less than 30Mil Revenue.
Discuss.
Im asking for a debate on this, so that when the 8K comes out, we will have a better understanding of what the filing means.
The moment it comes out, there will be hysteria with obvious spin from both bears and bulls. I'd like to start that process now so that we have more time to analyze what we should be looking for from the 8K
All opinions are invited, good or bad.
Thanks
I wasnt asking WHEN 8K will b filed?
Im asking about substantive financials and other 8K info.
The question I posed is not concerned with WHEN the 8K is filed. I'm not concerned about how many days to go until its filed, just want to know what substantive info would be bullish vs bearish.
thanks
Hypothetical 8K possibilities.
What do you believe a very strong 8K would look like?
What kind of numbers? What 8K info do you believe will make the price jump.
On the other hand, what kind of 8K numbers would be bearish?
All opinions are welcome, just trying to see where everybody is at.
Please discuss.
Tracking Scozz effect on GS Agrifuels:
GS Agrifuels yearly financial reports at this link
http://finance.yahoo.com/q/is?s=GSGF.OB&annual
"Net Income Applicable to Common Shares"
2004 = $56,000
2005 = $425,000
2006 = $2,549,000
Tom takes over in late December 2006, according to this link
http://biz.yahoo.com/e/070109/gsgf.ob8-k.html
"On December 21, 2006 the Board of Directors of GS AgriFuels appointed Tom Scozzafava to the positions of President and Chief Executive Officer. Mr. Scozzafava accepted the positions on December 26, 2006."
Now it gets interesting.
Using the following Yahoo Finance link, we can see the quarterly financials for GS Agrifuels under Scozz for the last 2 quarters
http://finance.yahoo.com/q/is?s=gsgf.ob
Quarter ending for:
Sept 30, 2000 = $370,000
Dec 31, 2006 = $1,970,000
Now with Tom in charge....
March 31, 2007 = $4,054,000
June 30, 2007 = $2,345,000
total for these four quarters = $8,369,370
GS Agrifuels is $1.05 per share as of Friday's close.
Market Cap: $29.18M
Scozz = interesting cat.
Cornell GS Agrifuels Warrant. Hmmm? Very interesting.
GS Agrifuels closed at 1.05 on Friday.
As far as we know Cornell hasn't sold yet, right?
GS AGRIFUELS CORPORATION
Warrant to Purchase Common Stock
Warrant No.: GSCT-3-1 Number of Shares: 540,000
Warrant Exercise Price: $0.001
Expiration Date: October 25, 2011
Is there anything in the public record of available DD, besides the fact that Scozz is head of Agrifuels and a major stockholder, which suggests this action will come under SWVC's control.
This would be explosive for the price of SWVC. Try to imagine the hysteria on this board and in this stock if, next week, prior to releasing the 8K, Scozz were to PR that Agrifuels was being acquired by SWVC.
OMG! Can anybody say, "WEEEE".
So what's the story? Any guidance would be appreciated.
Fair enough, OG and MB.
I don't expect people to follow me at all. I really don't like that idea. People MUST do their own DD. It's the only way to truly understand each company and the potential of that stock.
I wish you all the best. I hope that Gemini and Seacove IR have learned something here. And I honestly hope that this was an isolated juvenile mistake.
I'll be silently watching this stock and hoping that my original DD proves to be more accurate than the last of it.
Good luck to everybody here. Do your homework, make some money.
I have nothing else to say in this forum, except...
Peace
If you're going to say I haven't been civil, you ought to cite an example.
But banning me would probably be in your best interests. I'll grant you that. You might as well delete the truthful DD.
I haven't reported anything but facts. I would think you, as a shareholder, would appreciate knowing facts. I have kept my arguments focussed on facts, not "motivations" as to any other posters in this forum. If you have an example of my not being civil, please cite it.
If being strong minded and fact based is not civil, than go ahead and ban me.
The truth is never welcome when it negatively effects ones wallet. For the 4th time now, if people will lay down their weapons, I'll be happy to leave this forum.
They called themselves liars.
"Hill is doing a fine job of getting these properties ready for drilling and to make a time-line of samples and calling people you do not even know liars is pretty harsh ."
Shawn at Seacove IR told me and others on this board that the delay was due to a "backlog" at the lab. When confronted with Inspectorate denying that they operate their business this way, Shawn ADMITTED there was no backlog and that "he should not have said that."
He admitted that a lie was told. He also told me that Mike Hill told him to say that. I'm not calling anybody a liar, I've simply reported that a lie was told and admitted to. I gave Shawn a chance to explain and apologize. He opted to apologize and I reported back to this group his apology, but he didn't explain.
I'll be happy to leave this board as soon as people stop trying to misrepresent the truth that I've reported here. Leave my truthful and accurate DD alone and I'll be gone. If people continue to challenge my DD, I will continue to defend it.
If you really want to get Expectorate involved, that can be arranged. Honestly, I don't care what you do with your money. I spoke to Shawn earlier in the week and I posted very good DD on this company.
Look at my posts. Look how excited I was about this play. But then I was lied to. The lie was admitted to. No explanation given. Another company's reputation was put at stake. I am dissapointed in this company and have lost all faith in them.
But I didnt want to leave all that happy DD out there when I know something now I didnt know when I wrote it. I feel like I've led people on to a promised land which is not real and I dont want anybody holding the bag because of me.
I am out of this play. And I will be out of this board as long as people leave my DD alone. If provoked, I will continue to defend what I've written. If you're sick of reading it then stop and let it go.
Defaming another business with lies to make your own delay appear non toxic is just fine with you , eh?
"My best understanding of Shawn's part in this is that Mike Hill told him something to the effect that the samples were "delayed", "not in hand", etc. Shawn then, in my opinion, innocently made a reasonable assumption that the delay was due to the lab and used the term "backlog" in his explanation. In retrospect, a mistake but NOT,in my opinion, a purposeful attempt to mislead."
Expectorate makes their business by processing samples on a time-line they promise to the customer. In this case Gemini was the client. Gemini was promised sample results and made PRs to the entire investment community that the samples were sent to Expectorate and would be processed by a certain date.
That date came and went, and Gemini decided to untruthfully lay the blame on a Expectorate and then got called on that and then retracted it. Why should anybody believe in a company that employs this kind of shady IR which impunes the business reputation of another company?
If Expectorate gets a reputation for not processing assay results on time, what will that do to their business? What will that do to their reputation if they cause mining companies to miss their deadlines promised to shareholders via PUBLIC PRs.
Give me a damn break. This is shady as all hell.
Shareholders here ought to DEMAND a public explanation and Gemini and Seacove IR owe it to Expectorate and the shareholders to fess up.
That's about the only way to "see no evil" Holmes. Cover your eyes and ears. It's not possible to argue with facts, so just ignore them. You'll go far, Grasshopper.
You see what you want to see. Im seeing what's actually there.
Now to each of your points.
"A grant does generally provide "money" for use as stipulated. The details of the administration of a grant will vary but it does result in the purchase of goods that would otherwise have to be paid for from another source. I don't see how parsing that point is constructive to the argument."
You original post said Gemini got the the Government of Columbia to give them "money" AND "equipment". That is completely wrong. The PR said it was a grant of equipment. For all we know, that could be a shovel, pick and hammer. It's very suspicious that no numbers were given. If it's a substantial grant, why not say so? When I asked Shawn about this he said that equipment in Columbia is cheaper than from USA or Canada.
But the main equipment is coming from Canada, so whatever they got from Columbia is very suspect IMO because they aren't giving a PR, photos or paperwork. Government grants are done through public documents, so why no explanation?
"I've expressed my beliefs and knowledge to my best ability here and have been, I believe, respectful of you and your arguments..."
No, I don't think you have been respectful. I don't expect respect, I expect a fight. Reading the implications of your post, you are trying to make readers think that I didn't accurately post what happened between Shawn and I on the phone, that in some way I misunderstood and that there is a possibility that there was a "backlog" at Expectorate which caused the delay of sample results. And that is not true.
"after all you do have a valid point in this discussion. It's really not necessary for you to support your point by impugning my judgement and accusing me of purposely making misleading statements!"
I said you were making "misleading" statements, I never said you were doing so on purpose, readers can decide that for themselves. And in mscharacterizing my statements, you're the one who is being disrespectful.
You might be making misleading statements because you've been misled, regardless, the statements I have spoken of ARE in fact misleading and if you've done the DD necessary to prove up what I'm saying you'd know that. I don't accuse you of making these misleading statements with malicious intent. I have no way of knowing that, but I was calling out your "comments" not your "motives". I have never used the word "pumper" or any synonyms with respect to your posts.
"That kind of language says more about you than it does about me. I don't really mind having my intelligence or knowledge called into question, but never, never question my integrity! That is far beyond the bounds of civil discourse."
No, you're the one who has mis-characterized my statements. Your statements WERE misleading. Your "motives" are completely irrelevant to me and I have NOT commented thereon.
"The real question is, does this one circumstance warrant the trashing of the company's reputation and the calling into question of Mike Hill's overall integrity?"
Yes, it absolutely does. This is how you make people be honest. As investors, we are what we eat, not what we are fed. I don't eat crap. If you want to give a pass, go ahead. Not me. My faith and money must be earned.
"If Mike Hill is stalling with regard to the sample report, what's his motive? Why would he stall except to obtain a positive result in support of the attainment of the ultimate goal?"
Exactly. If the samples are crap, he has motive to stall until they find better ones.
"If someone could show me how this "stalling" would very seriously benefit management while, at the same time, bring great injury to shareholders, you've got my attention."
The injury is that if the samples are crap, then what are the shares worth? Buying time gives them time, but it doesn't give shareholders accurate information to invest upon. When we are promised something, we ought to get what we are promised. If the samples are no good, than tell us that and earn our faith. Tell us you are doing more tests and be upfront.
"I, personally just can't see anything in the rest of the company's public history that justifies a "worst case" set of assumptions based on the issue in question."
One bad apple does spoil the whole bunch for me. It's a matter of what you are willing to overlook. Liars lie. One lie is all I need to get the hell out of dodge. I'd rather look up a company that hasn't lied to me, than invest in one that has.
"Let everyone draw their own conclusions."
Agreed.
If he's held 5Million shares, it's fair to say he believes the price will rise. Took some money off the table, left more on. IMHO this is bullish whereas dumping all of it at this price would not be.
I reposted both links.
They are not in conflict.
The 4 mil sale took place during the day, End of Fiscal year is at the end of the day.
He had 5 mil shares at the end of the day and therefore at the end of the fiscal year.
If your interpretation were correct, the end of the fiscal year would be at the beginning of the day BEFORE he sold 4 mil shares.
There's two FORM 5's floating about...
There's this Form 5
http://www.pinksheets.com/edgar/GetFilingHtml?FilingID=5427911
which clearly states that Viridis has 5Mil+ shares "following" yesterday's sale of 4 million shares...
Then there's the Form 5 you've linked to
http://xml.10kwizard.com/filing_raw.php?repo=tenk&ipage=5169675
which says "end of fiscal year"
But I don't see them as being in conflict.
The 4 million share sale took place, according to both Form 5's, yesterday, Sept 14, 2007. The end of the fiscal year was also September 14, 2007.
But the end of the fiscal year would come at the end of the day, so any transactions which took place prior to the end of that business day, Sept 14, 2007, would be calculated into the 5 million share surplus and therefore Viridis has
more than 5 million shares left "following" the September 14, 2007 transaction which took place prior to the end of the fiscal year which, for Viridis, was the END OF THE DAY YESTERDAY...
They didn't hit their fiscal year end until after the trading day was complete, technically not until 11:59 PM 09.14.07
That's the way I interpret both Form 5's. Im sure somebody will correct me if Im wrong.
I also believe it's bullish for SWVC that he's still holding more than half of what he had on sept 13, 2007.
Your "opinion" is lacking of facts.
"My best understanding of Shawn's part in this is that Mike Hill told him something to the effect that the samples were "delayed", "not in hand", etc. Shawn then, in my opinion, innocently made a reasonable assumption that the delay was due to the lab and used the term "backlog" in his explanation."
Before I informed Shawn that I had spoken to Expectorate, I asked him if the "backlog" excuse had come directly from Mike Hill and Shawn assured me that it came straight from the horses mouth. Shawn had to eat this crap and disseminate it. But if Shawn wants to correct the "record" and take one for the team, he can issue his own PR saying that he was the one who lied about the "backlog". Because it was a lie. That would of course be contrary to my "record" of the phone conversation.
And on Monday I will be informing Expectorate about the continuing defamation of their business on this board since you and others seek to continually mislead shareholders and potential shareholders with this line of BS. End of story.
"In retrospect, a mistake but NOT,in my opinion, a purposeful attempt to mislead. I firmly stick by my prior statement that I have never found Shawn and Jeremy to be anything but forthcoming and truthful."
Not a mistake, an outright lie. Only question for the public (not me, I have a clear "record" of the conversation) is, who was behind it, Shawn or Mike. Shawn clearly told me it was Mike, and I've checked my "record" where it's clear as day. Get my drift.
"He's got the Colombian Gov't giving him money"
No. There's no money involved in the grant. Don't give misleading DD. The grant was only for equipment and at this point I'm convinced that it was not a large amount of equipment. I asked Shawn about this and he wasn't able to provide anything more.
"Which brings us back to the "why" of the delay in the sample results. I, too, wonder why the results of the first 25 samples were delayed. If they were great and available from the lab, why not put them out? Good question....I don't know."
Shawn told me that if they had "good results" they would certainly want to release them at or before the mining conference. So, knowing that they will not release them prior to the mining conference leaves a fair implication, added to the over one month delay, that the samples came back as unsatisfactory.
I would assume that they are trying to find better samples and are sitting on the ones they already have.
"We can't totally discount the fact that, in this specific case, the lab has some involvement"
You CAN totally discount that the lab has any involvement. It's a total fabrication which Expectorate would not be happy about and that's why, when confronted with having to explain this defamation to Expectorate, Gemini via Shawn, has completely retracted that.
The fact that GXPI shareholders like yourself are clinging to that falsehood is sickening.
"In my judgement"
Your judgment is lacking on this issue.
"What I keep returning to is the simple fact of motive. The big payday for everyone, including the insiders, only comes with the full and successful execution of the business plan.
Again, prove out the resource at LP and get LC producing...!"
It's also possible that the motive is to find samples which actually show some gold in La Planada and in the meantime they've resorted to shady stall tactics while they search for better samples.
In my opinion, there is no greater currency than truth. I don't see that currency with regards to these samples and this company.
"MY logic then dictate's that Mike's words and actions along the way are aimed at achieving those ultimate goals" ...
I agree, his actions are self serving.
"...we've got honest questions and concerns about delays in two reports and the manner in which the rationale for the delays was presented. I'm not happy about the delays or the lack of a specific explanation for them (and the reasonable suspicion which has been engendered by that) but, for me, this issue, in and of itself, does not come close to being a deal breaker for the reasons listed above."
It's a deal breaker for me. Deal done. I don't like the stench of any of this. Before this, there was no stench. Now there is a stench. Anybody with a nose can smell it.
Yes, 4.4% was a good deal.
The more DD you do, the more it appears Tom is really on the job.
"Good sign of having enough cash and proft"
Excellent extrapolation of data.
We may not have an 8k, but loan repayment shows there is a healthy income stream.
More Kudos for Tom.
Thanks for posting that DD. The payment of loans off in such short order certainly makes me feel comfortable with Tom and SWVC. .
Interpretations? Anybody want to take a crack at this?
I Disagree.
"Following" the reported transaction...
reported transaction was the sale of 4MILLION + shares
the number in the box 5MIL+ is what's left
Table 1 Box 5 tells you how many shares this person had left "FOLLOWING" the reported transaction... and the 5mil+ number is typed in the box...
so that's how many shares they have today according to Form 5.
Here's a killer marketing plan for Wisebuys.
Would love to see Tom come up with a concept like
WISEBUYS, the made in America superstore, then partner with some with domestic manufacturing - cheap wages but stock options for workers... then take on Walmart and their toxic lead paint slave labor wage products by selling only "Made in America" stuff.
Now there's a marketing plan that, if actually executed, could revitalize this country's economy and make alot of people rich.
Imagine the price of SWVC in that scenario. Think about it, Tom.
Good luck to everybody.
Monday should be interesting.
I agree. Viridis Capital still owns 5,374,838 shares
according to Form 5, Table 1
"5. Amount of Securities Owned Following Reported Transactions."
And in that box is the number "5,374,838".
That's what Viridis has "following" the sale reported today on Form 5. That's the way I read the form anyway.
Viridis may have just been "taking profits" at ".03" and leaving 53% of their position for a bigger run.
Please discuss.
