Making a lot of presumptions here. Most of which have not come to fruition. It is likely best to wait and see how this actually plays out and then place your vote. As it stands now voting the current card is voting for status quo. That is financial suicide in my opinion. And all should understand that SK has been a central figure in this decimation of value while he was lining his own pockets at our expense. That is an undisputed fact. He is not a shining hero in this game. Quite the contrary.
This is correct and the way to vote for change.
This is correct.
Why would the current team add to the BOD under such a scenario. Adding to the BOD only makes their ticket more attractive. Let's see if they actually add 2 more prominent science guys. Now if we could vote across tickets I would be tempted to believe you could be correct. Either way anything is possible with this group in the mix.
Yes as it stands now Ronin will still not have a majority if 7 members is the new magical number. We will see how this develops. There is much more to come.
This is the exact argument that, in my opinion, will result in the current group retaining control with few changes and will perpetuate the current losing game for shareholders further. This lessons the chance that Ronin wins by splitting the vote. Every vote for the current group ticket is a vote against change regardless who you vote for or don't vote for on that ticket. These guys have the game rigged at least to some extent. All in my opinion.
Is the game rigged? Well it seems it has been rigged for a long time and not in our favor. Are these current guys proven leeches that take from shareholders unrestricted and without conscience? Absolutely and that cannot be argued. Does Ronin have ill intent? Nobody really knows and that is not their history. So I will control what I can control and that is my vote. I will vote for change but I will wait to see the entire picture prior to voting. Remember a vote for the current BOD ticket is a vote against the Ronin nominees and potential change even if you don't vote for the 3 non employee takers. They are hoping that arguments for voting their ticket without voting for each of the 3 non employee board members, who likely have a number of votes already secured, will result in their winning regardless if retail votes for them or not. If you want change vote the Ronin ticket. Yes I want to see these current leeches booted. But most of all I want the share price corrected and the best deal for the science. So if a deal occurs that keeps these guys in the game but corrects the share price and gets the science in the right hands with proper supervision then I will celebrate that also -- obviously. Time will tell. At this point Ronin is the only logical choice. Vote the right ticket when all the cards are shown. Don't be lured into thinking voting the current BOD ticket without voting for the current non employee members will result in change. It likely won't. If you want change then vote the Ronin ticket. If you want more of the same share price destruction, broken promises, under-performance, missed deadlines, lack of transparency and little to none poor communication then vote the current BOD ticket even if you don't vote across the board. Good luck to all shareholders regardless.
Yes everyone was wondering who was behind that change of hands and how they didn't have to file. Obviously there are ways to do that and go undetected.
Okay. Thanks. Again I personally hope you have nailed it. It's time.
Partnerships are not automatically positive, especially in Biotech land. It is all relative. Of course I do agree that the deflated share price will correct to a certain extent. The fairness of the deal could be in question. But of course many just want off this train so a jump in price will be welcomed regardless of the terms of any partnership. The perpetual shorting, if done by an interested party, usually is in preparation for less than a stellar deal. They want shareholders begging for any conclusion that has a positive impact on share price.
You obviously believe the partnership will come from the current team not Ronin. You believe Ronin nominees are insignificant since there is a another entity with a lot of voting shares that is in bed with our current management team that renders any vote a forgone conclusion. Yet your lack of specificity and transparency with your hypothesis is intriguing. Why not just come out and state what you believe is about to happen. You must be quite certain that you are right is my only thought. I hope so for everyone's sake.
Okay jbainsky I will play. You seem to be indicating that there is some type of pre-structured partnership going on behind the scenes that will become obvious when the proxy is released likely adding at least 2 other nominees from the entity that is pulling strings behind the scenes. I have one question. Is the move that you believe we are about to witness positive for shareholders in your mind?
Fair enough. Good luck to us all.
If that were the case, knowing the current BOD is in a fight for their lucrative, unearned livelihoods, don't you think they would be screaming foul loudly and clearly. I mean they wouldn't allow that to go unchecked. A bit far fetched if you ask me. Very simple, the current group is making a final weak push to grab some votes by copying Ronin's plan. And weak is kind. AIMO
I believe nothing of what the current group says and I have earned that right over 25 years of BS. The ability to question does not automatically presume you believe the answers. But the answers can provide further insight into the potential intent of the person providing the information especially if the questions are prepared in advance. To sit here and simply ponder without questioning is worthless in my opinion. Brings no value to the process whatsoever.
This is quite the strategic move by the current BOD. Basically splitting the research side from the manufacturing side and bringing in a new CEO to run the manufacturing side and act as another board member. Now how much say or oversight will our new board member have on the research side. None, nill, nada. He will be solely focused on the manufacturing side. The game of high salaries, exorbitant spending, and no oversight will continue and Avid will finance it.
Yes he will tell one what he thinks they want to hear and one has to be intuitive enough to understand that and prepare to ask further and tougher questions. You seem to be underestimating the intelligence and experience of many on this board. The key is you have the ability to question. Does not mean you don't prepare for any potential BS.
I don't understand why, if you have what you feel is a legitimate question concerning Ronin's intent, you simply don't pick up the phone and ask S White directly. Much better than speculating on a public board, creating doubt, when there may be a specific legal reason for such actions. Call him up and ask him directly why he refused to sign the non disclosure agreement to be briefed on the current non public happenings behind the scenes with the science. This speculation helps no one. If he gives you a non answer then you may conclude that there very well could be questionable intent. Very simple approach.
Yes. That would be beautiful. Celebration if that happens.
There is one sure way to rise above the negativity -- eliminate the cause. Vote for change to the BOD. Eliminate the takers. Then I believe we will have reason to be positive.
I have a hard time believing Ronin would allow themselves to be so easily checkmated. I guess we will have to wait and see how this works.
So would you also vote in the 3 Ronin nominees to ensure the 7 are as you suggest? And would you suggest that everyone do the same?
So you are suggesting that if the current BOD comes up with 3 new nominees, that all shareholders should vote for the 3 new nominees assuming they have legitimate backgrounds and can contribute to the success of the company, SK and all three Ronin nominees, assuming Ronin cannot add any further nominees to the ticket. And nobody should vote for the 3 non employee BOD members. That is a viable approach. Thanks for the clarification.
My point is Clarity is approval or a fair deal. Anything less is likely ambiguous or outright criminal. And there is no restoring their credibility at this point. There is only restoring shareholder value to the point possible. Their credibility is now clearly on the shelf next to every other failure to date. These guys are takers and there is no ambiguity in that statement.
If we get data, with no ambiguity, that says this is a slam dunk in a field with literally thousands of other competitors and a limited patient population and even your average layman can see this then the game changes. We have not seen such data to date. Our current group of manipulators are experts at speaking in ambiguous terms. It's always the carrot. Ambiguity is no longer acceptable. We need absolute clarity or we need absolute change. This is an investment. This is a business. This is our money. The current ambiguous game must stop. Absolute clarity or absolute change. We must demand it.
It would seem that Ronin does have the correct approach from a business standpoint in light of the issues highlighted in this article. It's a perilous process out there to get a drug approved for limited numbers of patients that meet much more defined criteria. I mean how do you navigate the complexities of competing against literally thousands of other trials with limited patient availability. Yes the trials can be approved with smaller patient populations but is it prudent to believe that our current group of leaders could successfully find their way through such a complex maze? In my opinion absolutely not. Business sense indicates the only logical approach is to deal the science in such a competitive perilous market. It would seem that one would have to make very calculated, concise and correct moves in a field of unknowns to develop a winner in such an environment. It is not prudent from a business standpoint to continue down the current path especially knowing the type of deal that the current BOD would demand before they would ever give up their current control. They have it too good at our expense and there is no conscience behind their greed. It's the ultimate catch 22 in my opinion. It's time to give up the pipe dreams of a few and get practical. Dealing the science only makes sense in such an environment. And the current group will not make the kind of deal necessary to move the science forward. The environment does not support such a deal. That is so obvious now in my opinion. Bring on any practical alternative. ANY! These guys MUST go. I am sure we will now hear how the only practical solution is to continue down the current path because approval can happen with limited numbers of patients even though the competitive and complex scientific landscape screams otherwise. We need to get real.
Let's ensure that the real issue is highlighted. It is not BOD compensation. It is BOD compensation relative to performance. There is an inverse relationship between performance and compensation and there is a consistent history of this pattern with this group. If they successfully negotiated fair deals for the IP, met performance goals and deadlines, communicated honestly and openly with shareholders and focused on share price appreciation instead of massive dilution nobody would think of questioning their compensation. Focusing on BOD compensation as the problem without commenting on associated company performance is somewhat disingenuous.
Thanks.
No matter what King has said in the past concerning his questioning why they chose him as CEO he never has an issue taking the pay raises, bonuses and added options. What he does speaks much louder than what he says. That is not an emotional statement. That is a fact. The rest of your post makes perfect sense and I am in agreement. Let's see how this develops.
That would be a legal stretch in my opinion, especially with the past this company has.
Nice work. Thanks
And their BOD and management team gave out bonuses, doled out more options and increased their pay after thirty years of losing efforts. We all know that drugs fail. Are we masking the real issue?
King has been a central player in the BOD's thieving ways. He needs to go!
"No Ronin nominated directors should be elected to Peregrine’s board, not even one. "
Now why would anyone be concerned if 1 Ronin nominated director was elected to a majority rules BOD? Wow it's getting deep.
"One has to agree with these puzzle pieces and again, all this does not mean I back the current BOD 100% as I have to see better game plan on that side as well. As of now, I want a 3rd option if all stays the same with current choices so yes...I am picky for sure."
The game is to split the retail vote knowing dam well the current BOD has a competitive number of votes in the bag as it stands. There likely will be new names on the ticket. The current takers have planned for everything in their entrenchment strategy. Every vote taken away from Ronin's group helps solidify the current BOD's win. All in my opinion but that sure does seem to be the strategy. We will have to see how the voting works when time comes. All retailers that want change will need to vote consistently to ensure a win for change. Split the vote and we risk status quo continuing. Again all in my opinion.
There is no wooing the majority of retail shareholders from the current unethical, self dealing BOD. Real shareholders know this to be true. They have taken from us for the last time. I personally question the intent of anyone that is supportive of the current thieves.
There is no other choice but Ronin. The current BOD consists of 4 thieves. It is obvious. What are you trying to sell and why? Ronin nominees are our only choice at this point. If the current BOD maintains control our money is lost. Gone. Good bye. And they will keep taking as our pockets are depleted. They are the worst of the worst. What is there not to understand? Our only choice is Ronin and they have a history of delivering value. Time to wake up and see reality.
Ask him to put it in writing. Tell him to address the concerns in the next PR they put out. That is your right. Better than simply assuming the worst. At least you will have a better feel for their motives.
Those that have concerns with some type of conspiracy in the works should call SW and grill him on intent. Listen carefully on how he answers. Why not? Certainly have nothing to lose.
Fair enough. Thanks
