I understand his point. My point: for someone who has been responsible for issuing countless PRs saying that XYZ was acquired or ABC deal was finalized ***NONE*** of which turned out to be true has no right to whine like a little beyotch because people are saying mean things about him.

It's open for debate whether Luther was earnest in any of his discussions with Davyd, Luis and others. Yes, I know that Luther is a seasoned executive (he used to run Exxon/Mobil, IIRC) but I still say that he might have genuinely believed that Eddie would come up with a way to deliver on the promises being made to the "acquisition partners" and ultimately to the bagholders here.
Could it be that Luther finally wised up and has decided to walk away?
Regarding debt on the balance sheet, what would prevent Eddie from paying himself $ 25K a month as CEO. And charging $ 2K a month to rent a portion of his palatial digs in Texas as the "corporate office"? True there is no cash to fork over now but the debt would sit on the books until there was cash to take and you-know-who would be the first to dip into the kitty.
When these companies control compensation (to officers, employees and closely related vendors) it just seems silly to believe that shareholders will end up with anything.

In all fairness, when Luther was a Vice President at IBM (or was it General Electric?) his secretary made sure all of the grammar was correct. At PRPM Luther has to proofread everything himself since the secretarial pool at headquarters is busy attending to other matters.
Check this 2012 letter from attorney Kogan relating to a completely different company. The PRPM letter is incredibly similar. Even the oilier documents reference appears in that 2012 missive.

Now that I look at the Attorney Letter more carefully it appears to be the result of a PDF to Word conversion, then converted back to PDF. I've seen similar spacing, font and spelling (incorrect conversion) errors in other documents run through this process.
Could it be that this is indeed part of a legit Simon Kogan letter intermixed with someone's "touch ups"?
Things that make you go "Hmmmmmm"
Wow that is an interesting letter to OTC Markets. A few observations:
Mr. Kogan operates from a residential building using a VERIZON.NET email address. Hot-shot securities lawyer? Maybe the handy-man is also his paralegal.
The use of fonts and punctuation in the letter is bizarre; more consistent with Vakser's PRs (or a ransom note) rather than the production of a licensed attorney.
My favorite segment is where the writer refers to "oilier
documents and instruments". Somehow the word oilier is indeed fitting.
The letter spells the name of the Company CEO as Jeffreys rather than Jeffries.
