"1/3" money is mainly for their new places operation
They have already said (in an SEC document that few bother to read) that they have enough money to fund their operations through January 2, 2009. All the new places will of course require some "working capital" during each of their start-up phases. The 6 million is set aside to acquire and rework / build all the new places, and the additional monies (beside the 250K) have to be set aside for each new place's initial operation (and yes, some corporate expenses) as they all become profitable... And they have also said that with three fully operational places uWink will become profitable (RE: H&H and Mountain View are planned to open no later then April 2008).
Their USE OF PROCEEDS statement speaks their plan clearly:
"We currently intend to use the net proceeds from this offering as follows":
New restaurant development $ 6,000,000 64.6 %
Marketing and administration of a franchise program $ 250,000 2.7 %
General corporate purposes, including working capital $ 3,034,300 32.7 %
Total $ 9,284,300 100 %

Regardless of what your "friend of a friend" or your "spidey sense" is telling you...the actual real world fact is... they had not received a conditional use permit within a reasonable time.
uWink obviously entered into the deal expecting to get it.
uWink then waited an appropriate amount of time to get it.
uWink was Not going to build / reconstruct at HH without it.
uWink terminated the agreement, as they should, to move on.
The 8-K statement they put out was very clear:
"The termination was as a result of certain permitting delays relating to the Center's conditional use permit that prevented the opening of the restaurant within the timelines provided for in the definitive lease agreement." - "The Company incurred no termination penalties."

There is no mystery regarding this, and there is no need to start one.
I spoke with Nancy Nino while they were waiting on the permitting.
The permitting put a hold on progress, they made the right choice.

I would speculate that Mountain View may happen in March.
I would speculate that additional franchise deals are more likely to happen when uWink becomes a chain (more then one).
Perhaps they will occur sooner...seems less likely that may happen.

Ans: I bought prior at .145 (see post#32). Have already taken my past profit on those 6K shares. - With Gold trending up lately ($842.30 Currently) and the dollar and the economy weak going into a new year, we may see a flight to gold and to various gold stocks next year. Linux may benefit from this, and of course they may not, however .22 a share yesterday (vs .24 today currently) was a fair PPS to start picking up some new shares IMO. I too would also like to buy at <.20 like yourself, however it's less likely we will see a reversal in the near future - again all IMO.
Linux itself has speculative promise, yet may never hit it.
Let's say betting here, is cheaper then how I play Roulette.

IE: Personally I prefer to focus on where they are Now headed,
instead of dwelling on / in the past... 2008 will gauge future FMV.

uN, that announcement also states that it is "a currently operating restaurant in downtown Mountain View, California." - Dude...until the official transfer of ownership goes through...it would be quite improper for uWink to announce that Mountain View address yet (for the current owners and uWink's benefit, as well as for obvious legal reasons).
