A better question than "So why hasn't Berman been replaced?" IS ….
Why hasn't Berman had the fiduciary responsibility to clearly understand his strengths and weaknesses and step aside as CEO, relegate himself to legal or product development away from the public image AND recruit a viable BOD and CEO that can brand, market, sell, make a profit on DECN IP and Product suite?
Such a TASK is incumbent on the CEO/BOD, not the SHAREHOLDER!!
Berman should look up the word and implementation of SYNERGY, IMO!
If Berman is such an "Industry Legend," why hasn't the BOD been filled with mavens who would represent the Best of Breed of Marketing, Sales, Big Box Networking, and all the TEAM members that could make DECN a winning Team?
Do the MATH, the CEO Berman formula of late does NOT add up from a business nor human talent perspective! IMO, either the EGO or sheer arrogance of this current Team will be the demise!

2018 A "Seminal" Year Close:
1 - GenSure!, internationally launched in Sept 2017, no where to be found for sale; although PR stated, "This intense activity begins January 15, 2018 with the global introduction of the GenSure!™ test strip."
2 - Shareprice down 75% from .08 on 1/2/18 to .02 as of this post. (12/31/18) Shareprice down approx 96% since my entry at .53 in May 2016 to .02 as of this post.
3 - Still no big box brick and mortar for US sales.
4 - Not even brick and mortar for PetSure! in big box pet stores; although PR stated, " The company separately has announced that it has entered into distribution agreements with distributors for big box pet stores for its PetSure! product line. Shipping to "big box" is anticipated to commence in October 2018."
5 - Still nothing on private label Alltara; although PR stated, "First deliveries of Alltara!™ ultimate are expected in 2Q 2018."
6 - GenChoice still not for sale; although PR stated, "International sales of GenChoice!™ are expected to begin in March 2018."
Seems like a lot of "announcements" but no execution of sales or profit to "brag" about, IMO.
Can shareholders sustain another such "seminal" year in 2019 as they did in 2018? IMO, NO!

The question is not whether DECN has had opportunity ….it has; HOWEVER, it has been unable to capitalize/monetize on such opportunity, due in large part, IMO, to inept and ineffective management and the inbred BOD. The Sugar Plum Fairies danced too much in MF Berman's head and he is in the wrong lane when it comes to marketing, sales, shareholder value, IMO ….SAD!
Remember, even a broken clock is correct 2 times a day ….DECN and shareholders are overdue UNTIL THEN, IMO, DECN will continue to "fake it" till it hopefully "makes it" one day BUT don't hold your breath!

I no longer trust ANYTHING spoken by MF Berman, DECN or its legions.
Maybe DECN should focus on the Moon (2024) or Mars (2030's) market ….. no competition yet and DECN seems to thrive in a vacuum?
Also, these goals are far off into the future to fend of shareholder expectation of real results instead of just Rhetoric ….. Typical DECN style headline may be "DECN products flying off space capsule shelves on way to Moon/Mars" ….. never mind weightlessness as reason for flying off shelves ….
YES, Johnny ….PUMP does not work much for DECN let alone shareholders anymore …. not to mention impact of dilution.

This may work in the short term or with a high turnover of newbies, but longs have seen the trend and lack of execution, IMO. DECN is neither of substance nor sensational.

How are GenUltimate sales in Taiwan and the Philippines lately? Are they in brick and mortar locations? Are they like GenSure OR Mexican Convenient stores OR like HANDSOME settlements with JnJ? How many other international markets have been mentioned in the past with no discernable results?
TRUST but VERIFY …. seems like trust in DECN is hard to muster especially nowadays! Where is that perfect partner, the licensing agreement, DECN yada, yada?
A review of DECN Press Releases and reports and prognostications by the blind, DECN apologist see little results/execution …..talk about throwing a lot of Poop against the wall …. is that a responsible business?
NEWS FLASH - ROI is important! Shareholder value is important! Honesty is important! Investor Relations is important! Maybe DECN should spend some effort in these areas and start executing?

How many years has DECN through PR's, reports or the prolific DECN apologist/friend of MF Berman teased about placement in big box pharma/grocer/pet stores/white label deals ONLY in this past year to UNDERSTAND that the DECN pricing model and subsequent margins for the retailer would be an issue versus Lifescan placement - Where was the market research/viability research? TALK about dropping the ball by DECN and its management or mismanagement?
What has Paragon done since the partnership announcement in March? Will Paragon fall through just like the Mexican deal, the South American Deal, yada, yada DECN?
Maybe DECN's financial viability / distress is a contributing factor as to why DECN product has not been placed on store shelves? Can product be dependably produced and delivered? Maybe even reputational risk of the CEO?
TIME to go to work MF Berman! Product development is USELESS without Sales (and profit just to be sure DECN understands that basic concept).

This projected settlement money was to be extra/found money or some similar description .... So, MF Berman should not be impeded to implement all his wonderful plans being a responsible business to increase sales and shareholder value .... Maybe MF Berman will actually be forced to execute rather than just talk .....

If it is not registered as a foreign corp operating in CA, I would question why its executive office has a CA address and various SEC docs and DECN reports list the same. A call next week to the CA Secretary of State office should shed some light on the topic. PS- I believe that 1600 statute includes subsidiaries.
I am not an attorney; however, what I read indicates CA law would prevail since DECN operates its executive offices within the CA jurisdiction. Shareholder rights seems to be a hot topic in CA.
DECN is a "foreign" corporation operating in CA because it is a NV corporate entity. Foreign does not mean from another country in this instance.
(A corporation conducting business in one state when incorporated in another is considered a foreign corporation and must qualify as a foreign corporation to legally do business in that state.)
I did not include the entire 1600 section in that post but you can certainly look it up in its entirety to better understand your rights, if you are a shareholder.

Seems like there is a common thread among the 3 top DECN financial message boards that ENOUGH is ENOUGH ....posters are tired of Rhetoric in the absence of DECN Results. The Friend of MF Berman still copies and pastes tired old replies to dissenting DECN posts such as "Call the Company", "Call the SEC, FBI", "Come in and take over", or other vitriolic or attempts to intimate or show MF Berman as a "victim". Shareholders are often disparaged and/or shareholder value discussions are dissuaded because DECN has failed to produce shareholder value over many years or shareholder conspiracies abound that are used to place blame as the reasons for DECN shortcomings. DECN management accountability is a taboo subject or it is someone else's fault.
Hope for DECN has been replaced by optimistic skepticism which has been replaced by skepticism which has been replaced by disbelief and no confidence which has been replaced by disdain of DECN management and those who infer DECN at any cost which has been replaced by let me get out of this investment breaking even or with a small profit for the trouble.
RESULTS and not RHETORIC seem to be the subject of the majority of posts lately.
IMO, DECN posts, press releases and reports attempt to focus on the appearance and not substance.
Example: the BOD is composed of 2 people....one of which is MF Berman. 50% of the BOD is the current CEO. The BOD is basically an extension of MF Berman. Does the BOD represent and protect shareholder interests? Do you feel your interests are protected by DECN?
Many posters across 3 msg boards are expressing their concerns about DECN exaggerations, lack of execution and overall skepticism of DECN by the tag, "Results NOT Rhetoric" .... Shareholders invest to increase the value of their investment, shareholders do have rights, and shareholders own an interest in DECN.
SHAREHOLDERS are not the enemy nor cause of DECN woes. SHAREHOLDERS deserve accountability. Disparaging SHAREHOLDERS does little to foster Investor Relations. MF Berman should foster improved shareholder relations and become vocal as such....real leadership starts at the top.
Should DECN receive any influx of cash due to licensing or litigation settlement should hire capable talent
to harvest DECN opportunity and relegate MF Berman to a legal/ admin advisory post.
