If we get news similar to the above then you can be assured that this company is relying on toxic financing to fund their operation and interests and therefore you may as well kiss your investment goodbye if you are long.
If Wang pulled this off before what makes you think that he won't pull this off again! After all the company needs cash and this is the fastest way to obtain it unless he can get some bank to give him the needed cash.
This may very well be an excellent way to advert bankruptcy.

Re: Rule 15c2-11 I have read this over and over again. It clearly states that in order for a stock to trade on the OTCBB with Rule 15c-21, they must file a Form 10, rather known as a 10-K for 1 year. So if this is the fact, than BFAR is then going to be filing a 10-K or 10-K's. I believe that they will submit it in one package with limited cost. A restatement of 2 years of 10-K's followed with the new 10-K for 2012 which is due by March 31, 2013.
Now, companies seeking to obtain a quote on the FINRA OTCBB must be required to file reports with the Securities and Exchange Commission ("SEC").
Under Section 15 of the Securities Exchange Act of 1934 (the "Act"), as amended, a company who has filed a registered offering with the SEC, such as an S-1 registration statement is required to file reports for one year. A company which files a Form 10 or Form 10-12G becomes a reporting company under Section 12g of the Act and must file reports. To be eligible for a quotation of its securities, the company's market maker must file a Form 211 with the FINRA, the company must have sufficient free trading stock in its public float to allow Rule 15c2-11.
The stated and un-stated listing requirements for the FINRA OTC-BB are as follows:
fully reporting with the U.S. Securities and Exchange Commission,
minimum of 40 stockholders of record holding at least 100 shares each (note: this number is informal and has been moving up),
must have a market maker submit 15c2-11 (Form 211) application to FINRA and agree to act as market maker for securities of company.

Yes loupai, I concur with my post. BTW have you sold, are holding, or plan on buying? I take it that you are holding, have sold some, and is planning to add if the share price goes lower?
However if you plan on buying, you may need to act fast. I don't think the share price will stay here for much longer.
BFAR still needs a website.
Perhaps they are waiting for the filing of the 10-K's before this occurs since the new website will be consisting of and reveling new information to the public.
Good point martind18! As an investor I try to stay positive about this stock. As for the other 60% of BFAR insider investments, I'm certain that they will not wan't to jeopardize their investment here by putting out any false press releases!

My understanding from Maurice Berkower's responded email is that if they were not engaged with BFAR they would care less to tell anyone who asked because of being unengaged with BFAR.
Now if they are engaged with BFAR as it's auditor, then because of SEC restrictions they cannot give an update to the public because that would in effect, cause a reaction in the stock price. Therefore this accounts the reason for them to stay quiet about what is going on with the audits including it's numbers since it hasn't been made public as of yet.
Only BFAR has the responsibility of disclosing inside information, such as the previous press release information. That in itself was a disclosure of inside information.
To sum it all up, it is my belief that Maurice Berkower IS auditing BFAR.

Total comprehensive income, and cash vs debt are the two most important factors here. If the audited SEC filed numbers look good, watch out. This may the comeback stock of the year!
fcpgalltheway, your like a person who can see New York city from the flat lands of Dakota or like the person that can see the fish at the bottom of the murky Hudson river or like the person who finally takes a breath of air after holding his breath for 2 minutes inside a gas chamber or like the person who enjoys the warm air inside a bus that's been in service for over 30 years, after 6 hours of riding non stop during August down south. You see a cup of milk half full while another see's it half empty despite there being no more milk, and there is a box of a dozen donuts and a box of cereal in front of the two of you while the both of you are money broke till 4 days from now. You see a new adjustable bed in an old wooden bed frame that is broken horizontally down em middle, etc, etc, etc...
In other words, you see the positives. Please excuse me examples, even thought I tried. Once this stock retest .50 cents, others will realize oh how so right and brilliant you and I really are. It's all just a matter of time now. Hold em shares tight and buy on em dips! That's what I'll be doing and I recon you'll do the same.
Hi guys! I know yall missed me. Just wanted to give yall some encouragement before the storm. Eventhought the potential remains high for a huge sell off next month due to tax balancing this will in effect give MM´s more shares to sell at a higher price once they collect their needed lower priced shares, it also gives them a strong incentive to sell them at a much higher price before any share offering occurs from FCPG. I see this occuring sometime next year, at the beginning of the year before news comes out of any dilution proceedures in order for the company to obtain cash so that they can become more competative by being able to use the cash for liquidity obtain more inventory with the possibly of securing more subsidities that will strengthen shareholders value for the long-term, so to speak.
With that said, I would get ready to obtain shares at a lower price. This could occur over a period of weeks or days. I would just be aware and recognize when this happens. You could in effect be able to double, triple, or even fivefold your money once the price rebounds and then eventually takes off like a rocket for a day or two.
As long as this company continues to make cash flow, I see the above senario as a strong possibility. Fcpgalltheway, I hope you will take my advice in order to make up for your losses and possibly even come out ahead. I know how big you are on this company and I just hope you will be recompensated for all you efforts in supporting this stock.
Last, I intend to tell the truth even if it may seem to be in a sarcastic manner to get the message out with my posts many of which you should take with a grain of salt. After all as I had stated in the past, I too have been in most of your situations, that is buying a stock at a higher price only to watch my money decline over time but I have also learned a valuable lesson as well. What lesson everyone learns in life if independent although univeral in a this given high spectrical situation. With that said, I wish you all luck and please continue to enjoy my sarcastic and corney posts.

Loupai, I have read you posts and have concluded that you have great deal of frustration in you. When this stock was lifted with the last PR, you didn't seem to rejoice as a normal shareholder would, so any pessimism uttered from your mouth should be expected. Perhaps you have exhausted yourself from waiting and not receiving just yet, but I tell you that those good seeds that have been planted are about to spring from the ground. Unfortunately I also see that there are those who are intending or who already have planted bad seeds along side the the good seeds. Sorry for sounding like a preacher but perhaps this way of telling you, I may in fact get through to you.
Nevertheless, what I see is that there is no selling which tells me that those that bought are holding for further news, that there has been no flooding of selling either, and as you are well aware of being in this stock for some time now that good followup news is forthcoming.
Look: There is no selling which tells me one thing. If this was a pump and dump the company would be selling like there is no tomorrow. So far the stock has held up. Also, as I have mentioned in the past, the company owns 60% of the stock, so I see all the incentive for then to regain compliance with the SEC and too uphold their good reputation as well. Remember that it was not BFAR fault that Davis license was revoked. BFAR had no choice but to dismiss Davis after discovering that their license was revoked which then accounted for the reauditing of the 10-K's.
Well that was in the past and then was then and now is now as we await for the official relisting, 10-K's for the past two years and their new Website.
fcpgalltheway, good luck on your investment here. I think I am going to stick with my other stocks and buy FCPG only if it drops to a more fun and attractive buying level. Also, you will see me posting on Yahoo with the same name, if your looking for me there as we debate there with liberty.

At what market cap do you believe BFAR will be at once the filing takes place? We know that at the current market cap of 2.74M definitely will be a thing of the past soon after the filing. So what is you logical guess?
fcpgalltheway, because BFAR wants to regain compliance with the SEC in order to trade on the OTCBB like the rest of the stocks that are filing 10-K's. Second, this company owns some 60% of the float or more at this time. Certainly those shares are not going to be sold at these price levels when the companies finances does not justify the stock price. Recall to that this stock traded between $1.00 and $4.00 before the company stop filing because of Davis license being revoked under which BFAR had no control of and only learned of the situation after Davis had audited the last 3 years of finances.
Last, can you name me one company that has up listed to the OTCBB that has not filed audited finances with the SEC. The answer is no. Why, because the SEC will not allow that to happen. Noncompliant companies trade on the pink sheets and compliant companies on the OTCBB, NYSE, AME, NASDAQ, etc.
fcpgalltheway, just don't use any personal name calling or spam and you post shouldn't be deleted like the way my lengthy posts were deleted as well. After all, I read your post and appreciate your effort so don't be discouraged.
In another subject, I do believe that you believe what you believe. No but rather, you do have some good points about this company. Perhaps I am being too judgmental like that way you have been with the other stock. Nevertheless, I have been intending on talking about the stock price itself and where I believe it is headed short-term. As far as the company, well I congratulate them on having such a nice 10Q. Though they would benefit more if they were to team up with other companies and or acquire more subsidiaries, but of course that requires cash, something that they could obtain through a USA bank vs an Oriental bank!

HA! An investor may have to wait years for a stock to appreciate in which there is no guarantee that that will occur. A short term trader doesn't. He is free to leave when the going gets tough and stay when the tough gets going.
Nevertheless if you want to call me a gambler than so be it. If success is not measured by winning more than loosing than I would say that your premises is correct.

However, if your thinking about your retirement and how this stock will one day be $20.00 a share, well then, you will have a long time to think and then later one day reflect on your "good fortune."
1dmg1, there does occur a great problem that exceeds all problems with these types of stocks that has tainted the boundaries of trustworthiness. Something that fcpgalltheway mentioned in one of his posts.
The problem lies with these Chinese reverse merger stocks. I think you know what the answer is. This problem stemmed from Rino's corporation and has mounted to the heavens since. This attached stigma is nevertheless resolute. Unfortunately, companies such as this one as well as many others do not deserve to be punished just because wallstreet says so. Until this issue is resolved, I see don't see any of the companies surpassing the great glass celling which is why I take these companies with a grain of salt. You just never know when the SEC will come down on one of these companies. No one is exempt in this territory.

1dmg1, I have stated what fcpg needs to do. As regards the stock, why only the MM's know when to shoot this up, that is when they have enough inventory of shares. LOL! I don't see that happening in Dec BTW. I do see that happening early next year though as long as the company continues to report positive net cash flow and pay their bills on time, that being the loans, than the MM's will shoot this up again. The past will repeat itself as every stock has it's own specific patterns, so will this one.
Get ready to unload at .17, reload at .05 and subsequently unload at .10. for the greatest strike totality in the quest of thy profits.

There exist with merit what seem to be a contractual obligation owed to shareholders since April's press release being that this follow up release is the reciprocity to the prior release. So in effect, BFAR would be demolishing and slandering it's own reputation if the last two years audits were not completed. I don't see that happening considering that the company owns some 33 million shares.
I'm looking to get in at .05 come December and to resell come Jan at .10. How about yourself what will be your entry price? .04 etc...
I'm having a hard time trying to sell my .11 shares at .165 for an instant 50% gain, knowing that those prices will be a thing of the past come December. Yikes!!!!!!!!!!

IF you invested $60,000 @ .40 than you net loss @.15 = $45,000
So with a direct strike you would are upside down. Much like the balance sheet of fcpg. Both go hand in hand. ROTFLOL!!!

fcpgalltheway, look I know that you believe that I haven't been all that kind to you, but in reality I have. It's all in your perspective. Just use more common sense and to stop going against the current. If you can change your minds perspective in the way you view stocks and view them in a more realistic light based on financials but most importantly on technicals and movements in the stock, you can make the right trades thereby becoming very successful. Now, I'm not saying that you aren't, but your past posts would prove otherwise. Notice that I said past posts.

Guys, there has been a lot of ongoing debate as to weather BFAR needs to file the last two years of finances.
Well, the answer is typed in the last PR. BFAR has completed the auditing of the last two years of financing.
Why would the company lie? To smear their reputation after insiders own some 33 million shares?
Look, in order to trade on the OTCBB they need to be a reporting company. Can you name me one company that upon enlisting on the OTCBB has not filed a 10-K with the SEC? I can't think of one.
Let alone that this is a Chinese company that want's to get back in compliance with the SEC and trade on the OTCBB. Pink sheets are the opposite which is for noncompliant companies.
Common sense and good old faith.................................................................................................................................................................................. That is what will separate the winners from the loosers.
fcpgalltheway, nevermind the last post. I'm off. The loans including accounts payable amount to about $7,300,000 and carries a interest rate between 5% and 12%. Total cash on hand amounted to $6,397,820.
The comprehensive Income was $992,233. With a EPS of .0166.
Factoring in all the total assets amounts to $20,188,061
Factoring in all the total Liabilities amounts to $25,062,843
With 59,664,480 authorized shares, total stockholders deficit amounts to -4,874,782.
There are solutions to these problems though. What are your thoughts?
fcpgalltheway, let's say you owned 100,000 shares that you obtained around .20 cents. If those shares go to $1.00 a piece come next year, than you will of have $100,000 dollars. So I figured you could of grabbed shares in the 10's range and thereby obtaining say 100,000 more shares at .10 to .16 cents, right. So that collected with say your other 100,000 shares will give you a cool 200,000 shares thereby making you $200,000 if the share price gets to a dollar. Now suppose fcpgalltheway that in the 10's you grabbed around 200,000 shares ranging from 20k to 25k, or at .10 to .15 a pop. If you were to hold on to them shares and sell them around $1.00 a share next year, you will have a cool $300,000. Wow! So is this about how you are going? I believe that the more shares you are able to grab down here, will make you a richer person.
So in essence it's not a bad thing if the share price were to drop again to .08 cents short term because that would open up an opportunity to by say 200,000 shares costing you $16,000 dollars. If the stock rebounds to $1.00 next year or even 3/4'th of that you will be a happy guy!! I hoped you saved for Decembers fiesta fcpgalltheway, like I suggested you should!!
fcpgalltheway, let's suppose that Wang obtains a $30,000,000 loan at 3% from an Oriental bank, how do you see that factoring into the companies buying power? For example, Wang will be able to purchase more inexpensive supplies, thereby stocking their empty shelves with the medical supplies that are needed in the community. Do you also see Wang and family, that being the his immediate family and the companies officers, using that money to grab shares in order to support the stock price and to release other good news in the future which will make the stock price higher than their buying price in order to sell shares at a higher price thereby benefiting common shareholders such as yourself?

fcpgalltheway, I know you haven't posted an email from the company about obtaining a large loan form an Oriental bank nor have you stated receiving conformation regarding that endeavor, so what in essence makes you confident that the company will be obtaining such a loan? Is there an email that you received from the company to the above effect that you haven't shared with the board?

Looks like 90 cents is a fair price to settle in once the market reacts favorably to what we have here or based on what we have here.
With 10-K filings and a New Website BFAR and it's shareholders will be able to realize fundamental gains based on regulatory SEC filing data and the new website should have all the new updates presented there. The share price will follow thereafter.
ONCE A NEW WEBSITE AND 10-K FILINGS WITH THE SEC TAKES PLACE ALL THE BASHING DONE BY SHORTS, ECT WILL END. MARK THIS POST. WHY,YOU MAY ASK? THE ANSWER IS BECAUSE THIS STOCK WILL BE CONSIDERED GROSSLY UNDERVALUED. THE MARKET CAP SHOULD REACH 20 MILLION PLUS AND CLIMB TO AROUND 50 MILLION TO NORMALIZE ONCE CONFIDENCE IS REGAINED.
