aztree, You're honest about it. Nothing wrong with being a trader. This stock has been a trader's dream for years following YA's ups and downs, millions have been made. With YA's predictable patterns, It couldn't get any better than it has been with Neomedia stock for a good trader. OOps, sorry, I just re-read the 8K, I guess it could get better. Remember good traders can take either position in this stock. Chops are being licked here. LOS

jeff, I have offered this "possibility" of what could be YA's intentions. The agreements in the 8K certainly gives them [YA] the ability to accomplish this "possibility". I would like to offer my thoughts that lead me to believe it to be a strong possibility. First, YA is controlled by what I consider to be young men. They aren't going away anytime soon. I now don't believe this company is now for sale at this time nor has been for sale since Iain McCready's arrival. I believe the bonus clause in Iain's contract is an intended distraction. [He can even collect it in the "change in control" aspect of this], assuring his loyalty to YA in this "possibility". One of the few things I believe coming from Iain's past statements is "they will relish this and come to us". I believe that YA, who is privy to much more knowledge of this company than we are, can see the future potential of this company. I don't believe YA is interested in a sale of this company in the short term [2years or so] for a few hundred million dollars when they see just as many of us do that in a timeframe of probably 3 to 5 or 6 years, this company is in a very strong position to becoming a multi-billion dollar company, a company of which these agreements in the 8K give YA the ability to purchase very cheaply from us full ownership of. Since YA has very little or none of the 50 million in hard cash left at risk, a gamble they [YA] are very willing to take. If I were in YA's shoes and could see the very real possibility of this being a multi-billion dollar company in 5 or 6 years, which I could totally own, I would not sell right away for a few hundred million dollars. With YA's track record and willingness to push the legal envelope to it's outer limits, I am very fearful that this is as I said earlier a very strong "possibility". I believe like most here that there is a "whale" in the future but I believe that "whale" will be Neomedia, but I fear a "whale" owned solely by YA. Thank you again, LOS

I believe YA's actions Dec 1st thru Dec 17th with the 45 million shares [bought or converted] indicates YA's desire to keep the price of this stock low at this time. If YA bought those 45 mil. shares it would even convince me more.LOS
jeff, Here is a "possibility" that I have considered. YA's actions for a long time have indicated that in addition to a tidy profit along the way, YA also intended to hold the market value of this stock low for the time being. YA's actions with converted stock [45 mil.] shares then sold for decreasing values from Dec. 1st to Dec. 17th while earning a 19% profit effectively kept this stock from rallying at a time we all had such high expectations from several announcements which were anticipated and felt a rally might occur and very well could have if not for YA. To consider the prospect that YA wishes to hold the market value down you'd have to ask why. Here is a "Possible" YA motive. First YA gets a majority vote, then effects a 1 for 100 reverse split. YA then, after the reverse split, again depresses the market value of this stock [which they have proven they can]. At a point of YA's choosing but before this company takes off, YA again forces a shareholders meeting with the majority vote so easily given to them, to announce that it is in this company's best interest to take it private [can also be accomplished with a merger or acquisition] at which time the majority shareholder can [legally] make a minority shareholder buyout offer to us [ on 99% fewer shares I might add.] Ya's offer may even appear to be a premium offer on the market value at that time, however a market value that we know that YA so effectively depressed. We then would have a few options. [Read cases of "Minority Shareholder Freezeouts; easily googled] to best understand our options should YA attempt this. I have convinced myself that this is a very strong possibility as to where YA is taking this. I ask no one to accept or reject this as a possibility, however to consider all possibilities when YA is involved would be prudent if one is trying to be prepared for any eventuality. Thank you, LOS

Inquiries from 50 states Securities Fraud Divisions might open the eyes of somebody.LOS [SEC, Securities Division of Delaware DOJ, I don't know but somebody. That's assuming there are shareholders living in all 50 states here who feel harmed by fraud in this matter. I'm not saying there's any here but inquiries for info. don't hurt.

Since I don't have much experience in understanding such trades as these at .0008 and outside the bid/ask, could any of you more experienced hands at all this offer any explanations. I'm left with only my imagination what that's all about. My first thought is some sort of payoff. LOS

If I were grading the current management's fiduciary responsibilities in any filings or amendments thereto, I'd say in protecting YA's interest in either case, success or failure of this company 100%. In terms of the common shareholder, in either case 0%.LOS
clawmann, would there be any difference between shares bought after the release of the 8K and shares held prior to the release of the 8K in the legal standing or status or weight in case of a legal challenge to anything coming out of this 8K? LOS

jcg, Speaking of getting YA to commit to something, Wouldn't you think an astute CEO would get in writing from YA terms and conditions under which "other" investors could be brought in instead of saying "we believe YA may allow this". I believe that statement in Iain's comments speaks volumes. LOS

krays, I agree. I'm new at this but I'm thinking that the higher it is allowed to run, we can put a more positive outlook on the intent and possible future of this. The lower it is held, not so sure of the intent and outcome. If I'm correct as to how to look at this, you don't need to waste a post replying. If I'm wrong your help would be appreciated. cjzak, I agree it is related. I have maintained that YA has a block of strawman "phantom" shares to insure control as much as possible this Neom share price during this lockout period. LOS
cjzak, I'd like to offer this. These are very unsettling times for all of us. This board is made up of very honorable and intelligent people with valued and differring opinions and input but with a common goal to see our investment be profitable whether trader or long. As clawmann provided with his link, of course there's a few "Red Herrings" as all boards have. I want everyone here to know how much I appreciate what I've learned from you all. No matter which way this goes, bad as some have opined, or good as others have opined, there have been years of establishing board friendships here. neomfriend, Yellowjacket's plan was a very intelligent and well thought out plan. Which an honorable investment firm and honorable company management could have taken for the betterment of all investers but this plan or something similar to it is apparantly not on the table [probably never was] but instead the plan in the most recent 8K. That's my unsolicited opinion. I totally agree that yellowjacket's thoughts on this are 1000% better than mine. LOS
