Come on Big O belly up, tell your friends, spread the word of this sure thing. God knows they need the dough. There is way to much dirt that anyone with half a brain won't newly invest in this empty shell of dubious ownership. THIS IS A RED HERRING. They ... NUBV, Touchard and company don't invest they only strip the stockholders. The DD speaks for itself. They live comfortably off of false promises and pink sheet investors dreams (your money). Nickolas does the same as he has never been succesful with this endeavor. He is so far in the hole when he does get investor monies he does the same ... lives off of the private investors since he is so highly leveraged and upside down on this thing for years. Private investors are harder to find as any DD exposes this cast of characters as dubious individuals that haven't built any businesses in years if ever. I know this 1st hand as a duped investor in the technology. Any money Steve raises for XND will be siphoned for his life style needs as he has no paying job. He is CEO and President of a ZERO revenue company with no infrastructure. Just Like Zouvas and Touchard ... the only difference, NUBV has pink sheet investors to live off of, but I am sure not for long. This has been on the shelf for 5 years and never successfully launched ... WHY? Why? He already has admitted to the fact he has been scorned by the supply chain. By example, he never paid his first bottler Jason Pratt, Nutrition Beverage. If he has found replacement ingredients then they are common to supply chain thereby; the product isn't unique to him because the materials are common to the industry. The uniqueness to these waters is the proprietary ingredient technolgy not the patented process. The proprietary ingredients allow for the use of the cold fill process as many common ingriedents like vitamins aren't heat stable not the other way around. Cold fill is not unique to beverages ... the proprietaty ingredient technologies he formulated with are. Additionally, neither party is credit worthy or have the funds to purchase these very expensive ingrients even if he wasn't black balled. Anyone that is naive enough to offer him credit will soon put that on hold when he doesn't pay them. The food ingredient industry is a small world and Nickolas' reputation is well known. GLTA in your other investments as this will be of little value shortly ... obviously, it already is IMO.
I listened to most of the conference call. I must say Steve hasn't changed much over the years. Most of you probably aren't aware that Steve is a former political lobbyist and he certainly can spin ... he has many of you feeling "poor Steve", he really is a sincere good guy. As an INVESTOR ONLY in Impact Beverage Inc./Enhanced Beverage LLC. I almost laughed myself to death when he said I tried to steal from him. I couldn't steal from him anymore than any of you can. He asked us for another $800,000 6 months after he absconded with corporate monies to payoff the second note that was due on his home. He is the dubious one (thief) as he got our monies with no return and you folks invested under false pretense of patent ownership and certainy won't see your anticipated return, if anything. I told this board all along that NUBV did not own the patent despite what th PRs stated. NUBV owns nothing other than a temporary non-exclusive 6 month license to market the product. Even if successful BFD. Steve told you he has no intention to sell the patent or the business for anything short of $500M. Why would any other company merge with NUBV (has no real value) when they can make their own deal directly with XND? There is nothing to buy into with NUBV. Why would Steve be willing to be a COO (second fiddle) for a company that is licensing his product other than he is broke and needs a job? Let's be clear NICKOLAS,STEWART AND ENHANCED BEVERAGE ARE THE OWNERS OF THE PATENT not XND Technologies. Only the aforementioned have the right to practice the patent. XND Technolgy or anyone else for that matter can't own that patent until Nickolas owns it outright. That number is not a patent. All patents are 7 digit numbers. That is an application filed for review ... patent pending. It is a continuation in part to the original.
You missed what is correct or not. XND didn't hold any patents to transfer in the deal. If so, what is the patent number. I agree the patent was the core of the battle. I personally discussed this with Zouvas. Steve sold or transferred something he or XND didn't own (the tangled web of deceipt). I didn't mean the patent can't be sold or transferred ... the lien needs to be satisfied and they didn't have the cash to lift the lien per Zouvas. The one lien that I am aware of is Jason's at Nutritional Beverage. The patent is owned by Nickolas and Stewart as coinventors and issued to Enhanced Beverge which is wholly owned by Impact Beverage, Inc. XND never owned a patent to sell to Nutripure. Nickolas doesn't even have 100% ownership rights. That has been a DD issue with past attempts to flip the technology and is an issue with Tech Labs agreement and will continue with future attempts. That is why Nickolas' XND is trying to make it on their own. GOOD LUCK. The 7th time won't be the charm.
You are not correct. Steve owns the patent (just ask him as he has stated as much to this board) and the liens prevented any transfer of ownership until the lien is satisfied. That is why the deal was reversed. Until the patent is named to another party Steve owns it as well as the coinventor and the investment group that has not waived it's right to ownership. That's why Steve's attempts years ago all failed because it can't past the DD process.
Notta. That's the point ... when I do you will too. Nickolas has failed all previous investors many times over. 6 times if I am not mistaken. Read the history my friend, it's all available. If and when this comes to market their will be a long list of prior investors and creditors lining up for the money they are owed. Why should we be optimistic now? He has other law suits to deal with and others that are forthcoming. Any revenue and profit going forward is XND as I see it. Nobody has stated what NUBV's piece of the pie is. Probably well short of any of your expectations as Nickolas chronically over promises and under delivers.
NUBV never held the patent that was the core of the dispute. Nickolas' name is on the patent, thereby; he has a right to practice the technology as does Stewart (the co-inventor). The patent was issued to Enhanced Beverage, Inc which is wholly owned by Impact Beverage, Inc. taht Nickolas owns 72.75% of the stock. Nickolas and Ted have stated that to the group as fact. That is also why Steve is offering other licenses to market such as Tech Labs. That is not NUBV. NUBV is a shell ... period end of story. Steve is a hero to himself not NUBV investors. If he was the hero to you all why isn'y he communicating that clearly. Continue to believe in convulated PR if you like. The aforementioned is all fact confirmed in previously posted PR by a variety of board members.
Gia, why all the scathing retort ... offer up a strong counter point for investment. I invested in this patented technology in 2003. That would equate to a present day equivalent in excess of a billion shares. I have seen absolutely no return. Only Nickolas reinventing himself over and over again with no ROI. You are obviously charmed by his deep baritone diatribe ... previous post. Just be careful is all I say. Please offer up reasons for investment in NUBV other than a hope and a prayer as most this board does.
This board has been slow for awhile. It's not about negativity, it's about reality. Read and ponder the information that has been posted. Cheerleading will only attract nickles, dimes and the misguided. Why would you want to attract misinformed investors? That makes you no better than the predators. For one that serves this great nation ... I know your value system is second to none. That is why I am here to offer contrarian point of view and not cheerlead. I for one could profit greatly by the technology success, but I strongly believe it's not through Nickolas. Nickolas already has my six figures that he has tried to run away with. I am not telling anyone not to invest, but I am attempting to provide a provocative thought process before you proceed and offer pointed questions for Gia's conference. These string along PRs need to have their feet put to the fire. Quite frankly, I don't like seeing investors misled ... ther is no question that Nickolas and Touchard have dubious pasts and should be looked upon with a jaundiced eye. Designing and Capitalizing a beverage facility will take upfront money and months. Money they don't have. Credit they don't have for the ingredients. In these economic times and with loan money tight. Good Luck!!! This won't see the light of day any time soon ... 6 months at best. They can't purchase my ingredient that's for sure and it's proprietary and core to the process. FACT!!!!!!!!
You are quite welcome. Let's talk facts.
1.) This deal has for the most part reverted to 2007 status pre merger.
2.) Steve controls and owns all the intellectual property ie. patents formulations, manufacuring and marketing expertise aka XND Technolgy. But they have no money only shares to offer for dilution to the current shareholder. A RS is as likely as Hillary being the next President at this point in time. Once crooks always crooks and the current plan is to continue to generate cash for themselves from pink sheets. This is truly great technology it sits in the wrong hands.
3.) NUBV his headed by an attorney who represented the board and prior ownership Touchard et al and has only been cleared for marketing rights. As I am in the business, they have no expertise and will only collect a royalty on sales to a certain level and then dissolve (marketing agreement). This is clearly a financial separation agreement to make the BS go away. The relationship is Symbiotic as Nickolas and Zouvas are major shareholders and will double dip the investors. The deception will continue with superfluous PRs to sting the investor. NUBV will not market anything as they have no infrastructure or expertise in this arena aka shell company.
4.) With all of this dirty laundry and lack of professionalism ... Coke and Pepsi wouldn't touch this with a 10' pole. The patent is now public knowledge and old technolgy from an ingredients stand point. Their scientist will circumvent the patent and introduce products similar to this in short order. They collectively have over 60% market share in the enhanced beverage category and are slowly playing the technolgy just like the electronic industry does. Nickolas could never leverage the shelf space, merchandising and marketing expense against these Gorillas. As an example that is how Frito Lay killed the regional snack manufactures back in the 90's. High commodity costs and slotting fees will eliminate the small and weak. There is no need to purchase this technology as it already resides in house ... it will be rolled out in due time.
What do the PRs hold for NUBV? The PR is clearly XND and that hasn't translated anything new for NUBV other than shareholders own a shell. Enlighten us otherwise. This board is truly entertaining and I always enjoy a healthy debate, but I don't see much intellectual debate just cheerleading. The probability of success at this point is equal to that of Hitlery being the next President of the Good OLD US of A.
By the way, I believe you serve this great NATION and I thank you for your service and are in my prayers. If it were not for patriots like you we would not be able to banter on about the superfluous. What you do for all of us is clearly more important than NUBV.

I agree. The million dollar question is ... What is the show? The show is Steve and XND and this has not been clarified as to the value of NUBV... What is the NUBV's shareholders interest and value with this shake out? At this time it is very little (no intellectual property or manufacturing and only marketing) NUBV is a shell at best ... IMO ... I don't see much. Steve is the only clam with all the pearls!!! Steve owns all the cards and what is that value to NUBV shareholders other than some market license. XND has the expertise??? unless RON and LUKE have become beverage geniuses overnite.
Zouvas represented Touchard and Brown. He was appointed as interim CEO by the Board that is controlled by Touchard and Brown. This is in black and white in prior DD. If it smells like a skunk it's a skunk. But you are free to wish and dream as you see fit. The bloom is of the NUBV rose as this is Ron's company. If you need a dose of reality ... this sequence of events should be no surprise as most if not all of his reverse mergers have generated no business success ... he lives of of pink sheet investors and offers nothing in return but worthless shares. Zouvas is Ron's mask. Zouvas is an attorney and really does not have a desire or know anything about the business as he expressed this to me in a phone call. They will look for a CEO which has been unsuccessful or Ron will assume the position as this deal has totally reverted with XND having total control and intellectual property. Ollie's DD is interesting in that they are designing a facility that will be XND's. This will take some time to commission and stock the pipeline to market. Anything before yearend is wishful thinking. I ask the question once again ... what is the value of NUBV if XND has the intellectual property and manufacturing rights and facility? Answer -- NUBV is a paper company as was LDHG. OK OK, Maybe it will finally generate revenue as a marketing company ... but HOW??? NUBV has no industry know how nor any infrastructure. STEVE CAME OUT ON TOP AND IS PURSUING THIS ALL OVER FOR THE 6th TIME. He will take the money and run ... if he ever makes any. Unless Richie Boy is right, NUBV is a ghost and will disappear or be rolled up into something else. At any rate only the ownership will gain not the shareholders. Shareholders only stand to gain by share value and/or dividends ... and this is not likely. Gia be weary of the wolf in sheeps clothing ... Steve is a great guy alright. Great at making what is yours into his. Don't forget there are other suits against Nickolas and more to come. Why does this guy get sued so much?

Nutripure is licensed to market not unlike the license proposal to Techlabs. They have market rights period. Coke would have no interest in licensees just the technology and that is Nickolas. Firstly, the patent is owned by Nickolas et al and he can license to whom ever he likes. The licensing fee and the royalties would go to Nickolas not Nutripure. If the contention is that Nutripure owns the patents ... most likely the court case is patent rights ... the fees and royalties are a revenue stream for Nutripure. That would be great for the investors. Steve et al in his email threads to the board have not indicated the later; otherwise he would be feeding the info in some fashion to pump the stock. Steve filed the court action to protect his patent rights, so I believe that Steve benefits not the Nutripure investor. Shortly before this case was filed I talked with Zouvas regarding my investment groups rights to the patent ... his contention was the patent rights were Nutripure's not Nickolas' and acknowledged the investors rights to revenue streams associated with Nu2O. I would venture a guess that they will settle with Nutripure having a right to practice the technology and allow Steve as a patent owner to license further with some type of royalty going to Nutripure and the investors. Long and short both parties will be able to prosper ... that would be in the proper spirit to allow the product to come to market. IMO

His white collar crimes are small and are already on file with the Phoenix FBI. Forewarned was forearmed. There is no PR that will pump this stock short of a technology sale to a big boy. IMO

It wouldn't be the first and only bogus PR. XND owns no patents, but Steve owned XND another shell company. If they do own patents show us. I haven't found any. Why do you think there is a dispute? So I guess there was some deceipt in the presentation; thereby a dispute in court. IMO
XND and Nutripure don't own the patent rights. Nickolas, Stewart and Impact Beverage Inc. own the patent rights. Anything would be a licensing arrangement. Thereby, Nutripure doesn't own anything other than to utilize the technology to market NU2O.
The Owners of Impact Beverage are Steve Nickolas, Andrew Stewart, Ken Player, Bruce Imhoff and Sandie Malek. Go back through my early posts as I offered snippits for others to do their own DD ... as some did with skill. Impact wholly owns Enhanced Beverage LLC. The patent is legally held by the parent company not the named inventors. I personally hold 8 patents that where developed for the companies I have worked for and was compensated $1 for the transfer rights to the company. To the best of my knowledge the named inventors for the patent never waived their rights thereby any of the 5 owners could potentially practice the technology. I also have ownership in the silver bullet technology that makes enhanced beverages virtually flavorless that was used to develop the patent. Nickolas is blackballed from this technology thereby he can't deliver what he has espoused. Stewart was the patent developer ... Steve is just the majority business owner. Since Stewarts departure by the way he was never paid a dime in 2 years by Nickolas and Nickolas absconded with Impact monies ... Nickolas has been a flop as he has no practical knowledge nor can he purchase the key technologies to bring product to market. The probability of Steve to bring this to market is virtually zero based on the aforementioned. Other big global players a prepared to launch and NUBV can't compete against their merchandising and marketing powers. Believe me we will see to it that it doesn't happen until we receive our monies to from the past. We are waiting in the wings to bring Nickolas to justice that will tie this thing up for sometime. We are just waiting for this issue to settle then the s**8 will really hit the fan. ImHO

Hey there Captain ... some of these guys don't get it and it's understandable considering the money they have invested. If the want to keep chasing the wolf they should sell NUBV and buy Techlabs. Bad investment after bad investment IMO.

It's been a while since we uncovered Steve Nickolas's attempt to re-enter the fortified water business with a patent he doesn't fully own and technology ingredients that he doesn't have access to. I keep Googling (is that a word) to see what's up and it looks like it's all "Quiet on the Western front".

What did your Uncle Canplay try to tell you? NUBV does not own the patent even though they think they do ... that's the dispute IMO. Techlabs is a license. NUBV would be a license. Nickolas and Stewart (Impact Beverage Inc.) are the patent holders and each has a right to practice / exploit the technology. How do you know that Stewart isn't marketing this to Techlabs.? At any rate NUBV is not exclusive and unique as you just discovered. Steve can play where ever he would like. He could careless about the investors on this board. He is a wolf in sheeps clothing, but you guys continue to believe and support. AMAZING!!!

He only came into play with Steve's dismissal. The BOD voted Nickolas out and their complaints have been dismissed ... translation THE PARTY'S OVER. XND and LDHC and the renaming to NUTRIPURE was a reverse merger transaction. The former officers of LDHC are on the BOD. How else may I help for your clarification? ... IMO
That's interesting ... the 2 members on the BOD that ousted Steve are off the hook. Zouvas who is the attorney that executed this reverse merger in the first place and was appointed by the BOD as interim CEO is still on the hook. I wonder what the exact complaint is. Nonetheless, Steve is trailing early in the game. I see there is alot of support for someone who tried to tap the bank account after his dismissal, but was halted due to the freeze. I am a shareholder in Impact Beverage, Inc., shareholder in Enhanced Beverage, LLC that owns the patent to the technology to make Nu2O. Vnet is another Nickolas srewup. If this opportunity remains in Nickolas' hands we are all screwed. Follow pifarmers advice and contact the Phoenix FBI office there is an open file on Nickolas. I provided the info in prior post. Read my post and you will see the trail of the Nickolas F5 tornado. It's tragic.

I don't disagree with your statement. It is not just money, we are talking the food business. How did you deal with dubious unethical liars and a cheats. Cash up front??? I don't need to sell to the like. Good B2B is based on a solid 2 way relationship. I don't treat all customers alike nor do I sell to just anyone. If you were in the food business you would understand ... bad people and business practices by customers lead to and cause tremendous consumer liability, damaged brand identity and sometimes consumer death. It's all about vendor and customer qualification. Good Vendors Good Customers Safe Products Healthy Consumer.
I am not involved in Nickle Dime. I have been in the business over 30 years. I've seen them come and seen them go. The food and beverage industry is in unprecedented choppy waters. Costs are through the roof and haven't even been passed through to the consumer yet. I will see a bunch of small guys fall by the way side and many startups won't get off the ground. If you aren't large enough or credit worthy it's not a pretty picture. The big guys will out muscle the newbies through merchandising, distribution, buying power and stay power. Big guys can weather the Perfect Storm ... not a good time to be a small or a startup company. Credit is tight tight tight and NUBV has none ... money or credit. You can't merchandise, produce, distribute and be sustainable without it ... even in the best of times.
I am not an employee. I have stated many times over I am an long time investor and supplier in the trade that is owed a great deal of money by Nickolas. I stand in a long line of investors and creditors that is owed money by this guy. He will not get our key ingredient ... and in fact his technolgy does not work without it ... other wise he needs sugar, flavor and preservatives like the rest. That's a fact Jack!!!
Dude, I have published alot of info here and the board membership has and slowly continues to verify and validate through DD. You are relatively new and have added great value by the way. But I caution you in supporting unethical people like this group at NUBV. That is a big reason they can't move forward because any new candidates do not want to touch this with a 10 foot pole. This is a great product but it won't see the light of day if Nickolas has anything to do with it. These products were formulated in 2002 and 2003 ... Ask yourself why this water walker technology is yet to see the shelves 5-6 years later. Nickolas can't continue to F*** the people that have tried to support him over the years. In the industry he is running out of people to srew. He is fighting so hard because he views this investment group to be his next gravy train.
