Wow, the guy keeps trying doesn't he? What's happening with the SEC legal situation? I notice that the company which used to be Muller media turned into that mining company we were to get shares of.. oh wait, that was converted to cash dividend. I go to my mail box every day looking for that cash to show up. Still hopeful. Or maybe they spent it on the press conference video. Was this shot in a cave in Afghanistan?

Word his he's married to another Russian girl and pictures of them in France etc. so I can only assume things didn't work out with Agata. New Russian bride.. new stock. So guess Say It In Russian love affair didn't last.

Then why keep him around as the attorney? If he truly has nothing to do with the company and owns no shares, why not get rid of the guy based on his reputation? Certainly there are a million lawyers with better bar records and reputations. The only reason to keep him around would be that he still has some involvement.
BTW will the new company make good on the promised dividend which was never delivered to shareholders??

hmmmmmmm not sure if you are implying I'm James or not but I am not. Eade knows my email/name and where I'm from and at one point we did have a very robust conversation via email. I can only guess why I was left out but if you read my posts one of the the things I intentionally did was post many links. So rather than using words like scumbag and thief I simply provided evidence. At one point a poster on here, who I suspect was either Eade himself or George before the fall out tried to say I was slandering Eade. And I kept replying... "what part of this isn't true?" and then I would post stuff like his dividend promises, his court bar record, court declarations against him. The guy would actually argue with me and I would say well then you better sue the California bar association and the court system and your own PR company because this is all cut and pasted from those links. He had no reply for that. He would have had a ton of fun in court with that.. lol Even a hack of that caliber must have enough sense to know they can't argue with reprinted information that is already protected by free speech. I actually warned him about the SLAPP actions and emailed him some cases when he threatened me so he was pre warned. Then I turned around and posted his emails to me which made him look even worse. Good times.
In the end, the story of Imperia was more compelling than any entertainment project they ever introduced. On one side you have complete arrogance and greed and then on the other the resolve of those upstanding posters who stuck around for years, without self interest only to warn others of the sins of the past.
As the closing credits come, and a search for the cure for cancer begins, only two questions baffle me to this day.
1) If a psychologist were to examine Mr. Eade what possible affliction would drive a man to this? It seems as if the man can not handle criticism to the point that he tried to sue his very own shareholders after shafting them into the living daylights with reverse splits and broken promises such as the dividends. Clearly an intelligent man but so twisted, I can only compare it to dictators of countries who ban free speech and are in denial till the bitter end of their regimes.
2) What kind of Stockholm syndrome or other reason would Undervalue continue to support this stock in the face of ALL EVIDENCE? The guy even purchased more shares at one point. I guess on some level I admire his stubbornness but when does it come the point the you ignore the obvious beyond reason? I don't think he's a bad guy, I just don't get it. Even now he is holding on to trying to stop the RS. Even if he did accomplish that, how would it make Eade and company suddenly get a morality transplant and change their ways?
All of the post is just my opinion and no offense to Undervalue. I simply don't understand holding out hope when all hope is lost. Almost the "Baghdad Bob" of the board. "There are no American tanks in Iraq!". lol! Maybe he's like the Gimp in Pulp Fiction and he likes the abuse.

I'm afraid nothing can help IMPN shareholders because IMO they are not a movie company, they are an ATM.
The ironic part is if they had done some simple smart decisions like pay shareholders promised dividends, kept people like Cindy and Hergott around who where actually involved with UFC they could have built this company and made more in the long run. The UFC is taking off right now. Cindy and Hergott had a deal with the UFC and obviously had all of the connections (which it appears Hergott still has). In my opinion they should have kept these types around and made a legitimate company. Instead they focused on reverse splits and using the company as a piggy back. Short term greed versus long term planning. The UFC is pulling in a couple of hundred million a year. TapouT is doing the same. Here is Hergott doing movies with these guys. Management are fools IMO.

You are laughing because you don't have a logical reply to what we are saying. Now you are talking about speculation of price increase based on the mood of shareholders. You did not address our points that there is nothing to stop Ken from taking the money all for himself since he has sole control of the voting IF SIIR were to make any money. You are betting on the stock price to go up based on speculation, not on real value to the shareholders. Your premise is based that a guy who's bar record talks about taking clients trust account money on more than one occasion suddenly being a nice guy who is going to give money to the shareholders rather than take it for himself. His preferred shares allow him complete voting control to do what he wants with the company. Why would he suddenly feel like giving it to you and I as shareholders?
I see someone who does not want to accept that they put money into this and that it is GONE. I'd like to believe you will make money on this, I would like to believe that we will all get paid our divies from four years ago, id like believe that Santa Clause is coming to town Dec 25th, but this is all wishful thinking. And maybe at some point we just have to accept the reality that we are not going to get our money back.

Also since Ken has total voting control of the company what is to stop him from issuing himself a "bonus" of 2 million or increase his salary? If he has the power to do that you are presuming he wouldnt out of the goodness of his heart. The same guy who took client's trust money according to his bar record.
How do you know that the loan made from Imperia is ahead of the loans made by private investors as well as the loans made by Ken and his wife in terms of payback priority? In fact the way I read it Imperia gets the money from the loan from SIIR but rather than that going to shareholders in the form of a dividend it would need to be repaid to Ken and other parties? Just because Imperia gets the money doesnt mean it goes to shareholders. It seems that Imperia has several debts that need to be paid. Since they havent paid on their dividend four years ago I see no reason to believe they will pass any profits on to the shareholders. Why would Ken do that if he can pay himself and his wife back on the loan then also pull a salary and pay other private investors back?
You don't get it do you undervalue? The dice are loaded. No matter how you play the game shareholders lose in my opinion. Pay special attention to the $640k loan to be repaid to Ken and Agata.

So even if Say it in Russia makes money it sounds like they are broke and have vendors to pay back. Then after that what is to stop them from taking out any additional funds in terms of wages/expenses?
Add to that trust in the market place is in the crapper because they are not providing updated financial info (the big stop sign on the pink sheets) and they never came through on the dividends they owe shareholders. Until they can keep their promises to people, like shareholders, and vendors then my opinion is that the market is not interested in the company any longer. This board used to be filled with hundreds of people posting. After breaking promises such as setting a date to pay dividends, then not coming through, people stopped caring. In my opinion you cant get that back unless you start keeping your past promises.
If you look at past finance disclosures Ken and his wife paid themselves for the script for the movie as well as many other things. I believe Ken had in there that he is entitled to pull a six figure salary from the company. I'd have to look it up but in any case my point is that there is nothing to stop them from pulling out any money made and putting it in their own pockets through expenses and wages.

KENNETH G. EADE [#93774], 43, of Santa Barbara was suspended for one year, stayed, placed on two years of probation and was ordered to take the MPRE within one year. The order took effect Jan. 11, 2001.
In a bankruptcy matter, Eade deposited $4,300 in fees into his personal account rather than his client trust account. When his client said he no longer needed to file for bankruptcy, Eade agreed to refund $3,425 but did not do so. The client won a small claims judgment of $4,418, which Eade paid a year later.
In mitigation, Eade had serious financial problems at the time of the misconduct, he has done extensive pro bono work for almost 20 years and he presented evidence of his good character.

KENNETH G. EADE [#93774], 38, of Oxnard was suspended for nine months, stayed, and placed on two years of probation. The order took effect Dec. 1, 1995.
In two cases, Eade practiced law while suspended. In one of the cases, his client filed three pleadings with the court, purportedly on his own. However, Eade's address and telephone number appeared on the front of the pleadings and the envelopes in which they were sent, and someone from his office signed the proof of service.
Although Eade claimed he dictated and prepared the pleadings prior to his suspension, he remained attorney of record at the time.
In another matter, he improperly acquired an interest adverse to his clients in a bankruptcy case when he agreed to pay them $3,500 for the title to their home. He gave the clients $500 in cash but did not pay the remaining money for nine years.
At the time, the clients had no equity in the property and were more than $24,000 in arrears on their mortgage.
Eade also was disciplined in 1992 for negligent handling of trust funds for one client.
In mitigation, Eade arranged for an attorney to substitute in for him during his suspension in all cases but the two in question. The substitutions in those cases were made late. No parties were harmed by Eade's actions.

Just as in Hollywood, not everything meets the eye when it comes to this company. AmeriDream's little office in Bermuda Dunes has been, or still is, the address for 14 other public and private companies, going by such names as Specialized Leasing, Herbalist and Cyber Vitamin. Behind the scenes is a small group of stock promoters and one very prolific Santa Barbara attorney, Kenneth Eade, who have put together companies that typically float in the nether regions of the over-the-counter Bulletin Board system. In 1998 one of the promoters, Russell (Skip) Nordstrom, of something called National Investors Council, was slapped by the Securities & Exchange Commission with a cease-and-desist order for failing to disclose that he was receiving payments from companies to issue glowing research reports. Nordstrom consented to the order without admitting or denying guilt. He was recently the head of investor relations of AmeriDream.
Elliott came into this bunch when Eade--whose Russian wife dabbles in Hollywood and will be acting, if you can call it that, in Conway's latest Dorf flick--brought him into an outfit called McSmoothies, which was supposed to develop a chain of stores selling fruit shakes. But without whipping up a single smoothie, the shell company morphed into AmeriDream by June.
Actually I would love to make money by the company paying me the cash dividend they promised me and other shareholders since 2006! If they didn't have the money they shouldn't have made a promise. They shouldn't have put out PR's that they were giving out shares in Muller. They shouldn't have mislead shareholders and then change that dividend to cash, set a DATE and then not deliver. -Why are you spending money on a big promotion of the stock (as you said in your own words Henry) instead of using that money to pay the debt you owe to shareholders in the form of cash dividends?
-How much has Say It In Russia made in revenue in the 3 years since its completion?

dditionally paragraphs 19 through 23 of Mr. Hergott's court declaration allege the following:
19. I am especially concerned that EADE will continue this pattern of deception. Among other concerns, he continues to:
a. Wrongfully use my script and illegally use my name to produce a movie;
b. Place me in a false light, affecting my professional relationships in the mixed martial arts and movie industries;
c. Subject me to liability for false statements and criminal activities by EADE and his businesses.
20. I have these concerns because after EADE failed to pay the $24,000 and terminated the director's contract, I learned more disturbing facts about EADE and his business practices.
21. I learned that EADE has been using "Never Submit" to prop up his corporations by making false "insider" statements about the movie project, including scores of postings on Internet bulletin boards. For example, he has used the false identity "investyrstallone" on InvestorsHub.com, to leak information to the public and shareholders about the movie. 22. I learned that in the months preceding my termination, IMPERIA issued no fewer than 36 press releases about "Never Submit"
and that during the same time period EADE used the false identity "investyrstallone" to promote IMPERIA stock in at least 100 message postings on Investors.Hub.com. (See press release and message listings attached as Exhibits S and T.)
23. I am informed and believe that EADE has stolen my script and is desperately promoting his stock because he owes investors, employees and others an estimated $100,000 and he does not have the money to pay them. I am informed and believe that EADE is running his corporations as alter-egos for his illegal activities. And I am concerned because I learned the State Bar of California has suspended him from law practice 13 times. (See State Bar information attached as Exhibit U.)

Actually like many of us here I was once positive about this stock. However after multiple PR's that never came to be true, multiple reverse splits, multiple name changes, multiple lawsuits involved with the company, many people leaving the company involved with lawsuits against this company and Ken Eade I woke up to what is really going on here. Lawsuit with George Ivakhnik, lawsuit with Hergott, lawsuit with Nexxus One. Would you like me to dig these up off the internet? How about the court declarations that were posted? You going to accuse me of posting lies when what I do is either 1) give my opinion 2) post information that is already publicly available. Good luck with that. So before you want to be quick with the lawsuits maybe you might not to want to come on a PUBLIC FORUM and THREATEN people to shut up or they will be sued. Especially bragging that you have a lot of money to drag it out.

And BTW people posting on a message board have not hurt this company. The ones running this company have done a fine job of that on their own.
PS. Since you own so much of the company, and since on IMDB it states that SIIR was made for $5 million. Can you do us all a big favor and ask the people involved in this company how much money that movie grossed since it was completed 3 years ago? A dollar figure would be nice. Not just a history of Reverse Splits but also of closing one company down and opening a new one. This was done with Muller remember? Nothing to stop them from making all kind of promises of no reverse splits on THIS company but then letting the company die like they did with Muller and Reverse Splitting the crap out of the new company. This company alone has gone through several name changes. This guy isn't suddenly going to suddenly change his ways. He is going to do what he has always done, he will just find a new way to do it. First off after 3 (almost 4 years) the only distribution for this movie is some sales to China and Middle East. These are the two territories with the most piracy of any country and once a movie is released there it will be free online within days (as if anyone cares to see it)

Most movies have distribution BEFORE the movie is filmed. This one couldn't get North American release.. and the releases it are getting are in the worst, most pirated countries. In short, the movie is a dog.

Sure, any distribution is great. The problem is that PR's were estimated that the movie would make $20 Million! And just like the PR about dividends coming to investors it was complete bunk. People invest in the company based on knowledge provided. The company raised money from investors by making outrageous and unrealistic claims. It also raised money by promising dividends and then never following through. Hell, last year they put out a PR that they estimated the company would make more than $40 million. From what I gather it is lucky if it made $100,000. That's a BIG difference.

You don't seem to understand. The company promised dividends and NEVER DELIVERED. They should do something for shareholders because they PROMISED them and shareholders purchased shares based on these promises. They have single handedly eroded shareholder confidence to the point that no one cares anymore. You are living in a fantasy to blame shareholders for the company's mess ups. Here is the list of the top film festivals in North America. The piss ant "Myrtle Beach" Film festival does not even register on the radar. The films that get distribution tend to win major festivals such as SUNDANCE and TORONTO FILM FESTIVAL. Those festivals clearly did not even accept SIIR as an entry. In fact being in the smaller shows insures it wont make a major festival because Sundance for example wont accept a movie unless it has not premiered elsewhere in North America. The DISTRIBUTORS and BUYERS go to major film festivals like Sundance, not small ones that no one outside of the region has heard of. In fact even movies that get accepted to Sundance, only a small percentage of those even get a significant buyer. The MOST an independent movie sold for last year was 5 MILLION and it WON at SUNDANCE. According to IMDB SIIR budget was $5 million. That means even if it had been the winner at Sundance it could have broken even. So Eade and crew has two choices, sell the movie at a loss and inform shareholders (tank the stock) or they can try and keep from avoiding that embarrassment by continuing to take it to every dog and pony show they can and string investors along. Which is what they are doing IMO. The movie will NEVER sell for more than the $5 million budget. And you can be sure private investors are first in line.
This is the ONLY egg in their basket. For them to sell another project, they would have to film it, edit it etc. which at the pace they do things would be years away, even if they have the money to shoot it now. According to Eade they don't even have the money to pay the dividends they owe. So they sell SIIR at a loss, then what? How long before the next shot of making any money? How are they going to raise more money if they do not make a profit on SIIR? Oh yeah, they can SELL SHARES.
