That termination language was put in place to protect Sysorex and its shareholders. Ostendo cannot simply walk away from this deal without notifying the Company in writing that it is terminating negotiations regarding the transactions (and Purchaser agrees to give such notification promptly upon making a determination to terminate negotiations).
