Very possible. It is very difficult to deny the connection between the two companies, but as of now, I don't think there is anything "official".
For my previous comments, I don't think that the raising of capital is a bad thing at all, and I'd rather they directly issue shares rather than go through toxic financing. I was mostly commenting on the fact that the shares (however many) are more than likely going to be sold, this wasn't just a move to up the allowed shares for no reason at all.
The problem is, they didn't just up the authorized shares, but instead, they issued an announcement of a public offering, meaning, they're intending to sell those shares (whether that's all 10billion, who knows?). The reason they can't offer them at .02, is because that would be saying they believe their market cap is 200million, which we know it isn't. .005 puts them at 50 million, which is believable.
Also, they don't need to protect themselves against a takeover because their preferred shares give them the voting majority, no matter how many commons they sell. That is directly in the filing of the offering.
When asking why they would buy back, then dilute, answer could be as simple as, they hadn't bought much back, or they got another job that needed more capital to fulfill, and they didn't have it, so they need to raise it. Or, it could be because of the 8.8 million in liabilities they posted for the 3 months ending in September 2020.
Point is, they could have increased the A/S without announcing a public offering, they've done it multiple times in their history.
Finally, it's not an answer to the SIML question, but where are you seeing SIML on the 1-A filing, because I can't find it (but admittedly, there's a lot to look through)?
Can't tell you it hit a buck ever, but I can tell you the 17B outstanding shares is less than 2 years old. It was less than 500 million O/S when I bought in three-ish years ago. It wasn't anywhere near a dollar then.

Just my 1 monthly post... up to 11.2 billion outstanding shares, up over 1 billion in a month and half, so I guess dilution is slowing down.
OTC markets updated yesterday, O/S now over 10 billion, added 500 million shares in 2 weeks.
Pretty much...At least they have a nice itemized list of all the conversions in this report. Good news is that there were no new notes during the quarter, bad news is there is still hundreds of thousands left on the old notes. This will get to 10 billion pretty easily, then hopefully something good happens.
Just in case anyone is still keeping track and hoping for a buyback...400 million more shares added to the O/S between May 3rd and May 17th.
100% agree...and I would be as happy as anyone should it happen. But I'm cautious to take Henry's word about anything at this point, and I've given my reasons for that.
I'm still holding a bunch of shares, so I'm rooting for Henry, but I'm not going to be surprised by anymore let downs either.
We're speaking about 2 different things...an increase from .0001 to .001 doesn't help any of the people that bought in 8 billion shares ago based on projects that have either been delayed, abandoned, or failed. This ran up to .07 based on a dividend that has since been delayed 3 times for a project that cost 20 million dollars and hasn't produced anything.
I willingly admit that the money I lost is my own fault, I believed Henry was going to come through. Maybe he still will. I just don't have the same confidence I'll get my money back. People that were fortunate not to find this until very recently are going to be just fine.
I agree. I've never said this won't go up...It just won't get back to .07 where it was before we added 8 billion shares. That's all. I encourage everyone to make money any way possible...including flipping.

Historically speaking, Henry hasn't finished anything that he's started. He's had APR, Commatrix, Transylvanianian resorts, Asian ferry projects, Gildex...nothing has been completed or even explained. When a lot of people on this board, including me, started here, we were at 200 million O/S. That should tell you all you need to know about the credibility of Henry.
Now you have 8.5 billion O/S, a deleted twitter account, and alleged news coming from personal emails, so you can see why confidence is low.
As I have said before, those buying .0001 and .0002 should be fine to flip, but that's all this stock has become. The volume on 'just retail' today comes nowhere near what it has been the last weeks, which should tell you that it's all been dilution. I don't believe he's bought anything back yet. If he can actually come through this time, maybe we'll be okay, but I'm not holding my breath.
So are we thinking that retail is selling hundreds of millions of shares at .0001 to help with a share buyback? Makes no sense. If they are buying shares at .0001, they are buying their own diluted shares, which isn't going to help the share structure at all. From April 26th to May 3rd they added 500 million shares to the O/S, even if all the volume of the last two trading days is them buying shares, they haven't impacted the share structure in a meaningful way. IMO.

Couldn't agree more. NOTHING Henry has put out has definitively said 'No R/S'. Everything has been "no intention or no plans...at this time". By the time all this dilution is done I'd expect us to be in the 12-15 billion O/S region...he's not buying that much back, even at .0001. The R/S is coming, sooner or later.
Hey, we only added 500 million to the O/S between 4/26 and 5/3...can't start a buyback until the dilution stops...sorry folk, Henry hasn't bought back anything yet. All this volume was dilution and flipping.
So you think that people that bought shares on the open market are selling at .0001? While I admit it could be possible, the logic of that doesn't indicate it would be hundreds of millions of shares. History, however, shows that Henry is a wizard at diluting and reversing. History also shows that the next thing he actually finishes will be the first thing he actually finishes. I'm still in this because I'm down too much to exit, but let's not pretend anyone that bought in above .001 has any chance of making money.
Guessing by the sells that just went through... they were at lunch!
Since most are going at .0001...I'm going to go with more dilution.

I'm trying not to sound like a basher, because I own a bunch and want this to succeed, but I'll believe a buy back when I see it. I'm also not confident that after all the dumping, 5.3 billion (if they even come close to buying that much) would put us in respectable O/S range. Henry has yet to complete anything yet, so there's reason to be skeptical about whether the buy back will actually happen.
Again, I'm hopeful, and if the plans come together, people that bought in low might make out ok. Those of us that believed the plans a year ago may never get close to our money back.

I bought in when it was under 200 million shares about 1.5 years ago.
We said the same thing when he first moved it from 1.4 billion to 2 billion. He's using it and has every intention of using all of this too.
We both know exactly why the PR was put out before the open...Henry rarely does pre-market PR's. He was at no bid, so he put out a PR (that he can honestly say he fulfilled if he buys 1 share back within the 11 month or so time frame) to drum up buyers for the notes.
Not that I want to rain on your parade, because I'm wishing this as much success as possible, but people have been on the "he owns shares so he won't let it fall' since we were dropping into .03. His ownership doesn't seem to effect the poor decisions, up to this point.

LOL...I (and many others) have owned since the O/S was 120 million. People buying .0001 and .0002 will make some money, eventually. But if you think the buyback is legit, check out any one of the 'projects' this company has worked on in the past...find me one that's been completed.
LOL...It will be over 7 billion by the end of the week. The PR today was for no other purpose than to find buyers for the notes after it went to no bid. Nothing more.
Without an R/S or massive buyback (with magical funds), this won't move a whole lot even with good news. There are too many shares and too many people that are going to flip billions at every tick.
Which only means our O/S has to be near or over 6 Billion now.
The only reason to buy this POS is because it is at .0001. There's no guarantee it will ever see .0002, but at least you won't see -99.53% on your stock list.
Well, I don't know about all the other stuff, but he's not bs'ing about the dilution. They have added at least 2.8 billion shares since I bought in. Last count we were almost to 3 billion o/s with 14 billion a/s. There have been a few heavy volume days since the last update, so I would assume that we're over 3 billion o/s now.
Thanks for the breakdown since I couldn't be there. Sounds like the same B/S we hear every time he opens his mouth. At least we'll be able to get .0001's for a long time coming.

Not sure if anyone still pays attention, but Gildex sold 5 million tokens in the last 18 hours from the main account (which should mean they're new purchases). No idea what that means after being dormant for so long...but it's something. $PHIL
