"My partner (Ray Gonzalez) and I saw that fighters in South Florida had a need for structured career management and guidance, so we created ML Management Group about a year-and-a-half ago," Vidal-Smith said. "A lot of these guys had the talent, but needed someone to focus on marketing and promoting them and booking fights. Their job is to train and fight. My job is make sure they keep doing so."

Vidal-Smith said a lot of her clients are from referrals; ML Management Group does not actively recruit.

On April 1, 2007, Pacer entered into an agreement to sell, in substance, a minority interest of 40% of its wholly owned subsidiary, Pacer Health Management Corporation of Kentucky, to an unrelated third party. In March 2007, the Company amended its lease agreement with the Lower Cameron Hospital Service District (LCHSD) to provide for the funding of operational losses by the LCHSD through certain grants.

Medical Services

Most of Pacer?s general acute care hospitals provide medical and surgical services, including inpatient care, psychiatric diagnostic services and emergency services. The general acute care hospitals also provide outpatient services, such as outpatient surgery, laboratory, radiology, respiratory therapy and physical therapy. Psychiatric hospitals provide therapeutic programs including for adult psychiatric care, adult drug abuse treatment and counseling.

Non-Medical Services

Pacer focuses to be a third party logistics provider. It focuses on providing freight transportation and logistics services and to provide truck and less than truckload (LTL) modes of transportation. In addition to providing access to capital resources, the Company makes available a range of management services to all its lines of business. Prior to becoming corporate human resources director, Heath served has the human resources director for Minnie G. Boswell Memorial Hospital, a 25-bed critical access facility with over 100 employees located in Greensboro, Georgia. During that time, Heath managed the recruitment, staffing, employee relations, benefits, compensation, and counseling functions at the facility. She also oversaw policy and procedures development, unemployment and workers? compensation. Concurrently, Heath served as the credentialing coordinator for the facility where she was responsible to the medical staff for the credentialing of all physicians and allied health professionals.

Heath began her career as an employee relations coordinator from Briggs & Stratton, a manufacturer of air cooled gasoline engines for outdoor power equipment with over 750 employees. While in this role, Heath recruited, hired and terminated non-exempt employees; structured employee orientations, implemented interview skills classes; conducted performance management training; redesigned performance management processes; and administered 401K and FMLA programs.

He has helped turn around the cash flow of several Pacer facilities, managed the turn around of several Pacer acquisitions, and has restructured the operations of a two (2) $20 million hospitals. Vincent has worked with facility administrators and medical staffs to decrease nursing agency usage throughout the organization. He was also an integral part of implementing new computer systems in Pacer?s facilities.

Previously, he served as the manager of the emergency department, operating room, medical surgical, and intensive care unit at Women and Children?s Hospital in Lake Charles, Louisiana, a 65 bed facility with annual net revenues of approximately $30 million. Prior to his work at Women and Children?s, Vincent served as the emergency department technician and then the emergency department charge nurse at Lake Charles Memorial Hospital in Lake Charles, Louisiana, a 150 bed facility with annual net revenues of approximately $60 million.

Vincent is a member of the Emergency Nurses? Association and American Heart Association and is a certified ACLS and PALS instructor and an instructor for basic life support and trauma nursing.

He previously served as director of federal taxation at Gerald Stevens, Inc., where he oversaw the tax department and performed due diligence on 15 acquisitions, while evaluating the impact of numerous capital restructurings.

Chi?s experience also includes nearly five years as a tax accountant for such prestigious firms as Ernst & Young LLP and Price Waterhouse LLP, for which he researched various tax issues and participated in preparing outsourcing projects commissioned by several Fortune 500 companies.
