MINUTES OF THE BOARD OF DIRECTOR’S MEETING

HANNOVER HOUSE, INC. (OTC: HHSE) – Friday, Nov. 20, 2020



A special meeting of the Board of Directors of Hannover House, Inc. was held on Friday, November 20, 2020 telephonically at 9:30-am CST. The purpose of this meeting was to address certain issues and disclosures concerning a proposed registration offering of the Company’s stock as a financing means to launch and operate the Company’s MYFLIX Streaming service. The following items describe the issues addressed, and where indicated, the actions taken by the Board.



1). PROPOSED S1 REGISTRATION OFFERING – At a point in the very near-term future, the Company plans to file with the S.E.C. an offering for two (2) initial tranches of HHSE stock under a S1 Registration. Each of these first two stock offerings will be for a total of fifty-million-shares (50,000,000), with the first tranche being offered at three-cents ($.03) per share, and the second tranche being offered at five-cents ($.05) per share. The company hopes to raise a total of four-million dollars (USD $4,000,000) from these first two tranche offerings, of which approximately seventy percent (70%) shall be allocated solely and exclusively for the final pre-release preparation and launching of the MyFlix Streaming Service, and the remaining thirty percent (30%) to be utilized for payables / debt management of the Company. Shareholders are advised that these newly issued shares will be freely trading and available into the public market, and as such, shareholders will experience a dilution of their equity in the Company and a dilution of earnings-per-share on a going-forward basis. However, it is management’s belief that the premium pricing for the shares (e.g., $.03 and $.05) which is significantly higher than the current market pricing for shares, will encourage new S1 parties to hold onto their newly issued shares until a date in the future in which the Company’s share price would make a sale of these shares profitable. Accordingly, HHSE Management feels that existing shareholders prior to the S1 Offerings are unlikely to see an influx of new shares on the open market until the pricing of HHSE stock appreciates significantly. A chart showing the current and proposed changes in Share Structure for the Company is attached, which includes anticipated, eligible debt conversion transactions, additional non-S1 stock issuances, and the total of the S-1 stock issuances (e.g., 2-tranches each of 50-mm shares).


2). USE OF PROCEEDS – The Board has limited the amount of proceeds that can be allocated towards existing debt and payables management to thirty percent (30%) of the new revenues generated as a result of the S-1 Registration. The purpose of this limitation is to provide assurance to new shareholders and investors that the majority of new funding generated from the S-1 Registration will be earmarked for costs associated with the develop0ment, launch and maintenance of the MyFlix Streaming Service. The restrictions on this Use of Proceeds shall be a conditioned and disclosed as an essential element of the prospectus and S.E.C. Filings.


3). ANALYSIS OF MYFLIX REVENUES & FORECASTS – The Board reviewed the cost structure and details of the data storage, digital data delivery, credit card processing, supplier reporting and supplier participation costs to determine an average per-transaction net income under the MyFlix Model, as well as a projected net income for monthly subscribers (utilizing the data delivery cost structures as disclosed by Acorn-TV, a comparable streaming service to MyFlix).


Based on a reinvestment / ongoing marketing model of $1 per subscription per month, the Company can reasonably forecast potential revenues and net income for MyFlix based on these specific assumptions.


4). FORMAL OFFERING / PROSPECTUS – As required under S.E.C. rules governing stock registrations, the Company shall utilize some of the assumptions and information as described in this Board of Directors report within the formal prospectus and offering.


There being no further issues addressed at this meeting, the Board adjourned at 10:15-am.

MINUTES OF THE BOARD OF DIRECTOR’S MEETING

HANNOVER HOUSE, INC. (OTC: HHSE) – Tuesday, Nov. 10, 2020



A special meeting of the Board of Directors of Hannover House, Inc. was held on Tuesday, November 10, 2020 telephonically at 9:30-am CST. The purpose of this meeting was to address certain issues and disclosures which are required prior to the filing of either a Form 10-12(g) registration, or the companion S1 Stock Registration Offering that the company intends to pursue. The following items describe the issues addressed, and where indicated, the actions taken by the Board.


1). FORM 8k – S.E.C. NOTIFICATION OF CURRENT AND UPCOMING ACTIONS – Upon advice of counsel, HHSE management has been told to formally approve and announce certain corporate endeavors and anticipated actions, said announcements to occur prior to the principal S.E.C. offerings. This advance notification to shareholders shall be effected through the inclusion of these Board of Director’s Minutes into a Form 8k Information Announcement – which shall be considered as a supplemental shareholder notification that is in addition to – and not in lieu of – a separate § 240.14d-2 offering announcement filing under Section 14 of the Securities Act.


2). 3). INCREASE OF AUTHORIZED SHARES – The Board shall inform both the Wyoming Secretary of State and stock transfer agent Standard Registrar & Transfer Co, Inc. that the share structure of the company shall be modified as follows:


a). Effective Immediately, the total Authorized Common Stock Shares for the Company shall be increased to 980-million. At present, 831-million shares are in issue, and this adjustment from the current maximum ceiling of 900-million to the newly revised ceiling of nine-hundred-eighty-million (980,000,000) will provide the Company with available shares for the first two (2) sections of the S1 offering registration described hereunder.


b). In the event that the first two sections of the S1 offering are fully subscribed, the Board shall reasonably consider an additional change to the Company’s authorized share count in order to accommodate a potential third tranche of shares.


4). TIMING OF CORPORATE FILINGS – Following the required disclosures, including the release of these Board of Director’s Meeting Minutes and the prior notification of an offering under § 240.14d-2 of Section 14 of the Securities Act, the Board has authorized a prompt release and filing of both the Company’s Form 10-12(g) Registration Statement and the companion S1 Offering for the funding of future growth and operations.


On the above, addressed items, the Board of Directors voted unanimously as follows:

i). APPROVAL of the release of Board of Director’s Minutes as a portion of the advance notification required or recommended to Shareholders prior to a registration or offering;

ii). APPROVAL of the terms of structure for the first two tranches of stock to be offered under the S1 Registration (e.g., 50-mm shares at $.03 / share and 50-mm shares at $.05 / share), as well as the irrevocable instructions regarding use-of-proceeds derived therefrom;


iii). APPROVAL of the actions to increase the current Authorized Common Stock Shares to 980-million, and to promptly inform both the Wyoming Secretary of State and Standard Registrar & Transfer Co., Inc. of this change in the Company’s A/S.


iv). APPROVAL of the plans to work with corporate counsel and M2 Compliance to complete all of the necessary documents and filings – including those filings and disclosures recommended to occur prior to the Form 10-12(g) and S1 Offering – under the most expeditious schedule reasonably available.


There being no further issues addressed at this meeting, the Board adjourned at 10:06-am.

NO COVID -19 Problems - Nasdaq Listed $IDEX Ideanomics Announced EV Operations Resumed and a New $7B Fund

CRWS posted good earnings. $0.50 per share up from $0.30 last year. The P/E is 10 and the dividend yield is 6 percent.

PPS moved up a bit today, but I think it is still cheap. Would enjoy hearing what others think.

Another interesting stock is DAIO. Cash on hand is a huge slice of market cap. Award-winning company providing security for internet of things. Add receivables to cash and you've explained nearly half of their market cap.

They are moving from sales to subscriptions. So, there is a temporary gap in how the money flows in. But business is going well and the internet of things is only going to grow.

The current INUV price is, IMHO, a total GIFT.

Both INUV and CPT (the acquiring company) are bleeding red ink. I've been in and out of INUV a bunch, and the stock has been very good to me. But if I wasn't already on the sidelines, I'd be heading there right now.

You might want to take a look at INUV. Currently trading at $1.25. They have a definitive deal to get bought out at $2.22.

Not a pinksheet scam. INUV is AMEX. The discount is probably because the acquiring company is private and the deal is a mix of cash and stock. When the deal is consummated, they will IPO shares on the NASDAQ, but until then we have to speculate as to their value.

The best guide to that value is what private equity investors paid earlier in 2018. At the current price of INUV, you'd be getting shares of CPT at half the price the private equity guys paid...

Polar Power Receives Multi-Unit Purchase Order of DC Power Systems from New Tier-1 Wireless Carrier

Polar Power, Inc. (NASDAQ:POLA), a global provider of prime, backup and solar hybrid DC power solutions, has received a 105-unit purchase order for its 15-kilowatt (kW) back-up DC generator set from a newly signed Tier-1 wireless carrier customer in the United States. This initial purchase order will be shipped over the next three months to telecom sites in the United States as part of the Tier-1 wireless carrier’s new cell site hardening initiative.
In the fourth quarter of 2017 and into the beginning of 2018, Polar Power commenced and completed a six-month test and evaluation with this Tier-1 wireless carrier in the U.S. for a customized, more economical DC power system. This solution was built to the customer specifications and Polar Power was added to their national monitoring system in the first quarter of 2018. Through the Tier-1 wireless carrier’s cell site integration partner, the company received its initial purchase order and expects to deliver these units in the second and third quarter of 2018.

“The new normal of extreme weather volatility is also having a negative impact on the reliability of our electric utility grids, which impacts our first responders who have a growing dependency on broadband communications for running specialty apps and data services during emergencies. All these factors have created the need to harden the cell sites with backup power and we believe the DC generator is one of most efficient means to bridge the power gap during times of grid failure,” concluded Sams.

“To support this new customer and our growing client base, Polar is constantly expanding and improving our production capabilities and supply chain,” said Polar Power COO Raj Masina. “This means the increased use of robotics and additional fabrication machinery along with better pricing from our vendors due to our increasing volumes. Roth Capital putting its money where its mouth is, buying another half million shares at 70c.

Anyone beginning to understand that Roth now has a vested interest in pushing this much, much higher?

Roth has put a price target of $3 on $INUV. It is currently selling at 70c, due to a total over-reaction to company increasing O/S by 10 percent.

They increased O/S by 10 percent and the PPS dropped 30 percent.

Should be selling for 92c based on the pre-issuance market price -- and now Roth has this huge price target.

I have been loading up.

Took a position in ZNGY today. I like the space they are in, and they are growing rapidly.
ZENERGY BRANDS, Inc. basically assists hotels and other commercial entities achieve energy savings, through retrofitting lighting, HVAC and other systems, which is a hot business with a lot of opportunity. I think the stock has been down over the last 1-2 years, for reasons related to politics, but this business does not need subsidies from EPA/DOE to succeed. They can make big $$ by simply running the business. They just acquired a Retail Energy Provider, and said this about it:

With this strategic acquisition, Zenergy adds an essential complementary service to its suite of smart energy products and services, this time a reputable, fully operating, licensed REP, thereby further increasing the firm’s value proposition.

I checked out EXAS at a very high level...there is lots to like, I only see one issue...no pipeline. I do see where it is in there plans, but without products in the pipeline at some point in time, the market will factor in growth of Colo only....now, in all seriousness it could be over $100 when that happens, lol....hard to say...

I think for some crazy reason, this just may be their year.....

As for currently, I’m looking at PSTI. Pretty volatile for some short term value. Has some long term if things come along.

Well today I shifted all my 401k investments to stable funds that protect principle. I'm 57 and I think at some point this bubble has to burst. I am wanting to protect all my gains over the last year, which are quite substantial.

On an individual stock investment, I still own all my original HHSE shares, and all my other investments are in Gold. My gold investments were up 84.19% last year driven largely by the Goldcorp purchase of XRA which was one of my largest holdings. So far this year my gold portfolio is up 13.43% as gold is driving higher. Will I be right on these shifts to stable investments and precious metals....time will tell......

I hear ya. Let’s get this party started. What’s new out there on the market? I’m sure I’ve missed a ton since I’ve been out.
